A LONG-OVERDUE ACKNOWLEDGMENT
Each year, the RCBA hands out four awards. In this month of May, we present the
Liberty Bell Award on Law Day to a member of the Rockland community for outstanding service in promoting a better understanding or respect for the Constitution,
the Bill of Rights and our institutions of government. The honoree is often a non- lawyer. This year' s well-deserved honoree is Dr. Frances Pratt, long-time President of the
Nyack NAACP. At our annual dinner each October we present our Lifetime Achievement Award to an attorney or judge for exemplary service. At our Installation Dinner
Meeting in June we present two awards to honor the memory of two beloved past
members of the RCBA, Richard Sterns and Joseph Balsamo. They have something in
common: they both are men. Although all of the four awards have gone to women as
well as men, the RCBA has never honored the memory of a distinguished woman
member from our past. It is time to end yet another hoary vestige of a time when the
Rockland Bar was truly an "old boys' club" .
Up until a few months ago, when the Journal News ran a story about her, I doubt that
many members of the RCBA had ever heard of Natalie Couch. Shame on all of us for
that. In a year when it looks like a major American political party is going to nominate a woman for President for the first time, it certainly is appropriate to remember
and honor the memory of Natalie Couch, a true pioneer. It is worth remembering that
women did not even have the right to the vote until less than 100 years ago. Natalie
Couch was the first woman to vote in Rockland County. She was also the first to
practice law here, and the first female President of the RCBA. Natalie was a Nyack
native, the daughter of a local doctor, who grew up in a house later known as "Couch
Court" which eventually became the Town Hall of Orangetown as well as a law office.
After graduating from Wellesley College in 1907, Natalie was first in her class at
Fordham Law School and went on to become a law clerk for Judge Arthur S. Tompkins. She became active in Republican politics and was a Republican candidate for
Congress in 1934 and 1936, a testament to her obvious courage in those heady first
term years of the Roosevelt Administration.

Natalie certainly was no shrinking violet, hiding out in a law library. She was thoroughly involved in the community. In researching her background, I came across an
interesting tidbit. On January 31, 1919 an American Aniline Products Company
chemical factory exploded and caught fire in downtown Nyack. One person was killed
outright, 3 were missing and presumed dead in the explosion, and 15 were injured.
According to the New York Times for February 1, 1919 "the injured were rushed to
Nyack Hospital by the Women 's Motor Corps. under Sergeant Natalie Couch."
In the Book of Proverbs there is a poem entitled a Woman of Valor.
Certainly Natalie Couch was such a woman and I will be asking the
Board of Directors to create a new award in her honor.

The Daniel Patrick Moynihan U.S. Courthouse will officially open its new entrance pavilion on Monday,
April 25, 2016. All visitors to the courthouse will be required to enter through the pavilion. The pavilion
entrance is on Worth St., adjacent to the current Worth St. entrance to the courthouse. The Worth St.
entrance will remain open for attorneys with the service pass issued by the court as well as employees.
The Pearl St. entrance will now be closed to the public and will only be open to employees. The pavilion
was constructed to increase security for those who visit and work at the courthouse. The pavilion will
stream-line security and will allow for visitors to queue inside and avoid the elements outside.

As per the RCBA By-Laws, the names of candidates for the Board of Directors were published to the
Membership and Members voted (all ballots were received by May 2, 2016).
The ballots received were opened and counted by the Executive Director and then audited by the three most

COMMERCIAL LITIGATION ISSUES OF INTEREST

In 2002, your client and his adult children gathered to sign documents transferring your client's property to himself and to his children as a gift. Your client did not record the deed. In 2006, your client refinanced
the mortgage on the property for$2.4 million, without advising the bank of the 2002 deed. The bank failed to
record its 2006 mortgage until 2014. In the meantime, in 2009, your client recorded the 2002 deed to himself
and his children. The bank commenced a foreclosure action, and has moved to dismiss your affirmative defense that the 2002 deed has priority as both first in time and first recorded. Will you defeat the bank's motion?
The answer is no.
In JP Morgan Chase Bank v. Barbara, 11261-2012, NYLJ 1202750900301 (March 1, 2016), at *1
(Sup. Ct. Suffolk Co. Decided January 28, 2016) Chase sued former Long Island celebrity attorney Dominic
Barbara to nullify a deed from Barbara to himself and his two adult children.
In February of 2002, Barbara summoned his children to his office for the signing of "transfer documents" for Barbara's Shelter Island property, which he deeded to himself and his two children. This was done
for the purpose of "protecting his children given the fact he was about to marry someone who was not their
mother." The children paid no consideration and did not see the deed, which then sat unrecorded in Barbara's
office.
In 2006, Barbara refinanced his pre-existing mortgage of $1,999,999 with a Consolidation, Extension,
and Modification Agreement (GEMA) for $2.4 million. Barbara represented to the bank that he was the sole
owner of the property. The bank did not record the CEMA until 2014.
In 2007, Barbara signed a prenuptial agreement promising to convey 16.67% of all interest in the property to his new wife, without disclosing the children's interest.
Barbara recorded the deed to himself and his new wife in 2008. Then, in 2009, Barbara recorded the 2002 deed
to himself and his children.
In the action to nullify the 2002 deed, the bank moved to dismiss the affirmative defense that the children's rights were first in time and first in right under the Recording Act (RPL § 290), and to dismiss the affirmative defense that the 2002 deed itself was proof of their prior rights.
The children argued that although the deed was not physically delivered to them, there is a presumption
that it was delivered in 2002. Moreover, the 2009 recording of their 2002 deed before the bank's mortgage was
recorded entitled them to the first-in- time protections of the recording act.
The Court disagreed. The court acknowledged that RPL § 290 protects a good faith purchaser for value
from an unrecorded interest in real property, provided such a purchaser's interest is first to be recorded, citing
Tans/and Assets, Inc. v. Davis, 29 A.D.3d 679 (2d Dep't 2006).
However, although the children did not know of the GEMA recorded in 2006, the Court found that they
had "knowledge of facts that would lead a reasonably prudent person to make inquiries" about the deed that
had not been physically delivered, citing
United Mat Realty v. Reode Indus., 155 A.D.2d 660 (2d Dep't 1989). Thus, held the Court, the deed is deemed
delivered as of the date of its recording in 2009, citing Matter of Myers v. Key Bank NY, 68 NY2d 744
(1986). The children's deed was, therefore, "second in time," to the 2006 CEMA, and the children were limited
to the rights provided by RPL § 291, which protects a second-in-time conveyance only of a good faith purchaser for value.
The Court found that although the children did not know of the unrecorded prior interest of the bank,
the children had not paid valuable consideration. They were not, therefore, good faith purchasers for value.
The Court noted that the children had not included the property in any of their post-conveyance credit or loan
applications.
The children's affirmative defenses were dismissed.
The Lesson? A deed that was executed without consideration, and not delivered (either physically or by
recording), will not have priority over an intervening mortgage loan, even if the deed was subsequently recorded before the mortgage loan was recorded.

These tips are offered to aids in one’s personal life. The following are the suggested steps of
Alcohol Anonymous, a proven self-help organization.

Recognize I have a problem. Denial is a barrier to moving on.
Accept that another party can assist with the situation. Discuss the situation with a trusted friend. Seek counseling.
Trust that another party can handle the responsibility. Let go of ownership of the problem and assign mechanics to a
professional.
4. Examine myself. What are my strengths? What are my weaknesses? What do I wish to keep? What do I wish to
change?
5. Recognize my weaknesses by revealing them to a trusted party; communicate my willingness to change?
6. Prepare to make change. Resolve I will be a different person, for the better.
7. Take the action to change. Move from resolution to doing.
8. List persons to strengthen our relationship. Improve communication with people in our lives.
9. Actually talk, see, and be with the people that are in your life. Be active; be personable.
10. Do a regular inventory of myself. Periodically take stock of where I’m at, where I’ve been and where I’m going. List
my plusses and minuses. Recognize where I need to improve.
11. Use mediation. Practice speaking my wishes. Learn to listen to the whispering of serendipity; to hear things I missed
in the past.
12. Help others. Be active in the community. Offer to do things that contribute to the larger world.

Synopsis: Part I Digital Offense: The collection and use of digital evidence and Social Media content has become a critical component in all forms of litigation. Every attorney must know the basics regarding proper
collection and use of same. This presentation will provide basic, plain English strategies for proper collection,
preservation and use of this material as evidence, including the legal foundation for admissibility and challenges to such evidence. The program will also cover, the legal and ethical boundaries between aggressive

and wireless internet and shared ‘cloud computing environments’ in virtually every home and office, instances of electronic spying and unlawful collection of confidential (potentially privileged) digital information by opposing litigants attempting to gain strategic or legal advantage have become a “virtual epidemic.” Clients and their counsel must take great care to ensure their confidential electronic communications remain private, and that sensitive digital information remains secure from the reach of adverse parties, particularly parties who may be co-habitating. This program will identify and explain the most common ways in which
these compromises occur, and present a practical, step-by-step approach to mitigate those risks.
