Tax and the Overseas Landlord

UK regulations treat overseas landlords generously, and recent
changes to the law have made the tax climate even more liberal.
However, it is important that overseas investors arrange their
affairs properly, in order to benefit from the tax concessions,
and take appropriate professional advice.

Income Tax applies to all rental income arising in the UK.
However, a variety of allowable expenses including financing costs,

There are many reasons why investors from abroad find the UK
property market so attractive, but one of the most important is
tax.
Inheritance Tax applies to all personal assets situated in the UK
- above certain lower limits - no matter where the owner resides.
Once again, however, this is a tax that can usually be avoided, with
suitable advance planning.
Capital Gains Tax overseas residents are currently exempt from tax
on capital gains arising in the UK, but it is possible - in the case of
a lengthy stay in Britain, for example - to lose this exemption
Property owners considering frequent or extended visits, or a
permanent change to become resident in the UK should be sure
to take appropriate advice. Capital Gains Tax (CGT) applies to
disposals of residential property worth more than £2 million
held in offshore structures (unless the property had been let on
a commercial basis to an unconnected third party). CGT when a
property is sold by a non-resident is due to be introduced from
April 2015 although the details of implementation are still in
Government consultation.
Corporation Tax could in certain rare circumstances arise if an
overseas investor is buying and selling UK properties frequently,
and if HM Revenue & Customs considers that trading is taking
place. Investors with ambitious plans should ensure that they
are fully aware of their tax position.

BUYERS GUIDE TO
THE LEGAL PROCESS
Unlike property in some other countries, UK property can be owned by anyone or virtually any entity:
Companies, trust structures or individuals whether UK resident or not
For overseas buyers, there is a well established process in place for acquiring UK residential property. The process is slightly different
depending on whether the property is “new build” or “second-hand” but the majority of UK property transactions can be summarised
broadly in the following three stages:
Reservation
Contract
Reservation
A buyer will reserve a property that he/she wishes to acquire for an
agreed purchase price by either agreeing a memorandum of sale
or signing a reservation form and paying a reservation fee (which is
usually non-refundable). At this stage, the buyer has not entered into
a legally binding agreement.
The reservation will normally afford the buyer a period of exclusivity
in which he/she can seek to formalise the acquisition of the property
without fear of incurring unnecessary or wasted costs
Contract
Following agreement of a reservation, both the seller and the buyer
will instruct lawyers.
The seller’s lawyers will prepare a sales pack containing all of the
relevant documentation pertaining to the property and will send it to
the buyer’s lawyers for review. This will include the draft contract and
evidence of the seller’s ownership of the property.
The buyer’s lawyers will then examine the paperwork, lodge
investigative searches with the relevant statutory authorities and
undertake full due diligence on the documentation. The result of that
due diligence, which is a summary of the investigations and enquiries
that the buyer’s lawyers have undertaken in respect of the property,
is a Report on Title which is delivered to the buyer prior to contracts
being formalised.
Completion
The parties’ lawyers will then agree the exact wording of the
contract. The terms may vary from one transaction to another
depending on the agreement between the parties and the property
in question. The buyer will purchase the property by reference to
its official UK Land Registry title or (if the property is “new build”)
a set of plans and specifications setting out what the developer
is agreeing to construct. It is vital to check what is included in the
purchase price.
If there is an exclusivity period, contracts must usually be formalised
by the agreed deadline. If the buyer decides to proceed with the
purchase, he/she will sign the contract and return it to his/her lawyer
so that something called “exchange” can take place. Exchange of
contracts is the moment when both parties become locked in to the
transaction. On basic terms, it means that both parties have signed
an identical copy of the contract and their lawyers have handed over
their signed copy to the other party – an exchange of documents.
Once contracts are exchanged, both parties are legally bound to
the sale and purchase of the property and may not subsequently
withdraw from the process. The buyer should ensure that he/she has
the ability to put in place the necessary funding for completion (and
any requisite stage payments).
Usually a 10% deposit is payable upon exchange of contracts.
Depending on the contractual terms, a larger deposit or stage
payment(s) between exchange and completion may also be required.
It is important for a buyer to take legal advice from a reputable
solicitor to make sure that, if possible, any deposit payments are
properly protected by way of suitable contractual provisions or a
warranty.
Completion of the transaction will take place on an agreed date or (if
the property is “new build”) on the date when the property is ready
for occupation. At this point the buyer will pay the balance of the
purchase price (less any deposits already paid) and will be given the
keys to the property.
In the case of “new build” property purchases, completion is normally
on notice from the seller that the property is finished in accordance
with the plans and specifications referred to in the contract. A
surveyor may inspect the property for any outstanding snagging
items prior to completion. Again, it is important that a buyer takes
comprehensive legal advice to make sure that the contract contains
adequate protections to ensure that the completion process must be
undertaken properly.
In the run up to completion, the buyer’s lawyers will prepare a
completion statement setting out the funds required from the buyer
to complete. This will include the balance of the purchase price of
the property. Other standard costs include legal fees, stamp duty
land tax (SDLT), Land Registry fees and standard “out of pocket”
disbursement costs.
SDLT
This is the government purchase tax payable on the purchase price.
SDLT rates for residential property from 4 December 2014
From 4 December, SDLT for residential property is charged at
different rates depending on the portion of the purchase price that
falls within each rate band. These rates apply to residential properties
completed on or after 4 December 2014 and are referred to as the
“new” SDLT rules below.

Where contracts have been exchanged on or before 3 December
2014, and the transaction is completed on 4 December or later, the
buyer can choose whether to use the old or the new rules.
Higher rate for corporate bodies
There are separate provisions for properties purchased by certain
“non-natural” persons such as companies where an SDLT rate of 15%
is applied on purchases above £500,000.
Annual tax on enveloped dwellings (ATED) is also payable and will
apply to corporate envelope ownerships valued above £1m from
April 2015 and above £500,000 from April 2016 (although currently
applies to values of above £2m where business relief does not apply).
In both cases, business relief may apply if the property in question is
being let on a commercial basis to an unconnected third party.
Land Registry fees
These are calculated on the purchase price, currently as follows:
£200,001 - £500,000 = £270
£500,001 - £1,000,000 = £540
£1,000,001 and over = £910
On completion, the buyer’s lawyers will lodge details of the
transaction at the Land Registry so that the buyer becomes the
“registered proprietor” of the property which is effectively a UK
government guarantee of title.
Conclusion
At present, when it comes to property transactions, the UK very
much welcomes overseas purchasers. As detailed above, the process
of buying residential property is long established and there are no
limitations on foreign investment. With a burgeoning private rental
market in the UK, buy-to-let investments are currently very popular.
The tax system is transparent and relatively straightforward and any
property lawyer will be able to explain the basic considerations in
buying UK property.
Buyers must be prepared though to take advice with regard to the
structuring of the purchase of UK property, so as to ensure a proper
understanding of the relevant tax consequences.
SDLT rates for residential property from 20 March 2014
to 3 December 2014
The old SDLT rates apply to transactions before 4 December 2014, for
example on contracts which were exchanged before 4 December for
the purchase of a freehold or grant of a new lease or the assignment
of an existing lease.

The Central London sales market remains active and strong. Plenty of units are still being sold,
often at record prices, but the market has become less frantic in recent months. Buyers are a little more
fastidious with ambitiously-priced schemes seeing lower interest while less established areas or those
without a story, are now a little more vulnerable.
Increasingly active
Over the past 18 months the number of
new unit sales each half year has been in
the 6,000-6,500 range, consistently and
significantly higher than the preceding 18
months when closer to 3,500 units were
being sold each half year.
The first half of 2014 (H1 2014) saw a 13%
decline in unit launches compared with
H2 2013 but despite this there has been a
marginal rise in new unit sales. The number
of sales across Central London was 6,500 in
H1 2014 slightly higher than the 6,300 in H2
2013.
Moving out
A notable trend during the first half of 2014
has been a shift in activity away from Core
markets and into Outer Core areas. Only
1,300 units launched in Core markets in H1,
a 57% fall from H2 2013. In contrast, unit
launches soared to 4,700 in Outer Core
locations, a 21% rise and the first time the
4,000 unit milestone has been surpassed in
this cycle.
Understandably, sales have followed a similar
pattern. There were 1,750 unit sales during H1
2014 in Core markets, a 33% fall, whereas in
Outer Core markets sales increased by 31%
to 4,800. Significantly, the number of units
unsold at the end of H1 fell below 2,000
units for the first time in three years –
reaffirming the underlying strength of
the market despite the steady easing.

Price growth has slowed during H1 2014,
but prices are still rising in the majority of
schemes and areas.

slowed from 8.1% in H2 2013 to 5.1% in H1
2014. Furthermore, quarterly price growth
has slowed from 3.4% in Q1 to 1.7% in Q2.
Annual price growth remains high at
13.7% but this will ease significantly as 2014
progresses when the strong price rises
during H2 last year fall out of the annual
equation.

The “UK first” initiative has
helped contribute to a higher proportion
of domestic buyers during H1 2014. 73% of
housebuilders report a notable or a slight
increase compared with last year.

The volume of schemes under construction continues to escalate. Levels are at their highest since
the credit crisis and have doubled in two years. However, housing starts have already begun to slow
despite continued enthusiasm from developers. 76
Construction at new high
The Central London development market has taken a further leap forward
in recent months. Already elevated following stronger activity over the past
two years, the number of units under construction has moved to a new high
during H1 2014.
There are now 21,900 units on site having more than doubled in just two
years and risen by 15% during H1 2014 alone.
The number of unit starts eased down slightly to 6,600 units in H1 2014, from
7,000 in H2 2013, but remains notably higher than the 2,500-3,000 units per
half year two to three years ago.
By far the greatest shift in schemes under way is in Outer Core markets. There
was only a marginal 1% rise in Core markets but a far more substantial rise in
the Outer Core.
