Sometimes we hear of a company that sold for a stunning valuation. Other times we learn of a seemingly similar company that was
acquired for a disappointing valuation. Apart from market timing, why is that and what can business owners and CEOs do to maximize the
likelihood of the right outcome? A distinguished panel will discuss this question including perspectives from a CEO who had a successful
liquidity event, a general partner of a private equity fund, an investment banker, and a corporate attorney. While there is never a single
silver bullet for all situations, there are definitely things one should do in the two year period before an intended exit – and traps to avoid.
Adam Coffey, President/CEO, WASH Multifamily Laundry Systems, LLC
Adam Coffey has been the President of WASH since 2003 and its CEO since 2005. During his tenure, Coffey has led the company through
a series of divestitures, mergers and acquisitions resulting in over $650 million of cash distributions to shareholders and a change in control
from a family owned to an institutionally owned company. Prior to WASH, Coffey led the turnaround and rebuilding of Masterplan. Coffey is a
respected consultant to investment bankers and the private equity community through the Gerson Lehrman Group where he is a recognized
expert in running service based businesses across multiple industries. His last two companies sold for a combined value in excess of $1
Billion. Coffey comes from a Fortune 500 background and did his post graduate work at GE’s famed John F. Welch Leadership Center in
Crotonville, NY. He was recently named one of LA’s Top Ten Leaders by Smart Business Magazine.
Michael Steuch, Partner, Jeffer Mangels Butler & Mitchell, LLP
Michael Steuch is a Corporate Partner at Jeffer Mangels Butler & Mitchell LLP (JMBM), a diversified law firm focused on the middle market
with offices in Los Angeles, San Francisco and Orange County. He focuses on working with companies and capital providers on M&A and
Equity/Debt financing transactions. A 1998 graduate of the UCLA School of Law, Steuch represents entrepreneurs and private equity firms
in structuring and negotiating control buyout and growth equity deals to best promote and protect their business and legal interests. He has
extensive experience in counseling a variety of business enterprises from their initial formation and financing through their eventual sale,
including the negotiation of technology, branding and other material business arrangements. Recognized as a Southern California “Rising
Star” from 2006-2011, Steuch has executed financing and liquidity transactions in a number of different business sectors, including clean
tech, healthcare, media, software, consumer products, food, business services and financial services.
Brad Brutocao, Partner, Freeman Spogli & Co
Brad Brutocao is a Partner with Freeman Spogli & Co., one of the leading middle market private equity investment firms in the United States.
Based in Los Angeles and with offices in New York, Freeman Spogli has invested in 47 companies with aggregate values of approximately
$18 billion. The firm focuses exclusively on investments in the consumer and distribution sectors. Mr. Brutocao joined the firm in 1997 and
currently serves on the Board of Directors of Boot Barn, Floor & Decor and The Paradies Shops. He is also actively involved in Freeman
Spogli’s investment in PETCO Animal Supplies. Prior to joining Freeman Spogli, Mr. Brutocao worked at Morgan Stanley & Co. Incorporated
in the Mergers and Acquisitions and Corporate Finance departments. Mr. Brutocao received his bachelor’s degree magna cum laude in
economics from the University of California, Los Angeles.
Duane Stullich, Managing Director, FocalPoint Partners
Duane Stullich is co-founder and Managing Director of FocalPoint Partners, a Los Angeles- and Chicago-based Investment Bank with
extensive experience advising middle market companies with mergers and acquisitions, private placements of debt and/or equity securities,
debt restructurings, and special situations. In addition to being an accomplished investment banker, Mr. Stullich is also a seasoned
entrepreneur. Prior to co-founding FocalPoint, he was one of the key contributors to the establishment of the corporate finance department
at Houlihan Lokey Howard & Zukin and a co-founder of Murphy Noell Capital. This entrepreneurial experience, combined with his multifaceted career in corporate finance, has given him a unique understanding of entrepreneurial organizations and a proven ability to maximize
value in liquidity events and structure and close complex transactions, including generational transfers. Mr. Stullich graduated summa cum
laude with a bachelor’s degree in accounting and received his MBA from the UCLA Anderson School of Management.
Shawn Bernardini, Executive Director, Frank Crystal & Company - Panel Moderator
Shawn Bernardini is an Executive Director for Frank Crystal & Company and started the Los Angeles office almost 2 years ago. He is
responsible for all lines of Property & Casualty and Employee Benefits insurance as well as recruiting talent to join the firm. Frank Crystal is
the 2nd largest private insurance brokerage firm in the United States and was founded in 1933 in New York City serving the insurance needs
of Wall Street investment firms and today there are 10 offices around the country. Frank Crystal has a dedicated Private Equity & Mergers
and Acquisition practice group that offers both buy and sell side consultancy and insurance diligence as well as transactional insurance
products. Shawn is a graduate of the United States Air Force Academy and received his Bachelor of Science in Management and also holds
an MBA as well as a Certified Insurance Counselor Designation. Before entering the insurance industry, Shawn spent 10 years in the United
States Air Force as an F-16 pilot and was promoted to the rank of Major and holds an Airline Transport Pilot rating.
