Featured Topic: Business Corporation Act (Act 328, 2014 Reg. Session)
Act 328 replaces the entire Business Corporation Law (Chapter 1 of Title 12). One of the important
developments for attorneys is that the new law will apply to professional corporations as well
as business corporations. The new act is based on the Model Act that has been adopted by 30
states, including all states in the Southeast, east of the Mississippi River. Our speaker is LSU Law
Professor Glenn G. Morris, Reporter and Chair of the Corporations Committee of the Louisiana
State Law Institute. Professor Morris was responsible for drafting the Louisiana modifications of
the Model Act, and all of the official comments added to the Louisiana version of the act. Don’t
miss this unique opportunity to learn from Professor Morris before Act 328 goes
into effect on January 1, 2015!
