 AD VENUE HOST AGREEMENT This Agreement(“Agreement”) is entered into on ____________________, 20_____ by and between Billy Goat Group LLC (“Billy Goat”), and __________________(“Host”) hereinafter collectively called the “Parties”. The signer for Host verifies that they have authority to enter into this Agreement. The Parties Agree to the following: Access & Exclusivity:​

Host hereby agrees to rent exclusively to Billy Goat access to wall space in restrooms, or areas agreed upon by the Parties for the purposes of advertising. Host shall rent this space to Billy Goat for the purpose of installing indoor billboard advertising. Billy Goat will have the sole and exclusive right to sell, produce, manufacture, and place advertisements for itself, or designated third parties in said locations, including paid advertising, self­promotions, public service messages, non­profit, and remnant advertising. Host will not remove or permit the removal of any of Billy Goat advertising campaigns without Billy Goat’s approval. Host agrees that advertising spaces rented herein will remain available for use by Billy Goat, unobstructed, and in use for display to and viewing by Host’s customers. Billy Goat remains owner of all frames, posters, and other materials installed for the purposes of this agreement in the locations agreed upon. Host shall keep the premises in a neat and clean condition and shall report any lost, damaged, or stolen advertising material to Billy Goat. Billy Goat will compensate Host by advertising their establishment in specific types of locations agreed upon by Billy Goat and Host. Advertising will be tendered to Host at a rate of ⅓ panel a month of advertising per full panel hosted. Hosts may save advertising credit. Accrued advertising credit must be used within twelve months of being earned. Billy Goat will print and post the Host’s advertising at no charge to the Host. Host is responsible to supply their advertisements as digital files to Billy Goat. Host has the right to refuse that their own services and products be advertised in any type of business venue listed here: __________________________________________________________________________
__________________________________________________________________________ The initial term of this Agreement is one­year from signing and will renew automatically each year for successive terms of one­year. Either party may terminate this Agreement upon ninety (90) days’ prior written notice after the initial term of this Agreement. Billy Goat will return premises to its original condition in the event of removal of poster frames. If Host has a change of ownership​

Host agrees to promptly notify Billy Goat. Severability & Durability: This Agreement and the provisions contained herein shall be construed and interpreted according to the laws of the State of Colorado. If any clause or provision of this Agreement is determined to be unenforceable under present or future laws, then the remainder of this Agreement will not be affected thereby. This agreement constitutes the entire understanding between the parties.
