Media Release 19 March 2015 (AEST) Study Group adds Endeavour Learning Group to its brand portfolio to leverage growth of health, beauty and fitness industries Study Group is pleased to announce its acquisition of Endeavour Learning Group (ELG), one of Australia's leading providers of higher education and vocational training in the health and wellness sector. Under the terms of the purchase agreement, Study Group will pay a AUD 65 million cash payment at completion (subject to certain working capital adjustments) and up to AUD 10 million contingent deferred consideration. Study Group’s existing Australian Institute of Applied Sciences (AIAS) is the leading provider of vocational education in Australia in natural health and its Australian College of Physical Education (ACPE) is the leading provider of Higher Education courses in sports, health and physical education. The acquisition of ELG reinforces Study Group’s position as the leading provider of higher education in natural health, fitness and beauty in Australia, by strengthening its brand portfolio and broadening its programme offering to current and prospective students. ELG’s brands across health, fitness and beauty include: Endeavour College of Natural Health, FIA Fitnation and the College of Natural Beauty. With six campuses across Australia and two in New Zealand, ELG is highly regarded and known for providing quality education in this market. The sale is conditional on notifications to the Australian Skills Quality Authority (ASQA), the Tertiary Education Quality and Standards Agency (TEQSA) and the Federal Department of Education and Training. “ELG strongly complements our already established brand portfolio.
