Emperador is set to acquire Louis Royer, a cognac manufacturer, in a
"multibillion peso" purchase. Industry sources say that the deal may be closed
as early as 13 May (Wednesday). Louis Royer, which manufactures cognac,
brandy, liquors and vodka, is owned by Jarnac, a subsidiary of Japanese spirits
firm Suntory Holdings. If finalised, this marks the 3rd (overseas) acquisition of
Emperador, following the P31-bn purchase of Whyte & Mackay as well as over
1,000-has of vineyard from Bodega Las Copas and San Bruno SA.

Comment: Louis Royer SAS ended FY13 with assets of roughly $128mn or
roughly P5.7bn, revenues of $57mn (P2.5bn) and net income of $3mn
(P134mn), according to data from Thomson Reuters. ROE at end-2013 was at
13%, while net margin stood at 7.8%. Depending on the target multiple, the
acquisition may be funded via all-cash or a mixture of cash and debt.
