GENERAL TERMS OF SALE
1. Listed prices do not include VAT.
2. Notwithstanding any provision to the contrary and even if any
such provision may be contained in any possible general conditions of the Buyer, these general conditions of sale (hereinafter, the
“Conditions”) shall apply to all contracts of sale which are made in
Italy and/or abroad by the company Alfredo Salvatori S.r.l. hereinafter “the Seller”).
3. Any possible cancellations of or modifications to any agreement
by the Buyer shall not be effective, unless previously authorised or
subsequently accepted in writing by the Seller. It is agreed that the
execution of the contract of sale shall be deemed to have taken
place at the Seller’s place of business.
4. The Seller shall be entitled to make minor changes to the
Products, without being obliged to inform the Buyer thereof.
The quality and quantity of Products which the Seller undertakes
to supply are those specified in the order confirmation or, failing
which, as specified in the invoice at the time of delivery of the
Products by the Seller.
5. Unless otherwise agreed in writing, the Products shall be
delivered “EX WORKS”. The Products shall be collected within ten
days as of the date of the notice that the Products are ready for
collection; should the Buyer not collect the Products within the
above time frame, then all risks in relation thereto shall be borne
by the Buyer which shall also be charged by the Seller, for each day
of delay, an amount equal to 1% of the price of the Products, to
cover storage costs thereof. The Seller shall not enter into any
shipment or transportation agreement and shall not insure the
Products to be supplied, unless the Buyer should so expressly
instruct the Seller in writing; it being in any event understood that
any and all costs in relation thereto shall be borne exclusively by
the Buyer. All taxes, duties, levies, licenses, authorisations, permits
and any other further tax and administrative fulfilment which are
conditional upon the importation and/or the resale of the Products
shall be at the Buyer’s sole cost or carried out by the Seller under
the exclusive responsibility, risk and expense of the Buyer.
6. All delivery dates given shall be indicative only, and in the event
of late delivery, the Buyer shall not be entitled to cancel the order
or to receive any compensation for damages of whatever nature. In
any event, by collecting any Products which may have been
delivered late, the Buyer waives any and all rights relating
to said delay.
7. Under no circumstances shall the Buyer be entitled to suspend
or delay payment of the price of the Products in accordance with
the terms and conditions set forth in the agreement, nor to raise
any claim in relation thereto until full payment thereof. In the event
of late payment, the Seller shall be entitled to exercise its rights
provided under the laws in force in Italy in relation to late
payment in commercial transactions, without prejudice to its rights
to seek any further damages. It is understood that title on the
Products shall pass on to the Buyer only once full and final
payment of the sale has been effected.
8. It being understood that the Products in marble, stone and other
natural materials are necessarily subject to an ordinary variation in
colour, consistency and veins due to the natural composition of the
materials, the Seller hereby warrants that the Products comply with
the agreed specifications, are sellable, fit for the purpose for which
they are supplied to the Buyer and free from defects in their
materials and workmanship for a period of six months from the
date of delivery or up to the date the same are placed, if earlier. The
Seller shall repair or substitute, at its sole discretion, any part which
is recognized defective and covered by the warranty. The warranty
does not expressly cover the defects caused by: loading, transportation, placing, improper use, handling, maintenance, use of
inappropriate materials or tools, interventions or amendments to
the Products effected without the Seller’s written authorization,
ordinary wear and tear, faulty or negligent treatment, excessive use
of the Products and any other reason not attributable to the Seller.
Any and all other warranties, including those implied by law in
favour of the Buyer are hereby excluded and superseded by these
Conditions.
9. Any claims relating to patent defects shall be communicated to
the Seller strictly within 8 (eight) days following the date from
which the Products have been delivered to the agreed place of
destination, and any latent defects shall be communicated to the
Seller within 8 (eight) days following the date of discovery, failing
which the Buyer shall lose all rights to bring any claim in relation
thereto. In no event shall any claim be accepted once the Products
have been placed. Any claims related to the warranty shall be
communicated to the Seller by way of a registered post letter
return receipt requested within 6 (six) months from the delivery of
the Products, failing which the Buyer shall lose all rights to bring
any claim in relation thereto. Any returned Products shall not be
accepted by the Seller unless the Seller has given its prior written
authorisation in relation thereto, are returned packed in their
original packings and in perfect conditions. Except otherwise
agreed by the parties, the transportation expenses of such
returned Products shall be borne exclusively by the Buyer which
shall also be charged an amount up to 30% of the sale price to
cover the warehousing and handling expenses of such returned
Products.
10. The Seller’s responsibility shall be expressly limited to the
purchase price of the Products claimed to be defective and
covered by the warranty. Any further direct or consequential
damage, including, not by way of limitation: non use, loss of profits,
financial burdens, on-site replacement and energy expenses are
expressly excluded from the warranty. The Buyer shall be solely
responsible to ensure that the Products comply with technical and
safety standards, laws and regulations applicable in the place of
delivery of the Products and for any further claim by any party
which may suffer damages while making use of the Products.
11. The consignee of the goods undertakes to notify the firm
Alfredo Salvatori Srl in writing, within 7 days following the
scheduled delivery date, of non-delivery of the consignment at the
place of destination indicated in the waybill or of delivery of the
same goods in a place other than that indicated in the waybill,
through the sending, by post, fax, email or any other means, of a
suitable declaration and of a copy of the signed waybill. After
receiving this documentation Alfredo Salvatori Srl will proceed
with regularisation of the invoices issued with application of VAT
(sales tax) pursuant to Italian Presidential Decree no. 600/1973. It is
understood that the consignee of the goods undertakes to hold
Alfredo Salvatori Srl non-liable for taxes, surcharges, interest and
penalties of any kind, in addition to legal costs, in the event of
amounts being charged to it by the revenue authorities as a result
of failure to provide this written notification. The consignee of the
goods likewise undertakes to notify the carrier of any change or
variation of the destination of the goods. Failure to fulfil the
aforesaid obligation shall entail Alfredo Salvatori Srl charging the
consignee of the goods for any taxes, surcharges, interest and
penalties of any kind, as well as costs of a legal nature, in the event
of audits.
12. These Conditions and all contracts of sale entered into by the
Seller shall be exclusively governed by the laws of Italy expressly
excluding the 1980 Vienna Convention relating to contracts for the
international sale of goods. Any and all disputes arising out of or
relating to the sale of the Products by the Seller shall be settled by
the courts in which the Seller’s registered office is located.
Notwithstanding the foregoing, the Seller may bring an action
against the Buyer in any court having jurisdiction over the Buyer.
The Buyer hereby represents and warrants that it accepts the
particular terms of supply set forth above as well as the General
Conditions of Sale of the Seller printed on the back of this
document or attached thereto.

CONDIZIONI GENERALI DI VENDITA
1. I prezzi indicati nel presente listino non comprendono l’Iva di
legge.
2. Nonostante qualunque contraria previsione, anche se contenuta
nelle eventuali condizioni generali dell’Acquirente, le presenti
condizioni generali di vendita (di seguito le “Condizioni”) si
applicano a tutti contratti di vendita effettuati in Italia e/o all’estero
dalla società Alfredo Salvatori S.r.l. (di seguito il “Venditore”).
3. Eventuali annullamenti o modifiche del contratto da parte
dell’Acquirente non avranno effetto se non preventivamente
autorizzati o successivamente accettati per scritto dal Venditore.
L’ esecuzione del contratto di vendita è convenzionalmente
stabilita aver luogo nella sede del Venditore.
4. Il Venditore si riserva la facoltà di apportare modifiche non
determinanti ai Prodotti senza obbligo di comunicazione
all’Acquirente. La qualità e la quantità dei Prodotti che il Venditore
si impegna a fornire sono quelle indicate nella conferma d’ordine o,
in mancanza, nella fattura al momento della consegna da parte del
Venditore.
5. Salvo diverso accordo scritto, la consegna dei Prodotti ha luogo
secondo la formula “Ex works”. I Prodotti dovranno essere ritirati
entro dieci giorni dal relativo avviso di approntamento; in difetto, il
rischio di giacenza si intenderà comunque posto a carico
dell’Acquirente al quale il Venditore potrà altresì addebitare a
copertura degli oneri di magazzino un importo pari all’1% del
prezzo dei Prodotti per ogni giorno di ritardo. Il Venditore non
stipulerà alcun contratto di spedizione o trasporto e non assicurerà
i Prodotti oggetto di fornitura se non dietro espresso ordine
dell’Acquirente, restando in ogni caso a carico di quest’ultimo tutti
i conseguenti oneri e rischi. Tutte le imposte, le tasse, i tributi, le
licenze, le autorizzazioni, i permessi ed ogni e qualsivoglia
adempimento fiscale ed amministrativo da cui dipendano
l’ importazione e/o la rivendita dei Prodotti devono ritenersi ad
esclusivo carico dell’Acquirente ovvero svolte dal Venditore sotto
l’esclusiva responsabilità dell’Acquirente ed a rischio e spese di
quest’ultimo.
6. Tutte le date indicate come termini di consegna si intendono
puramente indicative. Eventuali ritardi nella consegna non
daranno diritto all’Acquirente all’annullamento dell’ordine nè al
risarcimento dei danni di qualsiasi natura. L’Acquirente, mediante il
ritiro della consegna tardiva, rinuncia in ogni caso a qualsivoglia
pretesa in relazione al ritardo.
7. Per nessun motivo l’Acquirente può sospendere o ritardare il
pagamento del prezzo dei Prodotti secondo le modalità e nei
termini previsti dal contratto, né sollevare validamente alcuna
eccezione prima di aver saldato il prezzo della fornitura. In caso di
ritardo nel pagamento, si applicherà la vigente normativa
italiana in materia di ritardo di pagamento nelle transazioni
commerciali, oltre al risarcimento degli eventuali ulteriori danni.
Resta inteso che la proprietà dei Prodotti passerà all’Acquirente
solo in seguito al saldo integrale del prezzo della compravendita
8. Fermo restando che i Prodotti in marmo, pietra ed altri prodotti
naturali sono necessariamente soggetti ad una normale variazione
di colore, consistenza e venature dovuta alla naturale composizione dei materiali, il Venditore garantisce che i Prodotti sono
conformi alle specifiche pattuite, di qualità commerciabile, idonei
all’uso per i quali sono forniti all’Acquirente e privi di difetti nei
materiali e nella lavorazione per un periodo di sei mesi dalla data di
consegna o fino alla loro posa in opera se anteriore rispetto a tale
termine. Il Venditore riparerà o sostituirà, a suo insindacabile
giudizio, qualunque parte riconosciuta come difettosa e coperta
dalla garanzia. La garanzia esclude espressamente i difetti causati
da: carico, trasporto, posa in opera, uso improprio, movimentazione, manutenzione, utilizzo di materiali o attrezzi inidonei, interventi o modifiche effettuate ai Prodotti senza l’autorizzazione scritta
del Venditore, ordinario deterioramento, trattamento difettoso o
negligente, utilizzo eccessivo dei Prodotti e qualunque altra
ragione non attribuibile al Venditore. Ogni diversa garanzia, anche
di legge, deve ritenersi esclusa e superata dalle presenti
Condizioni.
9. Qualsiasi reclamo attinente a vizi e difetti palesi, dovrà essere
comunicato al Venditore tassativamente entro 8 (otto) giorni
dall’arrivo dei Prodotti nel luogo di consegna convenuto, e
qualunque vizio e difetto occulto dovrà essere comunicato al
Venditore entro 8 (otto) giorni dalla scoperta a pena di decadenza.
In nessun caso potranno essere accettati reclami dopo la posa in
opera dei Prodotti. Qualsiasi reclamo sulla base della presente
garanzia dovrà essere comunicato a mezzo raccomandata A/R
entro 6 (sei) mesi dalla consegna dei Prodotti, a pena di decadenza.
Eventuali resi potranno essere accettati solo se preventivamente
autorizzati in forma scritta dal Venditore, effettuati negli imballaggi
originali ed in perfette condizioni. Salvo diversi accordi, gli oneri di
trasporto dei resi saranno a carico dell’Acquirente, al quale potrà
essere altresì addebitato un importo sino al 30% del prezzo di
vendita a copertura degli oneri di stoccaggio e movimentazione
della merce resa.
10. La responsabilità del Venditore è limitata al prezzo d’acquisto
dei singoli Prodotti ritenuti difettosi e coperti dalla garanzia.
Qualunque altro danno diretto o indiretto, incluso in via non
limitativa: mancato utilizzo, lucro cessante, oneri finanziari, spese di
sostituzione sul posto o dell’energia sono espressamente esclusi
dalla garanzia. L’ Acquirente sarà l’unico responsabile della
conformità dei Prodotti agli standard tecnici e di sicurezza, leggi e
regolamenti applicabili nel luogo di destinazione dei Prodotti e per
qualsiasi altra richiesta risarcitoria proveniente da qualunque parte
che dovesse subire dei danni in conseguenza dell’uso dei Prodotti.
11. Il destinatario delle merci si impegna a comunicare per iscritto
alla Alfredo Salvatori srl la mancata consegna della merce presso il
luogo di destinazione indicato nel documento di trasporto ovvero
la consegna della medesima merce in luogo diverso da quello
indicato nel documento di trasporto entro n.7 gg. successivi alla
data prevista di consegna, mediante invio, tramite posta, fax,
e-mail o con qualsiasi altro mezzo, di idonea dichiarazione e di
copia del documento di trasporto sottoscritto. Successivamente
alla ricezione della predetta documentazione, la Alfredo Salvatori
srl provvederà alla regolarizzazione delle fatture emesse con
applicazione dell’IVA ex DPR n. 600/1973. Resta inteso che il
destinatario delle merci si impegna a rendere indenne la Alfredo
Salvatori srl per imposte, sovrattasse, interessi e sanzioni di
qualsiasi genere, oltre alle spese legali, nel caso di addebiti
effettuati dall’Amministrazione finanziaria a suo carico derivanti da
tale mancata comunicazione per iscritto. Il destinatario delle merci,
si impegna altresì a comunicare al vettore stesso ogni cambio o
modifica della destinazione della merce. L’inadempimento della
predetta obbligazione comporterà l’addebito da parte della
Alfredo Salvatori srl al destinatario delle merci di eventuali imposte,
sovrattasse, interessi e sanzioni di qualsiasi genere, nonché degli
oneri di natura legale, in caso di rilievi dell’Amministrazione
conseguenti a tale mancata comunicazione.
12. Le presenti Condizioni e tutti i contratti di vendita cui sia parte il
Venditore sono esclusivamente regolati dalla legge italiana, con
espressa esclusione della disciplina prevista dalla Convenzione di
Vienna del 1980 sulla vendita internazionale di beni mobili. Foro
competente in via esclusiva per tutte le controversie relative alle
vendite di Prodotti da parte del Venditore è quello della sede
legale dello stesso, salva la facoltà per quest’ultimo di convenire
l’Acquirente davanti ad ogni Foro avente giurisdizione nei confronti
dell’Acquirente stesso. L’Acquirente dichiara di accettare le
condizioni particolari di fornitura sopra specificate nonché le
Condizioni Generali di Vendita del Venditore riportate sul retro del
presente documento o allegate ad esso, di cui approva
specificamente ai sensi dell’art. 1341 cod. civ. le seguenti clausole:
