Dutifully safeguard the legal interest of all government-owned and controlled corporations, their
subsidiaries, government financial institutions, other corporate offspring and government-acquired
asset corporations.

Duties
Exercises control and supervision over all legal departments or divisions of client corporations as
mandated by EO 292 or the Administrative Code of 1987.
Renders legal services (handling of cases, rendering of opinions and reviewing and/or drafting of
contracts) to all client corporations as mandated by EO 292 or the Administrative Code of 1987.
Hears and recommends actions on conflicts, disputes, claims and/or counterclaims between and
among client corporations as mandated by P.D. 242
Enforces and implements the Property Insurance Law (R.A. 656, as amended)
Special Functions
 Acts as corporate officers of the client corporations.
 Assists in administrative cases involving client corporations.
 Acts as member of task forces and special committees of client corporations.
 Acts as in-house counsel or detailed attorneys for client corporations without legal
departments.
 Acts as detailed counsel on request even for clients with legal departments.
 Other special functions as may be requested by client corporations.
Frontline Services of the OGCC
The primary function of the OGCC is to serve as the principal law office of all Government Owned
or Controlled Corporations, their subsidiaries and other corporate offspring and government
acquired asset corporations (GOCC). As such, the following are its primary services:
Litigation
Represents GOCC’s in the litigation of appropriate cases brought before the courts or quasijudicial bodies in the Philippines or abroad.

Contract Review
Review, revise or modify, as the case may be, all contracts referred by GOCCs, as required by
law, to make the same conform with existing laws and applicable government rule and regulations,
and/or to prepare such contracts when so requested in appropriate cases.
Legal Opinion
Render legal opinions, as required by law, on all important legal questions referred by the GOCCs.
Mediation / Arbitration
Mediate or arbitrate under Presidential Decree No. 242, in relation to relevant provisions of
Republic Act No. 9285 and the Administrative Code of 1987, appropriate disputes, claims and
controversies between and among GOCC upon the request of the latter and conduct fact-finding
and preliminary investigation in appropriate referred cases.
Supervision and Control of GOCC Legal Departments
Conduct periodic performance audit of the legal departments maintained by the GOCC’s; Require
legal departments of GOCCs to submit periodic reports of work performed and / or accomplished;
Enjoin GOCCs from hiring private lawyers or law firms to represent them or to be their legal
retainers, subject to certain exceptions and impose or recommend appropriate administrative or
disciplinary sanctions against erring lawyers in the legal departments of GOCCs.
