SUMMARY OF THE ACTION

The Voice.
Mr. Barry created the international hit television show
Mr. Barry advertised his show to potential producers using the
California-based website www.tvwritersvault.com("The TV Writers' Vault").

In 2009, Defendants The Entertainment Group(TEG") and John
Does I and II, accessed the The TV Writers' Vault. To view the materials, they
agreed to keep all pitch materials they viewed on The TV Writers' Vault as

confidential and as property of the owner.

Defendants TEG and John Does I and II accessed Barry's pitch
22
materials for The Voice on The TV Writers' Vault. They did not keep that
23
24
information confidential though and, in fact, misappropriated the idea as their own.
25
Van Velzen, an individual formerly under contract with TEG and Talpa and a likely
26
John Doe, specifically falsely claims that he came up with the idea himself.

TEG and John Does I and II, became part of Defendants Talpa
Holding, N.V., Talpa Content, B.V., and Talpa Media USA (collectively "Talpa";

and, together, Defendants stole Barry's idea and made the original iteration of the
show, The Voice of Holland.

The Voice of Holland was a huge success and Defendants

licensed the show, to various production companies around the world, including
9
NBC in the United States, which produces and broadcasts the television show "The
10
Voice," and the BBC, which produces and broadcasts the television show "The
11
12
VO1C0 UK."

Defendants have reaped enormous profits off of The Voice
franchise, all from their theft of the show from Barry, in direct violation of the
15

explicit provisions of the terms to which they agreed to access The TV Writers'
fault.

JURISDICTION AND VENUE

This Complaint arises under the common law of the State of

This Court has personal jurisdiction over all Defendants by
California.

reason of their creation of the contract at issue within Los Angeles County in the

State of California, their breach of that California contract, and by reason of their
26
doing business in the State of California and in Los Angeles County. The TV
27

Writers' Vault is based in Los Angeles County, California, as is made clear by the

website. Defendants agreed to the terms of use of The TV Writers' Vault and then

breached that agreement and induced breach of that agreement. Also, Defendants

licensed Mr. Barry's show — without Mr. Barry's consent — to NBC in Los Angeles
5
County, California, to create the show in Los Angeles County, California, and
6
broadcast the show throughout the United States. Several affiliates of Defendants
7

Talpa are listed in the credits for The Voice —the show is produced by Talpa
9
Content USA, Inc. (which, upon information and belief, is the equivalent of
10
Defendant Talpa Media USA), among others, Defendant Talpa Content B.V. is
11
12

credited with creating the format of the show, and Defendant John de Mol, the
owner of Talpa, is credited with developing The Voice and is an executive
producer.

Venue is proper in this Court pursuant to Section 395(a) of the

THE PARTIES

Plaintiff Barry is an individual who is a citizen of, and resides

in, Ireland. Barry created the show The Voice and marketed the show using The
TV Writers' Vault.

Defendant Talpa Holding, N.V. is a corporation incorporated in

The Netherlands and with its principal place of business in The Netherlands. Upon
9
information and belief, it operates under the tradename Talpa Media Group which
10
develops, produces, and distributes media content designed for television, including
11
12

The Voice franchise, in The Netherlands and throughout the world, including to
NBC in California.

Defendant Talpa Content, B.V. is a limited liability company
15

incorporated in The Netherlands. Talpa credits its Talpa Content arm with creation,
17
and development of The Voice and several other television programs — in fact, The'

Voice was created by Plaintiff. Talpa Content is also credited with producing the'i

United States version of The Voice which is filmed in California and broadcast on
NBC throughout the United States.

Talpa Media USA is a California corporation with its principal

place of business in Los Angeles, California. Talpa Media USA is the production
25
arm Talpa in the United States, including for The Voice. The credits for The Voice)

list "Talpa Content USA, Inc." as a production company but no entity with that
27

name could be located in the United States while Talpa Media USA is listed as an

active corporation in the California Secretary of State register and, upon

information and belief, acts as a production company for The Voice.

is the owner of Talpa. De Mol is an executive producer ofthe United States version

of The Voice which is filmed in California and broadcast on NBC throughout the

United States. De Mol has appeared in Los Angeles, California personally to

market The Voice.

Defendant John de Mol is a citizen of The Netherlands. De Mol
Defendant The Entertainment Group, B.V. is a limited liability

company incorporated in The Netherlands. TEG distributed and licensed music...
TEG went bankrupt in 2009 and Talpa acquired TEG's rights. It is unclear whether
TEG still exists post-bankruptcy.

The true identities of Defendants John Does I and II are

unknown to Plaintiff at this time. They represent the individual or individuals that
18
accessed Barry's work on The TV Writers' Vault on behalf of TEG and breached
19
20
the Confidentiality Agreement created by The TV Writers' Vault. It seems likely
21
that Does I and II are: (1) Roel Van Velzen who was under contract to work with
22
TEG in 2009 and whose contract was acquired by Talpa when Talpa acquired the
23
24
rights to TEG. Van Velzen is a judge on the The Voice of Holland and claims to
25
have come up with the idea for the The Voice himself. And (2) Marco Borsato was
26
the owner and operator of TEG, was a former judge of The Voice of Holland, and,
27
28
upon information and belief, is a close friend of John de Mol and the two live in the

same town in The Netherlands. Plaintiff will require discovery to discern whether)

Does I and II are Van Velzen, Borsato or others and Plaintiff will amend the

Complaint by asserting their true names and capacities herein.
FACTS

In or around June 2008, Barry conceived of a novel idea for a
7

reality television series titled "Voice of America". The concept for the series was
as follows:

• a singing talent show,
11
• where the judges cannot see you as they are behind screens,
12
• where the contestants are judged solely on their voice (rather
13
14 ',
than on their appearance or other factors),
15
16
• where the cameras and audience can see the singers
17
• where the auditions will be held with the judges also behind a
18
screen, and
19
• the auditions and show will all be prerecorded allowing the
20
21
public to phone vote.

In July and August 2008, Barry created pitch materials for the
Voice of America and posted them on the TV Writers' Vault website. Barry also
registered
the
domains

unrelated to the television show at issue.

Also at that time, Barry registered his written materials for the

Voice of America with the Writers Guild of America West, Inc. and with the

United States Copyright Office.

The TV Writers' Vault is a website that provides a forum for
television industry producers, development executives, agents, and network
executives to scout for new television concepts and scripts to bring to market.

The TV Writers' Vault has strict terms of service to ensure that
13
the writers that submit their concepts are protected from idea theft. To view thei
14
television show concepts that are submitted to The TV Writers' Vault, every person'
I
15

must register with the website and make the following representation:
• "I confirm that I am a current executive at the Company name I
18
have registered, and I have the right to source and scout new
19
material as a representative ofthe Company."

The registration process also requires that every person that will
be given access to submitted shows also represents the follow:

• "I understand that by registering with TVWritersVault.com as
25
an entertainment industry executive, I (the `Company') will be
26
given access to descriptions and certain details pertaining to
27

original
material (all such

material, the
`Confidential

Information') created by third-party entities (the `Writers') and

that all such information will be proprietary and confidential
3
information that belongs solely to the Writer. I agree that I will
4

not disclose, utilize or otherwise exploit any of the Confidential
6
Information in any way."

The TV Writers' Vault verifies the information submitted by
entertainment industry executives prior to permitting them to access submissions.

To submit his idea to The TV Writers' Vault, writers, like Barry,

also must acknowledge both the Terms of Service to which entertainment industry
executives agree, the Confidentiality Agreement, as well as additional Terms o
Service relevant to writers.
The Terms of Service for writers includes the

stated in the `Confidentiality Agreement'."

Barry did agree to the Terms of Service of The TV Writers'
Vault and submit his idea for The Voice of America to The TV Writers' Vault. The

TV Writers' Vault charges a fee to the writers and Barry paid the required fee as

TEG and Does I and II agreed to the Confidentiality Agreement

of The TV Writers' Vault and registered to access submissions.

On March 16, 2009, TEG and Does I and II accessed Barry's
pitch materials on The TV Writers' Vault. Attached hereto as E~ibit C is a print-

out of the synopsis of The Voice of America posted on The TV Writers Vault and a
13
print-out of the Writer's Project Status Report demonstrating that TEG, identified
14
as "The Entertainment Group (Hol)" viewed the pitch materials for The Voice o
15
16

America. The Defendants did not contact Barry about his idea.

In approximately September 2009, TEG went bankrupt in
Netherlands. In October 2009, the Talpa Defendants purchased the rights of
19

through the bankruptcy proceedings in The Netherlands.

In July 2010, Talpa registered the Internet domain names:
voiceofholland.com and voiceofGermany.com.

Also in July 2010, Talpa approached the then owners of the
Internet domain names: thevoiceofireland.com and thevoiceofliolland.com.

In September 2010, Talpa registered the Internet domain names:

Notably, Talpa never approached Barry regarding any of
thevoiceofbritian domain names he registered despite the fact that Talpa distributed

the purported right to create The Voice LJK in 2011 and the United Kingdom is the
second largest media market in the world.

On September 17, 2010, the television show The Voice

8' Holland premiered.

Defendant John de Mol and Roel van Velzen, who was
formerly under contract with TEG and then under contract with Talpa, are credited
with creation of the show. Defendant Talpa Content is credited with development

of the show.

Talpa then distributed purported rights to The Voice show
concept across the globe.

Talpa distributed purported rights to NBC for The Voice o

America, in December 2010. Talpa and NBC originally intended to call the
18
"The Voice of America," the precise name of the show pitched by Barry, but, upon
20
information and belief, due to the pre-existing political organization, The
Voice

America, the show was renamed simply The Voice and premiered in the United
22
States on April 26, 2011. Defendant Talpa Media USA produces The Voice in the
23

United States.

At least 49 countries have produced their own versions of The
Voice franchise with purported rights from Defendants.

However, Defendants do not own the rights to The Voice

The Voice franchise, in all of its iterations, is a singing talent
show where, during the auditions, the judges cannot see the contestants. The

audience can see the contestants and winners are determined by public vote.

While Barry's written materials had the judges behind screens
and The Voice franchise uses spinning chairs with their backs to the auditioners,

that does not constitute a substantive change to Barry's work.

Defendants had direct access to Barry's idea and written pitch
materials through The TV Writers' Vault and used it without compensating Barry,

in violation of the Confidentiality Agreement and Terms of Service of The TV
Writers' Vault.

party to that contract when they acquired the rights to TEG.

In addition in the entertainment industry, television story pitches''
are intended to, among other things, interest studios or producers in purchasing
those ideas and turning them into a series for commercial broadcast.

Defendants voluntarily accepted Barry's ideas knowing full well that Barry had

submitted those ideas in confidence and for economic gain, and with the clear
14
expectation of payment in the event those ideas were utilized by Defendants in a
15
16

production series, or other commercial setting. By accessing Barry's idea through
The TV Writers' Vault and then relaying that information to others, it was clear that
Barry intended, and Defendants were interested in, production of Barry's television
19
20
21
22
show idea, the Voice of America.
48.
Defendants produced, broadcasted, and distributed rights they
did not have to The Voice concept without compensating or crediting Barry,

thereby continuing its breach of contractual obligations owed to Barry.

In the alternative, if the contractual relationship created by the
Terms of Service of The TV Writers' Vault, did not create direct privity between

Barry and Defendants, Barry was an intended third-party beneficiary of the

Confidentiality Agreement between The TV Writers' Vault and Defendants and canl~~

bring this claim for Defendants' breach of the Confidentiality Agreement on that

basis.

Using Barry's series concepts, Defendants have made, and will
continue to make, millions of dollars in profit. As a direct and proximate result o

Defendants' actions, Barry has been damaged in an amount to be determined at
9
trial, and is believed to exceed several million dollars, including but not limited to,
10
the value of Barry's ideas and work, and loss of a share of the profits derived from
11
12

his ideas and work. Barry's losses are ongoing. Barry has also been deprived his
rightful credits for creating this show.

The Talpa Defendants and de Mol, therefore, intended to cause,

and in fact caused, TEG and Does I and II to breach their agreement with Barry by
producing and distributing purported rights to The Voice of America throughout the
world, without compensating or crediting Dillon.

As a direct and proximate result of The Talpa Defendants and de
Mol inducing TEG and Does I and II to breach their contract with Barry and/or The
TV Writers' Vault, Barry has been damaged in an amount to be proved at trial.

This knowing and purposeful disregard for Barry's rights is
oppressive and malicious. The Talpa Defendants and de Mol either had advanced
knowledge of these oppressive and malicious acts and consciously disregarded

them or authorized, ratified, or perpetuated the oppressive and malicious acts

themselves. As a result of such conduct, Dillon is entitled to punitive damages

INSTRUCTIONS ON HOW TO COMPLETE THE COVER SHEET
To Plaintiffs and' Others Filing First Papers. If you are filing a first paper (for example, a complaint) in a civil case, you must
complete and file, along with your first paper, the Civil Case Cover Sheet contained on page 1. This information will be used to compile
statistics about the types and numbers of cases filed. You must complete items 1 through 6 on the sheet. In item 1, you must check
one box for the case type that best describes the case. If the case fits both a general and a more specific type of case listed in item 1,
check the more specific one. If the case has multiple causes of action, check the box that best indicates the primary cause of action.
To assist you in completing the sheet, examples of the cases that belong under each case type in item 1 are provided below. A cover
sheet must be filed only with your initial paper. Failure to file a cover sheet with the first paper filed in a civil case may subject a party,
its counsel, or both to sanctions under rules 2.30 and 3.220 of the California Rules of Court.
To Parties in Rule 3.740 Collections Cases. A "collections case" under rule 3.740 is defined as an action for recovery of money
owed in a sum stated to be certain that is not more than $25,000, exclusive of interest and attorney's fees, arising from a transaction in
which property, services, or money was acquired on credit. A collections case does not include an action seeking the following:(1) tort
damages, (2) punitive damages, (3) recovery of real property, (4) recovery of personal property, or (5) a prejudgment writ of
attachment. The identification of a case as a rule 3.740 collections case on this form means that it will be exempt from the general
time-for-service requirements and case management rules, unless a defendant files a responsive pleading. A rule 3.740 collections
case will be subject to the requirements for service and obtaining a judgment in rule 3.740.
To Parties in Complex Cases. In complex cases only, parties must also use the Civil Case Cover Sheet to designate whether the
case is complex. If a plaintiff believes the case is complex under rule 3.400 of the California Rules of Court, this must be indicated by
completing the appropriate boxes in items 1 and 2. If a plaintiff designates a case as complex, the cover sheet must be served with the
complaint on all parties to the action. A defendant may file and serve no later than the time of its first appearance a joinder in the
