5. EMD of unsuccessful participants will be sent back within three working
days after completion of auction through courier / Registered Post at
bidder’s risk to the address given by them on registration form.
6. EMD shall bear no interest. After getting confirmation from Seller, EMDs of
successful bidders will be sent to Seller to deposit as security deposit.
Security Deposit will be refund after successful completion of lifting and
shall bear no interest.
Updated Quantity, if any, will be Declared before starting of e Auction.
Please check for updates regularly on website.
Excise, Sales Tax, TCS or any other taxes as applicable under the relevant Act will be
charged extra at the rate prevailing at the time of delivery and the rate offered shall
be exclusive of all taxes.
Will be displayed at the time of auction.
Qty indicated is approx and may vary and all the lots are to be sold on ground
clearance basis.
 Buyers who are not in position to submit C form in advance have to deposit
difference of sales tax (full tax - concessional tax charged) for entire lot along
with first installment of payment and same will be refunded on submission of C
form.

 Buyers should submit form C for purchase of a period ending Quarter has to
submit their form C before completion of Subsequent quarter (i.e. Three months
from the last date of quarter ending). If fails, we will issue Debit Note for non
issue of form C along with interest @ 15% as per State VAT Regulation Act and
the same amount will be deposited with VAT Dept. which will not be refundable.
Period of Quarter: (April-June), (Jul-Sep.), (Oct- Dec.) and ( Jan- Mar.).

Result Declaration
ON RECEIPT OF CONFIRMATION OF SALE, PURCHASER SHALL MAKE BALANCE
PAYMENT IN ADVANCE WITHIN SCHEDULE TIME WITHOUT WAITING FOR ANY
SALE ORDER OR DELIVERY ORDER.
Lots will be sold on “Subject to Confirmation” basis; the purchaser will be intimated
by email by (E auctioner) the confirmation or rejection of lot, as the case may be.
Result of “Subject to Confirmation will be declared within 7 working day from the
date of auction.
Delivery schedule will be displayed on website for respective lot/material during
Auction. Strict time bound delivery clause shall be adhered and no extension shall
be given afterwards, in case of failure, we reserve the right to forfeit the security
deposit and disposed off the said Material as deemed fit without any compensation
to you.

Loading and transportation will be arranged by buyer along with his
equipments.
1. In case of failure of the purchaser to comply with the conditions EMD
condition as above), the Seller may at its discretion, terminate the contract
and the EMD paid by the purchaser will stand forfeited for the breach of
contract by the purchaser. The lot in question will be re-sold by the Seller,
without any reference to the purchaser, to any other buyer at the risk of the
defaulting purchaser. The lots paid for must be completely removed at the
purchaser's expense within the schedule period specified. If any lot is not
removed within this specified period, the Seller may re-sell / re-auction the
said lot or portion thereof at the purchaser's risk and expense.
2. EMD Deposit will stand forfeited in the event of the purchaser not removing
the lots within the specified time.
3. In case of Failure to lift the sold lot, Salasar Core Solutions Pvt ltd and Super –
Max Personal Care Pvt Ltd 3at its sole discretion may debar the buyer for all
future auctions of all other companies. INA BEARINGS INDIA PVT. LTD.’s
Decision will be final in this regard.
INSTRUCTIONS TO THE e-AUCTION PARTICIPANTS
1. Bidders are requested to fill up the Registration Form Completely and attach the same with EMD,
without which EMD will be returned back/ not considered.
2. All those who have registered online and wish to participate in the auction, should send their
Earnest Money Deposit (EMD) by RTGS/DD favoring INA Bearings India Pvt. Ltd. payable
payable at Pune, along with details in the Registration Form and Profile Form attached herewith
through courier or personally and obtain necessary receipt for the same. Please do not mention
your Password in your letter. EMD must reach the Auctioneers as mentioned in cover page.
3. Forms received thereafter or on the day of eAuction for becoming Registered Participants
will be rejected out rightly and such bidders will not be allowed to participate at the LiveAuction and their DD will be returned to them through Courier at his/their risks. Hence, in
your own interest, you are requested to complete all the formalities to become Registered
Participant in advance and well in time.
4. Please Note the DD against EMD must be received by INABIPL/US in advance along with
Registration Form and Profile Form attached herewith on or before date and time
mentioned above. The Auctioneers / Seller are not liable for the delay or late receipt of DD
whether sent through Courier or Post.
5. Please do not reveal / pass your User ID and Password to any other person/s. It is your personal
property and we will not be responsible for any leakage or misuse or illegal use of your User ID
and Password. Nevertheless, you will be held personally liable to the Seller and the Auctioneers
for any misuse or illegal use of your User ID and password by other person/s and any successful

transaction online by such unauthorized person due to your negligence will be considered as your
own transaction and you will be required to fulfill the contract as per terms and conditions of the
sale.
INA BEARINGS INDIA PVT. LTD.reserves the right to modify and amend the terms &
conditions and announce the same at any time before the auction concludes. Announcements
during the auction on the website including announcement of any additional conditions OR
correction in the catalogue and/or additions or deletions of items being offered for sale are being
done with the consent and knowledge of the seller, and it is binding on the bidder.
Participation and bidding in this Auction shall be treated as conclusive evidence of the fact that
the bidder has inspected the Auction Property and the documents pertaining to it and is satisfied
in all respects regarding quantity, quality, condition of the Auction property, taxes and duties, and
other extraneous factors and the Principle of Caveat Emptor (let the buyer beware) will apply. It
shall also imply that the bidder has carefully gone through and understood the terms and
conditions of Auction including the amendments if any, prevailing at the time of Auction.
Seller/SCSPL will not entertain any complaints or objections once Bid is placed.
Seller./SCSPL does not give warranty or guarantee of the quality, quantity, measurement,
condition Chemical composition of each individual item/s or lot/s that form the auction property
and about its “End Use” or fitness for a particular purpose. Sale is on “ AS IS WHERE IS
BASIS “ and “ NO COMPLAINT BASIS “.
The highest bidder does not get any right to demand acceptance of his offer.SELLER reserves the
right to accept/ reject/ cancel any bid, withdraw any portion of the Auction Property at any stage
from Auction even after acceptance of bid/ issue of delivery order or release order/ deposit of full
value by successful bidder without assigning any reason there of. In the event of such rejection/
cancellation/ withdrawal, SELLER, shall refund the value of Auction Property, if paid for, to the
successful bidder. SELLER shall not be responsible for any damages/loss whatsoever to the
successful bidder on account of such withdrawal.
In the event of failure on the part of the successful bidder to fulfill his contractual obligations,
seller / SCSPL reserves the right to debar such bidder from participating in any future auction
conducted by SCSPL on behalf of seller.
The prospective bidder has to register with the SCSPL.
On payment of EMD, and on satisfying the pre-qualification norms as may be fixed from time to
time by INA BEARINGS INDIA PVT. LTD., SCSPL will activate the User – Identity to enter
into Website www.salasarauction.com
Bidders SHOULD NOT disclose their PASSWORD to anyone and safeguard its secrecy. Bidders
are advised to change the Password.
Time Extension: If any market-leading bid (bid higher than the highest at the point in time) is
received within the last 5 minutes (“Time Extension” as mentioned in the Bidding Room will be
in force & 5 Minutes is an example) of closing time, the time will be extended automatically by 5
minutes but such extensions are subject to maximum of 30 minutes from scheduled time.
Training: SCSPL will provide training (online) if required by the bidders at a mutually
convenient date and time before the Auction.
Bids: All bids placed are legally valid bids and are to be considered as bids from the bidder
himself. Once the bid is placed, the Bidders cannot reduce or withdraw the bid for whatever
reason. If done so, the seller will forfeit the EMD. The highest and the latest bid on the Auction
shall supersede all the previous bids of the bidder. Bidders may please note that in the event of a
manual bid amount matching that of an auto bid, the manual bid will prevail and be considered.
The bidder with the highest offer/ bid does not get any right to demand acceptance of his Bid.
17. Auto Bid: a. Auto Bid facility is provided for bidders intending to place a maximum value for a lot/lots.
b.
Auto bid is not a confirmed bid. It is only the maximum ceiling amount set by the bidder to
enable the auction engine to place bids on his behalf, whenever he is outbidded, upto the
ceiling set by him.
c.
Once auto bid is set, the e- auction site will consider the ceiling amount for the next possible
Bid only, depending on the highest bid prevailing at that point of time and the increment
amount prescribed for that particular lot.
d.
Bidders may please note that in the event of a manual bid amount matching that of auto bid,
the manual bid will prevail and be considered

18. INA BEARINGS INDIA PVT. LTD./ SCSPL is outsourcing server space from a third party
hosting company and hence shall ensure the smooth running in all good faith and intention.
However INA BEARINGS INDIA PVT. LTD./ SCSPL will not be held responsible for any
failure of power, Network, server, hosting server, Internet connectivity, ISP or otherwise at
Bidder's end or at SCSPL directly or indirectly affecting online method of Bidding. In case of
prolonged and repeated technical failures of Online bidding process SCSPL will inform
immediately to all Bidders and INA BEARINGS INDIA PVT. LTD.on website and through mail
for rejection /Re-auction of same lot/Material.
GENERAL CONDITIONS OF SALE
‘Seller’ means INA BEARINGS INDIA PVT. LTD.
“Auctioneer” means “Salasar Core Solution Pvt. Ltd. “
The Company reserves the right to accept or reject the highest offer and all or any offer without
disclosing any reason thereof.
BALANCE PAYMENT & DELIVERY: As details above and as follows:

a.
Materials must be removed (after making balance payment with Sales Tax, Excise Duty and TCS, if
any) on or before due date, failing which penalty for delay in collection / balance payment ( As given
below ) of the terms and conditions of the sale will be applicable.
b.
In the event of the failure of the purchaser to pay the Balance sale value of Lot mentioned in clause for
Balance payment & delivery (Asabove), the contract will automatically stand terminated and the
Earnest Money Deposit will stand forfeited for the breach of contract by the purchaser. The lot in
question shall be resold by the Company without any further reference to the Purchaser.
c.
Balance to be paid within prescribed time by RTGS/DD to the respective Unit directly.
Description of Materials and Quality and Quantity:
a.
The materials shall be disposed off in “AS-IS-WHERE-IS & NO COMPLAINT” AND “WET, DRY
OR RUSTY” conditions. Only material mentioned in the catalogue/bid sheet shall be delivered.
Inside & outside attachment shall be removed from the nearest point, unless otherwise
mentioned.
b.
Numbers, quantities or tonnage or nature of materials given in the catalogue are approximate and the
materials will be sold without any regard or consideration of these numbers/ tonnage or nature of
materials and no Warranty or guarantee shall be implied. The quantity of material may vary
considerably, that is, it may be much more than the approximate quantity indicated in the catalogue or
much less. The Purchaser must lift the entire quantity within prescribed time.
c.
Description given in our enclosed list is in brief. Offers by the bidders will be deemed to have been
made on the clear understanding that intending bidder / bidders have satisfied themselves fully in
regards to the nature, condition, quality of goods upon in inspection or otherwise. No error, omission
or mis-statement or mis-description whatsoever and howsoever made or published whether in
advertisement or list or otherwise and no defects or faults in the goods shall invalidate the contract or
be subject matter of any claim on the part of the bidder whether in compensation or otherwise
howsoever nor will any such claim be entertained by the sellers.
d.
The quantity indicated in our list of scrap items is only an estimate for calculating the amount of
deposits required to be paid by the bidder, and has nothing to do with quantity of material that may be
available . However, since the paramount interest of the Seller is to get the area cleared of the all
accumulated material, the purchaser will have to remove the entire quantity whether these are far
beyond the limit of approximation indicated or much less than the approximation indicated.
Removal of Materials:
a.
It will be successful purchaser’s responsibility to weight the empty truck at the Seller weigh
bridge and produce the necessary weight certificate so that the weight of the empty truck will be
deducted from the weight of the fully loaded truck.
b.
All the consignments must be weighed/measured even if they are sold on lot basis for Seller’s record.
c.
Should the original purchaser wish to take delivery of the scrap material through a representative, he
must authorize the latter by a letter of authority or continuing authority which shall be presented to the
officer concerned. Maybe the officer concerned in his entire discretion decline to act on any such
authority and it ought to be for the purchaser to satisfy the officer concerned that the authority is
genuine. Delivery to such person shall be sole responsibility of the purchaser & no claim shall lie
against the Seller on any account whatsoever, if delivery is offered to a wrong person.
d.
The Seller reserves the right to unload the vehicles for inspection purpose. If it is suspected at any time
that the purchaser has loaded the material / materials for which he is not purchaser or if the purchaser

is found to carry excess material than that mentioned in the documents, the Co. will be within its right
to detain the truck, unload the goods at the cost & expenses of the purchaser & terminate the contract
forthwith and forfeit the sale value & claim such further losses and damages that may be caused to the
Seller.

It shall be the responsibility of the purchaser to see that he or his servants or agents collect and load
only that quality and kind of scrap that is covered by the contract and in the event of his servants or
agents finding any other quality of or kind or scrap mixed with the scrap allotted to him he should
forthwith bring it to the notice of the yard master and lift scrap only after segregation.
f.
Oxy-cutting / cutting may be considered on specific request depending upon the merit of the case, at
the sole discretion of the Seller. Necessary cutting tools/equipment/consummables should be arranged
by the purchaser at his own cost. However, INA BEARINGS INDIA PVT. LTD.shall allow cutting
with proper security vigilance on case to case basis. None of the material/lot partially or fully be
allowed for burning/burial under the ground within the INA BEARINGS INDIA PVT. LTD.Premises.
If buyer is found doing so will be considered as breach of contract and his EMD will be forfeited with
closure of contract.
g.
During the course of the removal of the scrap material if any damage is caused to the Seller's premises,
installations or instruments, the buyer will be entirely held responsible to make good such losses. Till
such period, the damage is repaired or compensated to the Seller, no delivery of any lot/s purchased by
the said bidder will be allowed.
h.
Lots sold on Accumulated / Arranged basis at the tender must be removed by the purchaser on or
before scheduled period as mentioned hereinabove or in Auctioner website.
i.
Loading / Unloading will be carried out by the purchaser at his own costs & risk. All tools and tackles,
Labour, Fork lifts, Crane etc. will be arranged by the purchasers at their own cost. Non availability of
the same will not be considered as a ground for 'Late-Lifting' of the materials. Ground rent for delay
would be charged @ 1% per week of the total sale value and will be recovered from EMD.
Decision in case of disputes :
a.
In case of any dispute regarding the contract, the decision of the Seller shall be final and binding. If
there is any dispute as to the last or highest bid or dispute in identifying the item belonging to
particular lot, the dispute shall be determined by the Seller and their decision shall be final and binding
to all.
b.
Only the appropriate Court in Chennai HighCourt will have Jurisdiction to deal with any disputes
arising out of this contract. Dispute settlement related to the process of Auction would have to be done
with SCSPL.
c.
In case of any dispute arising out of or relating to the terms of this contract the matter shall be referred
to one Arbitrator appointed by Seller. The arbitrator so appointed shall act in accordance with the
provision of Arbitration & Conciliation Act, 1996 and the venue of arbitration shall be Seller’s Office
or as suggested by the Seller.
Right of Acceptance / Rejection of offer :
a.
The Seller reserves the right to withdraw wholly or partially any or all the items set for sale at any time
during the period of contract without assigning any reasons.
b.
The Auctioneer / Seller also reserve the right to accept any bid on "Subject To Confirmation” & the
Seller’s final decision will be informed to the purchaser within one calendar day.
c.
The goods are sold subject to the reserve price fixed by the Seller. The Seller is not bound to accept
the highest offer. The Seller reserves the right to reject any CONDITIONAL offers.
Termination of Contract:The Seller reserves the right to terminate the contract at any time by giving three
days notice on the following ground.
a.
Unsatisfactory execution or performance of the contract by the purchaser.
b.
For improper behavior of the purchaser or breach of the terms and conditions of the contract.
c.
Decision of the Seller to terminate the contract shall be final and binding and no claim for damages
and compensation shall lie. Provided always that in the event of the purchaser or his agent or servant
committing or attempting to commit theft, fraud, dishonesty or gross misbehavior in connection with
the subject matter of this contract or in any other -connection whatsoever concerning the business of
the Seller, the Seller will be entitled to terminate the contract - forthwith and forfeit the Security
Deposit at its sole discretion.
Passing of Property In the goods: It is expressly made clear that the property in the goods whether sold by
units, weights or lots, whether arranged or otherwise, will remain that of the Seller and will pass on to the
purchaser only when material is taken out by the Purchaser from the factory Premises after getting valid
dispatch documents.

9.
Other Terms and Conditions :
a.
Excise, Sales Tax, TCS or any other taxes as applicable under the relevant Act will be charged extra at
the rate prevailing at the time of delivery and the rate offered shall be exclusive of all taxes. The rates
mentioned in the catalogue are only indicative for the guidance of the bidders.
b.
Buyers for which CST is applicable will have to submit "C" Form at the time of lifting of material,
otherwise full sales tax will be applicable.
c.
Buyers shall be fully responsible for safety of his workers & equipment and materials/ equipment of
INA BEARINGS INDIA PVT. LTD.under his custody and shall abide by safety rules prescribed by
the Govt.
d.
Buyers has to strictly follow Safety/Security/Traffic and statutory rules and be governed by the rules
& regulations under the factories act, WCP act & other statutory clauses.
e.
The Buyers shall provide all safety gadgets/ equipment to his workers before putting them on job and
shall also ensure that his workmen make use of the safety items while at work.
f.
Charges towards any damage of the INA BEARINGS INDIA PVT. LTD.equipment / material caused
due to mis-handling by contractor’s workers shall be deducted from Buyers’s bill after assessment by
INA BEARINGS INDIA PVT. LTD.Scrap committee. The assessments of INA BEARINGS INDIA
PVT. LTD.Scrap committee shall be final & binding on the Contractor.
g.
RULES AND REGULATIONS: The Buyers shall follow all the rules and regulations under contract
Labour Act, Factories Act, Industrial Dispute Act, Payment of Bonus Act, PF Act, ESI Act, Gratuity
Act, Maternity act, All India Motor Vehicle Act 1988, Rajasthan Motor Vehicle Rules 1951, as
amended up to date and other laws in force during the currency of Contract.
h.
All buyers should report for lifting the material with labor's insurance and / or ESI, safety shoes,
Helmets & other PPE like hand gloves etc as per requirements
i.
For Batteries, LSHS/FO Oil Sludge, TORCH CELL/PENCIL CELL, USED HSD/ OLD HT OIL
/Used oil etc MOEF certificate is required.
j.
All trucks, handcarts, carrying such materials outside INA BEARINGS INDIA PVT. LTD.premises
are subject to inspection by INA BEARINGS INDIA PVT. LTD.Security Department at the gate. If
required, the buyer will have to unload the vehicle if Security Officer demands for a surprise check.
k.
Any person employed or engaged by the buyer for the purpose of the execution of the contract shall be
required to observe the rules and regulations that are prevailing in our Company. The movement of his
persons shall be restricted only to the place of work assigned to them. Each person engaged by the
buyer shall be required to obtain a Pass from our Security Department for entering and leaving our
Factory premises. All the labour engaged by the buyer shall be subjected to inspection by our Security
Dept.
l.
All notices, letters sent to the purchaser shall be deemed to have been received by him/them on expiry
of 48 hours from the time of posting if the same are sent at the address given by the purchaser.
m. If any person/s bid at the auction on behalf of the undisclosed principal, he / they shall immediately
after the bid at the time of payment of EMD/EMD, disclose the name of his / their principal who is the
actual purchaser and the receipt for the Earnest money and/or earnest money would be issued in the
name of the principal.
n.
Resale will not be recognized and release order will be made out in the name of actual successful
purchasers only.
o.
The purchaser shall not be entitled to resell any lot or part of a lot while the goods are still lying within
the premises of the Company and no delivery would be affected by the Company to any person other
than the purchaser whose names are mentioned in the delivery order.
p.
All purchasers of the lots before collecting purchased materials from inside the works should contact
the Company's authorized officer to get them fully acquainted with safety rules and regulations.
Purchasers will be allowed to start collecting materials only when they have confirmed in writing that
they are agreeable to follow the various safety rules and plant regulations.
q.
The Company will in no way be responsible for any accident, damage or injury to the contractor's
workmen or equipment while on factory premises.
r.
If the successful purchaser at any stage either neglects or refuses or is unable to take delivery of the
materials for any reasons whatsoever or the performance of the purchaser is unsatisfactory, the
Company will have the right to terminate the contract, enforce forfeiture of purchaser's
EMD/EMD/security deposit and claim such further losses and damages that may be caused to the
Company to determine and declare at its sole discretion.

s.
In the event of the purchaser failing to remove the materials and to pay price thereof, the Co. shall be
free to sell the goods to any person or persons and to recover from the original purchaser the amount
by which materials actually sold, falls short of the price agreed by the original purchaser. This does not
in any way effect the right of the Company to forfeit EMD as provided herein.
t.
The successful purchaser is also required to sign an agreement to complete the sale according to the
conditions hereof and subscribe his signature to the Bid-sheet against the lot or lots knocked down to
him. In the event of the purchaser failing to sign the agreement or Bid-sheet the goods may, if the
Auctioneers / Company think fit, be put up for sale again immediately and resold on account and at the
risk of the defaulting purchaser who shall be responsible for the deficit, if any, in the price and such
deficit shall be debt due from the defaulting purchaser, but he shall not be entitled to any increase
arising from such resale.
u.
Special Conditions of sale or Additional Conditions of sale, if any, will be announced at the time of
auction.
v.
Force Majure: Seller shall not be liable for any failure or delay in performance on our part due to any
cause beyond our control including fires, floods, and strikes, go slow lockouts, closure, dislocation of
normal working condition, war riots epidemics, civil commotion, break down of machineries and
shortage of labours etc.

by me/us is liable to be cancelled and in such case the EMD/ Earnest Money Deposit paid by me/us is liable to be forfeited
by the seller and the seller will be at liberty to annul the offer made to me/us at any point of time.
I/We also agree that after my/our offer/bid placed by me/us for purchase of the material is accepted by the seller and I/we
fail to accept or act upon the terms & conditions of the offer letter or am /are not able to complete the transaction within the
time limit specified in the offer letter for any reason whatsoever and/or fail to fulfill any/all the terms & conditions of the
auction catalog and offer letter, the EMD / Earnest Money Deposit and any other monies paid by me/us along with the
tender and thereafter, are liable to be forfeited by the seller and that the seller has also a right to proceed against me/us for
specific performance of the contract, if so desired by the seller.
The decisions taken by representatives of seller shall be binding on me.
I/We also undertake to abide by the additional conditions if announced during the auction including the announcement of
correction in catalogue and/or additions or deletions of items being offered for sale.
I note with due care that the SCSPL shall be making the announcements of correction with the consent and knowledge of
the seller and SCSPL shall not be liable for these last minute change.
