to the elements of the new world order.
YouTube “pilots,” smaller budgets, shorter
production orders, and digital platforms are
just some of the changes that require creativity
in deal making. The marketplace of talent and

buyers operate in smaller screens yet chase
traditional distribution upsides. This discussion

KEVIN TSUJIHARA
Chief Executive Officer
Warner Bros. Entertainment
Nineteen-year studio veteran Kevin Tsujihara became Chief Executive Officer
of Warner Bros. in March 2013. In this role, he oversees worldwide operations,
including film, television and video game production, marketing and distribution for
one of the most innovative and successful entertainment companies in the world.
Warner Bros., a Time Warner Company, is a global leader in every type of
entertainment and their related businesses across all current and emerging media
and platforms. The studio stands at the forefront of every aspect of the Industry
from feature film, television and home entertainment production and worldwide
distribution to DVD, Blu-ray, digital distribution, animation, comic books, product
and brand licensing, and broadcasting.
Prior to serving as CEO, Mr. Tsujihara was President of Warner Bros. Home
Entertainment (WBHE), which includes the studio’s home video, digital distribution,
video games, anti-piracy, and emerging technology operations, a post he had held
since WBHE’s founding in October 2005.
Under Mr. Tsujihara’s leadership, WBHE dominated the home entertainment sector
and ranked as the market share leader in packaged media and digital distribution in
the U.S. and abroad. In addition to being the first studio to implement a successful
windowing strategy for the subscription and kiosk rental market, WBHE, under
Mr. Tsujihara’s leadership, aggressively moved into the digital space, pioneering
both domestic and international day-and-date VOD. He also shepherded the
studio’s acquisition of Flixster and aligned its efforts with major Hollywood studios
and leading technology companies to become the first studio to launch UltraViolet.
During his tenure at WBHE, Mr. Tsujihara also guided significant deals in the games
space, including the acquisitions of Turbine, TT Games, Snowblind Studios, the
assets of Midway Games, and Rocksteady Studios.
Mr. Tsujihara is a member of the Stanford GSB Advisory Council and serves on the
Board of Directors for several organizations, including the MPAA and City Year L.A.,
an education-focused nonprofit.
Mr. Tsujihara received his bachelor’s degree in business administration from the
University of Southern California and his MBA from Stanford University.

A Primer for Representing Producers
Newbie producers can suck up valuable time
which often becomes pro bono. This panel and its
syllabus materials will help make advising these
clients efficient and simple. Everyone has to start
somewhere and this panel will discuss structuring producer entities, LLC operating agreements,
talent/property attachment and shopping deals,
as well as simple financing structures from the
360-degree viewpoint of the producer, the agent,
and the lawyer.
Motion Picture and Television Profit
Participations: Post-Audit Options from
Settlement to Litigation
Hear a panel consisting of a participation
auditor, the head of a studio participations
department, a studio legal affairs executive, and
an entertainment attorney discuss current audit
issues and how audits are being resolved. The
panel will cover the differences between studios
and their contract provisions, the impact of
vertical integration on participations, how new
media is being reported, available settlement
options, and trends in arbitration and litigation.

The State of California is one of the most diverse
states in the nation. Business entities and clients

Studios have become much more reliant on the
success of franchise motion pictures such as
Spiderman, James Bond, Iron Man, and Star
Wars – franchises that have generated billions

REGISTRATION
The registration fees are outlined on the inside back cover of this brochure. Your fee
includes all sessions, the luncheon with Kevin Tsujihara, all refreshment breaks, parking,
and a copy of the Institute Syllabus in either a CD-ROM, electronic download or print format.
A processing fee will be added to your registration fee. Early registration is encouraged as
space is limited, and the Institute typically sells out.
REFUNDS
All refund requests will be processed following the Institute. Refund requests must be
in writing and postmarked, emailed or faxed, no later than September 20, 2013, to USC
Gould Continuing Legal Education, Entertainment Institute Refund, 1149 South Hill Street,
Suite 340, Los Angeles, California 90015, [email protected], or (213) 821-3575. Refund
requests must be accompanied by the registrant’s Social Security Number (or Federal Tax
