Bruce R. Wisan, in his capacity as the Court Appointed Special Fiduciary (“Fiduciary”)
of the United Effort Plan Trust (“Trust” or “UEP”), by and through counsel, supplements the
Memorandum in Support of Motion to Approve Sale of Berry Knoll dated February 28, 2014
(“Memorandum”), as follows:
1.
Attached hereto as Exhibit A is the final form of the Purchase and Sale
Agreement, which is the “Agreement” discussed in ¶ 15 of the Memorandum.
2.
Paragraph 3 of the LOI and paragraph 18 of the Memorandum are deleted because
the Right of First Refusal is no longer part of the Agreement.1
3.
The heading in the Memorandum just prior to paragraph 4 at the bottom of page 2
which mistakenly states “Description of Block 45” is amended to accurately state “Description
of Berry Knoll.”
