The purpose of this Policy is to encourage such research within the graduate student community by: (a) acknowledging the partnership between student and University in the creation of IP during, and directly related to, the course of the student’s studies; (b) protecting the respective interests, including legal rights, of both parties; and (c) providing a mechanism for the appropriate sharing, in a mutually beneficial manner, of the financial benefits obtained from the commercial exploitation of the resultant IP. 2.0 DEFINITIONS IP - Intellectual Property “Intellectual property” - Any Intellectual Property protected under Malaysian law including Patent, Trade Mark, Copyright, Geographical Industrial Guide and Design, Integrated Circuit Design. “Student” - means a person who has been enrolled for a graduate study program at the University 37 “Thesis” - refers to the academic writings submitted in fulfillment of the requirements for the award of the doctoral degree or the masters by research degree. The word “thesis” is also used in general to refer to the master’s project report and research dissertations, which are the documents, submitted in partial fulfillment of the requirements for the award of the degree of masters by coursework or mixed-mode, as well as the undergraduate project reports. It also includes output from thesis such as ideas, algorithm and pseudocodes, figures/diagrams, product, design, source code, function and formula. University 3.0 Universiti Tun Hussein Onn Malaysia POLICY CONTENT 3.1 Intent The University acknowledges that the issues in regard to the IP of graduate students created during, and directly related to, the course of their supervised research studies are different to those of staff who create IP during the course of their employment at the University. For this reason, it is essential for the student and the University, in partnership, to develop Intellectual Property Rights of Graduate Policy including University and student ownership of the IP that is tailored to the particular circumstances of the IP that the student has created or anticipates creating. 38 The intent of this Policy is not for the University to automatically assume that it owns all the IP created by its graduate students. The University’s view is that, as such IP is produced with the assistance of the University through its staff and other resources; the University has a part-ownership of the IP. If it wishes to exercise a claim on ownership of the IP, the University will enter into an agreement with the respective student, in accordance with this Policy, to share the financial benefits that may arise. Should the University waive ownership, the student is free to make his or her own arrangements regarding the IP. Students who are also staff and whose staff roles do not include a research component will be considered as students and this Policy will apply provided that the IP which has been created has arisen as part of their graduate studies. The UTHM IP Policy 2011 will apply to those students who are also members of the academic staff and whose staff roles include a bona fide research component. When using the IP created by a graduate student, the supervisor concerned has an obligation to declare both the supervisor’s and the student’s respective roles in creating the IP. A supervisor may not commercially exploit the IP created with a student without the express written agreement of both the student and the University. 3.2 Copyright in Thesis 3.2.1 Copyright in thesis and dissertation is owned by the University with all postgraduate students automatically being assigned a non-exclusive royalty-free license. 39 3.2.2 UTHM will have the right to digitize and make public thesis and dissertations and place these in the UTHM Institutional Repository. This will be controlled by the University in accordance with its normal academic practice taking into account the Institutional Repository Policy. 3.2.3 However, where a sponsor, funding body or consulting parties requires IP to be transferred or assigned to it, the copyright shall be dealt with in accordance with those requirements. 3.3 IP Created by Student 3.3.1 UTHM is the owner of the IP created by Students in the course of their thesis or dissertation, except in any of the following circumstances where the Student reserves the right to claim some or all rights of ownership where the University (acting through the Deputy Vice-Chancellor of Research and Innovation or their delegate) expressly waives its right in writing: 3.3.1.1 The inventive step has not been assisted by a Staff; 3.3.1.2 The IP does not rely on prior IP owned by the University; 3.3.1.3 The IP is not part of a set of IP generated by a team of which the Student is a member and the University considers that it would be in the best overall interests of the team and the University for the IP to be managed by the University; 3.3.1.4 The generation of the IP has not involved use of University Resources and/or services beyond that which is needed to pursue the Student’s agreed topic of research. 3.3.2 Before being given permission to work on a specific research project, a Student may be required to enter into an IP 40 agreement with the University and/or Third Parties, which may include assigning some or all of his/her IP rights to the University and/or to Third Parties. In such cases, the Student shall be given an explanation of the need for such assignment and an opportunity to seek independent legal advice. 3.3.3 Where the University owns intellectual property created by a student, the University will ensure that such ownership does not interfere with the assessment of the student’s academic performance or the grant of an award. The University will not normally consider assisting a student to patent an invention or otherwise commercialize intellectual property originated by the student unless the student is prepared to assign the patent rights or other intellectual property rights to the University in accordance with this policy. 3.3.4 A Student who is also a Staff of the University will be regarded as a Staff with respect to IP arising in the course of that employment. 3.3.5 Students shall not do any of the following in relation to the University’s IP: 3.3.5.1 Apply for a patent or other registrable property right without the permission of the University; 3.3.5.2 Enter into any contracts, discussions or negotiations prejudicial to the University’s IP with Third Parties without the permission of the University; or 3.3.5.3 Knowingly act in any way that is prejudicial to the University’s IP rights. 41 3.3.6 When a Member of the University knowingly creates IP that is owned by the University and which is potentially commercialisable, he or she must disclose the IP to the University (through the Deputy Vice-Chancellor or their approved delegate, the latter appointed in accordance with protocol distributed by the Deputy Vice-Chancellor from time to time) on a timely basis and prior to any external disclosure. 3.3.7 If requested by the University, Inventor/s shall supply all details needed to evaluate and protect the IP. 3.3.8 Students who participate in a research contract with Third Parties will ensure that they are familiar with, and abide by, the terms of that contract. 3.4 Publication 3.4.1 In order to safeguard any IP created within the University, it is important that students are cautious in publishing the results of research activity with the potential commercial applicability. It would be in the best interests of the student and the University to not publish until the supervisor has made a final assessment on commercial applicability and protection of the IP. This decision shall be made expeditiously, so that publication of the student’s work is not unreasonably delayed. 42 3.5 Distributions of Income from IP 3.5.1 Any royalties or other remuneration received by the university as a consequences of licensing, selling, or otherwise dealing with IP which the University claims part-ownership of pursuant to this Policy, shall be distributed in a manner consistent with UTHM IP Policy (refer clause 11). 3.6 Cessation of Study 3.6.1 When a student who is entitled to payments pursuant to clause 3.5 above leaves the university upon completion of their studies, or dies while studying at the University, the payments will continue either to the student in the case of the former or to his or her estate in the case of the latter. 3.6.2 When a student leaves the university prior to completion of their studies, he/she has the right to pursue their work in progress in other institutions or agencies however it subject to written permission from the supervisor and consent from Graduate Studies Committee. 3.7 Redress 3.7.1 Any complaints related to the application of this Policy, including the apportionment of income from the IP, should be made in writing to the Dean of Centre for Graduate Studies UTHM. 3.8 External Research Contract 43 3.8.1 The university may enter into contracts to provide research resources to external clients, including those in the commercial sector. Ownership of IP generated by such research and distribution of income from that IP will be governed by the terms of the contracts and clause 3.3, 3.5, and 3.6 above will not apply. 3.8.2 Students engaged in such contract must: 3.8.2.1 be fully informed in writing of the IP provisions that have been arranged; 3.8.2.2 give their consent in writing to these arrangements prior to beginning their research; and 3.8.2.3 comply with all contract terms and conditions, including any confidentiality requirements and publication constraints. 3.8.2.4 submit a copy of the contract to the Centre for Graduate Studies. 4.0 RELATED PROCEDURES, FORMS AND POLICIES 4.1 UTHM IP Policy 2011 4.2 Thesis Writing Guide 4.3 Guide For Implementation of Thesis and Oral Examination For Postgraduate Programme By Research 4.4 Non-Disclosure Agreement 4.5 UTHM Student’s Deed of Assignment 4.6 Status Confirmation for Undergraduate Project Report/Master Project Report/Dissertation Report/Thesis. 4.7 Invention Disclosure Form 4.8 Regulation for Graduate Studies Dated the ……………………………..[Date and year] 44 BETWEEN STUDENT [Name: …………………………………………………] AND SUPERVISOR, [Name: …………………………………………………] NON – DISCLOSURE AGREEMENT FOR (Project Title or Research Field) * Notes: Project Title / Research Field as approved by the Centre for Graduate Studies from time to time NON – DISCLOSURE AGREEMENT 45 THIS NON-DISCLOSURE AGREEMENT is made …………….....[Date and Year] I ……………………………………………………………………………………………… I/C No./Passport No. …………………………………Student No:……………………..
