CONTRACT
1.
This Contract ( hereinafter called the Contract) is made on the 10Th day of
November
2011

(Hereinafter called “the
Employer”) of the one party, and CHINA HARBOUR ENGINEERING COMPANY LTD.
of No.9 Chunxiu Road, Dongzhimenwai, Beijing, P.R. China. (Hereinafter called “the
Contractor”) of the other party;
Whereas the Employer is desirous that certain works, hereinafter called the "Works" in
the country of Guyana should be executed by the Contractor in accordance with
specifications and drawings:

and has accepted a Proposal from the Contractor for the execution and completion of
such works and remedying of any defects therein.
The Employer and the Contractor agree as follows: -
1.
In this Contract Agreement words and expressions shall have the same meaning
as are respectively assigned to them in the Conditions of Contract hereinafter
referred to.
2.
The following documents are bound into this Contract and shall be deemed to
form and be read and construed as part of this Contract:

FIDIC 1999 Design Build to be subsequently amended and agreed to

Contract Documents
In consideration of the payments to be made by the Employer to the Contractor
as hereinafter mentioned, the Contractor hereby covenants with the Employer to
execute and complete the Works and remedy any associated defects therein, in
conformity with the provisions of the Contract.
4.
The Employer hereby covenants to pay the Contractor, in consideration of the
execution and completion of the Works and the remedying of associated defects
therein, the Contract Price at the times and in the manner prescribed by the
Contract.
5.
The Contract Price is agreed by the Employer and the Contractor to be
138,000,000.00 USD (One Hundred and Thirty Eight Million US Dollars) for total
excludes all taxes, duties, royalties and fees of all kinds imposed by the Guyana
governmental and statutory authorities. Fixed Exchange rate shall be the same
as the exchange rate in the Loan Agreement Between the Employer and EXIM
Bank of China.
In Witness whereof the parties hereto have caused this Agreement to be

laws.

2. CONDITIONS OF CONTRACT
Part IThe conditions of contract applying to this Contract shall be those issued by the
Federation International Des Ingenieurs-Counsils (F.I.D.I.C.) for “Conditions of Contract
for Plant and Design-Build”(YELLOW BOOK), printed in1999.

PART II- Conditions of Particular Application for “Conditions of Contract for Plant
and Design-Build”, printed 1999.
The Conditions of this Particular Application are amendments and additions to the
General Conditions. Clauses in this part are modifications or amplifications of the
General Conditions and carry the numbers of the Clauses which they amend.
In so far as any of the Part II Conditions may conflict with any of the Part I Conditions,
the Part II Conditions shall prevail.
1
General Provisions
1.1.1
The Contract.
1.1.1.9 Delete “Appendix to Tender”; Substitute: “Appendix to Contract”.
This change applies to all other Sub-Clauses where reference is made to Appendix to
Tender.
1.1.1.11 “Loan Agreement” means the agreement signed between The Export Import Bank of
China and The Guyana Government about lending the relevant funds for the Project.
1.1.2
Parties and Persons

‘’The Contractors Representative shall be ‘Mr Liu Jialin’.

Add the following.
“Senior site resident personnel for design and construction shall be fluent in the English
language, both orally and in writing.”

Sub-clause 1.1.3.2 shall be deleted and the following substituted.

“Commencement Date means twenty one days after the date of receipt of the Advance
Payment.”
1.1.4
1.1.4.1
Money and Payments
Sub-clause 1.1.4.1 shall be deleted and the following substituted.
“Contract Price” means the Price amount specified in the Contract Agreement for the execution
and completion of the Works and the remedying of any associated defects.”
1.3
Communications
Add the following:
“All communication, both written and oral shall be in English.”
1.4
Law and Language
Delete and insert the following.
“(a) The language according to which the Contract is to construed and interpreted shall be
English, which is designated the “Ruling Language”
(b) The English Language shall be used by the Contractor in all correspondence, drawings,
specifications, method statements, descriptive literature and for the preparation of Bills of
Lading, Insurance Policies, Invoices and Inspection Certificates.
1.13
Compliance with Laws
In sub-paragraph (a), first sentence, before the word “Permanent”, Insert words “Temporary
and”.
In sub-paragraph (b): replace all words “Contractor” by words “Employer”; replace word
“Employer” by “Contractor.

2.2
The Employer
Permits, Licences or Approvals
At the end of Sub-Clause 2.2, add the following:

(c) When blasting operation is required for underwater and quarry operation and dangerous
materials are necessary for the construction, the Employer shall assist the Contractor to obtain
all the necessary permits, licences or approvals from relevant authorities. These shall be free of
charge to the Contractor.
(d) The Employer shall assist the Contractor to obtain all licences for all vessels, cars and
vehicles, wireless radio, GPS frequency, mobile phone, internet etc. for all the execution of the
Works.
(e) The Employer shall assist the Contractor to obtain all permits and licences for all the
materials, equipment, tools, machinery, instruments, foods, medicines imported by the
Contractor for all the execution of the Works.
(f) The Employer shall provide the Contractor with all necessary work permits for all their foreign
staffs and workers, subject to Guyanese security clearance.
(g) The Employer shall assist the Contractor to obtain local ID cards for all their foreign staffs
and workers where necessary for the execution of works..
4 The Contractor
4.2
Performance Security
Add at the end of the second paragraph:
“The Performance Security shall be in the form annexed to the Particular Conditions.’’
‘’The Employer shall indemnify and hold the Contractor harmless against and from all damages,
losses and expenses (including legal fees and expenses) resulting from any claim under the
Performance Security to the extent to which the Employer was not entitled to make the claim.”
At the end of Sub-Clause 4.2, insert:
“If the Performance Security is in the form of a bank guarantee, it is acceptable to the Employer
that the bank guarantee can be issued by a bank incorporated in the home country of the
Contractor. The amount of Performance Security shall be ten percent (10%) of the Contract
Price.”

After the end of Sub-Clause 4. 13 add a new paragraph:
“The Employer shall provide assistance with obtaining any permission which may be required
from the relevant authorities for the use of rights-of-way and facilities and shall be free of charge
to the Contractor on property owned by Government.”
4.14
Avoidance of Interference
(b) Delete: "occupation of all roads" and
Replace: "occupation of all waterways, roads"
4.20
Employer’s Equipment and Free-Issue Material
Delete this clause and replace with:
1)
“The Employer will provide the sand and other fill material (sites) to the contractor for
free, and the distance from material source to the project site shall be within 12 km, but
if the distance is more than 12 km, the transportation fee will be increased according to
actually distance. The Employer shall be fully responsible for the quantity, quality and
timely supply of the abovementioned sand and other fill material. Provided the
Employer fails to satisfy this requirement, the Contractor shall be entitled claim
expense and time extension accordingly. The acceptance, inspection, care, custody
and control of the material supplied by the Employer shall not relieve the Employer of
liability for any shortage, defect, or default of the material.
4.21
Progress Reports
Add: "(i)
an update of the current programme submitted under Sub-Clause 8.3."
6 Staff and Labour
6.1
Engagement of Staff and Labour
At the end of Sub-Clause 6.1, insert:

"The Contractor agrees to use local nationals and make sure the proportion of the Chinese
labour and the local nationals will not less than the 6:4 except special technical skilled."
6.4
Labour Laws
Add the following to this Clause:
"The Employer shall provide all assistance reasonably requested by the Contractor for the
purpose of obtaining any necessary work permits. The Employer shall act in good time to obtain
such work permits as are necessary for the timely execution of the Works."
6.5
Working Hours
Delete Sub-Clause 6.5 and substitute:
Normal working hours will be 10 hours per day, 7 days per week. , the Employer shall guarantee
the Contractor have no less than 10 hours available and effective work-time per day, if the
actual work-time of one day is less than 10 hours, the Employer shall remedy the Contract by
the time extension and cost compensation. When and where necessary, the Contractor is
entitled to work overtime up to 24 hours per day and 7 days per week to cope with the actual site
conditions and progress.
6.6 Facilities for Staff and Labour
Delete Sub-Clause 6.6 and substitute:
The Contractor shall provide and maintain all necessary accommodation and welfare facilities
only for Chinese staff and labour.
6.7
Health and Safety
Add Sub-Clause 6.12
Professional and Technical Personnel
Add the following to this Clause
‘’The Employer will permit the Contractor to import professional and technical personnel as if
considers necessary for the work.’’

‘’The Employer will issue work permits for all professional and technical personnel upon the
application request from the Contractor.’’
8 Commencement, Delays and Suspension
8.1
Commencement of Works
Delete first paragraph and substitute:
The Commencement Date of the Works shall be the date on 21 days after the Contractor
receives the Advance Payment. The Contractor shall submit the verification of receiving the
Advance Payment issued by the Bank to the Employer.
8.3
Programme
The first sentence of Sub – Clause 8.3 shall be deleted, and the following substituted:
"The Contractor shall submit a detailed construction schedule/time programme to the Engineer
within 28 (twenty-eight) days after the Commencement Date. The programme is to be submitted
in electronic Microsoft Project format. If the Contractor proposes to use other software, a copy of
the software shall be made available to the Engineer and the Employer for the implementation
of the Woks during the Contract Period.

14.1
Contract Price and Payment
The Contract Price
Delete sub-paragraph (b) and substitute:
(b). All Goods and Equipments imported by the Contractor into Guyana shall be exempt from all
all taxes, duties, royalties and fees imposed by the Guyana governmental and statutory
authorities, The Employer shall endorse the necessary exemption documents prepared by the
Contractor for presentation in order to clear the Goods and Equipments through Customs. If
exemption is not then granted, the customs duties payable and paid shall be reimbursed by the
Employer. The Employer shall seek exemption for the purposes of the sub-clause, if it is not
granted, the relevant taxes paid shall be reimbursed by the Employer.
14.3
Application for Interim Payment Certificates
Delete: "six" and Substitute: "three".

Applications will be based on % of works complete up to the date of the ‘application for payment’
taking into account any material on site and advance payments made to subcontractors.
14.6
Issue of Interim Payment Certificates
The first paragraph of Sub-Clause 14.6 shall be deleted, and the following substituted:
"The Contractor and the Engineer shall confer on or about the last working day of each month in
order to discuss and (if possible) agree the amounts to which the Contractor is entitled.
Thereafter, the Engineer shall, within 14 (fourteen) days after receiving a Statement and
supporting documents, issue to the Employer an Interim Payment Certificate which shall state
the amount which the Engineer fairly determines to be due, with supporting particulars."
14.7
Payment
In Sub-Clause14.7, sub-paragraph (a): - Delete “42 days” and substite”21 days”; Delete “21
days” and substitute “14 days”.
Sub – Clause 14.7 (b) shall be deleted, and the following substituted:
"(b)
the amount certified in each Interim Payment Certificate within 28 (twenty-eight) days of
the Engineer advising the Employer of the amount payable; and"
In Sub-Clauses (c):
Delete the words “within 56 days”, and substitute the words “within 28 days of certification by the
Engineer”. With the stipulation of Advance Payment and Performance Security in the contract,
the contractor’s submission price is based on:
1). Contract Price of this project only includes:
a)
Design for the Contractor’s works which is mentioned from Clause 2) to Clause 10)
followed.
b)
Design for New Car Park, Internal Road Area and Handing Equipment Area whose
construction will be undertaken by Employer and the Contractor shall be responsibility
for the design;
c)
Mark the position of new Cargo Area and Fuel farm in Layout Drawings and have no
responsibility to make the detail design and construction both of which will be
undertaken by the Employer and not included in the project scope.
d)
Land Backfilling work in Runway Extension Area and Airport Terminal Area excluding

the resources fees imposed on the backfilling sand and other borrow material. “The
Employer will provide the sand and other fill material (sites) to the contractor for free,

actually distance. The Employer shall be fully responsible for the quantity, quality and
timely supply of the abovementioned sand and other fill material. Provided the
Employer fails to satisfy this requirement, the Contractor shall be entitled claim
expense and time extension accordingly. The acceptance, inspection, care, custody
and control of the material supplied by the Employer shall not relieve the Employer of
liability for any shortage, defect, or default of the material.
e)
New Airport Terminal Building including Civil Building and relative systems inside of
Civil Building Power which are comprised by Power Supply System, Communication
Engineering System, Water Supply and Fire Control System, Ventilation and Air
Conditioning System.

Existing Ground Foundation Treatment in Runway Extension Area.

2). New Car Park and Internal Road Area Construction; Handing Equipment; Removal of
existing terminal, existing cargo store and containers, New Cargo area, new fuel farm, existing
LLZ removing or renewing; outside access road and any other which are not mentioned in
above clause 1) are not included in the project and the Contract Price, these works will be
undertaken by the Employers. The Employer shall finish the Removal of existing terminal,
existing cargo store and containers on the Contractor’s requirement.
3). If because the Employer could not cooperate with Contractor to finish the Auxiliary work
as well as the Contractor’s schedule, the progress will be delayed, the Employer shall remedy
the Contractor by the time extension and cost compensation.
4). The Contract Price excludes all taxes, duties, royalties and fees imposed by the Guyana
governmental and statutory authorities, the employer shall be responsible for all taxes, duties,
royalties and fees imposed by the Guyana Governmental and statutory authorities.

5). The advance payment provided by the Employer should be 15% of the total contract
price;
6). The Performance Security should be 10% the total contract price, the Performance
Security will be issued directly through a EXIM Bank in China.
7). Temporary yard for construction will be provided by the Employer for free, the estimation
excludes the cost of land acquisition and resettlement which should be undertaken by the
Employer;
8). The duration of the project is 32 months, the Employer shall guarantee that the
Contractor have no less than 10 hours available and effective work-time per day, if the actual
work-time of one day is less than 10 hours, the Employer shall remedy the Contractor by the
time extension and cost compensation.
9). The Final Design shall be completed within a maximum 6 months from commencement
date; only if the Employer ensures timely review for final design documents submitted by the
contractor. Approval of final design documents and technical specifications to be received in
writing from the employer within ‘30 calendar days’ from the date of receipt.
17 Risk and Responsibility

responsibility to make the detail design and construction both of which will be
undertaken by the Employer and not included in the project scope.

6. EMPLOYER’S REQUIREMENTS
SECTION I – GENERAL INFORMATION
A. Objective
The government of Guyana is requesting a proposal to procure professional architectural,
engineering and construction services capable of providing all materials, labor, equipment and
services necessary to perform the planning, design and construction for the replacement of the
existing terminal building with a new, state of the art facility and expand the runway and Apron in
order to accept wide body aircraft capable of transcontinental flights at CheddiJagan
International Airport.
B. Experience Requirements
The Design/Build team must be able to demonstrate having recent experience and current
knowledge of International Code Council (ICC), ICAO, TSA, FAA and IATA standards,
regulations and advisory circulars, as well as all other governing codes and standards.
In addition, the Design/Build Team must demonstrate knowledge of the existing airport
terminal building and site conditions, knowledge of local construction means and methods, and
have all necessary design and construction licenses and certifications required by the
Government of Guyana to design and build this project.

Mark the position of new Cargo Area and Fuel farm in Layout Drawings and have no
responsibility to make the detail design and construction both of which will be
undertaken by the Employer and not included in the project scope.
Land Backfilling work in Runway Extension Area and Airport Terminal Area excluding
the resources fees imposed on the backfilling sand and other borrow material. “The
Employer will provide the sand and other fill material (sites) to the contractor for free,
and the distance from material source to the project site shall be within 12 km, but if the
distance is more than 12 km, the transportation fee will be increased according to
actually distance. The Employer shall be fully responsible for the quantity, quality and
timely supply of the abovementioned sand and other fill material. Provided the
Employer fails to satisfy this requirement, the Contractor shall be entitled claim
expense and time extension accordingly. The acceptance, inspection, care, custody
and control of the material supplied by the Employer shall not relieve the Employer of
liability for any shortage, defect, or default of the material.

Civil Building Power which are comprised by Power Supply System, Communication
Engineering System, Water Supply and Fire Control System, Ventilation and Air

SECTION II – DESCRIPTION OF PROJECT
A. Background
The government of Guyana has identified tourism as a priority in the country’s economic
development plan and recognizes that improvement of CheddiJagan International Airport is of
paramount importance in order to promote a sustainable tourism industry.
The existing airport terminal building is not currently capable of meeting peak traffic
demand, or of expanding to meet the desired growth in passenger volume. It also cannot
accommodate state-of-the-art airport terminal systems for passenger comfort, convenience and
efficiency. The one story buildings cannot accommodate aircraft boarding bridges forcing
passengers to walk to and from the aircraft along the apron. The ability to generate revenue
from concessions, airline office space and ticket counter usage is also limited. Expansion
capabilities of the existing terminal are compromised due to the current terminal configurations.
There are currently two intersecting runways. The primary runway is used exclusively for
international flight operations, while the secondary runway is used for domestic operations. The
length and width of the primary runway (2,270 meters x 45.7 meters) limits the size and range of
the aircrafts that can use them.
B. Objectives
The objectives of this project are as follows:
1. Enlarge runway to provide greater level of service and safety and to allow for
emergency diversions.
2. Lower airport operating costs (passenger and cargo).
3. Increased passenger comfort, convenience and efficiency.
4. Increased airport efficiencies through more efficient terminal and airfield design as
well as state-of-the-art technologies in security screening, communications,
baggage handling and other systems.
C. Scope
The project scope includes the expansion of the airfield and the terminal area as follows:
1. Airfield:
1. The primary runway is to be extended 1,066.8 meters, to reach a total length of
3,336.8 meters in order to meet the operational requirements of wide body
aircraft. The runway will be remain ILS-I type.
2. A turning area is to be provided at the end of the extension.
3. The parallel taxiway will not be included in this project at this time.
4. Navigation facilities such as lighting are to be installed.
5. A service vehicle lane is to be provided as well as emergency facilities such as fire
fighting systems.
6. After expansion is completed the airfield shall be Class 4E.

2. Terminal Building:
a. A new two story terminal building is to be built west of the existing terminal.
b. The new building is to be divided into two parts; the terminal building and the
departure lounges/gates and arrival concourse.

• Fire Alarm System and linkage control system
• Clock System
f. Aircraft parking apron is to be expanded.
g. The taxiway linking the parking apron with the runway is to be rebuilt and
expanded.

SECTION III – TECHNICAL REQUIREMENT
1. Land Formation
The bulk backfilling material shall be local sand material. Quality of sand and
Selection of Sand Source should as follows:
a. Backfilling Sand Quality:
Particles mass (diameter over 0.075mm) must account for over 85% of gross
mass. Particles mass (diameter within 0.005mm) must account for less than 3%
of gross mass.
b. Sand Source Selection
The Employer will provide the sand source where the sand quility and quantity
shall be suitable to technical requriement to the contractor for free, and the
distance from sand source to the project site shall be within 12 km.
c. Foundation Treatment
The contractor should carry out the foundationtreatment for runway areas, RESA,
runway strip, stop way and service road. Foundation treatment requirements are
as follows:
1) The commissioned elevation after foundation treatment leveling should be the
finished level of foundation treatment.
2) Runway bearing capacity should reach above 180kPa after foundation
treatment.
3) Cone penetration test cone pointed resistance shall be as follows:
4) More than 3.0m depth, the static contact resistance value ≥10Mpa;
5) Up to 3.0m depth, the static contact resistance value ≥ 12Mpa.
d. SPT N 63.5
1) More than 3.0m depth, N 63.5 ≥20-25;
2) Up to 3.0m depth, N 63.5 ≥ 20-30
e. Surface compaction requirements
Surface after vibration roller leveling, within depth of 1.0m, density degree ≥98%;
f. For other area, Surface after vibration roller leveling, within depth of 1.0m, density
degree ≥90%.
2. Pavement
Appropriate pavement structure should be selected for the runway, taxiway and apron
extension, and the materials should be suitable for Guyana weather conditions.
Requirements of Pavement slope of each area are as follows:
a. Pavement area
New runway longitudinalslope must naturally connect the original runway.
Crossslope of runway and road shoulder should take 1.5% of the double side
slope; taxiway and road shoulder take 1.5% of the double side slope; and the
slope of apron take 0.8%.
b. soil surface area
Soil surface area of runway and taxiway (flat area and uneven area) can be
connected to the runway and taxiway. For stop way and RESA, longitudinalslope

should take 5% slope, and the crossslope take 2% slope. For runway ends
safety areas, crossslope also take 2% slope.
3. Lighting
Lighting Aids system involved in this extension project includes new runway lights,
centre line lights, new taxiway lights, new airfield apron area lights and the exiting
approach lights, threshold lights, runway end lights need to be adjusted.
The lighting system should be efficient, safe and convenient to use. Computer control
will be adopted for the lighting system in the airport. The lighting control station and
control tower can conduct control, supervision (including power supply, fire fighting,
video system and monitoring system), maintenance and management over all the
navigation lighting system of the airport.
4. Navigation system
After expansion, the runway will be remain class I precise instrument landing system.
The shifting of existing navigation facilities such as existing LLZ will not in CHEC’s
scope.
5.
Terminal building
The plan and design of the terminal building should aim at fast and efficient operation so
as to meet the demand of international airlines. The arrangement in the building is
reasonable and walking distance, waiting time and space can meet the requirements of
first class airport by IATA. The operation management should also be taken into account
so as to reduce operation costs.
6.
Parking places
The arrangement of apron and parking places should consider following factors:
a. The parking demand during peak period
b. Current plane types and possible plane types in the future
c. Effect of runway capacity limitation
d. The interaction between peak demand and annual visitor amount
e. The comparison between the airport and similar airports in other countries.
7. The handling process
The design of handling process should meet the requirements of arriving and departing
passengers. The requirements of the Client’s are as the following:
a. The handling process of passenger is in a “two-layer” arrangement.
b. 8 sets of passenger boarding bridge should be purchased. The passenger
boarding bridge can serve a wide range of commercial aircraft of ICAO Code C,
D and E based on the actual apron condition.
c. 20 check-in counters and the 20 relevant weighing scales will be arranged in the
new terminal building on the second floor.

d. 2 sets of hold baggage inspection (including X-ray baggage scanning machine and
the relevant baggage conveyors should be arranged near the above mentioned
check-in counters, the Hold Baggage Machines should meet the specifications of
the CTX 5800 Morpho Safran Equipment.
e. 4 sets of X-ray hand baggage scanning machine should be purchased, (3 for the
departures area and one for the VIP Area).
f. 2 sets of escalator should be purchased, for carrying passengers up and down the
floor.
g. 2 sets of accessible elevator should be purchased, for carrying passengers up and
down the floor.
h. 3 sets of baggage claim turntable should be arranged in the new terminal building
on the first floor.
i. 4 sets of walk through metal detectors should be purchased.
8. Fire Fighting
a. Emergency rescuer facilities shall be built up in the airfield complying with ICAO
Standard.
b. Firefighting facilities must be set in accordance with the requirements of Fire
Code for Terminal Building.
9.
Sewage
Terminal sewage treatment facilities shall aim to the reuse of water resources, and to
achieve zero emissions.
10.
Power
The Power supply system in the project shall cover the new airport Terminal Building
and the new lightings of runway extension and other auxiliary facilities etc.
The substation should be composed of generator room, low voltage room, diesel
storage room, duty room and etc. Lightings, air conditioning, conveyor, escalator,
elevator, X-ray machine, etc. of the new Terminal Building, and other new auxiliary
facilities will be supplied by Substations.
Energy saving and environmental protection equipment should be selected for the
power supply system. Energy saving low-loss dry transformer shall be applied in the
Project.
11.
Illumination
High effect and energy saving Illumination source and facilities shall be applied for the
Project. All cables shall be environmental protection isolation material.
