TERMS AND CONDITONS
An agreement between on the one part Espresso House Limited of Exchange House, 494 Midsummer Boulevard, Central Milton Keynes, MK9 2EA. hereinafter referred to as “The Company” and of the second part of the customer named over
and hereinafter referred to as “The Customer”. This Agreement will apply for a minimum term of 60 months commencing from the date hereof (unless different terms are agreed) and thereafter until determined in writing by either party by giving
not less than three months notice of termination expiring on the last day of the initial period or on an anniversary thereof but will be subject to early termination as provided elsewhere in the Agreement upon expiration of the notice period all
obligations hereunder will cease WITHOUT PREJUDICE to the rights of either party.
1
DEFINITIONS
1.1 The Customer means the customer specified overleaf.
1.2 The Company means Espresso House Limited or its assignees or its successors.
1.3 The Equipment means The Equipment specified overleaf.
1.4 Purchase Agreement means the agreement between The Customer and The Company for The Customer to purchase The Equipment from The Company.
1.5 Rental Agreement means the agreement between The Customer and The Company under which The Customer rents The Equipment from The Company.
1.6 Maintenance Agreement means the agreement between The Customer and The Company for The Company to maintain The Equipment.
1.7 Product Supply Agreement means the agreement between The Customer and The Company for The Company to supply all cups, ingredients, water filters and ancillary items for use in The Equipment.
1.8 Vendplan Agreement means the agreement between The Customer and The Company for The Customer to purchase all vended drinks from The Company.
1.9 Lessee means The Customer specified overleaf.
1.10
Leasing Agreement means the agreement between The Customer and the Lessor for the Lessor (if a third party) to purchase The Equipment from The Company and rent it to The Customer.
1.11
The Lessor means The Company or its approved leasing company.

DURATION
2.1 The term of this agreement is 60 months unless specified overleaf.
2.2 The Customer shall not be entitled to cancel this order without the agreement in writing of The Company, damages will be claimed under Clause 12.1 should this occur.
2.3 Damages will be claimed for termination before conclusion of the Agreement of any part thereof.

PURCHASE AGREEMENT
3.1 Unless The Customer has signed a Rental or separate Leasing Agreement The Customer agrees to take delivery and pay in full for The Equipment mentioned overleaf at the time of installation of The Equipment and if this condition
is not satisfied The Company will be entitled to damages in accordance with Clause 12.1 and the return of The Equipment to The Company’s premises at The Customers expense should The Company so require.

RENTAL or LEASING AGREEMENT
4.1 Unless The Customer has agreed to pay in full for The Equipment by the installation this agreement is conditional upon The Customer signing a Rental or Leasing Agreement within 14 days of the signing of this Agreement and if
this condition is not satisfied The Company will be entitled to damages in accordance with Clause 12.1 and the return of The Equipment to The Company’s premises at The Customers expense should The Company so decide.
4.2 If The Lessor shall for any reason decline The Customer`s application within 14 days of the date of this order The Company may elect either to.
4.2.1
cancel the order or part of the order.
4.2.2
be treated as The Lessor under the Leasing Agreement and references to any third party lessor in the Leasing Agreement shall be treated as a reference to The Company and there shall be a binding contract between
The Company and The Customer in the terms of the Leasing Agreement.
4.2.3
put the Equipment in the Leasing Agreement on a different rental term and/or price to ensure acceptance by the Leasing Company subject to the agreement of The Customer that cannot be unreasonably withheld.
4.2.4
require The Customer to pay in full for The Equipment by the time of installation of The Equipment and if this condition is not satisfied The Company will be entitled to damages in accordance with Clause 12.1 and the
return of The Equipment to The Company’s premises and at The Customers expense should The Company so decide.
4.3 If the Company elects to be The Lessor then The Company may assign the Leasing Agreement to any other leasing company.

MAINTENANCE
The Company will maintain The Equipment for the stated term overleaf.
The Company shall be entitled to charge The Customer for maintenance of The Equipment at the rate agreed overleaf or if not specified overleaf then at its standard call out rate.
Maintenance of The Equipment will be carried out Monday to Friday (excluding Bank Holidays) between 09.00 and 17.00.
The Customer agrees to the following.
5.4.1
to allow The Company employees or contractors unhindered access to the equipment at all reasonable times.
5.4.2
to report all faults to The Company immediately.
5.4.3
to allow The Company to install at the Customer`s expense water filtration equipment and to replace filter cartridges at the recommended intervals at prices applicable at the time.
5.4.4
to pay The Company an additional charge for the call out plus any time spent should The Customer request maintenance of The Equipment outside the normal Company hours.
5.4.5
to pay The Company for any work carried out to The Equipment as a result of or caused by vandalism, theft, fire, accidental damage, failure of or unusual power or water supply, misuse of The Equipment (including
failure to comply with the manufacturer`s operating instructions), modification or maintenance to or the use in The Equipment of cups, ingredients or a change of vend price or changes to the range or size of coins accepted not
authorised by The Company, parts damaged as a result of scale unless water filtration equipment if fitted and correctly maintained.
5.4.6
to turn the mains water off at any periods when the equipment is unattended for long intervals
5.4.7
to pay annually in advance unless agreed in writing by The Company the full maintenance fee within 7days of date of invoice.
5.5 The Company reserves the right to withhold service and product in the event of The Customer failing to make due payment under any Agreement within these terms and conditions. The Company will be entitled to damages in
accordance with Clause 12.1.
5.6 The Company may adjust the terms and conditions of the Maintenance Agreement should the original manufacturer of The Equipment be put into liquidation or receivership.
5.7 The Company shall be entitled to review charges annually unless stated overleaf.
5.8 The Maintenance Agreement does not extend to overhauls for equipment over three years old.

PRODUCT SUPPLY AGREEMENT
6.1 The Customer agrees for the term shown overleaf to purchase all cups, ingredients, water filters and ancillary items to be used in conjunction with The Equipment from The Company at prices and at the rate and quantity shown
overleaf. If no prices are indicated overleaf then the prices indicated on The Company’s current price list, a copy of which is available upon request, shall apply.
6.2 To pay in full all invoices under the Product Supply Agreement within 30 days of date of invoice.
6.3 The Company reserves the right to withhold service and product in the event of The Customer failing to make due payment under any Agreement within these terms and conditions. The Company will be entitled to damages in
accordance with Clause 12.1.

VENDPLAN SUPPLY AGREEMENT
7.1 The Customer agrees for the term shown overleaf to purchase the number of vended cups used in conjunction with the Equipment from The Company at the price and quantity shown overleaf.
7.2 To pay in full all invoices under the Vendplan Agreement within 30 days of date of invoice
7.3 The Company reserves the right to withhold service and product in the event of The Customer failing to make due payment under any agreement within these terms and conditions. The Company will be entitled to damages in
accordance with clause 12.1.
8
DELIVERY AND INSTALLATION
8.1 The Company shall deliver and install The Equipment as detailed overleaf to The Customer when available from the manufacturer subject to the following conditions.
8.1.1
that appropriate electrical connection is available.
8.1.2
that appropriate water connection to a suitable drinking water supply is available.
8.1.3
that suitable access is available to the equipment site (please see equipment brochures for dimensions).
8.2 The costs of providing the services in 8.1.1 through to and including 8.1.3 are to be met by The Customer and should they not be supplied then The Company reserves the right to undertake work and to make a charge to The
Customer at its standard service rate plus any parts used.
8.3 The Customer shall accept delivery and installation of The Equipment within 30 days of the date specified for delivery overleaf. Failure to do so will entitle The Company to damages in accordance with clause 12.1. The Customer
will be entitled to cancel this agreement if The Company is unable to deliver and install The Equipment within sixty days of the date specified for delivery overleaf due to its unavailability or any other cause not the fault of or attributable to
The Customer.

VALUE ADDED TAX
9.1 All quoted prices are exclusive of value added tax at the current rate.
10 ASSIGNMENT
10.1
The Company reserves the right to assign the execution of all or part of it`s obligations under this Agreement.
11 TERMINATION
11.1
The Company shall be entitled to terminate this Agreement or any part thereof forthwith without notice and to claim for damages under Clause 12.1 if
11.1.1 The Customer shall be in breach of any of its obligations hereunder or
11.1.2 The Customer being an individual commits an act of bankruptcy or being a company shall go into liquidation whether voluntary or compulsory.
12 DAMAGES
12.1
If the Customer shall cancel this officially binding order and Agreement either in its entirety or partly or if The Company shall terminate this Agreement with The Customer on the grounds of The Customer`s breach of contract
The Customer shall (without prejudice to any other remedy or measure of damages to which The Company is otherwise entitled) pay The Company damages equal to The Company`s loss of profit on The Rental Agreement, The
Purchase Agreement, The Maintenance Agreement, The Product Supply Agreement.
12.2
Loss of profit under this agreement is to be calculated by The Company and agreed by The Company’s auditors.
12.3
The Company shall not be liable for any loss consequential or otherwise from breakdown, stoppage, fire, failure of The Equipment or any part thereof howsoever caused or arising from any delay in the supply of labour,
materials or consumable supplies.
13 NOTICES
13.1
Any notice to be given hereunder shall be deemed to have been received by the addressee forty eight hours after posting if dispatched in the ordinary course of post to the last known address of the addressee or if delivered to
its last known address at the date of such delivery.
14 JURISDICTION
14.1
This Agreement is subject to English Law and the sole jurisdiction of the English Courts.
15 INTEREST
15.1
The Company reserves the right to charge interest at the rate of 3% per month above the NatWest Bank rate on all overdue payments.
16 GENERAL
16.1
The Customer shall on request provide The Lessor and/or The Company all such information and/or references that shall be reasonably requested to assess the credit worthiness of The Customer.
16.2
The Company may enter into any sub-contract with any suitably qualified company or person for the performance of any part of this agreement.
17 ADVICE AND RECOMMENDATION
17.1
Any advice given or recommendation given by Espresso House Ltd. or its employees or agents to the Customer or Customer’s employees or agents as to the storage or application or use of the Machines which is not
confirmed in writing by Espresso House Ltd. is followed or acted upon entirely at the Customer’s own risk and accordingly Espresso House Ltd. shall not be liable for any advice or recommendation which is not so confirmed.
18 ERRORS
17.1 Any typographical clerical or other errors or omission in any literature, quotation, price list, acceptance of offer, invoice or other document or information issued by Espresso House Ltd. shall be subject to correction without any liability on
the part of Espresso House Ltd.
This Agreement is regulated under the Consumer Credit Act 1974
