TERMS AND CONDITIONS OF TRADING
All accounts are due and payable before the 30th day of the month following the date of shipment.
CREDIT RETURNS
1. No credit will be accepted metro or country unless a credit return number is issued from PROEX, i.e. ring PROEX for a credit return number when
returning any part. This number is to be quoted on all documents relating to this return.
2. You will be asked for all relevant details; e.g. invoice no., date, part number, reason for return.
3. Freight will be deducted (metro) both ways
4. 10% restocking fee will normally apply on all returns.
5. This method if adhered to will ensure all credit returns and warranties will be processed quickly and can be referred back to at any time.
FREIGHT AND INSURANCE
Please nominate your carrier when ordering and advise if insurance is required. Our responsibility ends when goods leave our warehouse.
PRICES
All prices quoted in this price list are suggested retail prices only.
Products marked with a letter code are not subject to your general percentage discount. Please refer to the letter included for your specific discount on these
products. All prices are subject to change without notice.
RETENTION OF TITLE
Risk in any product supplied by PROEX to you shall pass when such property is delivered to you but ownership and property in the goods delivered to you shall not pass to
you until such time as PROEX has received payment in full of all monies owing to PROEX including but not limited to monies owing in respect of the goods specified on
any particular invoice to which these terms and conditions are annexed, together with any other monies outstanding. If the goods are delivered prior to payments being
made by you to PROEX, you shall have possession of the goods by bailee only and such bailment shall be terminable by PROEX at any time. PROEX may terminate such
bailment either by oral or written notice being given to you. Until the date of payment of all monies owing to PROEX, you, if PROEX desires, are required to store the goods
in such a way to show that they are clearly the property of PROEX. If you sell the goods to any third party the consideration you receives shall be held by it in a separate
account on trust for PROEX. If you mix the goods with any other goods or products or deals with the goods in such a way that they become a constituent of any other
product or goods then ownership in any such new product or goods is to be transferred to PROEX as security for full payment of all monies owing to PROEX, including but
not limited to monies owing in respect of the goods, and until such time as PROEX receives such payment you shall hold such products or goods in which the goods have
been mixed or incorporated as fiduciary owner for PROEX. If you do not pay for any products on the due date specified herein PROEX is hereby irrevocably authorised by
you to enter your premises (or any premises under your control as agent, if the products are stored at such premises) and use reasonable force to take possession of the
products without liability for the tort or trespass or negligence or payment of any compensation to you whatsoever. This licence endures so long as any monies
whatsoever is owed by you to PROEX.
SECURITY IN GOODS
You grant to the PROEX a security interest in the goods and their proceeds to secure your obligation to pay the price of the goods and any other obligations of yours to
PROEX under these Terms and Conditions. If you sells the goods or incorporates them into another product prior to payment of those goods, the proceeds of sale of
those goods shall be held on trust for PROEX, until payment of all monies that you owes to are paid in full. You agree that these Terms create a security interest in all
present and after acquired goods as security for all of your obligations to PROEX, and the Terms are a security agreement for the purposes of the Personal Property
Securities Act 2009 (Cth) (PPSA) which is registrable under the PPSA. You shall do all such things and at any time as PROEX requires to ensure that any security interest
of PROEX is perfected under the PPSA that PROEX determines in its sole absolute discretion. You will reimburse and indemnify PROEX for all expenses it incurs in
registering its security interest on the PPSA register. You are to provide not less than 14 days’ notice in writing of any proposed change in your name, business practice,
contact details and will immediately notify the PROEX of any material changes in business activities. You may (unless advised otherwise by PROEX or where it has
breached these Terms) use or sell the goods in the ordinary course of business and if it sells the goods, it must hold the proceeds (separately and in an identifiable
account) in trust for PROEX, and pay the same as directed by PROEX if and when requested. Subject to this clause you shall not to give anyone any interest in or security
over the goods. You waive your right to receive any of the documents referred to in sections 95, 118, 121(4), 123, 130, 132(3)(d), 132(4), 135, 157 and Part 4.3 (other
than those in Division 6 of Part 4.3) of the PPSA. You with PROEX to keep confidential the information and documents of the kind referred to in section 275(1) of the
PPSA (except where section 275(7) of the PPSA applies) and both agree not to authorise the disclosure of such information at any time.
If you fail to make payment of monies owed to PROEX in accordance with these Terms; or fail to comply with any of these Terms; or commits an act of bankruptcy or
makes an arrangement with all or any number of its creditors, or have a receiver or liquidator appointed or an administrator appointed pursuant to the provisions of the
Corporations Act, then PROEX may repossess and sell the goods (subject to these Terms and in accordance with the PPSA) and you irrevocably authorises PROEX to
enter any premises where the goods are kept and to use your name and to act on your behalf to recover possession of the goods.
Goods for the purpose of this clause means all goods that PROEX supply to you from time to time, and includes for the purposes of the PPSA, where the goods supplied
are inventory, all references to those goods shall, in respect of those goods, be read as references to inventory while they are held as inventory; and where the goods
supplied are not or are no longer held as inventory, then goods shall, in respect of those goods, includes the goods described in any invoice of PROEX relating to those
goods, on the basis that each such invoice is deemed to include any resulting product which the goods subsequently become part of.
WARRANTY
PROEX will repair or replace any product returned to them within the specified warranty period by the original purchasing consumer, should the product be found to be
defective in materials or workmanship subject to the following conditions:
A. If the part has been damaged by misuse, accident, improper installation or application or operation, lack of maintenance or any cause beyond the control of PROEX or
corroded due to exceptional circumstances, the warranty becomes null and void. This warranty does not apply to any additions such as chrome extension pipes, brackets,
hangers or clamps.
B. Mufflers and/or Exhausts which have been subject to a back-fire (internal explosion) are not covered by the warranty.
C. PROEX will not be responsible for any cost in connection with freight or postage, or for the expense necessary to dismantle the exhaust system, replace the part in
position and/or re-assemble.
D. The claim for warranty will not be accepted unless it is accompanied by a complete Warranty Reimbursement Form plus original invoice or warranty/guarantee
card/certificate confirming date and place of purchase.
E. The benefits conferred by this warranty are in addition to all other rights or remedies in respect of the product which the consumer has under the Trade Practices Act and
any similar State or Territory Laws.
F. "The Seller shall not be liable for any claim, loss or expense of any nature whatsoever which arises on or after the expiration of seven days from the date of delivery once
the products have been fixed or otherwise there shall be deemed to have been complete and unqualified acceptance of the products. The Seller will not admit any liability
whatsoever which would exceed the cost of replacement of the subject goods and shall not in any event be liable for any contingent or indirect special or punitive damages
arising in any way whatsoever in relation thereto and the Buyer acknowledges that this is an express condition and limitation of liability and agrees to limit any claim
accordingly. No other term, condition, warranty, representation, agreement or understanding of any nature whatsoever express or implied in any way extending to or
otherwise relating to or binding on the Seller in relation to such Sale other than these terms and any term or other terms which the Seller agrees in writing to be bound by is
made or given."
WARRANTY PERIOD
24 Months (2 years) from date of sale - ALL M prefix Part Numbers and ALL Sports Mufflers.
24 Months (2 years) from date of sale - ALL Cateran manufactured Catalytic converters.
12 Months (1 year) from date of sale – All imported Catalytic converters.
All E & T prefix Part Numbers are not covered by a warranty unless product is found to be faulty.
