The minimum investment is £5,000. The Offer opens on 15/7/13 and closes at 5pm 15/9/13. This period may be extended by the Director at his sole discretion, provided that the Minimum Amount of £25k has been raised. Investment entitles SPC to 80% of any income net of distribution costs from the film Metal. 20% of the net income from Metal will go to Wilf Varvill and to deferred payments for the films’ cast and crew. The films are artistically original and involve some of the most successful film-‐‑makers in the business. TA X B E N E F I T S... It is anticipated that UK tax-‐‑paying investors in SPC will be eligible for SEIS tax benefits. Provisional SEIS approval from HM Revenue & Customs has been applied for with regard to the company shares qualification. SEIS Investments offer the following potential benefits to investors Income Tax Relief at 50% in the year of acquisition, or prior tax year, against the amount invested in shares Capital Gains Relief; Loss Relief, should the investment fail or where an investor sells their shares at a loss. It is intended that the Company will be maintained to ensure its SEIS eligibility for its investors. For a top-‐‑rate UK taxpayer the combined SEIS tax relief alone, if the film is a total write-‐‑off, will be 86.5%. 5,000 ‘A’ shares in SPC are to be subscribed for by Wilf Varvill. The A Shares aggregate 51% of the company’s votes but will rank pari passu in all other respects with B shares. If the minumum amount has not been raised by the closing date then SPC may seek additional funds from elsewhere. Metal is intended for release in the United Kingdom and internationally. SPC and the producers have close relationships with UK film distributors and a leading sales companies. On top of the anticipated tax reliefs SPC needs to make only a small number of sales to ensure a profit for the shareholders if they are top-‐‑rate UK taxpayers. OTHER I N C E N T I V E S… An individual investing £7,500 or more is entitled to an Executive Producer credit.
