Protecting Future

When selling property it is important
to consider protecting against
any future value as a result of
development.
There are three principal mechanisms
when you dispose of property in order to capture any potential
future value. These are:
1. RESTRICTIVE COVENANT
In order to impose a Restrictive Covenant on property that is to
be sold it must benefit the land of the Covenantee (the seller) and
be negative in substance. An example of a restrictive covenant is
where a paddock adjoining a farmhouse is sold off and the seller
wishes to prevent a wind turbine or solar park to be built. In this
instance the seller can stipulate that the purchaser cannot erect
any solar arrays or wind farms on the property.
This option is only relevant where land is being retained by a
seller adjoining the property being sold. A restrictive covenant is
attached to land sold and can only be removed by negotiation.
2. OVERAGE
It is becoming more common place for property to be sold subject
to an overage provision where there might be a medium or more
long term prospect of land being developed. Overage is created
by a separate deed and is for a set period of time. It does not
prevent development but requires the owner to pay a set amount
to the previous owner on a specified trigger event. An example
of this is where a paddock is sold off with a 25 year overage
for 50% of any uplift in value for any use other than agricultural,
equestrian or horticultural. If after 15 years the current owner
obtains planning consent to build 5 residential properties this
would trigger an uplift in value from its agricultural value and
50% of the uplift in value would be due. This would normally be
payable upon granting of planning consent
3. RANSOMS
Ransom Strips are less commonly used but in certain
circumstances may be more appropriate than overage or
restrictive covenants. It is important to have clear plans and
register any Ransom Strips with the Land Registry.
A purchaser may be less amenable to agreeing to purchase
a property subject to a ransom strip as they are more difficult
to lift and as the name suggests the person owning the
ransom holds the upper hand. There is also no certainty the
owner of the ransom strip will negotiate with the then owner
of the adjoining land that requires access across or to the
ransom strip.
This is a very brief overview of the three options available
in order to capture any uplift in future values when selling
property. They are not always appropriate and careful
consideration and professional advice should be taken before
making a decision.
