SOFTWARE SUPPORT & MAINTENANCE AGREEMENT
FOR SISTEM APLIKASI PRIMARI
PERTUBUHAN PELADANG 1.9 , 2.0 and 2.1
This Agreement is entered into on the
day of 2011
Between
PELADANG HEITECH SDN BHD,(PHSB) (Co. No. 370485-U), a company with limited
liability incorporated in Malaysia and having its registered office at 501, Block A,
Kelana Centre Point, No. 3, Jalan SS 7/19, Kelana Jaya, 47301 Kuala Lumpur
(hereinafter referred to as “PHSB” ) of the one part;
And
LEMBAGA PERTUBUHAN PELADANG,(LPP) a statutory body established under the
Akta Lembaga Pertubuhan Peladang 1973 (Akta 110) with its principal office at
Block C Utara, Pusat Bandar Damansara, Bukit Damansara, 50460 Kuala Lumpur
(hereinafter referred to as “the Customer”) of the other part.
Recitals
Whereas PHSB has developed and is the owner of a software program known as
the “Sistem Aplikasi Primari Pertubuhan Peladang(SPPP)”.
And whereas PHSB has licensed the Licensed Software (as hereinafter defined)
to the Licensee and has installed it at the Equipment Location (as hereinafter
defined) are set out in item 1 of the Schedule.
And whereas the licensee wishes to appoint PHSB for the provision of support
and maintenance services for the licensed software.
NOW, THEREFORE in consideration of the mutual covenants contained in this
Agreement, and other mutual consideration, the receipt and sufficiency of
which the parties acknowledge, the parties agree as follows

1.
Definitions
“Additional Charges”
Means the additional charges on a
time and material basis calculated
by PHSB in accordance with the
rates from time to time of PHSB in
respect of the provision of the
Excepted Services and any other
services requested by the licensee.
“Critical Situation”
Means a problem affecting the
Licensed Software of such severity
that the Licensee is unable to
operate the Licensed Software.
“Documentation”
Means the instruction manuals, user
guides
and
other
related
documentation in respect of the
Licensed Software identified in
Enclosure 2 as the same may be
altered from time to time by PHSB
“End User”
Means the respective ‘Pertubuhan
Peladang Kawasan(PPK)’ here and
after as PPK reffered.
"Equipment Location"
Means the location as set forth in
Enclosure 3 hereto where the
Licensee has installed and use the
Licensed Software. The Equipment
Location may be changed so long
as the Licensee provides thirty (30)
days prior written notice to PHSB
and PHSB’s consent in writing.
“Equipment”
Means any hardware in which
the
software
is
installed
described in Enclosure 1 .
“Effective Date”
Means the date of this Agreement.

“Expected Services”
Means those services referred to in
Section 4f hereof
“Fixes”
Means a temporary modification of
the Licensed Software in order to
enable
the
functionality
or
performance of the Licensed
Software with the Equipment.
Reference to ‘Fixes’ shall include
workarounds and patches.
“Licensee”
Means the ‘Pertubuhan Peladang
Kawasan’ as more particularly
referred to in Item 1 of the
Schedule hereto.
“Licensed Software”
Means the specific computer
program described in Enclosure 1 in
executable (object code) form
only. The term "Licensed Software"
also includes any corrections, bug
fixes, enhancements, updates or
other
modifications
to
the
computer program and related
documentation
including
New
Update release.
“Maintenance
Charges”
Means the charges payable by the
Licensee
to
PHSB
for
the
Maintenance Services at the rate
so specified in Item
3 of the
Schedule hereto.
“Maintenance
Services”
Means support and maintenance
services to be provided by PHSB to
the
Licensee
during
the
Maintenance Period as specified in
Section 4 hereof.
“Maintenance Period”
Means the period for the provision

of the Maintenance Service as so
specified in Item 4 of the Schedule
hereto.
“New Release”
Means any improved or modified or
corrected version of the Licensed
Software or the Documentation
from time to time issued by PHSB.
“Order”
Means the document by which the
Licensee may order an increase in
additional
support
or
other
professional services. Each Order
will be sequentially numbered and
will state that the terms and
conditions of this Agreement are to
govern PHSB’s performance of the
services described in the Order.
PHSB will provide a form Order to
the Licensee.
“Proprietary and
Confidential
Information”
Means all information relating to
the business or affairs of a disclosing
party, including but not limited to,
technical or non-technical data,
software (whether in object or
source code form), formulae, tools,
patterns,
plans,
compilations,
programs,
devices,
methods,
techniques, drawings, processes,
financial data, lists of actual or
potential Licensees or suppliers,
marketing plans and business
strategies, and also means and
includes the terms and conditions
of this Agreement (but not its
existence).
Proprietary
and
Confidential Information of PHSB (as
a disclosing party) also includes
and means the Licensed Software.
Further,
Proprietary
and
Confidential Information includes
information that a reasonable
person would determine to be
proprietary or confidential when
taking into consideration its nature
and the circumstances under
which it is disclosed. Proprietary and

Confidential Information will not
include
(i)
information
that
becomes generally available to the
public other than as a result of
unauthorized disclosure by the
recipient or persons to whom the
recipient
has
made
such
information
available,
(ii)
information
available
to
the
recipient on a non-confidential
basis prior to receipt from the
disclosing party, or received from a
third party lawfully entitled to
disclose the information and who
does not have any confidence or
secrecy
obligations
to
the
disclosing party, (iii) information that
is disclosed to the public pursuant
to a requirement of a court or
government
agency
or
in
connection
with
judicial
proceedings between the parties,
provided however that prior to any
disclosure pursuant to this clause
(iii), the recipient will give the
disclosing party advance notice of
any proposed disclosure and a
reasonable opportunity to obtain a
protective order or to otherwise
seek protection of the information.
“Use”
Means the copying of any portion
of the Licensed Software into the
Equipment or the processing by the
Equipment
of
the
machine
instructions
and
procedure
statements
provided
in
the
Licensed Software.

2.
Maintenance Support Services - Term and Scope
a.
Maintenance Services Forthwith upon the Effective Date and
during the Maintenance Period, PHSB will maintain and support the
Licensed Software in accordance with the terms and conditions set
forth herein. Licensee may request an increase in the scope or
amount of the Maintenance Support Services by delivering an
Order for such additional rights and immediately paying to PHSB
the applicable additional support fee for the support upgrade
according to PHSB's then current prices.
b.
Scope Maintenance Services shall comprise of all or any of the
following categories:
“Paras 1”
“Khidmat bimbingan&Pembetulan&Pencegahan (Free12 bulan
online)atau jika secara online tidak berjaya, percuma secara
onsite dan tidak termasuk dalam khidmat berjadual (jika perlu)”
“Paras 2”
Khidmat berjadual di lokasi PPK ( free 1kali/satu hari bekerja).
Coaching pengguna pembaharuan SPPP 3 dan 4”
“Paras 3”
“Mendapat hak upgrade ke SPPP versi 2010 3.0 Edisi PPK HQ dan
4.0 Edisi CAW dlm LAN (pemasangan percuma secara online) atau
jika pemasangan secara online tidak berjaya, pemasangan
percuma secara onsite dalam khidmat berjadual diatas.”
“Paras 4”
“Pantau kerja Tutup akaun tahunan (stok akhir, dividen, saham,
faedah simpanan dan pengumuran penghutang/pinjaman secara
online sahaja jika onsite TNT dicaj ppk selain daripada khidmat
berjadual dilokasi diatas)
- “Khidmat bantuan BackUp Data(Free 2 kali online jika Onsite TNT
caj ppk selain daripada khidmat berjadual dilokasi diatas )”
- “Meja bantuan online secara Maya 6hari/minggu (8.00am5.00pm) (Ahad – Jumaat) (Free) id Skype : mejapht & mejapht1”.

- “Fizikal Help Desk (K.Jaya & Sg Petani) (8.00am-5.00pm)(sokongan
onsite) 5 hari/minggu (Isnin – Jumaat) jika kelokasi TNT dicaj ppk
selain daripada khidmat berjadual dilokasi diatas)”
- “Menyelesaikan masalah yang bersangkutan dengan pepijat
sistem secara online (Free 12 bulan)”
c.
Description The Licensee shall supply in writing to PHSB a detailed
description of any fault requiring Maintenance Services or
technical support the circumstances in which it arose forthwith
upon becoming aware of the same. Whenever the Licensee send
instant messages through Skype, the Licensee must also sent e-mail
as supporting reminders .
d.
Response Time Except in the case of a Critical Situation affecting
the Licensed Software as stipulated in Section 4e, the response time
for Maintenance Services shall be between the hours of 9.00 a.m.
and 5.00 p.m. Monday through Sunday excluding public holidays.
PHSB shall use its commercially reasonable effort to respond within
one (1) business day of receipt of a request.
e.
Critical Situation In the event of a Critical Situation affecting the
Licensed Software which is otherwise notified by the Licensee to
PHSB by telephone or by written notice:

PHSB shall acknowledge and respond to the Licensee within
five (5) working hours of the notification of the Critical
Situation to PHSB if PHSB is notified between 8.00 a.m. and
5.00 p.m. Monday through Friday (excluding public holidays
and holidays observed by PHSB).
ii.
PHSB shall further, in the event of a Critical Situation, use all
commercially reasonable efforts to work with the Licensee
outside of the working hours as stipulated in Section 4d
above.
iii.
In the event that PHSB is notified of a Critical Situation
outside the times stipulated in Section 4ei above PHSB
agrees to use all reasonable endeavor to respond within a
time frame which PHSB will notify at the material time to the
Licensee subject to payment by the Licensee of Additional
Charges for the services provided by PHSB.
Excepted Services Maintenance Services shall not include the
diagnosis and rectification of any fault in the Licensed Software
resulting from:

g.
i.
The improper use, operation or neglect of the Licensed
Software or the Equipment; e.g. >5 users, expired anti virus,
ii.
The alteration or modification of the software object code
or Licensed Software or its merger (in whole or in part) with
any other software not provided or installed on the Existing
or Replacement Designated Equipment by PHSB;
eg.
Configuration code at client pc and install Crystal report
v.7(HZ) with v8.5(PHT)
iii.
The Use of the Licensed Software on equipment other than
the Existing or Replacement Designated Equipment; e.g.
“Pertubuhan Peladang” own pc for sub centers/project.
iv.
The failure by the Licensee to implement recommendations
in respect of or solutions to faults previously advised by
PHTSB; e.g. Wrong data entry or wrong code Assignment.
v.
Any repair, adjustment, alteration or modification or any
maintenance of the Licensed Software by any person other
than PHTSB; e.g. Change i.p., routing table for printer.
vi.
The Licensee’ failure to install and Use upon the Existing or
Replacement Designated Equipment in substitution for the
previous release any New Release of the Licensed Software;
e.g. insufficient network cabling, reinstall from temporary
server, reconfiguration to client pc or resetting network
configuration or use of Wifi instead of Cable LAN.
vii.
The Use of the Licensed Software for a purpose for which it
was not designed; and
viii.
Any fault caused whether directly or indirectly by software
not supplied by PHSB; e.g. New antivirus/firewall setting,
installation of other un-license soft-wares.
Additional Charges PHSB shall upon request by the Licensee
provide technical support notwithstanding that the fault results from
any of the circumstances described in Section 4f above. PHSB shall
in such circumstances be entitled to levy Additional Charges.
Additional Charges shall be payable by the Licensee within seven
(7) days of receipt of an invoice therefore. e.g. System migration
from legacy version SPPP Version 1.9, to new enhance SPPP Version
2.1.

Problem Reporting Procedures Maintenance Services or support
requests shall be notified to PHSB from the Equipment Location. The
support requests can be classified as follows:
User Error/Queries: These are reports of software problems or calls
for advice and help, which can be resolved without the need for
software changes, e.g. the problem may be due to the user not
following proper procedures, or system housekeeping which may
need to be carried out.
Problems: These are where the Licensed Software fail to function
correctly, and either aborts, yields erroneous results or does not
function as per documented specifications.
Problems can be further be classified as:
Critical Situation: Where the problem is of such severity that the
operation of the Licensed Software cannot be continued.
High Priority: Where the problem causes severe difficulties to the
operation of the Licensed Software, although its operation can be
continued by implementing compensating controls or by work
around.
Low Priority: Where the problem does not cause severe difficulties
to the operation of the Licensed Software.
Reporting Method:
The Problem report will be sent to virtual helpdesk “mejapht” or
“mejapht1” PHSB by Skype File transfer or e-mail addressed to
PHSB’s [email protected] who will be Equipment by PHSB in
a separate correspondence;
In an emergency, before a formal Facsimile (and a confirmation
copy by post) or e-mail is sent, the respective Licensee may
communicate the problem to PHSB by telephone and supported
by Facsimile or e-mail subsequently.

Problem Report Contents: The report shall contain:
Program Problem Abstract (PPA) number: The Licensee’ reference
number also known as PPA number. Eg. PPAxxx (No. License)
Priority: Emergency, High, Low.
Description: A short description to define and identify the problem.
Date: The date the problem is reported.
Reported by: The name or initials of the person in the Equipment
Location reporting the problem.
Additional Description
The Licensee shall in addition provide a description as follows of the
problem: which program was running at the time when the
problem occurred; the detail of the parameters used; the detail of
the screen input; any error messages displayed on the screen; any
print out available; any system hang; any system dump or file dump
available; the erroneous results produced as well as the expected
correct results; any system and application log files.
i.
Licensee’s Undertakings During the continuance of this
Agreement the Licensee shall;
ii.
ensure the Use by the Licensee of the actual release of
the Licensed Software;
iii.
ensure that the Licensed Software, the Documentation
and the Equipment are used by the Licensee in a
proper manner by competent trained employees of
the Licensee only or by persons under their supervision;
iv.
keep or cause to be kept full security copy of the
Licensed Software and the Documentation and of the
Licensee’ data bases and computer records in
accordance with best computing practice;
v.
ensure that the Licensed Software is not altered or
modified in any way whatever nor permit the Licensed
Software, without the consent in writing of PHSB, to be
combined with any other programs to form a
combined work;

vi.
not request, permit or authorize anyone other than
PHSB to provide any Maintenance Services in respect
of the Licensed Software;
vii.
ensure that the Licensee’ personnel provide full cooperation with PHSB’s personnel in the diagnosis of any
error or defect in the Licensed Software and to
implement any recommendations made or required by
PHSB;
viii.
make available to PHSB free of charge all information
facilities and services reasonably required by PHSB to
enable PHSB to perform the Maintenance Services; and
ix.
Provide
or
cause
to
be
provided
such
telecommunication facilities as are reasonably required
by PHSB for remote support, testing and diagnostic
purposes at the Licensee’ expense.
Warranties
a.
Services Warranty PHSB warrants that all services provided under
this Agreement will be performed in a workmanlike manner and in
conformity with the professional standards applicable to
comparable services generally provided in the industry.
b.
Disclaimer of Any Other Warranties except as otherwise expressly
provided in this agreement, the services provided by PHSB
hereunder are provided "as is" without any warranty as to their
performance, accuracy, freedom from error, or as to any results
generated through their use, including, without limitation, any
implied warranties of merchantability or fitness for a particular
purpose. PHSB has no obligation to provide warranty services for
any problems encountered in the use of the licensed software
resulting from any breach on the part of the licensee.
Limitations on Recovery
a.
Consequential Damages Excluded Subject to Section 6c herein
below, in no event shall PHSB shall be liable to Licensee for indirect,
special, incidental, exemplary or consequential damages
(including, without limitation, lost profits, revenue, anticipated
savings, or damages for loss of data or other business information)
arising from or related to this Agreement or resulting from the
Licensee’ use or inability to use the Licensed Software, regardless of

the cause of action and even if PHSB have been notified of the
possibility of such damages.
5.
b.
Limitation of Liability Under no circumstances will PHSB's liability to
the Licensee for any claim exceed the lesser of (i) amount paid by
the Licensee to PHSB under this Agreement during the twelve (12)
month period immediately preceding the date on which the claim
arose or (ii) the amount paid by the Licensee for the services that
are the subject of the claim.
c.
Death and PersonaI Injury. Neither party excludes or limits its liability
to the other party for death or personal injury caused by its
negligence.
Termination
a.
Termination for Default. This Agreement may be terminated
by a party upon the other party's Default. Notice of
termination must be delivered to the defaulting party in
writing. A party is in "Default" of this Agreement if. (i) the
party has breached or otherwise failed to observe a
material obligation imposed upon the party by this
Agreement, and the breach has continued un-remedied for
a period of at least sixty (60) days following the non
breaching party's written notice to the defaulting party that
the breach or failure occurred or (ii) the party commits an
act of "bankruptcy", which for the purposes of this
Agreement means (A) the entry of a decree or order for
relief of such party by a court of competent jurisdiction in
any involuntary case involving such party under any
bankruptcy, insolvency, or other similar law now or hereafter
in effect; (B) the appointment of a receiver, liquidator,
assignee, custodian, trustee or other similar agent for such
party; or (C) the filing of a petition in a bankruptcy or
insolvency case under applicable laws.
b.
Termination -for Non-Payment PHSB may terminate this
Agreement if the Licensee has not paid the maintenance
Charges or other fees or Additional Charges owed to PHSB
within thirty (30) calendar days after written notice that
payment of those fees is past due.
c.
No Impact on Other Remedies
Except as otherwise
expressly provided in this Agreement, each party's right to
terminate this Agreement will be in addition to any and all
rights and remedies as will be available to it at law or in
equity.

d.
Termination on corruption Without prejudice to any other
rights, if the Government is satisfied that the
Company, its personnel, servants, agents or employees is or
are involved in corruption as defined in the Malaysian Anti
Corruption Commission Act 2009 (Act 694), as below-
i.
i) Any act or attempt co corruptly offer or give, solicit or
receive any gratification to and from any person in
connection with this procurement is a criminal offence
under the Malaysian Anti-Corruption Commission Act 2009
(Act 694);
ii.
If any person offers or gives any gratification to any
members of the public service, the latter shall at the earliest
opportunity thereafter lodge a report at the nearest office of
the Malaysian Anti-Corruption Commission or police station,
Failure to do so is an offence under the Malaysian AntiCorruption Commission Act 2009 (Act 694);
iii.
Without prejudice to any other actions, disciplinary action
against a member of the public service and blacklisting of
the contractor or supplier may be taken if the parties are
involved with any act of corruption under the Malaysian
Anti-Corruption Commission Act 2009 (Act 694); or
iv.
Any contractor or supplier who makes a claim for payment
in relation to this procurement although no work was carried
out or no goods were supplied or no services rendered in
accordance with the specifications and any member of the
public service who certifies the claim commits an offence
under the Malaysian Anti- Corruption Commission Act 2009
(Act 694).
In relation to this Agreement, the Government shall be entitled to
terminate this Agreement at any time by giving immediate
written notice to that effect to the Company.
Upon such termination, the Government shall be entitled to all
losses, costs, damages and expenses including any incidental
costs and expenses incurred by the Government arising from such
termination

6.
7.
Payments
a.
Maintenance Charges Licensee will pay PHSB in advance
the Maintenance Fee set forth in the amount and at the
time as set forth in Item 3 of the Schedule hereto and are
payable by the Licensee within thirty (30) days of Licensee's
receipt of PHSB's invoice and will be paid as set out in item 3
of the Schedule 1.
b.
Professional Services Save as otherwise provided in this
Agreement, PHSB may provide additional training, or other
professional services agreed to by both parties ("Professional
Services"). Before scheduling any Professional Services,
Licensee must enter into a separate Professional Services
Agreement with PHSB. All Professional Services will be billed
on a time and material basis, unless the parties expressly
agree otherwise in writing, and the Licensee will pay PHSB's
invoice within thirty (30) days after Licensee receives it.
c.
Payment Interest & Prompt Payment Incentive All payments
due under this Agreement will be made in Ringgit Malaysia.
All amounts not paid within thirty (30) days of the due date
will not bear any interest. In the event that the customer
make payment within 2 weeks in every quarter as set out in
item 3 of the Schedule, a prompt rebate voucher value of
RM286.00 will be given as a token of appreciation from PHSB.
This rebate is redeemable only for PHSB products and
services.
d.
Other Services Licensee agrees to pay, in addition to the
other amount payable under this Agreement, all sales, use,
value added services.
Confidential Information
Licensee agrees to treat as confidential and keep secret all information
contained or embodied in the Licensed Software and the Documentation
and to use a reasonable degree of care to protect the confidentiality of
the Licensed Software and the Documentation.
a.
Permitted Use Proprietary and Confidential Information of each
party will be used by the other will be received and held in
confidence by the receiving party, subject to the provisions of this
Agreement. Each party acknowledges that it will not obtain any
rights of any sort in or to the other party solely for the purposes
permitted by this Agreement. Either party may only disclose the

general nature, but not the specific financial terms, of this
Agreement without the prior consent of the other party.
8.
b.
Non-Disclosure Each party will restrict disclosure of the other party's
Proprietary and Confidential Information to those of its employees
to whom it is necessary to disclose such Proprietary and
Confidential Information in connection with the purposes permitted
in this Agreement. Each party agrees to use the same discretion
and care to protect the other party's Proprietary and Confidential
Information that the party uses to protect its own Proprietary and
Confidential Information, but will in all cases make at least
reasonable efforts to protect the other party's own Proprietary and
Confidential Information.
c.
Return Either disclosing party may at any time notify the receiving
party that the receiving party must return to the disclosing party the
disclosing party's Proprietary and Confidential Information. Each
party hereby agrees to, within thirty (30) days of the notification: (i)
return all documents and tangible items it or its employees or
agents have received or created pursuant to this Agreement
pertaining, referring or relating to the other party's Proprietary and
Confidential Information and (ii) return or certify in a writing
attested to by a duly authorized officer of such party that it has
destroyed all copies, summaries, modifications or adaptations that
such party or its employees or agents have made from the
materials provided by the disclosing party.
d.
Required Disclosure Nothing herein will prevent a receiving party
from disclosing proprietary and Confidential Information as
necessary pursuant to the operation of law, a court order, or a
governmental order; provided that prior to any such disclosure, the
receiving party will use reasonable efforts to: (i) promptly notify the
disclosing party in writing of such requirement to disclose and (ii)
cooperate fully with the disclosing party in obtaining a protective
order or otherwise protecting the information from disclosure.
General
i.
Limitation on Actions No claim arising under or relating to this
Agreement, unless involving death or personal injury may be
brought by either party against the other more than one (1) year
after the cause of action arises.
ii.
Force Maejuere Each party is excused from performance of this
Agreement and is not liable for any delay in whole or in part
caused by the occurrence of any contingency beyond the
reasonable control of the party. These contingencies include,

without limitation, war, sabotage, insurrection, riot or other act of
civil disobedience, act of public enemy, failure or delay in
transportation, act of government or any agency or subdivision
thereof affecting the terms of this Agreement or otherwise, judicial
action, labor dispute, accident, fire, explosion, flood, severe
weather or other act of God. Notwithstanding the foregoing,
Licensee will not be relieved of its payment obligations to PHSB in
the event of a force majeure occurrence. In the event that the
force majeure event shall continue for a consecutive period of
ninety (90) days, the party not in default shall be entitled to
terminate upon giving written notice to the other.
iii.
Equitable Relief Each of the parties hereto acknowledges and
agrees that irreparable loss and damage will be suffered by the
other party if a party beaches or violates any of the covenants and
agreements contained herein, and the parties agree and consent
that, in addition to any other remedies available to them, each
party hereto is entitled to an injunction and other equitable relief to
prevent a breach or contemplated breach by the other party
hereto of any of the covenants or agreements herein contained.
iv.
Entire Agreement This Agreement (including the Schedule and the
Enclosures) constitutes the entire agreement
between
the
parties hereto with respect to the subject matter of this Agreement,
and it supersedes all prior oral or written agreements, commitments
or understandings with respect to the matters that are the subject
of this Agreement.
v.
Amendment No amendment, modification or discharge of this
Agreement, or waiver of rights conferred by this Agreement, is valid
or binding unless set forth in a writing signed by both parties.
vi.
Assignment; Subcontracting This Agreement cannot be assigned
by either party without the prior written consent of the other party.
In case the proposed assignment is to an entity that is an affiliate of
the transferring party on the Effective Date, the other party's
consent may not be unreasonably withheld. For purposes of this
Agreement, an "affiliate" of a party means any corporation or other
entity that controls, is controlled by, or is under common control
with that party. PHSB may subcontract the performance of any of
its obligations hereunder, provided that PHSB remains responsible
for any payment to any subcontractor for the performance of
services.
vii.
Expenses Except for costs and expenses specifically assumed by or
imposed upon a party under this Agreement, each party hereto
will pay its own expenses related to this Agreement.

viii.
Governing Law; Forum Selection This Agreement and any claims
arising out of or relating to this Agreement will be governed by,
interpreted, and construed in accordance with the laws (without
regard to the conflict of laws rules) of Malaysia. The parties further
agree that any legal action or proceeding relating to this
Agreement will be instituted in the courts located in Malaysia.
ix.
Notices All notices, demands, requests, or other communications
that may be or are required to be given, served, or sent by any
party to any other party pursuant to this Agreement will be in
writing and will be (i) mailed by registered post, (ii) transmitted by
hand delivery (including hand delivery through a recognized
overnight delivery service), or (iii) transmitted by telegram or
facsimile if simultaneously sent by the method specified in (i), in
each case to the address set forth below the signature of the
respective party to this Agreement.
x.
Severability If any part of any provision of this Agreement or any
other agreement, document or writing given pursuant to or in
connection with this Agreement is invalid or unenforceable under
applicable law, the invalid provision will be ineffective to the extent
of such invalidity or unenforceability only, without in any way
affecting the remaining parts of the provision or the remaining
provisions of this Agreement.
xi.
Waiver No waiver of any breach of this Agreement will be
deemed to constitute a waiver of any subsequent breach of the
same or any other provision.
xii.
Independent Contractors The relationship between PHSB and the
Licensee under this Agreement is that of independent contractors
only. Nothing in this Agreement will be construed to establish a
partnership, joint venture, employer-employee, or agency
relationship between PHSB and the Licensee. Neither party has any
power or authority to bind the other party in any transaction.
xiii.
Time whatever stated shall be the essence of this agreement.
INDEMNITY &Damages
The PHSB agrees with the Customer that a.
PHSB shall perform all of its obligations under this Agreement at its
own risk, releases to the fullest extent permitted by law, the
Customer and their agents and servants from all claims and

demands of every kind resulting from any accident, damage, injury
or death arising from the provision of the Services and the
Customer shall have no responsibility or liability whatsoever in
relation to such accident, damage, injury or death;

The PHSB shall indemnify and keep indemnified the Customer from
and against all actions, suits, claim or demands, proceedings,
losses, damages, compensation, costs (including legal cost),
charges and expenses whatsoever to which the Customer shall or
may be or become liable in respect of or arising from i.
any loss or damage to property or injury of whatsoever
nature or kind and howsoever or wherever sustained or
caused or contributed to by the provision of the Services by
the PHSB to any person and not caused by the negligence
or willful act, default or omission of the Customer, its agents
or servants; or
ii.
any loss, damage or injury from any cause whatsoever to
property or persons affected by the provision of the Services
to the extent to which the same is occasioned or
contributed to by the act, omission, neglect, breach or
default of the Service Provider or personnel, servants, agents
or employees; and
The PHSB shall indemnify, protect and defend at its own cost and
expense the Customer and its agents and servants from and
against all actions, claims and liabilities arising out of acts done by
the PHSB in the performance of this Agreement including the use of
violation of any copyright works or literary property or patented
invention, article or appliances.
Liquidated Damages (LAD)
In the event PHSB failed to deliver the services within stimulated time in this
agreement, PHSB shall pay the customer calculated 30% based on 1/30 of
contract value per day of the late delivery.(Not Applicable)
