Details
Capital Projects & Operational Readiness
Mining companies historically face significant challenges developing and delivering capital projects to
meet the need for production while balancing speed, profitability, and safety. Over the last few years, PwC
identified several core differentiators to help mining clients drive value even during times of commodity
price decline and limited capital investment.
Basics of IFRS
In the Basics of Mining IFRS session you will learn about the mining specific issues facing companies in
applying IFRS accounting in their financial reporting. The session will review mining accounting through
the life cycle of a mine from exploration and evaluation stage companies through their development and
into production, and then reclamation. In addition specific issues around business combinations, asset
acquisitions, joint ventures and farm-in arrangements will be covered. The session will also cover some of
the hot topics in these areas that have recently been addressed and are currently being debated.
Tax Burden and its Impact in the Country’s Competitiveness, Comparative Mining Taxes,
& Fiscal Competitiveness
This session will compare the corporate tax regimes for mining companies operating in Canada, the US,
Chile, Peru and Mexico including significant country updates and impact on the country’s competitiveness
in the international market.
Mexico: 2014 and 2015 report on relevant transactions; New Mexican mining tax - current trends and
interpretations to the Law; electronic accounting filings; current position of the Mexican tax authorities in
respect to VAT request for refund; deduction for IT purposes of payments made to communities and unions
of workers.
Value Based Planning, Budgeting & Forecasting
Mining CFOs are frustrated because they spend more time (and expense) in producing budgets and
forecasts than they are receiving in related value. Companies need to have forecasts that are realistic and
meet the needs of all stakeholders to reflect actual, achievable operational performance.
This requires an improved linkage and alignment between Operations and Finance in the planning process:
to improve predictability of results and provide more accurate guidance to the “street” and other financial
stakeholders, because slight deviations in the ability to meet earnings forecasts can significantly impact
market capitalization.
Additionally, there is a need for enhanced support for decision making in Operations, resulting from better
understanding of the financial outcomes and costs / benefits from different operational decisions, to drive
alignment across the organization.
In this session we will discuss some of the tools and mechanisms to improve budgeting and forecasting
process and linking it to Life of Mine, enabling scenario analysis and continuous improvement to achieve
alignment from mine to the Corporate Office.
Anti-corruption trends in the mining industry
In the last several years, risks surrounding bribery and corruption have risen as prime concerns among
business leaders and nations alike. Corruption reduces economic output and can lead to economic
inequalities fuelling social and political change. A semblance of global alignment in anti-bribery and
corruption laws is taking shape, led by continued aggressive enforcement of the Corruption of Foreign
Public Officials Act (“CFPOA”), the Foreign Corrupt Practices Act (“FCPA”), and UK bribery Act (“UKBA”).
These acts not only proved to be important enforcement tools, but have also served as models for other
countries to follow. At the same time, global corruption investigations increasingly involve collaboration
among different countries, creating the beginnings of coordinated international dragnet. This session will
provide you with an overview of the different Anti-bribery and Corruption acts as well as an opportunity to
engage in discussions on practical Anti-Bribery and Corruption scenarios.
Cybersecurity in Mining
No topic today is gaining more visibility than cybersecurity. Boards are pressuring Management to
understand the plans that are in place to address this emerging risk. Leading mining companies are
investing in understanding what they need to do today to become more resilient in the face of a rising
number of incidents. This session will focus on leading practices within mining companies to understand
the threats to their operations, the actions they should be undertaking to reduce their risks (e.g., financial,
operational and reputational), and what they should be monitoring and why. PwC serves mining clients
globally, from the largest global players, to single site operations. Come learn from the collective insight of
our global professionals.
Tax Transparency & BEPS
There has been much public scrutiny surrounding multinational enterprises for paying their fair share
of tax which has led to an international Action Plan on Base Erosion and Profit Shifting or BEPS lead by
the OECD. This session will discuss (1) the basics of BEPS and its objectives, (2) the key initiatives that
are most relevant to mining multinational companies, (3) where the initiatives stand now with relevant
updates for North and South American companies, (4) where the initiatives may be going so you can
anticipate how it might impact you and, (5) what to watch out for in the coming years.
Merger and Acquisition Processes
In the M&A session we will discuss the current landscape of M&A in mining...and no it is not dead! We
will review some of the deals that have been done, and some of the key metrics driving deals at present.
In addition we will discuss the issues facing companies in getting a deal done, issues in undertaking a new
listing, and some of the things being done to help the process of raising money.
Fiscal CSR & Community Engagement: What has changed for Mining Companies?
Nowadays, social and environmental management is a topic going beyond the borders of the media. Often,
it is possible to find news related to projects facing legal actions or in-progress claims, but have project
developers acknowledged this situation? Are they adopting appropriate measures to prevent or face this
situation and achieve the social license enabling sustainability?
This session comprises a review of main facts, trends and opportunities to relate with communities,
according to our experience.
Optimising ERP/Control Processes to Manage Risk and Drive Efficiency
Managing controls on ERP is a long-term journey that starts on the implementation and grows along
with the business and ERP evolution. This session is meant to explore the diverse risks and challenges
that mining companies running ERPs face on segregation of duties, sensitive access, process controls, and
potential fraud to later introduce more efficient ways to reduce and monitor all those risks leveraging the
capabilities of the ERP.
HR Talent Management
Talent management in mining is very important for the industry. Talent availability will decrease and it
becomes essential to implement retention plans for key talent and also manage the expectations of the
new coming up generations. A view of global and Peruvian talent management trends and practices will be
shared.
Operating a Cost Effective Mine
It is no surprise that productivity and costs have been top of mind for mining CEOs for the last 3 years. In
this session, we will review the levers that can be used to improve the value of the business, how to drive
improvement programs, common pitfalls in implementing the change and best practices in the industry.
Main topics are: 1) How to create value in mining; 2) Opportunities in extraction and processing; 3)
Opportunities in Maintenance; 4) Opportunities in Procurement and Supply Chain; 4) Best practices and
pitfalls. This session will encourage the participation of the audience and sharing of experiences.
Tax Issues Related to Streaming and Royalty Agreements
In the streaming and royalty agreements session, we will discuss the most frequent and relevant tax issues
derived from both of them in the mining industry. We will describe the nature of each of these concepts,
analyzing its characteristics, particularities and requirements that may be necessary in order to enter into
such agreements with non-domiciled parties. In addition, we will review the convenience of using one
or another agreement in specific cases, taking into account all tax consequences that may arise for the
contracting parties.
IFRS & US GAAP Update
The IFRS & US GAAP update session will provide an overview of the key issues facing mining companies
in their accounting and financial reporting at the current time. Feedback from the AICPA conference, and
updates from regulator comment letters, as well as the Discussions Group of the IASB, will be covered. New
standards will be explained including the areas of financial instruments, revenue and leases, both from an
IFRS and U.S. perspective. And other key financial reporting updates will be considered around required
reporting on transparency and diversity reporting.
