Tecnoalarm is proud to spread this culture, these values and this knowledge around the world. 3 Advanced security solutions The Tecnoalarm research department has developed an extensive range of detectors for the three levels of intrusion protection: perimeter protections of the estate, those for the outdoor and the indoor of the building. The perimeter protection is made with long-range barriers, which have been specifically developed for outdoor installations like industrial sites, warehouses, courtyards or gardens. Barriers and detectors protect the outside of the building and the access ways like doors and windows. The indoor detectors capture the presence of intruders in each specific area of the building as well as sabotage attempts thanks to innovative anti-tamper protections like the antimasking control. The Tecnoalarm systems can be integrated with wireless components for an easy installation in inaccessible places. All the wireless devices are equipped with dual-band technology to ensure a good quality of transmission and reception of the wireless signals. RSC® technology (Remote Sensitivity Control) The RSC® technology is an innovative remote communication system between the alarm system and the Tecnoalarm software operated in the installer’s office. The sophisticated technology developed by the Tecnoalarm research department checks functioning of each device and prevents possible failures. 4 RDV® technology Another showpiece of Tecnoalarm is the RDV® technology (protected by international patent). It allows the final user to verify in real time if the alarm has been caused by an intrusion. The digital alarm signal is transformed into a particular sound signal whose intensity is directly proportional to the detected movement. This signal is sent to the user’s mobile phone or the central monitoring station for the necessary action. Advanced programming The advanced programming level, based on a software tool, is an expansion of the control panel’s programming facilities. It allows to control the functionality of each device, in order to maintain and continuously improve its performance. System configuration - The singularity of the RSC® technology (Remote Sensitivity Control) consists in the possibility of programming and checking, both locally and remotely, all the functioning parameters of the system, starting with those of the control panel to those of the detection and signaling devices. The analysis and diagnosis tools permit checking of the electrical and functional parameters of the RSC® peripherals on demand whenever it is considered necessary. Hardware coherence control - The Hardware coherence control tool analyzes the RSC devices and draws a system overview which contains all the logical and functional parameters. It identifies the connected devices, verifies the consistency of the serial address and configuration and indicates the hardware and firmware releases, the supply values as well as the internal temperature of the infrared detectors. The overview can serve as an inspection report in order to certify the efficiency of the system on the basis of objective data. Network analysis - The Network analysis tool constantly monitors all the communications of the devices connected to the RS485 serial lines, Serial Bus, Sensor Bus and Siren Bus, and verifies the correctness of the exchanged data. Two counters sum up all the communications and communication errors. The number of communication errors gives an indication of the quantity of electrical interferences and the quality of the serial line. The tool provides further support by comparing the counters and classifying the percentage of errors as insignificant, negligible or critical by means of colors. Barrier alignment monitor - The alignment monitor tool for the RSC® barriers permits electronic monitoring of the alignment of the beams, both locally and remotely. For each beam of the barrier, the tool shows the level of the captured signal, compares it with the reference values recorded during setup and classifies it as good, critical or insufficient with the help of a graduated scale and the colors green, yellow or red. Functioning monitor - The Functioning monitor tool permits the real time control of the RSC® detectors functioning. A graph shows the signal detected by the infrared, microwave or antimasking sensors. In addition, it is possible to consult the temperature logger and the last six alarms graphs. Alarm graphs - The alarms coming from the RSC® detectors are stored into the system’s event buffer together with a graph indicating functioning at the moment the alarm has occurred. By analyzing the graph it is possible to determine and understand the cause of the alarm. The RSC® detectors can store up to six graphs during each functioning session. Event log - The event log contains all the events relating to the system’s functioning, i.e. alarms, diagnostics and system status signaling. The events are stored in reverse chronological order, with indication of date and time and all the details concerning the functioning status as well as possible telephone calls. The affected zones, programs and remote controls are identified by a number or a description. The installer can download the event log at any time, in order to analyze the system’s functioning. Device window - The acquisition of data is essential to provide a professional maintenance service and the RSC® technology being a reliable tool of supervision, control and analysis is a useful innovation. The three buses are independent and use specific communication protocols. To ensure a high level of protection from tampering attempts, the Buses of the system are protected and the communication data are encrypted. Documentation and support With the hardware consistency tool the installer can produce a document that certifies system composition and efficiency of the devices. The RSC® detectors record detailed information for each type of event. In case of necessity, the installer can highlight his professionalism by providing to the customer precise answers, backed up by data recorded in the event memory and by the alarm graphs. Installation The RSC® technology allows a 70% reduction of wiring time and cost, a reduction and simplification of the wiring itself. At the end of the installation the hardware consistency tool checks for errors in the realization and programming stages. Each module generates two beams, each of which is composed of two close parallel beams. The interruption of the beam is analysed by discriminating the intervention of the two beams that make it up: a technique that greatly increases immunity to false alarms. The programming of the operation is independent for each beam and, for each of them, it is possible to choose any one of the multiple options for discrimination of the alarm provided for by the programming software. The alarm discrimination options include: the analysis of the number of beams interrupted at the same time or in a delta time, the time of interruption and the position that the beam occupies in the column. Orientation of the optical groups The two optical units that form the MODBEAM module are independently adjustable on the horizontal and vertical axis. The adjustment of the protection beam is carried out via two ring nuts that allow millimetric movements. The horizontal orientability +/-90° allows the installation of the column in perimeter configuration with diametrically opposite aiming of the two beams (180°). The vertical orientability of the beams by +/-10° allows to compensate for differences in height between the columns due to the irregularities of the ground. The compensation varies as a function of the distance from 1.7 m up to 10.5 m. Thermostatically controlled heater The column houses, depending on the model, up to two heaters that have the task to compensate the internal temperature in cases where it is particularly frigid. The thermostatical control of the heaters is guaranteed by the controller unit. 84 Anti-climb-over protection The top cap of the column interacts with the tamper board. The board contains a dual device capable of detecting opening and climb-over attempts. The anchor of the cover to the structure is swinging and its calibrated resilience allows to detect the pressure exerted when stepping onto the barrier. Management controller The controller manages the column and all the electronic devices that compose the column are connected to the controller. The controller of the RX column is connected to the control panel or to the expansion modules of the Speed Plus series and for the sync signals, to the corresponding controller of the TX column. PREMISES This document contains the general sales terms that govern the trading relations between Tecnoalarm S.r.l. (seller) and its customers (buyers), for any type of product and service. Although it is not explicitly specified, these terms are applied to all customers, that is professional customers. The terms are an integral part of the "Tecnoalarm general catalogue", and should be considered implicitly known to and accepted by the Customer in case of any purchase order sent to Tecnoalarm. The terms, if no other agreement (void if not in written form) exists, are to be considered as binding for the sale of any product of Tecnoalarm, with right for the latter to change them without notice and without prejudice to the validity of previous terms in force at the time of the order. Any different terms of the buyer shall not apply to the relations between the parties if not accepted in writing and, in this case, shall be coordinated with these terms, unless expressly exempted by written act. The acceptance of these terms and the accompanying warranty conditions, as well as all the reports, agreements, and generally, the subsequent behaviours of the parties eventually governed by the same, do not entail the transfer to the purchaser of any exclusive right, nor the establishment of relations of granting, commission and mandate, with or without representation, as well as do not give the purchaser the right to market the Tecnoalarm products via e-commerce, or any other form of mail order sales nor to use in any form the mark, the name or other distinctive marks of Tecnoalarm. 2. PURCHASE ORDERS No purchase order of Tecnoalarm products sent by the Customer shall be binding for Tecnoalarm if not expressly accepted in writing by it. The order by the buyer, accepted by the seller constitutes firm and irrevocable proposal of contract. Sending an order and collecting the goods by the buyer shall entail the contextual, integral recognition, knowledge and acceptance of the terms and the attached warranty conditions. Tecnoalarm is not bound, except with the express confirmation or subsequent ratification, by the declarations of its agents, business procurers, distributors and other commercial auxiliaries. The acceptance without expressed reservation by the buyer of products non-compliant in terms of type or quantity, or sent with conditions other than those contained in the request of the buyer or the offer of Tecnoalarm, implies the acceptance by the buyer of the supply and the terms proposed by Tecnoalarm. These reservations, even if made in the form of clarifications or corrections to the terms of supply, shall not be effective if they will not be formulated by the buyer in writing, immediately after the receipt of the goods. 3. ORDER PROCEDURES Except as provided in the previous article, Tecnoalarm only accepts orders executed according to the procedures provided for in this article. All orders must be submitted in writing and complete in every part needed for the correct identification of the requested Products. The Purchaser may request the cancellation or modification of the order only before the execution of the same, through written communication. Tecnoalarm has the right to not accept changes or cancellations of the order in relation to the state of progress of the order itself. The changes and the cancellation of the purchase orders, to be effective, must be expressly accepted by Tecnoalarm in writing. 4. DELIVERY OF THE PRODUCTS No purchase order of the products sent by the Customer will be fulfilled by Tecnoalarm if not expressly accepted. Unless otherwise agreed in writing between the parties, Tecnoalarm shall deliver the products "ex works" (EXW), at the Tecnoalarm plant, its subsidiaries or its decentralised warehouses, within the terms of delivery agreed on the acceptance of the order. If required, Tecnoalarm will take care of the transport of the products, choosing the carrier that it deems appropriate in the absence of specific instructions of the Customer. Unless otherwise specifically agreed in writing, the transport will take place with the clause "free on truck" at the expense and risk of the purchaser. The cost of the transport and the costs of packaging, unless otherwise agreed, will be added to the price of the products purchased. The delivery deadline shall be deemed to be respected if the goods is promptly provided to the carrier. In any case, Tecnoalarm shall not be liable for transport delays that cannot be imputed to it. In the case of delayed delivery, the buyer may cancel the part of the order not delivered only after having communicated to Tecnoalarm, by registered letter with proof of receipt or with certified e-mail his intention to do so, and after granting 15 weekdays, from receipt of such communication, within which Tecnoalarm can deliver all the products specified in the reminder and not already delivered. However, it is excluded any liability of Tecnoalarm for damages derived from delayed or total or partial non-delivery of the purchase order. The buyer that fails to collect the goods within the agreed time will have to repay to Tecnoalarm the storage costs of the goods until delivery or sale to third parties of the goods, which may take place after thirty days from the originally agreed delivery date. Failure to fulfil or delayed fulfilment of a partial delivery does not discharge from the obligation concerning the main delivery and will have no effect on other partial deliveries. 5. PRICES AND PAYMENT TERMS The prices specified by Tecnoalarm in quotations, order confirmations and invoices are based on the price list expressed in Euros, excluding VAT, in force on the day on which the order has been confirmed. Unless otherwise specified, all prices are net of transportation, and any other tax, fee and locally due rate. The applicable taxes are those in force at the date of billing. Any value date discount on the prices charged by Tecnoalarm shall only be valid if agreed to in writing and will be applicable only in case of full compliance with the payment terms fixed. In any event, any discounts offered will not be extendable to supplies, also of similar goods or identical products, performed prior to or subsequent to the order to which the discount applies. If changes occur in the costs of raw materials and/or the workforce used by Tecnoalarm, such as to change by more than 10% the original balance of the agreement, the price will be adjusted in proportion, with the option of the parties to terminate the agreement within 10 days from the notice of the variation in the price. The invoices of Tecnoalarm are accepted if they are not challenged in writing by the buyer within 14 days of their receipt. Unless otherwise specifically agreed in writing, the method of payment and the related terms are those previously agreed with Tecnoalarm, as resulting from the relative "personal data". Any payments made to the agents of Tecnoalarm should be previously authorized in writing by the latter. Otherwise, any payment made to subjects not previously authorized for collection, shall not have the effect of settling the debt. Any instruments of credit accepted by Tecnoalarm is subject to collection. Any delay or irregularity in the payment shall give Tecnoalarm the right to suspend deliveries and/or terminate the contracts and/or cancel orders in progress, even if not related to the payments in question, and the right to compensation for any damages. From the date of expiry of the payment, the overdue interests at the legal rate provided for in D. Lgs. 231/2002 as amended by D. Lgs 192/2012 shall be entirely due. In no event the buyer will be authorized to reduce or offset the price with any credit, however occurring, against Tecnoalarm, unless prior written permission of the latter is granted. For the attribution of the payment, reference will be made in each case to the provisions of art. 1193 co. 2 c.c.. The buyer is obliged to complete payment, even in the event of a dispute or controversy, according to the condition "solve et repete". 6. RETENTION OF TITLE In the case where the payment is carried out, in whole or in part, after delivery, the delivered products shall remain the property of Tecnoalarm up to the full payment of the agreed price, within the meaning of article 1523 c.c.. Tecnoalarm shall have the right to repossess any product with retention of title and the buyer shall bear the costs. Tecnoalarm may withhold as penalty any sum received as payment, without prejudice to the right to compensation for the greater damage. Where the buyer relinquishes the products to any third party, the rights of Tecnoalarm shall be transferred to the price for the sale of products up to the full payment. 7. DESCRIPTIONS AND TECHNICAL SPECIFICATIONS OF THE PRODUCTS The technical data, dimensions, features, capacity, colours, weights, prices and any other data relating to the products contained in the technical and advertising documentation of Tecnoalarm, as well as the characteristics of the samples and models which may be provided to the purchaser, are merely indicative and are not binding, unless to the extent that they were expressly mentioned as such in the offer and/or in the written acceptance by Tecnoalarm. Any statements or advertising of third parties in no way bind Tecnoalarm. Any design or technical document that enables to manufacture the products sold or their parts provided to the purchaser remains the exclusive property of Tecnoalarm and shall not be copied, reproduced, transmitted to third parties or however used without the prior written consent of Tecnoalarm, which also remains exclusive holder of each intellectual or industrial property rights relating to the products. Tecnoalarm reserves the right, at its sole discretion and without the necessity of any notice, to make the changes deemed most appropriate that do not adversely affect the functionality, the quality, and the aesthetics of the product itself, with the only obligation to inform the Customer about the changes. 150 GENERAL SALES TERMS 8. GUARANTEE OF THE SELLER Unless otherwise agreed in writing between the parties, Tecnoalarm ensures that its products (with the exclusion of those parts which are not directly produced) are free from flaws/defects for a period of two (2) years from the date of delivery of the goods to the buyer. The warranty does not operate with reference to those products whose defects are due to: a. damage caused during transport b. negligent use or improper handling of the same c. failure to comply with the instructions of Tecnoalarm relating to the assembly and/or operation of the products d. no ordinary maintenance and preservation of the products e. normal wear and tear of moving parts f. repairs and/or changes made by the buyer or by third parties without the prior written permission of Tecnoalarm. Tecnoalarm will, in its sole discretion, replace or repair each product or parts of it that have defects, provided that the claim of the buyer is covered by warranty and notified within the deadlines referred to in this article. The buyer shall notice, under penalty of loss of the right to appeal, Tecnoalarm about the presence of defects within eight days from delivery of the products, in case of manifest defects, or within eight days from discovery in the case of hidden defects or of defects not detectable by a person with average diligence. After the above deadlines have expired, the products are considered as permanently accepted. Claims must be made in writing and must indicate in detail the alleged defects or non-conformities, as well as the references to the relevant invoice, DDT or order confirmation by Tecnoalarm. In addition, upon request of Tecnoalarm, adequate photographic documentation must be attached to the claims. Incomplete claims will not be covered by the warranty. The products subject to complaint should be immediately sent to the headquarters of Tecnoalarm, or to any other place that the latter will indicate from time to time, with costs and expenses of exclusive responsibility of the buyer, unless otherwise agreed between the parties, in order to allow Tecnoalarm to complete the necessary checks. This guarantee does not cover any damage or defects of the products resulting from faults caused by, or related to, parts assembled/added directly by the buyer. If a claim is totally or partially unfounded, the buyer shall indemnify Tecnoalarm of all the costs incurred for the checks. In every case, the buyer shall not assert any warranty rights toward Tecnoalarm if the price of the products has not been paid according to the conditions and terms agreed. Tecnoalarm shall not be responsible for any damage arising and/or connected to defects of the products, except in the case of serious malice or fault. In any case, Tecnoalarm shall not be liable for incidental or consequential damages of any nature, such as losses arising from inactivity or loss of earnings of the buyer. 9. RESPONSIBILITY OF THE MANUFACTURER. The products with Tecnoalarm brand are manufactured in accordance to the regulations in force in Italy and in the European Union. Tecnoalarm is responsible for damages to persons or property arising from the products sold, only in the event of its proven gross negligence in the manufacture of the products themselves. In no event, it shall be considered liable for incidental or consequential damages, loss of production or lost profits. Except as provided above, the buyer shall not consider Tecnoalarm liable in all the actions of third parties based on liability arising from products sold to it and shall indemnify the damage caused by the demands in question. 10. FORCE MAJEURE In all cases of force majeure occurring (including but not limited to: lack of supply of raw materials, significant predictable increases of the same, fire, flood, disturbances in the transport sector, strikes, lock-outs or other similar events, which prevent or reduce the productive capacity of Tecnoalarm or block the transport between the plant of Tecnoalarm and the place of destination of the products), Tecnoalarm shall be entitled to an extension of up to 90 days, extendible to up to 180 days in the most serious cases, of the deadline for the delivery of the products, provided that it promptly notices in writing the buyer about the occurrence of force majeure. After the above time limits and subsisting the condition of force majeure, the buyer may terminate this agreement by giving written notice to Tecnoalarm by means of registered letter with proof of receipt or certified e-mail. 11. CHANGES AND INTERPRETATION OF THE TERMS For the interpretation of these terms, only the original Italian text shall be considered legally binding. Every reference to documents such as price lists, general terms of sale or other material from Tecnoalarm or third parties is meant as referring to the above mentioned documents in force at the time of the reference itself, unless otherwise specified. Any modification or integration made by the parties to the agreements to which these terms apply, must be made in writing, otherwise they will be void. The derogation to one or more provisions of these terms should not be interpreted extensively or by analogy and does not imply the desire to waive the terms in their entirety. 12. APPLICABLE LAW For whatever not expressly provided in these terms, the rules laid down by the Italian law, or, alternatively, the uses and practices, shall apply. In the case of international sale, the terms and conditions of sale, for whatever not explicitly regulated by these terms, will be governed by the Vienna Convention of 1980 on the international sale of goods. In order to interpret the terms of return and other commercial terms possibly used by the parties, the Incoterms of the International Chamber of Commerce in Paris apply. Any foreign uses and conventions are not binding in any way for Tecnoalarm. 13. DISPUTES AND COMPETENT COURT For any disputes regarding or in any way connected to the agreements to which these terms apply, the only competent Court is that of Turin, Italy. 14. CONFIDENTIALITY Any production technology and/or information of the parties (including expedients, design and information) whether or not patented, shall be treated as essentially confidential and shall not be used or disclosed in the absence of prior written permission. 15. FINAL PROVISIONS Any communication between the Parties shall be sent to the respective addresses resulting from the business correspondence exchanged. If Tecnoalarm fails to: a. have one of the following terms executed b. require to the buyer to perform any provision of these terms, this may not be construed as present or future waiver of that provision, nor in any way affect the right of Tecnoalarm to have each of the provisions executed in the future. The express waiver by Tecnoalarm of any of the provisions of these terms does not constitute a waiver to their future respect by the buyer.
