COMMERCIAL LITIGATION ISSUES OF INTEREST

Your client, a food wholesaler based in New York, obtained a default judgment against a New Jersey company
that purchased goods from your client by telephone order and accepted delivery in New Jersey. The purchaser has moved
to vacate the judgment, arguing that New York lacks personal jurisdiction over the New Jersey company. The out-of
state purchaser has a website, which solicits business from New York by touting that it delivers to New York. In fact,
however, the purchaser is not authorized to do business in New York, and has never actually delivered any goods to New
York. You defend by citing CPLR § 302(a)(1), which provides for long-arm jurisdiction for a single act of transacting
business in New York.
Will you succeed in defeating the motion to vacate the default judgment?
The answer is no.
In Egg Dragon Int’l Trading, Inc. v Best Buy Foodservice, Inc., 600184/14, NYLJ 1202721564560 at *1 (Sup Ct
Nassau Co, March 17, 2015), the plaintiff was a wholesaler of fresh and frozen produce in North Babylon, New York.
The defendant, a New Jersey company located in Paterson, New Jersey, was solicited by the plaintiff to purchase goods.
The defendant placed an order by telephone and/or fax, and accepted delivery of the goods in New Jersey. The plaintiff
obtained a default judgment from the county clerk in favor of the plaintiff for $26,788.32.
The defendant moved to vacate the judgment, arguing that New York had no personal jurisdiction over it,
because the defendant did not transact business in New York. The plaintiff countered that the defendant’s website
indicates that it delivers to New York, and noted that the plaintiff purchased goods from the New York plaintiff. In reply,
the defendant explained that the website was prepared with the expectation of serving customers in New York, but the
defendant never took steps to be authorized to do business in New York, and has not delivered to New York or
transacted business in New York.
The Court began by noting that CPLR § 302(a)(1) is a “single act statute,” and one transaction in New York is
sufficient to invoke jurisdiction, even if the defendant never enters New York, so long as the defendant’s activities were
purposeful and there is a substantial relationship between the transaction and the claim asserted, citing Kreutter v
McFadden Oil Corp., 71 NY2d 460 (1988).
The Court noted that the defendant must purposefully avail itself of the benefits and protections of this State,
citing
Southern Industries of Clover, Ltd. v Tex-Cellence, Inc., 7 Misc.3d 1007(A) (Sup Ct Bronx Co 2005). It is well
-stablished, said the Court, “that a foreign defendant whose only contact with New York is the purchase of goods by
telephone or mail form a New York plaintiff is not subject to long-arm jurisdiction under the ‘transacts any business’ test
of CPLR § 302(a)(1),” citing Concrete Pipe & Prods Corp. v Modern Bldg Materials, Inc., 213 AD2d 1023 (4th Dep’t
1995).
Here, the only contact that the defendant had with New York was the solicitation by website. All activities in
New York were performed by the plaintiff. The judgment was, therefore, vacated, and the action dismissed.
The lesson? Advise clients who sell products to out-of-state purchasers not to accept orders by telephone, and to
require a signed purchase order that provides for jurisdiction in New York.

A PLAN FOR NEW MEMBERSHIP
The question of “value vs. cost of membership” always rattles around in my mind when deciding whether to join or continue
membership in an organization. Should I pass on it or write a check? I suspect we all do it and there are many lawyers in Rockland
County who “pass on it” when it comes to joining the Rockland County Bar Association. Those lawyers, apparently, do not see the
value of membership. (According to data I’ve seen, our membership represents less than one-quarter of all lawyers who live or
practice in Rockland County.) It seems to me that we need to grow our membership in order to be a more vibrant and worthwhile
organization. To meet our objectives going forward and to pay for the quality and quantity of the programs we want, we need a
growing membership with new people with new ideas.
When our Bar Association was formed in 1893 to address the needs of a small group of lawyers, they saw value in creating a
society of ‘legal professionals’ in Rockland County. Many years later each of us joined because we, too, saw value in affiliation.
We belong because when we joined we had a vision of the benefits of membership.
The new Membership Committee is in the early stages of planning a marketing strategy to help the three or four lawyers in
Rockland who are not affiliated find value in membership. If you have marketing experience or feel you can contribute in some

Uniform Bar Examination

I am writing to express grave reservations about introduction of the Uniform Bar Examination (“UBE”) that
has been proposed for adoption for New York State. New York, like all other states until the very recent past, has
developed and managed its own Bar Examination and Attorney Admission system independent of other
jurisdictions. That system typically permitted an overall bar pass rate of 70 to 85%. It was believed that the Board of
Law Examiners would modify the test to make it more, or in some years slightly less, difficult to manage the number
of attorneys being admitted to practice in this state.
Introduction of the UBE promises to make unquestioned, unfiltered reciprocity of practice in New York and
other states administering the UBE, the rule. Without a doubt, members of other UBE state bars, particularly those in
contiguous or nearby states, will freely explore and utilize opportunities for practice in the lucrative legal
marketplace of New York. Some UBE proponents might argue that more attorneys practicing in New York State
means the legal needs of underserved New York residents will be better met. This is a fallacy. Attorneys physically
situated in their home states will merely look upon the open door policy for New York practice as an invitation
to pursue larger fees at higher hourly rates. Out-of-state attorneys can hardly be expected to show concern for the
truly underserved portions of New York State’s citizenry, particularly in upstate populations removed from the
financial power center of New York City and immediate environs.
Permitting potentially thousands of newly “admitted” attorneys to descend on New York City, Long Island
and the lower Hudson Valley to troll for clients will create an even harsher, crowded field in an already overcrowded
market. Moreover, these aggressively marketing out-of-state attorneys may be savvy and have the energy to compete
for clients in New York State, but they will be truly ignorant of the overwhelming body of New York common law,
statutory and regulatory guidelines. With the UBE offering unfiltered, unregulated admission into New York State
practice, there is no incentive for their acquiring at least a passing knowledge of New York law. Nor have UBE
proponents put much discussion into the problem of attorney discipline and jurisdictional issues inherent in
developing a system where a large body of attorneys situated far from the borders of New York have harmed clients
or committed malpractice in a New York State venue.
New York State permits pro hac vice admissions, as do other jurisdictions. In addition, it permits admission
without examination to attorneys of other states with similar reciprocity rules, who have practiced in such state for
five of the last seven years prior to applying for admission to New York. This process is probably underused, but is
available for qualified, experienced attorneys who truly have a desire to move their practice, or add New York State
to their practice. This process represents a measured, sensible approach to the question of admission to New York
practice from other jurisdictions. It requires far more thought and planning than merely checking a box on a (UBE)
bar exam form.
In short, the economic pressure the UBE would place on attorneys practicing in New York, particularly in
the lower twelve counties, and the issue of managing and disciplining ill-trained attorneys scattered across far– flung
jurisdictions, render the implementation of the UBE in New York a debacle waiting to happen. On the other hand, I
see no advantage of any kind to New York citizens or bar members. The UBE-empowered attorney is not coming to
New York to seek out a lower paying or stipend position to help, e.g., unrepresented tenants in housing court, or a
poor family facing foreclosure. They are here only to cherry-pick lucrative clients and situations.
New York State should resolve to vote against the UBE. It will truly be an abomination for all those
presently within its boundaries.

12 Tips from Lawyer Assistance Program
These tips are offered to aids in one’s personal life. The following are the suggested steps of
Alcohol Anonymous, a proven self-help organization.

Recognize I have a problem. Denial is a barrier to moving on.
Accept that another party can assist with the situation. Discuss the situation with a trusted friend. Seek counseling.
Trust that another party can handle the responsibility. Let go of ownership of the problem and assign mechanics to a
professional.
4. Examine myself. What are my strengths? What are my weaknesses? What do I wish to keep? What do I wish to
change?
5. Recognize my weaknesses by revealing them to a trusted party; communicate my willingness to change?
6. Prepare to make change. Resolve I will be a different person, for the better.
7. Take the action to change. Move from resolution to doing.
8. List persons to strengthen our relationship. Improve communication with people in our lives.
9. Actually talk, see, and be with the people that are in your life. Be active; be personable.
10. Do a regular inventory of myself. Periodically take stock of where I’m at, where I’ve been and where I’m going. List
my plusses and minuses. Recognize where I need to improve.
11. Use mediation. Practice speaking my wishes. Learn to listen to the whispering of serendipity; to hear things I missed
in the past.
12. Help others. Be active in the community. Offer to do things that contribute to the larger world.

“MANDATORY TRAINING”
Individuals who are seeking state-paid elective judicial
office must complete a judicial campaign ethics training
program. 22NYCRR 100.5(A)(4)(f); 100.6(A); NY Rules of
Professional Conduct, Rule 8.2(b). Candidates for town or
village justice are exempt. The training program for 2015
will be available for viewing on-line. The training should be
completed no later than 30 days after the date of receiving
the nomination. For candidates running in a primary, the
deadline is 30 days after filing a designating petition with
the Board of Elections. Training taken in one election cycle
does not “carry over” into subsequent years.

These are general classes that offer no CLE credit.
