Not only has the iconic International Centre, Telford, secured a wellwell-deserved place as one of
the top five Convention Centres in
in the UK – alongside Manchester Central, the NEC, and
Liverpool – but with the £250 million Heart of Telford Southwater development well underway,
it’s also experiencing somewhat of a renaissance.
The Telford International Centre now boasts a new event suite for up to 1,500 delegates, new
syndicate and meeting rooms, a new public concourse and gallery area, plus brand new entrances and
additional car parking. And just outside The International Centre, Telford, a vibrant and aspirational
pedestrianised area is being developed, packed full of high end eateries, vibrant bars and fabulous
leisure venues, with purpose-designed quiet outside areas to sit and contemplate and public squares
for smaller events and activities.

BVNA Congress is a unique event for everyone in the veterinary nursing community. The 2016 event
will provide excellent opportunities for exhibitors to engage and communicate with the VN community
to raise the profile of your company, products or services. We are delighted to be returning to Telford
International Centre in 2016 and for exhibitors this offers one large exhibition hall under the same
roof as lectures and workshops. This will ensure maximum traffic and delegate interaction.

place for three days.

Selected stand spaces are available with or without shell scheme throughout the hall, however ALL stands
around the perimeter of the hall are shell scheme only.

of display/backing to their stand. Please be aware that space only stands will need a backdrop/display as you
may have another company backing directly onto you.
STAND ALLOCATION
Stand allocation will be on a first come, first served basis. When submitting your booking form, please indicate
your preferred area of the hall and we will do our utmost to accommodate your request.
SHELL SCHEME
This is the name given to the pre-erected rows of stands
where you simply turn up and dress the stand. Includes:

Strip lighting
Panels are covered in fire retardant grey material which accepts
Velcro fixings. Under no circumstances must anything be
nailed, screwed or glued to the shell scheme panels or
metalwork of the stand. All damage will be charged to the
exhibitor at full replacement cost. Panels are attached to each
other by aluminium uprights which stand 20mm proud.
SPACE ONLY
This means you simply get an area of floor within the exhibition and
you provide the rest. Includes:

Standard tables and chairs are available for hire and must be ordered in advance using the booking form
provided. The tables will require covering, as cloths are not provided.

REPRESENTATIVE BADGES
Each stand is limited to a maximum of 6 representatives per 3 metre stand and 12 representatives per 6 or 9
metre stand during the event. Please complete and return the enclosed badge request form no later than 31
August giving details of your representatives. No alterations can be made after 30 September 2016.
Additional representative badges can be purchased at a cost of £10.00. No entry to lectures/workshops will be
permitted with these passes. We do hope that you appreciate the necessity for this limitation.
Badges will be supplied for your company’s representatives and must be worn at all times. Badges will not be
available on the day. NO BADGE, NO ADMISSION!
Each company will be issued with ONE lecture pass. Entry into lectures is subject to available space (delegates
and sponsors will be seated first). These lecture badges will only gain an Exhibitor entry into a lecture (workshops
not included) when accompanied by an Exhibitor’s badge and may only be used by employees of the exhibiting
company. CPD certificates are NOT issued via the use of this badge. Anyone wishes to gain CPD hours MUST be
registered as a delegate.
Exhibiting companies sponsoring a lecture will be permitted two free passes to be used on that lecture only.

Please note that contractors erecting & dismantling stands on Thursday, Friday morning & Sunday afternoon will
not require a badge.
ELECTRICITY SUPPLY
Electricity supply is NOT standard. Supplies to individual stands are available but MUST BE BOOKED IN
ADVANCE using the booking form provided.
There will be an electrician on standby throughout Congress, who can be contacted via the BVNA stand.
INTERNET ACCESS
Wireless Internet access is also available throughout the centre. A hard wired internet connection can be
requested on the booking forms provided.
LEAD REFERENCE
REFERENCE BAR CODE SCANNER
One lead reference bar code scanner per company* is FREE OF CHARGE. We only have a limited number of
scanners available and this MUST be booked in advance using the appropriate form. Additional scanners can be
hired on the booking form provided at a cost of £100.00 + VAT each.

LIGHTING
Strip lighting is included on ALL shell scheme stands. You may upgrade to spot lights which can requested on
the booking forms provided.
CARPET
The exhibition hall will be fully carpeted in grey. Alternative carpet colours can be ordered for your stand
through our contractors.
CREDIT CARD MACHINES
If you are intending on using a credit card machine via a mobile phone network, please contact The International
Centre who will advise which network provides the best reception in the area.
LUNCH BAGS
Please order your representatives lunch bags by completing and returning the booking form provided.
EXHIBITORS LOUNGE
An exhibitors’ lounge will be available which will allow exhibitors to relax, take a break and eat their lunch in a
quiet space. Meetings are NOT to be held in this lounge. Complimentary tea and coffee will be supplied in the
exhibition hall at a designated station to those displaying an official exhibitor’s badge.
INSURANCE
Exhibitors are required to arrange Insurance cover for their liabilities whilst exhibiting at the Congress.
Whilst BVNA take every precaution to protect exhibitor’s property during the event, BVNA are not responsible
for any loss or damage that may occur.
AIRSHIPS, BLIMPS & BALLOONS
The use of these within the venue is strictly regulated. Applications for permission to use them must be
submitted to the venue in writing, together with a risk assessment and method statements. The following must
be considered when carrying out the risk assessment:
• The use of gas or batteries
• Obstacles within the exhibition, including drop wires, cables, truss, stands and signage
• The possibility of items falling from them
Compliance with the venues specific regulations
Operators must remain in visual contact with the airship at all times and within radio range. Exit signs and fire
detection beams must not be obscured at any time. Blimps must be tethered, at all times, to a secure weight
that is placed so as not to cause a hazard to exhibitors, their staff and visitors. A charge will be made for retrieval
if any escape to the roof or for any damage to the air-handling units and in house security and fire alarm beams.
CAR PARKING
The venue has free car parking for over 1500 vehicles. BVNA would ask that exhibitors and their contractors are
considerate to each other when loading & unloading. Due to previous unloading & loading problems the main
access door will be kept clear to ensure that everyone is able to gain access.
CATERING
Food & drinks will be available to purchase from the venue during congress. Lunch bags for exhibitors are
available to book.
DELIVERIES
Telford International Centre cannot accept any deliveries on site prior to the official build-up dates of the event.
Any deliveries prior to Thursday 6 October will be refused.
Deliveries received during the event must be clearly addressed to the BVNA Congress (Exhibition Hall), marked
with the company name and stand number clearly. All couriers must report to the registration desk where a
steward will contact the personnel on the stand concerned. BVNA does not accept responsibility for any
lost/stolen deliveries or non-deliveries. BVNA WILL NOT accept deliveries on your behalf.
DILAPIDATIONS
Any damage to the exhibition hall or shell scheme attributable to exhibitors will be charged in full. Exhibitors are
reminded to pay particular attention to regulations governing the fixing of materials to the hall walls or shell
scheme if provided.
FIRE EXTINGUISHERS
EXTINGUISHERS
Water and CO2 fire extinguishers will be placed throughout the complex. Each stand holder must ensure that
stand personnel are fully conversant with the proper use of this equipment and the location of the nearest fire
point.
FIRST AID AND MEDICAL
MED ICAL PROCEDURES
A medical representative is available on site throughout the event. Please contact the Telford International
Centre on arrival for details of location.
MEETING ROOM HIRE
The BVNA have access to a meeting room which is available for hire to companies at £100 per hour (subject to
availability). Please contact the BVNA to enquire on availability.
STORAGE AND SECURITY
Unfortunately there is very limited storage space available at the venue, and therefore there will be no storage
facilities available for exhibitors. Full responsibility of all stands, equipment and merchandise remains with the
exhibitor themselves. The BVNA are unable to accept any liability.
TROLLEYS
The BVNA does not provide trolleys for use by exhibitors. You are advised to make your own arrangements
should you require the use of a trolley for conveying exhibition materials.
STAND SET UP
Set up will be from 2.00pm – 10.00pm in the exhibition hall on Thursday 6 October 2016* and from 7.00am –
11.45am on Friday 7 October 2016. You will be required to have your stand fully erected by 11.45am as the
exhibition officially opens at 12.00pm. Any company failing to erect their stand before the opening will be
refused access and the space will be used as decided by the BVNA. *by prior

STAND BREAK DOWN
The exhibition will close to delegates at 2.30 p.m. on Sunday 9 October 2016 and stand dismantling may only
commence after this time.
EXHIBITORS ARE NOT TO DISMANTLE THEIR STANDS BEFORE THIS TIME. THIS IS A HEALTH & SAFETY
REQUIREMENT WE HAVE TO ADHERE TO FOR PUBLIC SAFETY.
Any property left behind after the end of tenancy for the event will be removed & any costs associated with
dismantling and/or disposing of the property will be passed onto the exhibiting company.
CANCELLATIONS
Should you need to cancel your booking, the following will apply:
More than 9 months prior to the event
Between 6 and 9 months prior to the event
Less than 6 more prior to the event
20% of total charge
50% of total charge
100% of total charge
All cancellations MUST be made in writing.
* If stand space can be reallocated a 25% refund will be available
BVNA reserves the right to alter the layout of the exhibition in any respect, at any time and also reserves the
right to refuse any application for space at the exhibition and shall not be required to assign or give any reason
for the refusal.
SPONSORSHIP
A number of areas are available for sponsorship; please see the ‘Sponsorship Packages’ document for further
details or contact Angela Mariconda at the BVNA Office.
DELEGATE BAG INCLUSIONS
All delegates receive with their registration a delegate bag which can include various product information
leaflets. If you wish to include your promotional literature within these bags, the cost will be £ 350.00 plus VAT
for 1,500 inserts. Your inclusion should be no larger than one A4 size single sheet (can be double-sided) and is
limited to one inclusion per company.
If you are interested in including your literature within the delegates’ bags, please contact Angela Mariconda at
the BVNA office for further details. All literature will need to be available no later than 31 August.
Please do NOT send any literature to the BVNA office, otherwise it will be returned to you at your own expense.
Full details of where to send the literature will be provided when invoiced.
SOCIAL EVENTS
The social events at this year’s congress will include:

VENUE HEALTH & SAFETY
Please see document Telford International Centre Organisers Manual which
includes the new CDM 2015 Regulations.
ALL exhibitors and contractors MUST read the Telford International Centre
Site Induction Manual and then complete the form on the next page
CDM (Construction, Design, Management) 2015 Regulations are now being enforced in the exhibition
and events sector (with effect from the 6th April 2015).
A requirement of CDM is that in order to gain access to the site during build up and breakdown
periods, all persons must have completed a site induction prior to their arrival. To comply with this
requirement, you will have received a copy of the International Centre Site Induction along with this
declaration, which should be distributed to and read by all persons who will be attending site during
these periods.
Under the new HSE CDM regulations, the exhibitor and the stand contractor are fully responsible for
health & safety on your stand. If there is an incident and the person injured has not seen the video or
read the induction sheets you could be liable for prosecution under criminal law.

BVNA CONGRESS 2016 TERMS & CONDITIONS
1. DEFINITIONS
In these Terms and Conditions the following expressions shall,
unless the context otherwise requires, have the following
meanings:
‘‘Additional Regulations’’ means the regulations issued by the
Hall Owner in relation to exhibitions mounted at the Halls.
‘‘Contract for Space’’ means the binding contract relating to the
acceptance by the Organiser of the application for Space by the
Exhibitor in accordance with clause 3 below;
‘‘Dismantling Period’’ means the period for removal of all Exhibits
and Stands from the Halls.
‘‘Agreement’’ means the agreement between the Exhibitor and
the Organiser for the Exhibitor to occupy space at the Exhibition
contained in the Contract, these Terms and Conditions and the
Additional Regulations.
‘‘Exhibition’’ means BVNA Congress 2016 including any sectional
exhibition associated with it.
’’Exhibitor’’ means any person to whom space at the Exhibition
shall have been allotted under the Contract and shall include all
staff, employees, servants and agents of such person.
’’Exhibit’’ means any article so described by the Exhibitor and
permitted by the Organiser to be exhibited.
’’Hall Owner’’ means the proprietor of the Halls, together with its
agents, employees and workmen.
’’Halls’’ means the Exhibition Halls in which the Exhibition shall
take place.
’’Installation Period’’ means the period for the installation of all
Exhibits and Stands at the Halls.
’’Organiser’’ means BVNA Limited and/or others appointed by
them to organise the Exhibition together with their agents,
servants and workmen.
’’Space’’ means the area allotted to the Exhibitor by the
Organiser.
’’Stand’’ means all erections on the Space.
’’Shell Scheme’’ means that part of the Stand to be constructed
by the
Organiser and conforming with the specifications for its type
specified in the appropriate brochure.
2. DURATION OF EXHIBITION AND TIMETABLE
Details of the times and dates of:
A the exhibition, B the Open Hours, C the Installation Period; and
D the Dismantling Period are or will be as stipulated by the
Organiser in the Exhibition Manual or otherwise.
3. CONTRACT FOR SPACE
Applications for Space must be made on the Organiser’s official
Space application form which is provided by the Organiser from
time to time. The
Organiser may at its sole discretion accept applications by other
means. In any event, these Terms and Conditions shall apply to
all applications for Space.
The Organiser reserves the right to accept or reject any
application for Space from any potential Exhibitor, whether or
not the application has been made on the Organiser’s standard
form and whether or not all or part of the payment for Space has
been made. A binding Contract for Space shall come into force
only when the Organiser has signed a written acceptance of a
particular Exhibitor’s application for Space and has sent that
written acceptance to that Exhibitor.
The Organiser is not bound to accept an application for Space
from a potential Exhibitor for the Exhibition even if it has
accepted an application for Space from that Exhibitor for another
exhibition. There is no automatic right for an Exhibitor to
participate in any subsequent exhibition.
’’Signatory on Contract For Space’’ means the person or persons
signing the exhibition space contract on behalf of the Exhibitor
shall be deemed to have full authority to do so on behalf of the
Exhibitor and the Exhibitor shall have no right to claim against
the Organiser that such person or persons did not have such
authority.
4. OCCUPATION OF STAND
Subject to the rights of the Organiser in this Agreement, the
Exhibitor shall have licence to occupy the Space for the purpose
of displaying
Exhibits and other articles, items and materials within the scope
of the Exhibition for the duration of the Exhibition. The Exhibitor
shall install its Exhibits, articles, items, materials and Stands
during the Installation Period and remove its Exhibits, articles,
items, materials and Stands during the Dismantling Period. The
Organiser and the Hall Owner shall be permitted to have access
to the Stand and the Space at all times.
5. PAYMENT
The Exhibitor shall pay the Organiser in accordance with the
payment details set out in the Contract for Space. The Organiser
reserves the right to refuse to let the Exhibitor occupy the Space
if the Organiser has not received cleared funds of all payments
due from the Exhibitor before the due dates. Unless otherwise
stated, all sums stated are exclusive of VAT, which (if applicable)
the Exhibitor shall pay to the Organiser in addition.
The Exhibitor shall pay all other sums due to the Organiser within
7 days of the date of the Organiser’s invoice for each sum.
Unless otherwise stated. In consideration of the Exhibitor
entering into the Contract with the Organiser in accordance with
the provisions of section 3 the Exhibitor agrees to hold all its (or
its agents) Exhibits, fittings, machinery, tools or other goods to
the order of the Organiser pending receipt by the Organiser of all
sums due and owing to the Organiser by the Exhibitor. All
Exhibitors who are not domiciled in the United Kingdom shall
make all payments by credit card, bank transfer or by sterling
cheque or bank draft drawn on a bank in the United Kingdom.
If there is any payment still due to the Organiser less than
fourteen days before the opening of the Exhibition, the Exhibitor
shall pay the Organiser by bank transfer or credit card. The
Organiser reserves the right to refuse cheque payments. The
Exhibitor shall not be entitled to withhold any payment in whole
or in part on the ground that it has a claim, counterclaim or setoff against the Organiser.
6. CANCELLATION BY EXHIBITOR
A) In the event that the Exhibitor:
i. requests that it cancels its Space booking after acceptance by
the Organiser; or
ii. fails to meet any of the payment obligations (whether as to
the amounts due or dates of payment) detailed in the Contract
For Space; or
iii. fails to occupy the Space allotted to it by the opening time on
the first day of the Exhibition, THEN the Organiser reserves the
right (but without being obliged to do so) to treat the Contract
For Space as being cancelled and apply the following cancellation
charges and to re-allocate the Space booked to another

B) If the Exhibitor wishes to cancel the Contract For Space, then
written notice of such wish must be forwarded to and received
by the Organiser by recorded delivery post by not later than the
dates referred to in the table above.
C) The Organiser shall not be obliged to accept the Exhibitor’s
request to cancel its booking for Space.
D) Notwithstanding that the Organiser may re-sell or re-allocate
the cancelled Space after cancellation by the Exhibitor, the
Organiser shall be under no obligation to reimburse all or any
part of a cancellation charge.
E) The Exhibitor shall fully and promptly indemnify the Organiser
against all expenses, costs, claims, losses, liabilities, charges and
damages which the Organiser may suffer or incur as a result
(direct or indirect) of the cancellation of the Contract For Space
by the Exhibitor including, without limitation, where the Space or
Stand is dressed or altered in any way in order to maintain an
orderly and visually pleasing Exhibition.
7. REDUCTION OF SPACE
Where an Exhibitor requests the reduction in the size of its Space
booking after acceptance by the Organiser of the Exhibitor’s
application for Space, then the Exhibitor must forward such
request to the Organiser by recorded delivery post. The Organiser
reserves the right to apply the scale of cancellation charges set
out in clause 6 above to the total cost according to the amount
by which the original Stand area is reduced. The Organiser may
re-sell or re-allocate the space in question, but the Organiser
shall be under no obligation to reimburse all or any part of the
charge for reduction in Space. There shall be no obligation on
the Organiser to accept the request for reduction of Space by the
Exhibitor.
8. GENERAL OBLIGATIONS OF THE EXHIBITOR
The Exhibitor shall:
A) occupy the Stand and the Space, complete any necessary
stand fitting works (see section 13),ensure the Stand is
appropriately dressed and maintained and that all Exhibits are in
position no later than the end of the
Installation Period.
B) keep the Stand appropriately dressed and maintained and all
Exhibits open to view and the Stand adequately staffed
continuously during the opening hours of the Exhibition and not
dismantle the stand before the end of the Exhibition.
C) remove all Exhibits, fittings, rubbish and other items from the
Halls by no later than the end of the Dismantling Period. Any
Exhibitor failing to vacate the venue by the end of the
Dismantling Period will be liable for additional hire costs.
D) not sell, give away or distribute or permit to be sold, given
away or otherwise distributed from the Stand or any other part
of the Halls, any articles of food, drink or tobacco other than
those supplied by the Hall
Owner, or its appointed catering contractor, or unless agreed by
the
Organiser.
E) not do, cause, permit or suffer to be done anything which
shall in the opinion of the Organiser constitute a nuisance or
which may be an
Infringement of or contravene any licence held by the Organiser,
or the Hall Owner, or its appointed catering contractor and
(without limitation) the Exhibitor shall ensure that sound levels
emitted from the Stand shall not exceed those levels which in the
opinion of the Organiser would cause disturbance to other
Exhibitors or which would breach any laws, bye-laws or any
other rule or regulation
F) not do, cause, permit or suffer to be done anything which
may occasion damage, disfigurement or injury of any kind to the
Halls or to the person or property of the Organiser, Owner or any
other Exhibitor or any visitor.
G) conduct business and distribute literature only from the Stand
and no other part of the Halls and not take away buyers from
the Halls to other business premises.
ii. only items which are in the Organiser’s opinion within the
scope of the Exhibition may be exhibited at the Exhibition or
otherwise be displayed or made available from the Stand. Goods,
cards, advertisements or photographs of persons who are not
Exhibitors may not be displayed
iii. the Organiser shall appoint an official contractor for electrical
work on all Exhibition Space. The Exhibitor shall be responsible
for settling all accounts directly with such contractor.
iv. products of companies not exhibiting at the show cannot be
used on stands for display purposes without the written
permission of the
Organiser.
v. the Exhibitor shall insure with a reputable insurance company
for its liability under this Agreement. Without limiting its
obligation to take out insurance cover for such risks as it shall
consider appropriate, the Exhibitor shall take out adequate
insurance in respect of matters set out in clauses 6, 8, 10 and 12
including (without limitation) public liability insurance for loss
damage or injury caused by the Exhibitor’s neglect or default.
9. POWERS AND DISCRETION OF THE ORGANISER
The Organiser shall be entitled to:
A) allocate to the Exhibitor a space other than the Space for
which the Exhibitor has applied;
B) change the Space and Stand allocated to the Exhibitor at any
time before the Exhibitor takes possession of the Space and
Stand and if such changed area of such Space and Stand is
smaller than the area specified in the application for Space, the
Organiser shall make a refund to the Exhibitor pro-rata to the
amount of the area reduced;
C) alter the position or layout of the Exhibition and any stands
including the Stand and Space;
D) refuse any person admission to the Exhibition or remove from
the Exhibition any person whose presence in the opinion of the
Organiser is or is likely to be undesirable and the Organiser may
exercise such rights not withstanding that any person is the
servant or agent of the Exhibitor or otherwise in any way
connected or associated with the Exhibitor;
E) remove from the Stand or the Halls at the risk and expense of
the Exhibitor any Exhibit, fitting or machinery or other items to
which the
Organiser has an objection or which the Exhibitor fails to remove
in accordance with or which do not comply with these terms and
conditions.
F) alter the dates, opening hours, dates and duration of the
building period, dates and duration of breakdown period and the
total duration of the event.
G) change or vary these regulations at any time, or permit
exceptions in special circumstances.
10. EXHIBITORS LIABILITY FOR LOSS AND DAMAGE AND
INDEMNITY
All Exhibits, fittings and all other items brought into the
Exhibition by the Exhibitor or the agents, contractors or other
invitees of the Exhibitor shall be the sole responsibility of and at
the sole risk of the Exhibitor. The
Organiser shall not be responsible for any loss or damage to such
Exhibits, fittings or items however caused.
The Exhibitor shall indemnify and keep indemnified the Organiser
against all loss, damages, costs, charges and expenses (including
contingent or consequential loss of profit) whatsoever arising
from or in consequence of:
A) any breach by the Exhibitor of any of the terms and
conditions of the Agreement; or
B) any loss suffered by the Organiser as a result of default or
negligence of the Exhibitor or any of its agents, sub-contractors,
invitees or employees; or
C) any liability to or claim by any third party (including the
employees, contractors, agents and invitees of the Exhibitor)
arising from the default or negligence of the Exhibitor or any
breach by the Exhibitor of the terms and conditions of the
Agreement.
The Exhibitor is responsible for and will indemnify and keep
indemnified the Organiser against all injury loss or damage
arising in connection with the erection, use and dismantling of
the Stand and anything done on or from the Stand caused
directly or indirectly by the Exhibitor or any contractor, subcontractor, servant, agent or invitee of the Exhibitor or visitor to
the Stand or by any exhibit or machinery or other item belonging
to or introduced by any such person.
11. LIMITATION OF ORGANISERS LIABILITY
A) The Organiser does not make any warranty as to the
Exhibition in general, and in particular in relation to the presence
or absence or location of any other Exhibitor or potential
Exhibitor. Whilst the Organiser shall act in good faith, the name
of any Exhibitor which may appear on any floorplan or stand
number or any statement made by or on behalf of the Organiser
that any Exhibitor is booked to attend the Exhibition provisionally
or otherwise shall not constitute a warranty, representation or
undertaking by the Organiser that any such Exhibitor shall attend
the Exhibition. The Organiser shall not be liable for the absence
of other Exhibitors from attending the Exhibition.
B) The Organiser and the Hall Owner shall not be responsible for
death or personal injury to the Exhibitor or employees, agents,
contractors or other invitees of the Exhibitor save as a result of
the Organiser or the Hall Owner’s negligence. Nothing in this
Agreement shall exclude or limit liability for death or personal
injury resulting from the negligence of the Exhibitor, the
Organiser or the Hall Owner or their servants, agents or
employees.
C) Without prejudice to clause 11(b), the combined liability of
the Organiser and the Hall Owner for a claim made by the
Exhibitor in respect of loss or damage suffered by the Exhibitor
however that liability arises including (without limitation) breach
of contract, tort (including negligence), misrepresentation or
breach of statutory duty shall not exceed the higher of (a)
twenty-five thousand pounds (£25,000), and (b) the amount of
all sums paid by the Exhibitor to the Organiser under this
Agreement in relation to the Exhibition.
D) The Organiser and the Hall Owner shall not in any event be
liable for any:
i. indirect or consequential losses, damage, costs or expenses; ii.
loss of profit; iii. loss of revenue; or iv. loss of goodwill.
E) The Organiser and the Hall Owner shall not be liable for any
claim made by the Exhibitor more than two (2) years after the
event or, in the case of a series of events, the fi rst such event
which gives rise to such claim.
F) Except as set out in this Agreement, the Organiser excludes all
conditions, terms, representations (other than fraudulent or
negligent representations) and warranties relating to services
provided in respect of the Exhibition, whether imposed by statute
or by operation of law or otherwise, that are not expressly stated
herein, including without limitation, the implied warranties of
satisfactory quality and fi tness for a particular purpose.
G) Each provision of this clause 11 excluding or limiting liability
shall be construed separately, applying and surviving even if for
any reason one or other of these provisions is held inapplicable
or unenforceable in any circumstances and shall remain in force
notwithstanding the expiry or termination of this Agreement.
12. INSURANCE
A) The Exhibitor shall, in respect of the period 7-9 OCTOBER
2016 (inclusive), at his own expense, effect and maintain with a
reputable insurance company:
i. a fully comprehensive public liability insurance in the name of
the Exhibitor covering all risks usually associated with exhibiting
at an exhibition, which insurance shall have a minimum limit of
indemnity of One Million Pounds (£1,000,000) sterling and shall
cover and indemnify the Exhibitor against any and all costs,
claims, damages and expenses to which they may be liable as a
result of any loss or injury sustained by any person (including, but
without limitation, members of the public and the Exhibitor’s, or
the Organiser’s staff, agents or contractors) in consequence of
any act or default of the Exhibitor, his servants, agents,
contractors or invitees.
ii. fully comprehensive employer’s liability insurance and
iii. insurance of all articles (including but not limited to), all
exhibits brought into the Exhibition Hall by the exhibitor, his
servants, agents, contractors or invitees, in their full replacement
value against loss (including consequential loss) or damage
caused by fi re, theft, accident or otherwise.
B) The Exhibitor shall, not later than 31 May 2016 provide the
Organiser with details of the amount and the extent of the cover
provided by the insurance effected under this Clause together
with such other information and details as the Organiser may
reasonably require and the Exhibitor shall duly and punctually
pay all premiums and other monies necessary for effecting and
keeping in force such insurance and, if they are required by the
Organiser, shall forthwith produce to the Organiser receipts for
all such payments.
C) The provisions of this Clause 5 shall not prejudice any liability
of the Exhibitor to the organiser under any other provisions of
this Agreement.
13. CANCELLATION BY ORGANISER/FORCE MAJEURE
If at the absolute discretion of the Organiser, the Halls shall
become unfit or unavailable for occupancy or it becomes
impossible or impractical to hold the Exhibition for reasons
beyond the control of the Organiser including (without
limitation) fi re, flood, storm, government intervention, malicious
damage, acts of war, acts of terrorism, acts of God, strikes, riots
or any other cause, the Organiser reserves the right (but shall not
be obliged):
A) to change the location and/or date of the Exhibition;
B) to curtail the Exhibition;
C) to reduce the Installation Period, Open Period or Dismantling
Period; or
D) to cancel the Exhibition.
In the circumstances specified in paragraphs a, b and c of this
section the parties agree and acknowledge that the Organiser
shall not have any liability to the Exhibitor for refunds, additional
expenses or charges or to make payment for any other loss or
damage suffered by the Exhibitor.
If the Exhibition is cancelled in accordance with paragraph d of
this section the Exhibitor agrees to accept in complete settlement
and discharge of all claims against the Organiser a pro-rata share
of the total amount paid by all exhibitors at the Exhibition, less all
costs and expenses incurred by the Organiser in connection with
the Exhibition including a reserve, established at the sole
discretion of the Organiser, for future claims and expenses in
connection with the Exhibition.
In the event that the Exhibition is cancelled by the Organiser for
any other commercial reason including (without limitation) the
lack of support for the Exhibition the Organiser will refund to the
Exhibitor all charges paid by the Exhibitor to the Organiser and
the Exhibitor agrees and acknowledges that he will have no
further claim whatsoever against the Organiser in respect of such
cancellation.
14. ADDITIONAL REGULATIONS AND FIRE
PRECAUTIONS
No naked flames or smouldering products are allowed within the
exhibition without prior agreement of the fi re officer.
The Exhibitor must comply with all statutory local and other
regulations or requirements and bye-laws which affect or apply
to the Exhibition or the Halls and in particular any fi re
regulations. All materials used on the Stand must be nonflammable.
The Exhibitor must comply with and observe the Additional
Regulations and Stand Fitting Regulations copies of which are
available from the
Organiser and all other instructions and regulations laid down by
the Hall Owner and the Local Authority from time to time.
15. TERMINATION AND WITHDRAWAL
Without prejudice to any other rights it may have, the Organiser
may terminate the Agreement by notice in writing:
A) if the whole or any part of the amounts due from the
Exhibitor to the Organiser are not paid within fourteen days of
the due dates (whether formally demanded or not);
B) if the Exhibitor fails to observe and fulfil any of the terms of
the Agreement;
C) if the Exhibitor shall have a receiver or administrative receiver
appointed over all or any part of its assets or an application is
made for the appointment of an administrator or an
administrator is appointed or the Exhibitor being a partnership
has a receiver appointed or is wound up or dissolved or being an
individual executes as debtor a deed of arrangement to which
the Deeds of Arrangement Act 1914 applies or applies to the
Court for an interim order or one is made under Part VIII of the
Insolvency Act 1986 or the Exhibitor presents or has presented
against him a bankruptcy petition or a bankruptcy order is made
against him or he enters into any compromise or arrangement
with his creditors or a majority of them in value. Upon
termination the Exhibitor shall remain liable to pay the Organiser
the amounts due from it under the Agreement prior to such
termination.
16. EXHIBITOR MANUAL
The Organiser shall provide to the Exhibitor and all other
Exhibitors an Exhibitor Manual before the Opening Day which
inter alia contains specific regulations with regard to the manner
and conduct of the Exhibition. The Exhibitor agrees to abide by
any relevant provisions contained in that Manual.
17. ASSIGNMENT AND SUB-CONTRACTING
The Exhibitor shall not assign, sub-let, transfer or charge or
purport to assign, sub-let, transfer or charge in whole or in part
this Agreement or any of its rights, liabilities or obligations under
this Agreement without the prior written consent of the
Organiser.
The Organiser reserves the right to assign it rights, liabilities or
obligations under this Agreement either in whole or in part to
any other person, firm or company. The Organiser shall give
notice to the Exhibitor of any such assignment.
This Agreement shall be binding upon and shall benefit the
successors and assigns of the Organiser and (where the
Organiser’s written consent is given) the successors and assigns
of the Exhibitor.
18. RELATIONSHIP OF THE PARTIES
Nothing in this Agreement shall create, or be deemed to create,
a partnership or joint venture or relationship of employer and
employee or principal and agent between the parties.
19. RIGHTS OF THIRD PARTIES
The parties intend that this Agreement may be enforced by the
Hall Owner pursuant to s1(1) of the Contracts (Rights of Third
Parties) Act 1999.
20. SEVERANCE
If at any time one or more provisions contained in the
Agreement is or becomes invalid, illegal or unenforceable in any
respect this shall not affect the validity, legality or enforceability
of the remaining provisions which shall remain in full force and
effect.
21. GOVERNING LAW
This Agreement shall be governed by and construed in
accordance with the laws of Scotland and the parties hereby
submit to the non-exclusive jurisdiction of the Scottish Courts.
EXHIBITORS CODE OF CONDUCT
The BVNA acknowledges that the success of the Congress can only be maintained through a careful
balance of CPD, the success of the Exhibition and enjoyment for delegates and exhibitors alike. The BVNA
therefore has the following exhibitor’s code of conduct guidelines:
CONSIDERATION FOR FELLOW EXHIBITORS
The Exhibition is open for 3 days of intense and hard work for all exhibitors. BVNA would ask that when
planning demonstrations or attractions on your stand that you give consideration to other exhibitors, especially
those in close proximity to your stand. BVNA reserves the right to ask any exhibitor behaving in an inconsiderate
manner, to leave the Exhibition.
LEAFLETING
BVNA have a clear policy not to allow non-exhibitors permission to canvass either delegates or exhibitors.
Anybody found in the exhibition handing out promotional materials etc. who is not an exhibitor will be asked to
leave. We would be extremely grateful if exhibitors could notify the BVNA staff immediately if they suspect that
someone is breaching these conditions. BVNA would also like to remind attending exhibitors that leafleting
within common areas around the venue is not permitted. With so many companies exhibiting it is not possible to
allow companies to place leaflets within these areas and appreciate your cooperation with this matter.
STAND MANNING
The exhibition opening times are clearly laid out in the Exhibitor’s Pack. Stands are required to be manned at all
times whilst the exhibition is open to delegates.
STAND SHARING
Exhibiting companies are reminded that stand sharing is not permitted and only the company contracted for the
stand may advertise from within it.
EXHIBITORS BADGES & LECTURE BADGES
Please ensure that these are used for bona-fide company members only as checks will be made. If someone is
found using the badges fraudulently, the person will be asked to leave the Congress and action will be taken
against the company concerned. DO NOT accept requests from representatives of other companies or
individuals for Exhibitor Badges. BVNA would be appreciative if exhibitors could be vigilant and report anyone
they believe to be using badges fraudulently (in particular non-exhibiting companies using delegate
badges).
LIVE ANIMALS
No live animals are permitted in the exhibition hall, with the exception of personal assistance dogs
accompanying a disabled delegate or exhibitor and those used during organised events held by BVNA. BVNA
would ask that exhibitors do not allow animals to be used for promotional purposes.
