Clear direction for the club is more important than ever, and to ensure WorldMark grows and prospers the way you, the owners, want it to, your involvement in the election process is essential. This year we have 11 candidates running for three open positions on the WorldMark Board of Directors. Among the candidates are two of three current incumbents. Board member John Walker—recently retired and now living in Hawaii—has elected to dedicate himself fully to enjoying island life, and has decided not to run for a second term. John has served the WorldMark owners well, and we thank him for his hard work and dedication over the last two years. The board-candidate statement insert included in this magazine should help you better understand who your candidates are, and assist your decisionmaking process when it comes time to cast your vote. Your voting materials will be distributed in August via U.S. mail or, if requested, by e-mail. When you review your materials, you will notice your opportunity to assign your proxy to the board to vote on your behalf. You can also assign your proxy to another individual or— the best option of all—vote your proxy yourself. Whatever you decide to do, your involvement is crucial. It guarantees essential club business can be conducted. The board has agreed to place these issues on the ballot for the required owner vote since both topics are raised frequently by owners. Additional details and exact proposed changes on the following amendments will be listed on your ballot. PROPOSED BYLAW AMENDMENT Increasing the size of the WM Board of Directors to up to seven directors. The WorldMark Board of Directors currently consists of five directors. The size of the board was established at the club’s inception in 1989. The club has grown significantly over the years and now includes more than 250,000 owners. As a result, some owners have expressed a desire to expand the number of directors on the board. If the bylaw is amended to reflect an increase in the board to up to seven directors, corresponding text updates will be required to amend the bylaws. Therefore, all required changes will be listed on the ballot. A “YES” vote will be required from more than 25% of the voting power to pass the proposed amendment and increase the board to up to seven directors. A “YES” vote will approve all proposed and related text changes indicated on the ballot. A “NO” vote will indicate disapproval of one or more of the proposed changes indicated on the ballot. PROPOSED DECLARATION AMENDMENT Give the board the authority to amend guidelines to allow pets at WorldMark resorts. WorldMark, The Club has had a no-pet policy since the club’s inception. This declaration amendment appears on the ballot as a result of consistent owner requests to allow pets at WorldMark resorts. If the amendment passes, this does not guarantee that pets will be allowed at the resorts. A passing vote would give the board the authority to set guidelines allowing pets at the resorts at a future time. A “YES” vote will be required from more than 50% of the voting power to pass the proposed amendment. A “YES” vote will give the board the authority to accommodate pets at WorldMark resorts, and establish appropriate guidelines. A “NO” vote on the amendment will express your objection to allowing pets on WorldMark properties. Your WorldMark voting materials will arrive in August. Be sure to read them carefully and vote. Here’s the short list: • The board members are your elected representatives. • They are the governing body of your club. • The board is responsible for ensuring that the club is governed by its guidelines, bylaws, and declaration. • The board conducts, manages, and controls the affairs and business of the club. • The board makes rules and regulations regarding conduct of club business, behavior, and use of the resorts. Your elected board members cause WorldMark by Wyndham—through its management contract—to conduct, manage, and control the day-to-day business of the club. The board provides WorldMark by Wyndham with broad statements of intent and priorities during the budget process, and offers any direction that may be required when performance against that budget is examined at the quarterly meetings. WorldMark by Wyndham is constantly looking for new technologies and programs within the boundaries of the founding documents that will enhance operational efficiencies and improve services to owners. Board members continually monitor your concerns and observations regarding the way your services are provided to you. The board has the authority to review club guidelines and make changes and/or additions as needed. The board has always taken a value-added approach to guideline changes. An example: When it became clear that the seven-night minimum stay requirement was burdensome for many owners, the board decided that the requirement could be met by using several resorts over the seven-day period, provided the nights were consecutive. The bylaws are generally associated with the business processes of the club. They contain definitions of members; they also prescribe the power of the board, the election process, and the legal basis for the financial viability of the club. Bylaws may be amended with the affirmative vote of at least 25% of the voting power. Owners will vote on one bylaw amendment this year. The declaration describes fundamental principles of WorldMark, The Club. Such items as the hierarchy of the founding documents, membership and the right to occupy, use restrictions, and reservation windows are all found in the declaration. Rafts, horses, and caves Doug’s other favorite activities—horseback riding and whitewater rafting—can be experienced in town. Places to Play in the Snow Canmore Nordic Centre. Built for cross-country skiing and biathlon events at the 1988 Winter Olympic Games, the complex provides exceptional winter cross-country skiing. Ski rental available. 1.3 mi. Sunshine Village. Sunshine Village is a popular skiing and snowboarding site near Banff, with a season that lasts nearly 200 days a year. A highlight for downhill skiers is the steep “Delirium Dive,” but there are also runs for beginners and intermediates. Lift packages from $56 CAN per day. 21 mi. Eateries abound Exploring the Columbia Icefields. A two-hour drive north of Lake Louise, the Icefields Parkway begins its spectacular course along the Continental Divide to Jasper National Park. If you’re sightseeing in this area, make sure to take part in the Columbia Icefield Glacier Experience (130 miles). With tours departing every 15 to 30 minutes in the summer, the 90-minute journey in a special vehicle called a Snocoach will take you onto the 1,200-foot-thick Athabasca Glacier ($35.95 CAN). Guided science treks Another popular excursion is a visit to the Burgess Shale Geoscience Foundation in Yoho National Park near the town of Field, British Columbia (71 miles). It offers three different strenuous day-long hikes—the “Burgess Shale”($69 CAN), the “Mt. Stephen Fossil Beds” ($48 CAN), and “Climate Change in the Rockies” ($37 CAN) treks.
