NOTICE OF MOTION
(Returnable December 18, 2013)
The Applicants will make a motion to a judge presiding over the Commercial List on
Wednesday December 18, 2013 at 9:30 a.m. or as soon after that time as the motion can be
heard at 330 University Avenue, Toronto, Ontario.
All defined terms not otherwise defined herein shall have the meaning ascribed to
them in the order of this Honourable Court dated November 10, 2011 granted in these
proceedings (the “Initial Order”).
PROPOSED METHOD OF HEARING: The motion is to be heard orally.
THE MOTION IS FOR:
1.
An order substantially in the form of the draft order attached hereto as Schedule “B”,
inter alia:
(a)
declaring that the timing and method of service and filing of the Notice of
Motion and the Applicants’ motion record is abridged and validated such that
the motion is properly returnable;

(b)
approving the tenth report to the Court (the “Tenth Report”) of Grant
Thornton Limited in its capacity as court-appointed monitor in these
proceedings (the “Monitor”), and the activities of the Monitor set out therein;
(c)
sealing Confidential Appendices “A” and “B” to the affidavit of Michael
Gelmon sworn December 6, 2013 (the “Gelmon Affidavit”);
(d)
approving the completion of the sale transaction (the “Transaction”)
contemplated by the agreement of purchase and sale between Edgeworth
Properties – Deer Meadow Estates Inc. (“Deer Meadow”) and Edgeworth
Properties – Deer Meadow Estates II Inc. (“Deer Meadow II”) collectively, as
vendor and Indus Homes Inc. (“Indus”) as purchaser dated October 2, 2013
(the “Indus APS”), a copy of which is attached to the Gelmon Affidavit; and
(e)
vesting in Indus the Purchased Assets (as defined and described in the Indus
APS).
2.
Such further and other relief as counsel may request and this Honourable Court may
deem just.
THE GROUNDS FOR THE MOTION ARE:
1.
On November 10, 2011, Justice Campbell granted the Initial Order and the
Edgeworth Group was granted protection under the Companies’ Creditors
Arrangement Act, R.S.C. 1985, c. C-36, as amended (the “CCAA”);
2.
On June 18, 2012, Justice Campbell granted an order which among other things
permitted the listing of the properties held by Deer Meadow and Deer Meadow II
(the “Deer Meadow Properties”) for sale with Colliers Macaulay Nicolls Inc.
(“Colliers”).
3.
As a result of marketing efforts undertaken by Colliers, Deer Meadow and Deer
Meadow II have entered into the Indus APS pursuant to which they propose to sell

the Deer Meadow Properties. The only significant condition remaining under the
Indus APS is the condition to obtain Court approval of the Transaction.
4.
Both of the Deer Meadow Properties have had the beneficial interest in the properties
divided into undivided property interests (the “UDI Units”). The UDI Units were
then sold to various investors located almost exclusively in Asia1 (the “UDI
Holders”).
5.
Each of the UDI Holders has entered into an Agreement (the “UDI Agreement”)
with either Deer Meadow or Deer Meadow II that provides, among other things, that:
(i) Deer Meadow or Deer Meadow II has the power of attorney to take various steps
in respect of the property which includes developing and selling the property (the
“Power of Attorney”); and (ii) Deer Meadow or Deer Meadow II is appointed as the
operator and manager of the land with authority to deal with the land on behalf of the
UDI Holders. The Power of Attorney provided by each of the UDI Holders in favor
of either Deer Meadow or Deer Meadow II was registered against the title to the
property in all but one instance.
6.
The Deer Meadow Properties are subject to Court-ordered charges under both the
Initial Order and subsequent orders. Subject to Court approval, the beneficiaries of
those charges are entitled to enforce the charges and sell the properties.
7.
Pursuant to the forgoing, the Initial Order and an Order of this Court dated June 18,
2013 which among other things, approved the Edgeworth Group to enter into the
listing agreements with Colliers, the Edgeworth Group is authorized to sell the Deer
Meadow Properties to a potential purchaser.
8.
The Edgeworth Group is of the view that the Indus APS should be approved by the
Court as (i) the market was extensively canvassed and a competitive process
undertaken; (ii) the purchase price is the highest offer received after approximately

15 months on the market; (iii) the Indus APS is on terms acceptable to the
Applicants; (iv) the Monitor has approved and is in favor of the Indus APS; (v) Indus
has provided a reasonable deposit, with the balance to be delivered upon closing; (vi)
the Indus APS is currently free of conditions but for the requirement to obtain Court
approval; and (vii) the Indus APS represents the best opportunity to monetize the
Deer Meadow Properties.

9.

The facts as will be further set out in the Tenth Report;
11.
The provisions of the CCAA; and
12.
Such further and other grounds as counsel may advise and this Honourable Court
permits.

THIS MOTION, made by the Applicants, for an order inter alia: (i) declaring that
the timing and method of service and filing of the Notice of Motion and the Applicants’
motion record is abridged and validated such that the motion is properly returnable today;
(ii) approving the tenth report to the Court dated December ●, 2013 (the “Tenth
Report”) of Grant Thornton Limited in its capacity as court-appointed monitor in these
proceedings (the “Monitor”), and the activities of the Monitor as set out therein; (iii)
sealing Confidential Appendices “A” and “B” to the affidavit of Michael Gelmon sworn
December 6, 2013 (the “Gelmon Affidavit”); and (iv) approving the sale transaction (the
“Transaction”) contemplated by an agreement of purchase and sale among the
Edgeworth Properties – Deer Meadow Estates Inc. and Edgeworth Properties – Deer
Meadow Estates II Inc. as vendors (collectively, the “Vendor”), and Indus Homes Inc. as

-2purchaser (the “Purchaser”), dated October 2, 2013 and amended December ●, 2013
(the “Sale Agreement”), and appended to the Gelmon Affidavit, and vesting in the
Purchaser all of the right, title and interest in and to the Purchased Assets (as described in
the Sale Agreement), including those lands legally described in Schedule C, of this Order
was heard this day at 330 University Avenue, Toronto, Ontario.
ON READING the Notice of Motion dated December 9, 2013, the Gelmon
Affidavit, and the Tenth Report, and upon hearing the submissions of the counsel for the
Applicants and the Monitor, no other party attending, although duly served, as appears
from the Affidavit of Service of ● sworn December ●, 2013, filed,

THIS COURT ORDERS AND DECLARES that the timing and method of
service and filing of the Notice of Motion and the Applicants’ motion record, including
service upon the persons holding a fractional interest in the North East Lands or the
Westerly 1122 Lands as defined in Schedule C to this Order, are hereby abridged and
validated such that this motion is properly returnable today.
2.
THIS COURT ORDERS AND DECLARES that the Tenth Report and the
activities of the Monitor as set out therein, be and hereby are approved.
3.
THIS COURT ORDERS AND DECLARES that Confidential Appendices “A”
and “B” to the Gelmon Affidavit be sealed until the completion of the Transaction or
further order of this Court.
4.
THIS COURT ORDERS AND DECLARES that the Transaction is hereby
approved, and the execution of the Sale Agreement by the Vendor is hereby authorized
and approved. The Applicants are hereby authorized and directed to take such additional
steps and execute such additional documents, including minor amendments to the Sale
Agreement without further Court approval, as may be necessary or desirable for the
completion of the Transaction and for the conveyance of the Purchased Assets to the
Purchaser.
5.
THIS COURT ORDERS AND DECLARES that upon the delivery of a Vendor’s
certificate to the Purchaser substantially in the form attached as Schedule B hereto (the

-3“Vendor’s Certificate”), all of the right, title and interest in and to the Purchased Assets
shall vest absolutely in the Purchaser, free and clear of and from any and all security
interests (whether contractual, statutory, or otherwise), hypothecs, mortgages, trusts or
deemed trusts (whether contractual, statutory, or otherwise), liens, executions, levies,
charges, or other financial or monetary claims, whether or not they have attached or been
perfected, registered or filed and whether secured, unsecured or otherwise (collectively,
the “Claims”) including, without limiting the generality of the foregoing:
(i) any
encumbrances or charges created by the Initial Order granted by the Honourable Justice
Campell on November 10, 2011 including, without limitation, the Order registered as
instrument number 112 386 805 against title to the North East Lands described in
Schedule C attached hereto, and the Order registered as instrument number 112 386 804
against title to the Westerly 1122 Lands described in Schedule C attached hereto; (ii) all
charges, security interests or claims evidenced by registrations pursuant to the Personal
Property Security Act (Ontario) or any other personal property registry system; and (iii)
those Claims listed on Schedule D hereto (all of which are collectively referred to as the
“Encumbrances”, which term shall not include the permitted encumbrances, easements
and restrictive covenants listed on Schedule E) and, for greater certainty, this Court
orders that all of the Encumbrances affecting or relating to the Purchased Assets are
hereby expunged and discharged as against the Purchased Assets.
6.
THIS COURT ORDERS that upon receipt of:
(a)
a letter from Dentons Canada LLP to the Registrar of Alberta Land Titles
authorizing the registration and/or filing of this Order;
(b)
a certified copy of this Order;
(c)
a certified copy of an Order by the Court of Queen’s Bench of Alberta
recognizing and affirming this Order; and
(d)
a copy of a Vendor’s Certificate filed in the Ontario Superior Court of
Justice.
the Registrar of Land Titles appointed pursuant to the Land Titles Act, R.S.A. 2000, c. L4 (Alberta) is hereby directed to, forthwith, in the following order:

7.
(a)
cancel the existing Certificate of Titles to the North East Lands and
Westerly 1122 Lands described in Schedule C hereto (the “Real
Property”), including the Certificates of Title relating to all of the
fractional interests;
(b)
issue new Certificate of Titles to the North East Lands and Westerly 1122
Lands in the name of Indus Homes Inc., the Purchaser, free and clear of all
Encumbrances as defined in paragraph 2 of this Order;
(c)
consolidate all of the existing titles to the North East Lands, including all
Certificates of Title relating to the fractional interests, and issue one new
Certificate of Title in the Purchaser’s name; and
(d)
consolidate all of the existing titles to the Westerly 1122 Lands, including
all Certificates of Title relating to the fractional interests, and issue one
new Certificate of Title in the Purchaser’s name.
THE COURT ORDERS that notwithstanding the provisions of paragraph 5 of this
Order, nothing in this Order constitutes a direction to the Registrar of Alberta Land Titles
to issue Certificates of Title to the Real Property free and clear of those encumbrances
listed in Schedule E to this Order.
8.
THE COURT ORDERS that the Registrar of Alberta Land Titles shall comply
with this Order forthwith, notwithstanding the requirements of section 191(1) of the Land
Titles Act, R.S.A. 2000, c. L-4, as amended.
9.
THIS COURT ORDERS that for the purposes of determining the nature and
priority of Claims, the net proceeds from the sale of the Purchased Assets shall stand in
the place and stead of the Purchased Assets, and that from and after the delivery of the
Vendor’s Certificate all Claims and Encumbrances shall attach to the net proceeds from
the sale of the Purchased Assets with the same priority as they had with respect to the
Purchased Assets immediately prior to the sale, as if the Purchased Assets had not been
sold and remained in the possession or control of the person having that possession or
control immediately prior to the sale.
10.
THIS COURT ORDERS AND DIRECTS the Applicants to file with the Court a
copy of the Vendor’s Certificate, forthwith after delivery thereof.
11.
THIS COURT ORDERS that, notwithstanding:

the pendency of these proceedings;
(b)
any applications for a bankruptcy order now or hereafter issued pursuant
to the Bankruptcy and Insolvency Act (Canada) in respect of the Vendor
and any bankruptcy order issued pursuant to any such applications; and
(c)
any assignment in bankruptcy made in respect of the Vendor;
the vesting of the Purchased Assets in the Purchaser pursuant to this Order shall be
binding on any trustee in bankruptcy that may be appointed in respect of the Vendor and
shall not be void or voidable by creditors of the Vendor, nor shall it constitute nor be
deemed to be a fraudulent preference, assignment, fraudulent conveyance, transfer at
undervalue, or other reviewable transaction under the Bankruptcy and Insolvency Act
(Canada) or any other applicable federal or provincial legislation, nor shall it constitute
oppressive or unfairly prejudicial conduct pursuant to any applicable federal or provincial
legislation.
12.
THIS COURT ORDERS AND DECLARES that the Transaction is exempt from
the application of the Bulk Sales Act (Ontario) and any other federal or provincial act of
similar application.
13.
THE COURT ORDERS that this Order shall have full force and effect in all
provinces and territories in Canada against all persons, firms, corporations, governmental,
municipal and regulatory authorities against whom it may otherwise be enforceable.
14.
THIS COURT HEREBY REQUESTS the aid and recognition of any court,
tribunal, regulatory or administrative body having jurisdiction in Canada or in the United
States to give effect to this Order and to assist the Applicants and its agents in carrying
out the terms of this Order, including without limitation, the Court of Queen’s Bench of
the Province of Alberta in the recognition and enforcement of this Order.

Court of Justice (the “Court”) dated December 18, 2013, the Court approved the
agreement of purchase and sale among the Edgeworth Properties – Deer Meadow Estates
Inc. and Edgeworth Properties – Deer Meadow Estates II Inc. as vendors (collectively,
the “Vendor”), and Indus Homes Inc. as purchaser (the “Purchaser”), dated October 2,
2013 and amended December ●, 2013 (the “Sale Agreement”) and the transaction
contemplated by the Sale Agreement and provided for the vesting in the Purchaser of all
of the right, title and interest in and to the Purchased Assets (as defined in the Sale
Agreement), which vesting is to be effective with respect to the Purchased Assets upon
the delivery by the Vendor to the Purchaser of a certificate confirming (i) the payment by
the Purchaser of the Purchase Price for the Purchased Assets; (ii) that the conditions to

I, Michael Gelmon, of the City of Calgary in the Province of Alberta, MAKE OATH AND
SAY:
1.
I am an officer of Eagle Ridge Capital Corporation (“Eagle Ridge”), which pursuant to
the order of Justice Campbell dated November 10, 2011 granted in these proceedings (the
“Initial Order”), has been appointed to act as the chief restructuring organization
(“CRO”) of the Applicants and Cobalt Skies Limited Partnership (collectively the
“Edgeworth Group”). As such, I have knowledge of the matters to which I hereinafter
depose and, unless I indicate to the contrary, the facts herein are within my personal
knowledge and are true. Where I have indicated that I have obtained information from
other sources, I believe those facts to be true.

This affidavit is sworn in support of the Applicant’s motion for seeking the Court’s
approval and authorization to enter into a sale agreement in respect of certain properties

held by the Edgeworth Group and granting of an order vesting those properties in the
purchaser free and clear of all encumbrances and other relief returnable December 18,
2013 in the Edgeworth Group’s Companies’ Creditors Arrangement Act, R.S.C. 1985, c.
C-36, as amended (the “CCAA”) proceedings.
3.
All terms not defined herein shall have the meaning ascribed to them in the Initial Order.
OVERVIEW
4.
The Edgeworth Group is a group of Canadian, American, Bermudian and Asian
corporations which operated collectively as a property investment and development
enterprise. It was in the business of selling investments and developing lands located in
the “growth path” from Edmonton to Fort McMurray in Alberta, Canada. The corporate
and investment structure of the Edgeworth Group is complicated with numerous levels of
debt obligations and investors.

The Edgeworth Group was the owner and/or manager of twenty parcels of real property
(the “Properties”). All of the Properties are located in Alberta and are at different stages
of development.
6.
The Edgeworth Group financed the acquisition of the Properties through mortgages from
third party mortgage companies, related party mortgage companies and investors.
7.
The third party mortgage companies were comprised of: Firm Capital Corporation
(“Firm”); Hurlburt Farms Ltd.; Liberty Mortgage Services Ltd.; Romspen Investment
Canada (“Romspen”); and Sterling Bridge Mortgage Corp. (collectively, the “Third
Party Mortgagees”).
8.
The related party mortgage companies are Edgeworth Mortgage Investment Corporation
(“EMIC I”), Edgeworth Mortgage Investment II Corporation (“EMIC II”) and Biggs
Avenue Mortgage Investment Corporation (“EMIC III”, and collectively with EMIC I
and EMIC II, the “MICs”). The MICs are investment corporations which raised monies
from third party investors (approximately 1500 individual preference shareholders)
located primarily in Western Canada, and to a limited degree Ontario, to fund the

Edgeworth Group’s acquisition and development of the Properties through secured
mortgages and unsecured loans.
9.
Each of the Properties was held in a separate corporation within the Edgeworth Group.
Undivided property interests (“UDI Units”) representing beneficial ownership in twelve
of the Properties were sold almost entirely to investors in Asia (close to 4000 individual
investors), and in one of the Properties to investors in Canada (under 100 individual
investors) (collectively, the “UDI Unit Holders”).
The agreements governing the sale
of the UDI Units to the investors (the “UDI Agreements”) provided that the Edgeworth
vendor entity had an obligation to re-purchase the UDI Units from the investors at a
premium after a certain number of years or upon the occurrence of certain enumerated
events. The essence of the UDI program was to give the UDI Unit Holders a form of
security for the Edgeworth Group’s buy-back obligations, as opposed to a marketable
interest in real estate. The UDI Unit Holders’ recoveries in the CCAA proceedings have
been limited by the nature of the interest held and the inability of the UDI Unit Holders to
realize on that interest on their own without the assistance of the Edgeworth Group or the
Court.
10.
Another stakeholder group were the lot purchasers (the “Lot Purchasers”). On certain
of the properties not subject to the UDI Program, the Edgeworth Group planned on
undertaking development initiatives whereby they would subdivide the property into lots
(“Lots”) for the purpose of sale to the Lot Purchasers. The expectations of the Lot
Purchasers when making an investment and entering into a purchase and sale agreement
was that title to the Lot would be transferred to the Lot Purchaser upon subdivision.
However, subdivision never occurred and in turn the titles to the Lots were never
transferred to the Lot Purchasers.
The Lot Purchasers’ recoveries in the CCAA
proceedings have been significantly impacted by this fact.
11.
The Edgeworth Group’s business model was to take steps to have all of the Properties
rezoned as commercial and/or residential and then either to sell the rezoned Properties to
land developers at a profit or to develop the Properties itself.
Proceeds from the
Properties would be used by the Edgeworth Group to pay out the various mortgages on

the Properties and to fund the buy-back of UDI Units from investors on the Properties
subject to same.
12.
The success of the Edgeworth Group’s vision of developing raw land in Alberta was
predicated on obtaining certain levels of financing and not exceeding certain cost
thresholds. Unfortunately, due to the recession and its negative impact on the real estate
and financing markets in Alberta, the raising of capital became both more difficult and
more expensive. The Edgeworth Group was unable to raise the financing necessary to
service and develop the existing Properties and acquire new property. The inability to
obtain financing also resulted in the Edgeworth Group suffering over $3 million in direct
losses on various acquisition projects for deposits which it was forced to abandon due to
a lack of financing.
13.
The Edgeworth Group suffered from debt-load and overhead costs significantly in excess
of what had originally been anticipated. The economic slowdown resulted in longer than
estimated completion time for projects, therefore the general corporate overhead and
carrying costs associated with the Properties were higher and extended over longer than
forecasted time frames.
14.
The effect of these events left the Edgeworth Group with a number of Properties in
various stages of development but with insufficient liquidity to service its existing debts
and with current assets worth less than its cumulative obligations.
15.
By the fall of 2011, the Edgeworth Group was indebted to its secured creditors in the
approximate amount of $69 million, to its unsecured creditors in the approximate amount
of $31 million and had anticipated obligations owing to the UDI Unit Holders of
approximately $144 million. The Edgeworth Group had no liquidity or refinancing
options and was insolvent.
16.
Since the filing, the Edgeworth Group has been working with Grant Thornton Limited in
its capacity as court-appointed monitor in these proceedings (the “Monitor”) to create
practical solutions to address the variety of competing interests and to maximize recovery
for all interested parties.

5.
BACKGROUND ON PROCEEDINGS
17.
On November 10, 2011, pursuant to the Initial Order, the Edgeworth Group was granted
protection under the CCAA. Concurrently with the granting of the Initial Order, Justice
Campbell granted an order dated November 10, 2011 (the “Receivership Order”),
appointing MNP Ltd. as the receiver (the “Receiver”) of certain of the real property (the
“Receivership Properties”) held by various Edgeworth Group entities (the
“Receivership Proceedings”). A copy of the Initial Order and Receivership Order are
attached to this my affidavit as Exhibit “A” and Exhibit “B”, respectively.
18.
By orders and endorsements dated December 12, 2011, January 19, 2012, February 24,
2012, March 2, 2012, and March 8, 20121, Justice Campbell extended the Stay Period in
the CCAA proceedings to February 17, 2012, February 21, 2012, March 2, 2012, March
19, 2012, and April 20, 2012, respectively. A copy of the orders and endorsements are
attached to this my affidavit as Exhibits “C” - “F”, respectively.
19.
On April 13, 2012, Justice Campbell granted an order (the “April 13th Order”),
extending the Stay Period to April 20, 2012, approving the sale of various non-material
assets, approving an increase in the fee caps for Representative Counsel, approving a
second administration charge and replacing Aird & Berlis LLP with Bennett Jones LLP
as MIC Representative Counsel. A copy of the April 13th Order is attached to this my
affidavit as Exhibit “G”.
20.
On April 18, 2012 Justice Campbell, granted an order: (i) extending the Stay Period to
June 20, 2012; (ii) authorizing the Edgeworth Group to utilize certain funds received
from the Edgeworth Group’s Singapore office; and (iii) approving certain payments to
the CRO and Fasken Martineau Dumoulin LLP in respect of various work carried out by
such parties in the context of these proceedings. A copy of the April 18, 2012 order and
the April 18, 2012 endorsement are attached to this my affidavit as Exhibit “H”.
21.
Pursuant to subsequent attendances before Justice Campbell in the context of the
Receivership Proceedings, the Applicants, the Monitor, the Receiver, the Third Party

Mortgagees and Representative Counsel, agreed to meet with the intent to develop a joint
submission to present to the Court suggesting an efficient method by which the
outstanding interest and priority issues raised by the various stakeholders of the
Edgeworth Group could be heard by the Court, after which the Court would be in a
position to make distribution orders and authorize sales/realization processes in these
proceedings. It was discussed that an amicus curiae “as a friend of the court”, could be
appointed by the Court to make submissions on the issues raised by various interested
parties.
22.
Prior to the hearing of such matters, pursuant to motions brought by UDI Representative
Counsel and Lot Purchasers Representative Counsel, on May 8, 2012 Justice Campbell
granted Orders suspending Stikeman Elliot LLP’s duties as UDI Representative Counsel
and Osler, Hoskin & Harcourt LLP’s duties as Lot Purchasers Representative Counsel,
due to the lack of funding available to Representative Counsel to carry out their
respective mandates (collectively, the “Suspension Orders”). Copies of the Suspension
Orders are attached to this my affidavit as Exhibit “I”.
23.
On June 5, 2012, the Monitor provided Justice Campbell with a draft of the joint
submission which had been developed by the Monitor and the Applicants (the “Joint
Submission”). Prior to its presentation to the Court, the Monitor sought input from
various other parties on the Joint Submission, including Representative Counsel and
counsel for the Receiver and Romspen. The Receiver advised the Monitor that it
supported the Joint Submission. Justice Campbell issued an endorsement adjourning the
hearing of the matter to June 18, 2012 to provide the parties further time to discuss the
issues (the “June 5th Endorsement”). A copy of the June 5th Endorsement is attached to
this my affidavit as Exhibit “J”.
24.
Pursuant to same, the Edgeworth Group brought a motion returnable June 18, 2012 (the
“Amicus Motion”) seeking, among other things: (i) the appointment of an amicus curiae
to advise the Court on certain issues relevant to the (then upcoming) motion to determine
the various rights, interests and priorities in and to the Receivership Properties (the
“Entitlement Motion”); (ii) approval for the Edgeworth Group to enter into listing

agreements with Colliers Macaulay Nicolls Inc. (the “Listing Agreements” and
“Colliers”, respectively) for the listing for sale of the properties held by Edgeworth
Properties – Deer Meadow Estates Inc. (“Deer Meadow”), Edgeworth Properties - Deer
Meadow Estates II Inc. (“Deer Meadow II”), Edgeworth Properties - Riverbend Heights
Inc. (“Riverbend”) and Halfmoon Lake Estates Inc. (collectively, the “CCAA
Properties”); and (iii) an extension of the Stay Period to September 28, 2012.
25.
Pursuant to the Amicus Motion, Justice Campbell granted three separate orders. Justice
Campbell granted: (i) an order which, among other things, directed the Receiver to
effectively take on the role of amicus curiae by considering and reporting to the Court on
the identified issues, and scheduled the Entitlement Motion for July 31, 2012 (the
“Amicus Order”); (ii) an order which, among other things, approved the Edgeworth
Group entering into the Listing Agreements (the “Listing Agreement Order”); and (iii)
an order which, among other things, extended the Stay Period to September 28, 2012 (the
“June 18th Order”). Copies of the Amicus Order and corresponding endorsement of
Justice Campbell dated June 27, 2012 are attached to this my affidavit as Exhibit “K”.
A copy of the Listing Agreement Order is attached to this my affidavit as Exhibit “L”.
A copy of the June 18th Order is attached to this my affidavit as Exhibit “M”.
26.
Pursuant to the Amicus Order, on July 31, 2012, the Entitlement Motion was heard by the
Court in tandem with the motion of Romspen, previously brought, for: (i) a declaration
that it held valid and enforceable first ranking security; (ii) a direction to the Receiver to
distribute the net proceeds from the sale of various Receivership Properties to it; and (iii)
a lifting of the stay of proceedings to permit Romspen to commence judicial
sale/foreclosure proceedings in respect of certain of the Receivership Properties (the
“Romspen Motion”).
27.
By order dated August 3, 2012, Justice Campbell granted the substance of the relief
sought by Romspen on the Romspen Motion (the “August 3rd Order”). As a part of the
August 3rd Order, Romspen was required to periodically report to the Receiver with
respect to the judicial sale/foreclosure proceedings. A copy of the August 3rd Order, along

with the corresponding endorsements of Justice Campbell dated August 3, 2012 and
August 15, 2012, respectively, are attached to this my affidavit as Exhibit “N”.
28.
Also before the Court on July 31, 2012, was a motion by the Edgeworth Group to amend
Schedule “C” of the Initial Order to correct the omission of part of the real property
description of the property held by Halfmoon Lake Estates Inc. Pursuant to an order
dated July 31, 2012, Justice Campbell granted the relief sought by the Edgeworth Group
(the “July 31st Order”). A copy of the July 31, 2012 Order is attached to this my
affidavit as Exhibit “O”.
29.
Since the Entitlement Motion, the Edgeworth Group has made efforts to minimize the
activities in the CCAA proceedings in an effort to preserve funds; focusing efforts on
realizing on the four CCAA Properties and serving as a vehicle to receive and distribute
excess proceeds from the Receivership and judicial sale/foreclosure proceedings.
30.
On each of September 25, 2012, November 16, 2012, and May 21, 2013 Justice
Campbell granted Orders which, among other things, extended the Stay Period to
November 23, 2012, May 23, 2013, and November 23, 2013 respectively. In addition the
November 16, 2012 and the May 21, 2013 Orders approved DIP amendment agreements
which amended the terms of the DIP Facility. A copy of each of the three orders are
attached to this my affidavit as Exhibits “P” - “R”.
31.
On November 12, 2013 Justice Thorburn granted an Order which among other things,
extended the stay period to May 23, 2014 and approved the Third DIP Amendment
Agreement which further amended the terms of the DIP Facility (the “November 12th
Order”). A copy of the November 12th Order is attached to this my affidavit as Exhibit
“S”.
GENERAL ACTIVITIES
Communications with Stakeholders
32.
Since my last affidavit sworn in these proceedings on November 6, 2013 (the
“November 6th Affidavit”), the Edgeworth Group, the CRO and the Monitor have
continued to respond to stakeholder inquiries in the ordinary course.

Closing Asian Operations
33.
The Asian-based operations of the Edgeworth Group were sales operations for the UDI
Units. As previously advised, the Asian-based operations of the Edgeworth Group in the
Philippines, Malaysia, Singapore and Taiwan have been substantially wound-down for
some time.
34.
In April 2012, the CRO directed Edgeworth’s representatives in Asia to effect the
corporate wind-down of the Asian-based subsidiaries in Singapore; Edgeworth Properties
Singapore Pte. Ltd. (“EPS”) (which is insolvent) by way of Creditors' Voluntary
Liquidation and Edgeworth Properties Asia Pacific Pte. Ltd. (“EPAP”) (which is solvent)
by way of Members' Voluntary Liquidation. The liquidation of EPAP was concluded in
August 2013 and the liquidation of EPS was concluded in September 2013.
Use of DIP Funds
35.
The DIP Funds were advanced to the Edgeworth Group on November 25, 2011. In
accordance with the cash flow for the 39 week period beginning on April 29, 2013 and
ending on January 26, 2014, attached to my May 14th Affidavit as Exhibit “E”, since
April 29, 2013 the DIP Funds have been used to pay insurance premiums, contractor
costs, storage fees and to cover other administrative costs. A statement of receipts and
disbursements detailing the use of the DIP Funds for the period November 10, 2011 to
November 3, 2013 is attached to this my affidavit as Exhibit “T”.
36.
As required under the DIP loan agreement, the Edgeworth Group has been regularly
reporting to the DIP Lender on the status of the proceedings and its financial situation.
REALIZATION EFFORTS
37.
My past affidavits sworn in these proceedings, in particular the affidavits sworn on
December 7, 2011, and February 17, 2012, attached to this my affidavit (without
exhibits) as Exhibit “U” and Exhibit “V”, respectively, set out the steps taken by the
CRO to solicit interest in the Edgeworth Group enterprise from third party investors,
purchasers and joint venture partners and the results of such efforts.
Receivership Properties

There were originally sixteen Receivership Properties. To date, the Receiver has sold
nine of the Receivership Properties. Namely, the properties held by:
(i)
1253122 Alberta Ltd.;
(ii)
Edgeworth Properties – Ellerslie Ridge Inc.;
(iii)
Edgeworth Properties - Derrick View Estates Inc.;
(iv)
Derrick View Estates Phase II Inc.;
(v)
Edgeworth Estates at Manning Drive Phase I Inc.;
(vi)
Edgeworth Properties – Heartland Ridge;
(vii)
Edgeworth Properties – Estates at Thompson Lake Inc.;
(viii) Edgeworth Properties – Estates at Thompson Lake (Phase 2) Inc.; and
(ix)
39.
Edgeworth Properties – Jasper Ridge Estates Inc.
Pursuant to independent motions brought by Firm and Romspen, six of the Receivership
Properties were taken out of the Receivership Proceedings and put into judicial
sale/foreclosure proceedings.
40.
The property held by Edgeworth Properties – Creekside Estates Inc. was sold in the
judicial sale/foreclosure proceedings initiated by Firm Capital Mortgage Fund Inc.
41.
The properties held by Edgeworth Properties - Southpoint Landing Inc., Edgeworth
Properties – Wolf Creek Estates Inc. and 1519560 Alberta Ltd. were sold in the judicial
sale/foreclosure proceedings initiated by Romspen.
42.
The properties held by Edgeworth Place at Heartland Inc. and 1330433 Alberta Ltd.
remain subject to the judicial sale/foreclosure proceedings initiated by Romspen.
43.
The last of the original sixteen Receivership Properties, the property held by Edgeworth
Place at Spruce Ridge Drive Inc., remains in the Receivership Proceedings and under the
control of the Receiver. In the context of the Receivership Proceedings, the Receiver
obtained an order from the Court on June 12, 2013 authorizing it to list and sell units of
the condominium located on this property. Since June 2013, the Receiver has been

proceeding with the listing and sale of condominium units in the Spruce Ridge
condominium in accordance with this Order. Such efforts remain ongoing.
44.
The Initial Order indicates that the Edgeworth Group holds the residual interest from the
sale of the Receivership Properties after satisfaction of any charges granted under the
Receivership Order and the discharge of the security interests of the Third Party
Mortgagees to the extent such security interests have priority over the MICs, the UDI
Unit Holders and the Lot Purchasers. To date, there have been no proceeds from the
sales of the Receivership Properties which have flowed from the Receivership
Proceedings or judicial sale/foreclosure proceedings into the CCAA proceedings.
However, based on information available at this time, it appears that there may be surplus
funds flowing into the CCAA proceedings from the other proceedings in the future.
CCAA Properties
45.
The CCAA Properties have been listed for sale with Colliers since Justice Campbell
granted the Listing Agreement Order on June 18, 2012.
46.
As a result of such sale efforts, 2 of the 4 CCAA Properties, specifically the Properties
held by Deer Meadow and Deer Meadow II (collectively, the “Deer Meadow
Properties”), are currently subject to a sale agreement with Indus Homes Inc. (“Indus”).
A copy of the sale agreement (the “Indus Sale Agreement”) is attached to this my
affidavit as Confidential Appendix “A”. The Applicants expect to enter into a minor
amendment to the Indus Sale Agreement prior to the closing, to correct an error in the
legal name of Deer Meadow II in the agreement.
47.
The Applicants are seeking a sealing order of Confidential Appendix “A” pending the
earlier of the completion of the transaction contemplated by Indus Sale Agreement or
further order of the Court, in order to ensure that any future marketing of the Deer
Meadow Properties is not impacted if the transaction contemplated by the Indus Sale
Agreement does not close.
48.
One of the other two CCAA Properties, namely the Property held by Riverbend, has
received multiple offers from potential purchasers since my November 6th Affidavit. The

CRO, with the assistance of the Monitor, has been reviewing the offers. If an agreement
is reached based on these offers, and all of the conditions are satisfied or waived, the
Edgeworth Group will be returning to Court seeking approval of the transaction.
Deer Meadow Properties
49.
The Deer Meadow Properties were two of the twelve Properties that were the subject of
“UDI Programs” in which the beneficial interest in the properties were divided into UDI
Units. The UDI Units which relate to the Deer Meadow Properties were sold to the UDI
Holders located almost exclusively in Asia2.
50.
It is my understanding that the beneficial interest in the properties held by Deer Meadow
and Deer Meadow II were divided into 770 and 325 undivided interests respectively. The
vast majority of titles to the undivided interests have been converted to various UDI
Holders. Only 7 of the 770 undivided interests remain registered in the name of Deer
Meadow and only 2 of the 325 undivided interests remain registered in the name of Deer
Meadow II.
51.
Each of the UDI Holders entered into a standard Sale and Purchase Agreement (the “UDI
Agreement”) with either Deer Meadow or Deer Meadow II as vendors (the “Vendor”),
with respect to their purchase of the UDI Units in the Deer Meadow Properties. The UDI
Agreement provides, among other things, that: (i) the Vendor has the power of attorney to
take various steps in respect of the property which includes developing and selling the
property; and (ii) the Vendor is appointed as the operator and manager of the land with
authority to deal with the land on behalf of the UDI Holders. Sample copies of the UDI
Agreements used in connection with the Deer Meadow Properties are attached to this my
affidavit as Exhibit “W”. In all but one case, the power of attorney granted by each of
the UDI Holders in favor of the Vendor, which formed part of the UDI Agreement, was
registered on title to the corresponding property.

52.
In the present circumstances, Deer Meadow and Deer Meadow II should be authorized to
sell and transfer the Deer Meadow Properties in their entirety through the CCAA sales
process for the following reasons:
(a)
Pursuant to paragraph 6 of the Initial Order, the Edgeworth Group remains in
possession and control of the property listed on Schedule “C” attached thereto,
and the legal description for the Deer Meadow Properties contained in Schedule
“C” of the Initial Order refers to the entirety of the Deer Meadow Properties;
(b)
Each of the UDI holders granted a power of attorney to Deer Meadow or Deer
Meadow II at the time they acquired their UDI Units, authorizing Deer Meadow
or Deer Meadow II to take various steps in respect of the property, including
selling the property;
(c)
As set out in the Joint Submission, the essence of the UDI program appears
designed to give UDI Holders a form of security for the Edgeworth Group’s buyback obligation as opposed to a marketable interest in real estate;
(d)
At best, the UDI Holders have a beneficial undivided interest in the properties.
There is no instance in which any of the UDI Holders would be able to sell their
undivided interests on their own without selling them as part of a sale of the entire
property. This is exactly what is being proposed;
(e)
The properties are subject to Court ordered charges3 pursuant to the Initial Order
and subsequent orders.
Subject to court approval, the beneficiaries of these
charges could enforce their charges and sell the properties, consistent with the
terms of the prior Court orders;
(f)
Pursuant to the Listing Agreement Order, Justice Campbell granted the
Edgeworth Group the right to list the entirety of the Deer Meadow Properties for
sale with Colliers;

DIP Lender’s Charge (to the maximum principal amount of $1,500,000, plus interest, fees, expenses and other costs
as more particularly described in the Definitive Documents); and (iii) Second Administration Charge (which shall
not exceed the aggregate amount of $1,500,000).

(g)
The Applicants are providing notice of the proposed sale and payment of Court
ordered charges to each of the UDI Holders listed on title by mailing a letter to the
UDI Holders as identified on the service list. A copy of the letter being sent to the
UDI Holders is attached to this my affidavit as Exhibit “X”; and
(h)
The Deer Meadow Properties have been marketed as a whole in order to
maximize realization for all stakeholders.
53.
During the period that the Deer Meadow Properties have been listed with Colliers,
pursuant to the Listing Agreement Order, Colliers has marketed the Deer Meadow
Properties by: (i) preparing and posting signage, (ii) preparing a brochure for circulation
on Collier’s website and other relevant internet sites; (iii) featuring the property in
‘Western Investor’; (iv) placing direct calls to local developers; and (v) circulating the
brochure to the Colliers National investment Services client list and brokerage
community. A copy of the Collier’s final marketing report dated December 6, 2013 is
attached to this my affidavit as Confidential Appendix “B”.
54.
As a result of these marketing efforts, an agreement of purchase and sale for the Deer
Meadow Properties was entered into with a potential purchaser on February 27, 2013.
The agreement was terminated before the Applicant sought court approval to complete
the transaction because the potential purchaser elected not to waive the initial due
diligence conditions and did not provide a deposit.
55.
On April 12, 2013 the efforts of the sales process resulted in a second offer to purchase
the Deer Meadow Properties. The offer received was for substantially less than the
asking price and the perceived fair market value. As a result the Applicants, in
consultation with the Monitor, elected not to accept the offer.
56.
In late August, an offer was received from Indus to purchase the Deer Meadow
Properties. Following the receipt of the offer a series of negotiations took place which
ultimately resulted in the Indus Sale Agreement being executed on October 2, 2013.
57.
Edgeworth Group is of the view that the Indus Sale Agreement should be approved by
the Court as (i) the market was extensively canvassed and a competitive process

undertaken; (ii) the purchase price is the highest offer received after approximately
fifteen months on the market; (iii) the Indus Sale Agreement is on terms acceptable to the
Applicants and the DIP Lender; (iv) the Monitor has approved and is in favor of the Indus
Sale Agreement; (v) Indus has provided a reasonable deposit, with the balance of the
purchase price to be delivered upon closing; (vi) the Indus Sale agreement is currently
free of conditions but for the requirement to obtain Court approval; and (vii) the Indus
Sale Agreement represents the best opportunity to monetize the Deer Meadow Properties.
58.
Should this Court approve the sale and authorize the Applicants to proceed with the
transaction, the net sale proceeds will be applied to the existing Court ordered charges,
with any proceeds beyond the Court ordered charges held pending further order of the
Court. Payment of the Court ordered charges will allow the Applicants to (i) pay down
the DIP Facility, thereby reducing the interest expense on the DIP Facility and (ii) pay the
professionals who have been working to maximize value for stakeholders. Upon the
realization of all of the Properties, the Applicants, in consultation with the Monitor will
develop a methodology for allocating the Court ordered charges to the various
realizations. Such methodology will be subject to the approval of the Court.
59.
In light of the above, the Edgeworth group is of the view that the Indus Sale Agreement
should be approved and is requesting that the Court authorize it to enter into the Indus
Sale Agreement and grant an order vesting the Deer Meadow Properties in Indus free and
clear of all encumbrances (other than Permitted Encumbrances) and claims.
Tax Issues
60.
The Edgeworth Group, with the assistance of the Monitor and the Receiver, is preparing
to file its Canadian tax returns with the Canada Revenue Agency. As part of such tax
filings, the Monitor and the Receiver are continuing their review of whether the
Edgeworth Group can recover any HST refunds which may be owing to it.
61.
In June of 2013, with the assistance of its U.S. tax advisors, the Edgeworth Group, having
received a six month extension, filed its U.S. tax returns with the Internal Revenue
Service.

STAY
62.
Pursuant to the terms of the November 12th Order, the Stay Period is currently set to
expire on May 23, 2013, which coincides with the maturity date of the DIP Facility.
CONCLUSION
63.
The Edgeworth Group’s CCAA proceedings are intended to provide a single forum in
which to deal with the Edgeworth Group entities and their numerous stakeholders, and to
facilitate the maximization of realization on the Receivership Properties and the CCAA
Properties.
64.
Given all of the above, the Edgeworth group requests that the Court approve the Indus
Sale Agreement, authorize it to enter into the Indus Sale Agreement and grant an order
vesting the Deer Meadow Properties in Indus free and clear of all encumbrances (other
than Permitted Encumbrances) and claims.
65.
