SEALED BID—TERMS AND CONDITIONS
SEALED BID DEADLINE: All bids shall be submitted on, or before, December 2nd, 2014 at 5:00pm.

SEALED BID SUBMISSION FORM: Sealed bids must be properly completed and submitted on the required and
provided “Sealed Bid Submission Form”. By formally submitted a bid, each bidder is agreeing to all Terms and Conditions
of the sale. Bids not submitted on a fully executed Sealed Bid Submission Form may be rejected by the Listing Broker and the
Seller at it sole discretion.
ACCEPTANCE OF A WINNING BID PRICE: The successful bidder will be required to enter into a Purchase and Sale
Agreement following acceptance of offer. ( A copy of this Purchase and Sale Agreement is included in the Bidder Packet as
Exhibit “A”.) This Purchase and Sale Agreement shall be executed by all parties, and shall be accompanied by the bidder’s
escrow deposit.
ESCROW DEPOSIT: A deposit of $50,000 shall be made payable from the bidder to the escrow/closing agent, Vann K.
Parrott—payable to McCollum, Rawlins, Cauley, and Parrott Trust Account. At the time of binding agreement, all escrow
deposit funds shall become non-refundable, except as noted in the Purchase and Sale Agreement.
INSPECTION OF PROPERTY: Any interested party in the subject property is invited and encourage to thoroughly”
inspect the property prior to submitting a sealed bid offer. The property is being sold on an “AS IS, WHERE IS” basis. No
warranties or representations either expressed or implied, concerning the property are made by the Seller or the Listing Broker.
Interested purchasers are strongly encouraged to perform their own due diligence prior to submitting a bid for the property.
BUYERS PREMIUM: No Buyers Premium is being assessed to the Bidder in conjunction with this sale.
AGENCY DISCLOSURE: In this transaction, Wright Group Advisory L.L.C. is acting as agent for the Seller and not as
Buyer’s agent.
SURVEY: A current survey is being provided by the Seller and shall serve as the controlling survey. The sales price shall be
calculated on a per acre basis, rounding the survey to the nearest 1/100th of an acre. A copy of the controlling survey shall
be included in the Bidder packet as well as the Purchase and Sale Agreement as Exhibit “B”.
TITLE COMMITMENT: A preliminary opinion of title has been conducted on the Seller’s behalf by McCollum,
Rawlins, Cauley, and Parrott. The Seller, at their sole expense, is also providing a Title Policy for the subject property which
shall be included in the Bidder packet as Exhibit “C”. All other closing costs shall be paid by Purchaser.

DIRECTIONS TO THE PROPERTY: 1.) From US Hwy 19 in Thomasville, Georgia proceed east on US Highway 84
approximately 16.9 miles. Turn left onto Simmon Hill Road and carry on for 3 miles until you reach Dry Lake Road. Turn
right onto Dry Lake Road. Property and sign will be located in approximately .7 miles on the left. 2.) From Valdosta,
Georgia, proceed west on US Highway 84. Enter into Quitman, Georgia. From the Courthouse proceed West on US Hwy

BROKER CLIENT REGISTRATION DEADLINE: On or before December 2nd, 2014th, 2PM (EST)
Broker Participation is Invited & Encouraged: A Buyer-Broker Commission (BBC) of 1%, will be paid to any properly licensed
broker whose registered buyer purchases and closes on the real estate.
To receive a commission Broker or Agent of bidder/client needs to return this “Buyer Broker” registration form signed by
bidder. This form “must” be filled out and returned to The Wright Group, located at 120 E. Jackson Street, Thomasville,
GA 31792. Buyer Broker forms may also be emailed to [email protected] or faxed to 800-428-0435.
To qualify for a BBC the Buyer Broker or Agent must:
Register their client by mail, email; fax or hand deliver of the “Buyer Broker Registration Form” signed by the Buyer and
the Broker or Agent to The Wright Group.
The “Buyer Broker Registration Form” must be received at the office of The Wright Group no later than the deadline listed
above of December 2nd, 2014.
Broker/Agent must attend pre-sale inspections with their buyer.
Broker/Agent must assist with any pre-sale and post contract needs of the buyer.
Broker/Agent must assist their client with filling out and submitting the purchase agreements and other contractual matters
through closing.
A Buyer Brokerage Commission in the amount of 1% will be paid upon successful closing of the transaction.
