I.Zustandekommen des Vertrages
I.Formation of contract
1.Der erteilte Auftrag gilt jeweils nur für das im Bestellformular angegebene bzw. mündlich vereinbarte Objekt. Eines Zugangs der
Annahmeerklärung seitens der Messe Westfalenhallen Dortmund
GmbH bedarf es nicht. Bei telefonisch aufgegebenen Texten oder
Textänderungen übernimmt die Messe Westfalenhallen Dortmund
GmbH keine Gewähr für die richtige Wiedergabe.
1.The given order is valid only for the agreed object on the order
form or the object agreed on verbally. It is not necessary for the
Messe Westfalenhallen Dortmund GmbH to provide a declaration
of acceptance. The Messe Westfalenhallen Dortmund GmbH does
not guarantee the correct reproduction of copy or changes to copy
which is given via telephone.
2.Der Auftraggeber trägt die Verantwortung für die Richtigkeit, Vollständigkeit und rechtliche Zulässigkeit aller gemachten Angaben.
Der Auftraggeber haftet allein, wenn durch die Ausführung seines
Auftrages Rechte Dritter, insbesondere Urheberrechte, Marken- oder
Wettbewerbsrechte verletzt werden. Der Auftraggeber stellt die Messe
Westfalenhallen Dortmund GmbH von allen Ansprüchen Dritter wegen
einer solchen Rechtsverletzung frei.
2..The client is responsible for the correctness, completeness and
legal permissibility of all details supplied. The client is solely liable
if, during the implementation of his/her order, the rights of third parties, especially the property rights, trademark rights or competition
laws are infringed. The client exempts the Messe Westfalenhallen
Dortmund GmbH from all claims by third parties on the grounds of
such infringements of rights or laws.
II.Unterlagen, Änderungen und inhaltliche Gestaltung
II.Documents, changes and design of content
1.Texte, Logos, Druckvorlagen, Zeichnungen, Daten sowie weiteres
vom Auftraggeber zu Vertragszwecken zur Verfügung zu stellendes
Material ist dem Auftrag beizufügen der spätestens innerhalb von
12 Tagen nach Auftragserteilung der Messe Westfalenhallen Dortmund GmbH unaufgefordert zu liefern. Stellt der Auftraggeber die
erforderlichen Unterlagen nicht fristgemäß zur Verfügung, kann die
Messe Westfalenhallen Dortmund GmbH nach Setzung und Ablauf
einer angemessenen Nachfrist den Vertrag kündigen und Schadenersatz wegen Nichterfüllung verlangen.
Die Rückgabe der der Messe Westfalenhallen Dortmund GmbH
überlassenen Materialien nach Erfüllung des Auftrages erfolgt nur
auf ausdrücklichen Wunsch und auf Kosten des Auftraggebers.
1. Copy, logos, print layouts, drawings, data and other material is to be
supplied by the client for contractual purposes and is to be included
with the application, or supplied without being reminded at the latest
12 days after the order is given to Messe Westfalenhallen Dortmund
GmbH. Should the client not supply the necessary documents
within the time limit Messe Westfalenhallen Dortmund GmbH will
give notice to terminate the contract after setting a reasonable time
limit. At the end of this time limit Messe Westfalenhallen Dortmund
GmbH demand damages for non-fulfilment of contract.
The return of materials supplied to Messe Westfalenhallen Dortmund
GmbH after the order has been completed will occur solely at the
expressed wish and at the expense of the client.
2.Der Auftraggeber ist verpflichtet, eintretende Änderungen der Messe
Westfalenhallen Dortmund GmbH rechtzeitig schriftlich mitzuteilen,
so dass die technische Ausführung noch möglich ist. Änderungen
und Aktualisierungen des ursprünglichen Auftrages erfolgen gegen
Entgelt.
2. The client is duty-bound to inform Messe Westfalenhallen Dortmund
GmbH punctually and in writing of any changes made to the order
that these can still be technically implemented. Changes and updates
to the original order will be subject to additional charges.
III.Rücktritt, Höhere Gewalt
1.Bei Rücknahme oder Einschränkung erteilter Aufträge ist die Messe Westfalenhallen Dortmund GmbH berechtigt, ohne weiteren
Nachweis des Schadens eine Bearbeitungsgebühr bis zu 50 % der
Auftragssumme oder Ersatz des tatsächlichentstandenen Schadens
zu verlangen.
2.Wenn die Messe Westfalenhallen Dortmund GmbHan der Erfüllung ihrer Verpflichtungen durch den Eintritt unvorhergesehener Ereignisse,
die die Messe Westfalenhallen Dortmund GmbH oder deren Zulieferer
betreffen, gehindert wird und die der Auftragnehmer auch mit der
nach den Umständen zumutbaren Sorgfalt nicht abwenden konnte,
z. B. Arbeitskampfmaßnahmen, Ausfall von Energie, behördliche
Maßnahmen, so gilt der Auftrag als nicht vereinbart.
IV.Preise, Zahlungsbedingungen
1.Die Preise ergeben sich aus der bei Auftragserteilung gültigen
Preisliste der Messe Westfalenhallen Dortmund GmbH. Kosten für
herzustellende Druckunterlagen, wie Reinzeichnungen für Filmvorlagen, sind im Preis nicht enthalten. Sie werden dem Auftraggeber
gesondert in Rechnung gestellt.
2.Die Preise enthalten keine Mehrwertsteuer.
3.Die Rechnung ist sofort nach Rechnungslegung zahlbar.
V.Mängelgewährleistung
1.Offensichtliche Mängel der Werbung sind der Messe Westfalenhallen Dortmund GmbH unverzüglich, schriftlich anzuzeigen. Später
eingehende Mängelrügen werden von der Messe Westfalenhallen
Dortmund GmbH nicht berücksichtigt.
VI.Werbungsmittler
1.Werbungsmittler erhalten von der Messe Westfalenhallen Dortmund
GmbH keine Mittlervergütung.
III.Withdrawal, acts of God
1.If any order which has been given is withdrawn or limited Messe
Westfalenhallen Dortmund GmbH has the right to charge a processing fee of up to 50% of the order sum without having to prove that
any damage incurred, or to demand that the real incurred damage
be indemnified.
2.The agreed order is invalid if Messe Westfalenhallen Dortmund
GmbH is hindered in the completion of its duties by the occurrence
of unforeseen events related to Messe Westfalenhallen Dortmund
GmbH or its suppliers and which the contractor cannot avoid even
with reasonably expected due care and diligence under the circumstances; for example working disputes, power cuts, measures
imposed by local authority officials etc.
IV.Prices, payment conditions
1.Prices are listed in Messe Westfalenhallen Dortmund GmbH's
valid price list supplied at the time orders are given. Charges for
print layouts which have to be made ( eg. like markings-in for film
presentations) are not included in the price and will be invoiced to
the client separately.
2.The prices do not include VAT.
3.The invoice is due immediately after the rendering of accounts.
V.Deficiency guarantee
1.Notifications of blatant deficiencies in advertising are to be made
immediately in writing to Messe Westfalenhallen Dortmund GmbH.
Any customer complaints which are made at a later date will not be
taken into account.
VI.Advertising agencies
1.Advertising agencies will receive no mediator remuneration from
Messe Westfalenhallen Dortmund GmbH.
Every possible effort has been made to provide an accurate translation of the German language
contract conditions. However in any legal dispute regarding the wording of these contract
conditions the German text and not the English translation is valid.
