RECITALS WHEREAS, the Oklahoma Department of Agriculture, Food and Forestry, hereinafter referred to as " ODAFF" was created as an executive branch agency, organized and existing pursuant to Title 2, Oklahoma Statutes, Section 1- 2; WHEREAS, the Office of Management and Enterprise Services was created as an executive branch agency, organized and existing pursuant to Title 74, Oklahoma Statutes, Section 61 with authority over state property pursuant to Title 74, Oklahoma Statutes, Section 63; WHEREAS, the City of Sallisaw, hereinafter referred to as" the City" and the ODAFF are public agencies as defined in Title 74, Oklahoma Statutes, Section 1003( A)( 1) for purposes of entering into agreements authorized by the Interlocal Cooperation Act; WHEREAS, Title 74, Oklahoma Statutes, Section 1008 authorizes public agencies to enter into agreements with each other to perform any governmental service, activity, or undertaking that the public agencies are authorized by law to perform; WHEREAS, the City of Sallisaw owns the following described real estate situated in Sequoyah County, State of Oklahoma, to- wit: A part of the SE 1/ 4 SW '/ 4, Section 32, Township 12 North, Range 24 East, Sequoyah County, Oklahoma, more particularly described as follows: Beginning at the NE corner of said SE '/. SW 1/ 4; thence South 286. 53 feet; thence West 247. 78 feet; thence North 286. 53 feet; thence East 247.78 feet to the point of beginning; Together with all fixtures and improvements, and all appurtenances, subject to existing zoning ordinances, plat or deed restrictions, utility easements serving the property, hereinafter referred to as the" Property." WHEREAS, the ODAFF has need of the Property and the City desires to lease the Property to ODAFF; WHEREAS, the City has delivered possession of the Property to ODAFF in accordance with the Lease Agreement entered into between the City and ODAFF on October 13th, 2014, and attached to this Agreement as" Exhibit A"; NOW, THEREFORE, BE IT RESOLVED, that in consideration of the mutual agreements and conditions herein described, the parties agree as follows: 1. Use. The ODAFF will use the Property for the purposes of constructing a field office. 2. Improvements. ODAFF is specifically authorized to construct Improvements on all or any part of the Property and to modify, contour and grade of the Property. ODAFF will determine the nature, design, and extent of the Improvements to be constructed on the Property and will submit a written Construction or Action Plan to the City. 3. Ownership. ODAFF and/or its successors and assigns, exclusively, will hold legal title to and all incidents of ownership associated with the Improvements during the Term of this Agreement and any extensions thereof. Upon expiration of this Agreement and any extensions thereof, the City will pay ODAFF fair market value for all Improvements. To determine fair market value, each party may select an appraiser to appraise the Improvements, if the appraiser fail to agree on value, and the City and ODAFF are unable to negotiate an agreement on value, an independent third appraiser shall be selected to appraise the property, and that appraisal shall be used to determine fair market value. Upon payment of fair market value as determined by appraisers or negotiated, legal title to, and all incidents of ownership associated with the Improvements, excluding all rights to any condemnation awards of ODAFF and to the proceeds of any insurance policies maintained by ODAFF with respect to the Improvements, will be transferred to the City. 4. Maintenance and Repair. () DAFT viiii niairnaui the I iiprovements in good condition; ordinary wear and tear excepted, and will promptly make all necessary and appropriate structural and cosmetic repairs. Except as provided in this Agreement, ODAFF will not be required to maintain, alter, repair, rebuild or replace all or any part of the Property or Improvements in any way. 5. Alterations. During the Term of this Agreement, ODAFF may replace, alter, relocate, reconstruct or add to all or any part of the Improvements. Salvage of the Improvements resulting from such demolition, removal, replacement, alteration, relocation, reconstruction or addition during the Term will be property of ODAFF. This paragraph is not intended to prohibit ODAFF from up scaling its operations or increasing improvements in total value due to prevailing economic conditions subject to the City' s written approval, which will not be unreasonably withheld. 6. 7. Landscaping. to the City. ODAFF agrees to install and maintain all landscaped areas for the Property and Improvements at no cost Right to Sub- lease. ODAFF' s use of the Property shall be in compliance with the terms of this Agreement. ODAFF shall have the right to sub- lease or assign all or any part of its leasehold estate. 8. Easements. The City agrees to grant Governmental authorities or public utility companies easements and right-of-ways over, under or across the Property reasonably necessary for ODAFF to construct, install and use the Improvements and Property. 9. Permits. To the extent laws, rules or regulations applicable to the City require issuance of permits and licenses or require other administrative action by the City to facilitate use of the Property, the City agrees to do so, as reasonably prompt as allowable under the circumstances, upon written request of ODAFF. ODAFF will have the right to obtain permits, licenses, and other administrative certificates from Governmental Authorities required to facilitate ODAFF' s use of the Property. The City agrees to, as reasonably prompt as allowable under the circumstances, execute such permits and other documents and to take such other action as might be reasonably necessary. 10. Termination. a) ODAFF may terminate this Agreement by providing written notice to the City no less than thirty ( 30) days prior to the desired date of cancellation. b) 11. 12. If this Agreement is terminated by either party prior to the expiration of the Agreement, except as provided for in Section 12, the City shall compensate the ODAFF for the fair market value of the Improvements. Upon compensation, legal title to the improvements shall be transferred to the City in accordance with Section 3 of this Agreement. Restoration. If the Improvements are damaged or destroyed during the Term, as soon as practical after the casualty, at ODAFF' s discretion, the ODAFF will restore the Improvements as nearly as possible to the condition which existed immediately prior to such damage or destruction or will clear the Property. Major Destruction - Termination. If fifty percent( 50%) or more of the building or buildings comprising the Improvements on the Property are damaged or destroyed, ODAFF may, in its sole discretion, elect to terminate this Agreement which election shall be by written notice from ODAFF to the City, effective thirty ( 30) days after the date upon which such destruction occurred. ODAFF shall have one hundred eighty( 180) days thereafter within which to clear the Property. In the event of such termination, all insurance proceeds shall belong to ODAFF. Upon the clearing of the Property as provided above, ODAFF shall have no further obligation to the City under this Agreement. 13. Insurance Proceeds. Insurance proceeds will be applied to payment of the costs of restoration or clearing the Improvements as such costs are incurred. After full payment of all costs of restoring the Improvements, any balance of the insurance proceeds will be paid to ODAFF. 14. Execution. This Agreement may be executed in multiple copies, each copy of which shall be deemed as an original. The Parties' signature at the end of the Agreement, which includes any attachments or documents incorporated by reference, creates a valid and binding Agreement, which sets forth their complete understanding of the terms of the Agreement. This agreement shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, successors and permitted assigns. The Agreement shall be executed by original signatures of the parties or by signatures as reflected on separate identical Agreement counterparts ( carbon, photo, fax or other electronic copy). The parties agree that as to all aspects of this transaction involving documents an electronic signature shall have the same force and effect as an original signature pursuant to the provisions of the Uniform Electronic Transactions Act, 12A, Oklahoma Statutes, Section 15- 101 et seq. All prior verbal or written negotiations, representations and agreements are superseded by the Agreement, which may only be modified or assigned by a further written agreement of Buyer and Seller. 15. Amendment. Amendments to this agreement may only be achieved or permitted by express written agreement of both parties. 16. Notice Address. The City of Sallisaw has a notice address of: P. O. Neither party hereto waives Governmental Tort Claims Act at 51 O. S. § 151 et. seq., common law, any defenses or rights available pursuant to the statutes, or constitutions of the United States or the State of Oklahoma by entering into this agreement. 19. Applicable Law. This Agreement has been prepared in accordance with the laws of the State of Oklahoma and is to be interpreted, construed and enforced in accordance with the laws of said State. For the purposes of interpretation and enforcement of the provisions hereof, this Agreement shall be conclusively deemed to have been prepared jointly by both Buyer and Seller and not by one party to the exclusion of the other. The venue for any dispute related to this Agreement shall be in Oklahoma County District Court for the State of Oklahoma or the United States District Court for the Western District of Oklahoma 20. Whole Agreement. It is mutually understood and agreed by the parties hereto that this Agreement contains all of the covenants, stipulations and provisions agreed upon by said parties, and no agent or other party to this Agreement has authority to alter or change the terms hereof, except as provided herein, and no party is or shall be bound by any statement or representation not in conformity herewith.
