Introduction
In the last lecture you learned how to write letters with regard to deliveries. However,
sometimes deliveries are not effected within the time stipulated – due to various
reasons. In this lecture you will learn the legal consequences of a delay and you will
become skilled at how to react to delays in deliveries. Several sample letters will
exemplify different possibilities and will provide you with adequate vocabulary and
expressions regarding this subject. Exercises will ensure that you become eloquent in
this matter. The special area today focuses on supply chain management and
logistics. This is a topic greatly related to international trade you were already studying
in the last lecture and to today’s lecture on delays in delivery.
You will be informed about the pressures forwarding companies are currently facing
and the possible solutions in order to keep up with competitors and to keep
customers. Moreover, you will be able to decide the right transportation means for
different products and you will be in a position to justify your choice. A special
translation exercise on this subject will train you with regard to vocabulary and
expression.

Reading Comprehension – Delays in delivery
(Comprehension Questions)
The offer has been accepted, the order made and the goods should be despatched
and delivered to the buyer. However, sometimes the seller is not able to deliver the
goods ordered on time due to different reasons. In such a case, the buyer usually
sends a reminder and it is expected that the seller sends a response, apologising for
the delay and explaining the situation. Read the following introductory text on delays in
delivery to find out more about them, as well as on reminders, sellers´ response and
missing consignments.

If there are delays in delivery or if delivery is not effected at all this constitutes a
breach of contract by the seller. The only exceptions are unforeseen incidents such as
floods, earthquakes or hurricanes. The latter constitute an Act of God or have
happened due to force majeure. These are circumstances beyond the seller’s control.
However, if there are no such unusual circumstances, the buyer has the right to
demand compensation from the seller for the loss sustained. The buyer can even
bring action for damages and indeed, sometimes the parties themselves fix the
amount of damages payable in the event of delayed performance or non-performance
by the seller, when the contract is concluded.
If the seller fails to deliver the goods on time, the buyer will send a reminder or warn
the seller that the order will be cancelled unless the goods are delivered within a
certain period of time or by a certain date. It is customary to send one or more
reminders before a final deadline for delivery is fixed. However, if the buyer has
reserved the right to cancel the order in the case of any delay in delivery, the
allowance of additional time must not be granted.
In their reply to a letter from a customer complaining of a delay in delivery, a supplier
will apologise and explain the situation. However, instead of waiting for the first
reminder, it is always advisable to inform the customer right away if difficulties arise
regarding delivery. Suppliers should at all times tell their customers when they can
expect to receive the goods. In order to accommodate the buyers with a mutually
satisfying solution, the seller may send part of the goods and promise to deliver the
balance later. In order to induce customers to accept the goods when they are
delivered at a later date, sellers may offer a price reduction. Please note that if sellers
realise that they are unable to deliver the goods, they should ask the buyer to release
them from the contract. It is always better to seek a release than to commit a breach
of contract and face the possibility of legal action.
Sometimes it occurs that a customer complains of a delay in delivery, although the
goods have been dispatched and should already have arrived at their destination. In
such cases, investigations have to be made, of course. These investigations may
reveal that the consignment has been delayed, misdirected or lost in transit.
Occasionally, it is also discovered that the receiving department merely failed to notify
the purchasing department of the arrival of the consignment or that some other error
has been made.

We urgently need these cameras some of which have already been sold to our own
customers.

Sample 2: Outstanding order:
Dear Sirs or Madam,
Delivery of this order was due in the third week of May, but we are still waiting for
the instruments which you said you could deliver from stock.

have the exact delivery date on the same day, but we still have not received any
reply.
Should you not deliver the instruments by 5 June 2009, we will be forced to cancel
this order and buy the material from a stockist at higher cost. The extra charges will
have to be borne by you.

Sample 3: Buyer gives warning of cancellation:

time that prompt delivery was essential. In the meantime, almost three weeks have
passed, and we are still without the material.
As the silk is urgently needed for an export shipment, we shall be compelled to
cancel our order if the consignment is not received here by 1 June.

Logistics (Comprehension Questions)
Logistics is concerned with the inbound and outbound transport of raw materials and
supplies between production locations as well as movements within a plant. More
simply, well-functioning logistic systems ensure that the right products reach the right
place in the right quantity at the right time. Nowadays, with the continuing
development of worldwide supply chains, manufacturers, retailers and other
companies are demanding more from global logistics. There are two reasons for this:

International trade has grown twice as fast as global economic output over the
past decade, with many US multinationals earning more than half their revenues
from overseas sales.
–
Globalisation means that more parts and products are being supplied by
manufacturers in many different countries, complicating the coordination and ontime delivery of inbound freight.

Multinational shippers have recognised the growing importance of global logistics and
also the need to look for cost savings.
These include:

choosing cheaper transport modes to meet customer requirements;

selecting competitive carriers;
–
maximising direct routing opportunities (e.g. cutting out stops at intermediate
distribution centres).
Buyers demand fast and reliable delivery services, especially for high-value products
such as computers, electronic equipment and automotive parts. At the same time,
they want these services made available at the lowest possible cost.
Companies are finding that the best solution to their logistics problems often lies in
better planning and coordination by all parties concerned. A consignment whose
departure from the factory is delayed is likely to involve extra freight costs and might
still be delivered late. Improvements in supply chain management can be achieved by
developing closer links between purchasing and logistics and also by determining
electronically the optimum balance between production scheduling, load planning and
inventory holding.

There are many airplanes (cargo airlines) flying daily across the world just to
deliver the goods we are in favour of punctually. However, there are also regular
as well as charter airlines, which make sure that we humans are transported to
the places we want to and at the time we wish. Competition between regular and
charter airlines is keen; it is indeed comparable to the competition between
logistics companies as they too have to optimise routes in order to keep costs low
etc.
Translate the following text about competition in the airline business:
Scarcely anywhere else is competition as keen as in the airline business. Only
very few airlines are making profits nowadays. In most cases governments have
to compensate for the financial losses of the companies.
The deficit of regular airlines is due to the fact that on an average fewer than
50 % of the seats are taken while charter flights are mostly fully booked up. The
fares for charter flights often amount only to 30 % of the normal fares. That’s
certainly why charter flights are particularly popular with those passengers who
cannot afford to pay the full fare. Many passengers are prepared to put up with
less comfort, if they can take advantage of special fares instead.
In order to be able to keep up with their competitors, regular airlines are forced to
reduce their costs to a certain level. There is, however, a limit to all efforts to cut
down costs. The demand for safety has absolute priority. Therefore regular
airlines try to draw especially the wealthy passengers´ attention to their special
services by effective advertisements in newspapers and magazines. They
promise to do their utmost to satisfy their customers, they assure their
passengers of first-class service and refer to their additional services which the
passenger can also make use of after the flight.

Summary
Delays in delivery might happen due to various reasons and do practically constitute a
sound reason for trouble. Therefore, they should be dealt with very carefully and both
parties should always remain very courteous until the cause for the reason has been
identified. Usually, solutions can be found either in form of a price concession or some
other advances on the part of the “culprit”. Sometimes, however, it is impossible to find
a commonly satisfactory conclusion – in this case it is best to ask to be released from
the contract.
Supply Chain Management has become highly complex due to the economic
globalisation taking place on the earth. It is the management of the flow of goods and
other resources between the point of origin and the point of consumption. It ensures
that the consumer´s requirements are met and competition in this business is quite
high due to the pressure of saving costs and offering top-quality services. Logistics
does not only include transport but also inventory, warehousing and packaging.

The non-fulfilment of delivery is legally a breach of contract where the buyer has
the right to claim damages.

Force majeure is called an event that takes place beyond the seller’s control.
Fires, strikes or political and societal upheaval represent events that the seller
cannot control or influence. If the seller is unable to fulfil delivery due to these
events taking place, the non-delivery is due to force majeure. In this case, the
