1.Termsandconditions
Producer‐BIO‐WELL‐KTICompany,registrationcode№12602632.
Reseller‐anorganizationorapersonintendedtointroduceBio‐Wellproductsintohisorher
homecountryorthecountryofincorporation,respectively,andothercountries.
2.Obligations
Producer
2.1SuppliesResellerwithBio‐WellproductspurchasedthroughaBio‐Wellsystem.
2.2SuppliesResellerwithinformationandexpertiseontheBio‐Wellproducts.
2.3CanchangethepricesfortheBio‐WellproductsinUSDollarsnomorethantwiceayear.
2.4Providesongoingsalessupportincludingbutnotlimitedtoproductdevelopmentupdates,
trainingandcertificationopportunities,Bio‐Wellnewsandeventupdates,etc.

2.5MustcompleteResellerAgreementandResellerDetailsForm(Application№1).
2.6 Purchase Bio‐Well products with consideration of the Reseller's discount determined in
item4.1.
2.7OrganizesmarketingandadvertisingeffortsviaReseller’sownmeansandchannels.
2.8SellsBio‐Wellproductstopeople.
3.Pricing
3.1PricesofBio‐WellproductsareprovidedinBio‐Wellproductprice‐list(Application№2).
3.2 All expenses incurred on the territory of the Reseller in connections with the Bio‐Well
ResellerAgreement(duties,taxes,customs,etc.)aretobepaidbytheReseller.
3.3TrainingisnotincludedintotheProducer’spriceofBio‐Wellproducts.
4.Paymentstructureandregulations
4.1Producersetsaspecificdiscount fortheBio‐Wellproductsfor the Reselleraccording to
thefollowingterms,assumingallconditionsoftheBio‐WellResellerAgreementaremet:

4.2Each1stofJanuarythediscountlevelfortheResellerisbeingsetfortheyearbasingonthe
Reseller’s overall sales in the previous year. (Once any of the discount levels reached – it is used

4.3Bio‐WelluseristreatedbyProducerasrelatedtoResellerifhe/shehasboughtthedevice
fromtheReseller.
4.4Reselleracceptsthefollowingobligation:
a) Use Producer‐issued marketing materials. Creating marketing collateral independent
of Producer is strictly prohibited. Any creation of own marketing collateral must be
preliminaryagreedwiththeProducer.
b) Present and demonstrate the main principles and advantages of Bio‐Well technique
andBio‐Wellproductstopotentialcustomers.
c) Reseller has to provide Producer with the customer’s details: name, email address,
content of the order and serial number of the Bio‐Well device,aftereach sale of Bio‐
Wellproducts.
d) In all marketing materials and websites place disclaimer: “Bio‐Well is not a medical
instrument, it is designed for energy analysis. In case of medical issues consult your
doctor.”
5.OtherTerms
5.1ProducerhastherighttosellBio‐Wellproductstocustomersinanycountry.
5.2ResellerhastherighttosellBio‐Wellproductstocustomersinanycountry.
5.3ProducerhastherighttodenyanyResellerapplication.
5.4Resellerisnotguaranteedmarketexclusivity.
5.5Producerhastherighttoterminateagreementatanytimewithnotificationbyanymeans:
e‐mail,telephone,Skype,letter,personally,etc.
5.6AllauthorrightsfortheBio‐Wellhardware,software,expertise,techniquesandmaterials
belongtotheBio‐Well.
5.7Allofficialcommunicationsonthepresentregulationsmaybedoneviae‐mail.
5.8 All information obtainedas aReseller regarding Bio‐Well’s products, businesspractices,
etc.isproprietaryandconfidential.
5.9AllinformationaboutReseller’sactivityisstrictlyconfidential.
5.10 Producer is responsible for 2 years warranty and costs (including shipping) will be
coveredbyProducer.
