Lean Min-tze is a Principal in the Corporate & Securities practice group.
His main areas of practice are M&A, joint ventures, corporate advisory
and compliance work, insolvency and restructuring, employment and
competition law. He has advised on some of Singapore’s largest, most
complex and iconic M&A transactions, many of which have won legal
awards.
Min-tze has been recognised for his technical legal knowledge and
principled approach to structuring solutions to complex legal issues, and
his “solution-oriented approach and ability to interface well with
regulators” (Chambers Asia Pacific) and has also been praised by
clients for having "strong grounding in M&A regulations and tactics” (The
Legal 500 Asia Pacific). Min-tze has worked on a number of high-profile
corporate headline transactions in Asia, some of which won the
“Southeast Asia Deal of the Year” and “Singapore M&A Deal of the

Transactions of significance which Min-tze has been involved in include:
 Advising the target on the contested takeover offers by TCC Assets
and OUE Bayfront for Fraser and Neave, Limited;
 Acting for the Offeror on the takeover of Tsit Wing International
Limited;
 Acting for Fortis Healthcare on its offer for Parkway Holdings
(“Parkway”) in response to Khazanah’s offer for Parkway;

 Advising Rothschild in its capacity as independent financial adviser in
Temasek’s takeover offer for Olam International Limited;
 Acting for the Receivers and Managers of Singapore Flyer Pte Ltd on
the sale of its assets and business;
 Acting for Singapore Post Limited on its acquisition of the Lock +
Store self-storage business;
Baker & McKenzie.Wong & Leow is incorporated with limited liability and is a member of Baker & McKenzie International, a Swiss Verein.
 Advising Lehman Brothers Special Finance Inc. on Singapore legal
issues in relation to its swaps and derivative positions with Minibonds
Limited;
 Advising DBS Bank Ltd on its role as Administrative Agent in the debt
restructuring of Asia Pulp & Paper’s principal Indonesian operating
companies;
 Acting for a British multi-national company on achieving a satisfactory
closure to its investment in a Myanmar company;
 Advising on the Singapore law aspects of the acquisition of the
Charles Monat Group by Willis Group;
 Advising private equity and strategic acquirers of businesses and
assets in Singapore, Indonesia and Malaysia; and
 Providing general corporate / commercial advice to clients in the
aerospace and manufacturing industries.
