TERMS OF SALE FOR REAL ESTATE AUCTION, OCTOBER 25, 2005
AUCTION FORMAT. All bidding is open and public. To bid during the auction, you need
to raise your hand, shout out your bid or instruct an Auctioneer’s Assistant to call out your
bid for you.
CLOSING DATE. Each sale will close on or before December 10, 2005, at the Offices of
Benchmark Title Company, 250 West Street, Columbus, OH, 43216 at which time Purchaser
shall pay the balance of the purchase price. Time is of the essence.
BIDDER INFORMATION PACKETS: Bidder Information Packets have been prepared for
the properties and must be purchased in order to Bid at the Auction. They are available for
$25.00 each. Shipping for each packet via U.S Mail is $5.00. They can be purchased by
calling 216-360-0009 or by faxing the Bidders packet Order Form to 216-360-0395, at all
open houses, or at the Off site due diligence seminar on October 13 at 7:30 P.M. Each
Packet contains a sample purchase and sale agreement for review, extensive property
information and pertinent auction information.
BUYER’S PREMIUM. This sale at auction will provide that the Purchaser pay to the Seller
as part of the total purchase price a premium (fee) equal to six percent (6%).
The buyer’s premium will be added to the high bid or offer price in the Real Estate Purchase
Agreement to determine the Total Purchase Price paid to Seller at closing. Financing, if any,
is calculated on the Total Purchase Price.
ATTORNEY REVIEW RECOMMENDED. All information contained in this brochure and all
other auction-related material, such as the Packet, should be carefully reviewed by an
attorney prior to the auction and is subject to, and may be superseded by: (1) the Real Estate
Purchase Agreement to be signed at the auction, as well as by (2) announcements made
from the podium prior to the commencement of bidding.
AUCTION REGISTRATION. All parties seeking to bid on the properties at the auction must
sign in at the registration table and show the possession of the required cashier’s or certified
check. All bidders will be required to sign a statement (“Bidder’s Statement”) prior to
commencement of bidding that the bidder has inspected the property and sale documents.
REQUIREMENTS OF THE HIGH BIDDER. The High Bidder on any property will be
required to immediately tender the required cashier’s or certified check as initial earnest
money made payable to Benchmark Title Company, and sign the Real Estate Purchase
Agreement. The high bidder must increase his initial earnest money deposit to 6% for the
single family homes, duplexes and home lots (Parcel #’s 1-16) and 8% of the total purchase
price for the apartment buildings and commercial buildings (Parcel #’s 17-20) by 12:00
Noon, Tuesday November 1st at the offices of Benchmark Title Company.
AUCTION REGISTRATION. All Properties are offered with reserve and are subject to
acceptance by receiver and approval of Court in Cuyahoga County Common Pleas Court
Case No. 04-548887. All high bidders who have bid on properties will be notified at the
auction or in writing if accepted by receiver. Each accepted offer is subject to issuance of a
final appealable Court Order and expiration of appellate period.
