Dan Allen has been an owner/operator of restaurants for over 20 years. He began his career as a franchisee in 1993 with Burger King and owned 25 restaurants
during this time. In 1998, he added Popeye’s to his portfolio. Today, Mr. Allen is the majority owner of 7 Popeye’s restaurants in Cincinnati, Ohio and 3 Popeye’s
restaurants in Chicago, Illinois. AC Restaurants, LLC (Lessee) is the operating company for Mr. Allen’s 3 existing Tilted Kilts in Novi, Michigan (opened December
2012), Hagerstown, Maryland (opened May 2013), and Toledo, Ohio (opened May 2014), as well as any future locations. The existing stores perform well above
the system average and Novi, Michigan had the 3rd strongest opening of any Tilted Kilt. Once Florence, Kentucky opens AC Restaurants, LLC will be their
largest franchisee. Tilted Kilt’s long term growth plan is to open 300 locations in the next 5 years. Dan Allen is looking to open approximately 2-4 stores per
annum. Dan Allen serves as Tilted Kilt’s Area Developer (AD) for Delaware, Maryland, Virginia, North Carolina, South Carolina, Georgia, and Northern Florida
where he oversees all stores and receives royalties on each location – 21 stores. In addition to AC Restaurants, LLC corporate credit, Dan Allen has personally

Tilted Kilt is a Celtic themed sports bar and restaurant chain in the United States and Canada. The first Tilted Kilt Pub & Eatery was opened in the Las Vegas Rio
Hotel and Casino in 2003 by restaurateur Mark DiMartino and business partners and co-founders Shannon Reilly and John Reynaud. The concept was a
"contemporary, Celtic theme sports bar, staffed with beautiful servers. It took one hour after the concept meeting for Harrah's to contact DiMartino and inquire
about immediate development. Tilted Kilt describes itself as "a modern American, Irish, Scottish, and English sports pub". The menu is a mix of traditional and
contemporary pub food, serving items such as fish and chips, "Sloppy Janes", and "Drunken Clams". Each bar features 24 beers, including flagship beverages
such as Guinness and Harp Lager. The establishments are filled with televisions for sporting events and games such as billiards, shuffleboard, and darts are
available for the patrons. As of December 2013, Tilted Kilt has 90 locations and 20 in development. The company employs 4,000+ people and generated
approximately $243 million in revenue as of May 1, 2014. Each restaurant averages approximately $2.5 million in annual revenue.

Some of the highlights in this MSA include a diversified economy, Growth in
services industries has lessened the metro’s dependence on manufacturing
and transportation. Companies are drawn to the region’s low cost of doing
business, while employees can enjoy an affordable place to live, making the
MSA an attractive environment for business and living. The area is a central
distribution point, half of the U.S. population and 30 major markets are within a
one-day drive. With 250 colleges and universities within a 200-mile radius,

FLORENCE, KY
The City of Florence is the eighth largest city in Kentucky and is located in the
71st most rapidly growing county in the country. Florence has approximately
28,381 residents and is located in Boone County, Kentucky, just 10 miles south
of the City of Cincinnati, Ohio. Florence is home to a large number of
employers in the industrial fields and many hotels, restaurants, and retail
shopping areas. The City of Florence is situated within 600 miles of 60% if the
U.S. population, 58% of the country's manufacturing firms, and 59% of the
nation's purchasing power. Florence is a full service community offering police,
fire, EMS/ALS, water, sewer, public services, recreation, and administrative
support services. Florence is 10.31 sq. miles in area and has phenomenal
visibility due to their transportation infrastructure which includes I-71, I-75, I275, the Cincinnati/Northern Kentucky International Airport and the Ohio River.
The portion of interstate 71/75 that traverses the City of Florence maintains
one of the highest average daily traffic counts along I-71/I-75 in the nation.
Once a manufacturing-dominated employment base, the region now focuses
on trade, transportation and utilities, which hires 20 percent of the work force.
The education and health services, and professional and business services
segments account for 16 percent and 15 percent, respectively. All employment
categories will increase during the next 5 years, with the strongest gains
projected in professional and business services and information, which each
