Courthouse: It appears that our efforts
to encourage the
Governor to restore
funding
for
the
Rockville
District
Courthouse may be
successful.
It is
believed that the
funding is back on track. However, we
do await final verification of that so that
the Courthouse project can go forward.
Our Association thanks everyone who has
been involved in this effort, most especially all of our elected Delegates and
Senators who have enthusiastically supported this. Our special thanks also to our
Courthouse Committee chaired by Steve
Van Grack.

LEADERSHIP ACADEMY
The MSBA's Leadership Academy is now
in its 11th year. It was established in 1996 by
then-President Robert Gonzales. Its purpose is
to bring members with leadership ability and
potential to the MSBA and train them to
become even better leaders for both the MSBA
and Local and Specialty bars.
The program is NOT for new attorneys
but for practitioners from all backgrounds who
want to learn more about the opportunities for
leadership. To nominate someone for the

TRIALS WHEN PARTIES ARE
LIVING TOGETHER
The Family Division Masters will continue, at a scheduling conference, to bifurcate the
issue of residential custody from financial
issues or other divorce-related issues, and
schedule a merits custody trial prior to any
other matter except pendente lite support and
access issues.
In any case in which the parties are living
together at the time of the scheduling conference, regardless of their marital status, the
scheduling Master will advise them that the
Court may decide NOT to proceed with the
custody trial if the parties are living together at
the time of the custody trial, or it may decide
NOT to grant custody at the close of the trial.
Thus a resolution of a custody dispute may not
occur as expeditiously as intended under the
current DCM plan.
Similarly, although support and access
issues will be scheduled for pendente lite hearings even though the parties are living together at the time of the scheduling conference, the
scheduling Master will advise the parties that
a Court may decline to grant even pendente
lite relief if the parties are living together at
the time of the pendente lite hearing.
COURT POLICY CHANGE
REGARDING MOTIONS FOR
TEMPORARY GUARDIANSHIP
As of February 1, 2007, the Circuit Court
for Montgomery County will no longer rule on
Motions for Temporary Guardianship ex parte
unless the matter is an emergency as defined
by the Maryland Annotated Code. The
Maryland Annotated Code, Estates and Trusts
§ 13-101(f) defines an "emergency" as meaning that a "person is living in conditions which
present a substantial risk of death or immediate and serious physical harm to himself or
others."
If the matter is an emergency, then counsel is advised to submit a Petition for
Assumption of Jurisdiction - Emergency
Protective Services pursuant to Maryland
Rule 10-210. If the matter fails to necessitate
emergency protective services, but needs an
expeditious ruling, then the matter shall be
submitted to the Family Duty Judge, after first
being screened by the Adoption/Guardianship
Case Manager. The Duty Judge will either
hear the Motion for Temporary Guardianship
the same day or set the Motion for hearing
within 48 hours.
Requests for temporary guardianship
filed as non-emergencies will be set for a hearing within two weeks and the Assignment
Office will send notices to all interested persons. Thus, parties will now be required to
attend a hearing on any motion for temporary
guardianship prior to the Show Cause hearing,
which will be scheduled in accordance with
Maryland Rule 10-104.
JUVENILE CINA DOCKET CHANGES
Effective January 29, 2007, the following
changes have been made to the Juvenile
Dockets. All CINA matters set for adjudicatory hearings will be put on the CINA duty
docket. The judge handling that docket will
call those matters at 9:30 a.m. If a matter is
proceeding to adjudication it will be sent to
the trial judge. Those matters not proceeding
to adjudication will remain with the duty
judge. If there are no CINA adjudications, the
trial judge will receive cases from other rotations.

COUNCIL TO ACCEPT
APPLICATIONS FOR
CHARTER REVIEW
COMMISSION
The County Charter was amended in
1976 to provide that a Charter Review
Commission shall be appointed by the
County Council every four years to study the
Charter. The Commission researches and
evaluates Charter issues raised by the
County Executive, County Council, other
government officials, and the public.
Commission reports are submitted no later
than May 1 of every even-numbered year.
These reports contain recommendations concerning any proposed Charter amendments.
The Commission is composed of eleven residents of the County, five of whom are
appointed from a list of names submitted by
the County Executive. Six members will be
appointed by the Council. The chair is designated by the Council and the vice chair is
designated by the County Executive. No
more than six members can be from the same
political party.

at a time.

Committee for their yeoman work on this
project. Many more people applied to be
considered for elected positions than we
had vacancies. As an example, six people
applied to run for the office of Treasurer
while we only have two slots on the
Ballot. The Committee investigated and
discussed all candidates and attempted to
place on the Ballot the best available candidates for each position with due consideration to issues such as type of practice,
size of firm, geography, and the like. I
believe the Committee has produced an
excellent ticket and hopefully those who
were not selected by the Committee will
continue to remain involved in the
Association and apply next year.
Barrister's Bash: Beyond everyone's expectations, the Social Committee
has succeeded in selling out the First
Annual Barrister's Bash. As of March 17,
2007, we have 525 people paid and
signed up to attend. There will be a waiting list for applications received after that
date so please contact Heather Collier of
the Committee if you wish to be placed
on the waiting list. Also if anyone who
has signed up cancels for any reason,
please e-mail Heather so that others can
attend.
ABA Delegate: The Executive
Committee is studying a possible change
in the term of our ABA Delegate.
Currently our Delegate serves for one
year and, by tradition, is the Past
President of the Bar Foundation. John
McCarthy reported on his experience at
the ABA mid-year meeting in Florida and
indicated that it takes more than one year
to really be effective and to become
familiar with the procedures. Other local
Bars have Delegates who have more than
a one or two year term, such as our
Maryland State Bar Association. At the
next Executive Committee Meeting, we
will consider and debate this issue and
make a decision regarding extending the
term of the ABA Delegate. Your comments are invited.

newest Domestic Relations Master Clark
Wisor who was selected by the members
of the Circuit Court. Best wishes to Clark
as he starts his new position. Also many
thanks to John Weaver who leaves the
Master's Office after six years to return to
private practice...Please continue to work
on any potential vendors for our Annual
Meeting...Did you know that the Circuit
Court provides wireless internet access
while you are in the Circuit Court, in the
courtrooms and most, if not all, of the
common areas...By the way, isn't
Daylight Savings Time wonderful!

PLANNING BOARD
The terms of Wendy Collins Perdue,
Democrat, and Meredith K. Wellington,
Republican, will expire on June 14, 2007. Ms.
Perdue and Ms. Wellington have both served
two terms and are not eligible for reappointment.
No more than three members of the
Planning Board may be from the same political
party, and all members must be residents and
registered voters of Montgomery County when
appointed. Members serve four-year terms and
are limited to two full terms. This position can
be filled by a Democrat (D), Republican (R) or
a voter who declines to affiliate with a party, or
is a member of another party officially recognized by the Board of Elections. Annual compensation for Board members is currently
$25,000. The Council is considering legislation
to increase compensation to $30,000. The
increase would be effective for new appointees.
The Planning Board serves as the Council’s
principal adviser on land use planning and community planning. Planning Board members also
serve as Commissioners of the MarylandNational Capital Park and Planning Commission.
Some of the Board’s responsibilities with regard
to planning are: 1) preparation and amendment
of County General Plan; 2) preparation and
amendment of Master Plans and functional plans;
3) formulation of subdivision regulations; 4)
preparation of or recommendations on text
amendments to the Zoning Ordinance; 5) implementation of the subdivision process by reviewing and approving all preliminary plans, site
plans, and other plans for development; 6) advice
on the planning implication of capital facilities
and programs of the County Government,
Montgomery College, Washington Suburban
Sanitary Commission, and Montgomery County
Public Schools; 7) commenting, under its
Mandatory Referral authority, on plans for public
facilities of local, state, and federal agencies; and
8) approval of the work program and the annual
operating budget for the Planning Department
and the Commission’s bi-county offices.
The Planning Board sits as the Park
Commission and approves the annual Parks
Department operating budget and Capital
Improvements Program, land acquisition contracts and major development contracts for parks,
development plans for individual park facilities,
policies for park operations, and park user fees.
The Montgomery County Planning Board
meets all day every Thursday and often meets
on one other evening a week. The entire
Maryland-National Capital Park and Planning
Commission meets the second Wednesday of
every month. On average, a Planning Board
member can expect to spend at least two full
days a week in scheduled and informal meetings. Additionally, substantial time is required
for preparatory work and other activities related to Planning Board responsibilities.

the Council’s policy not to consider applications received after the deadline. After the
April 25 closing date, Councilmembers will
review the letters of application and select
applicants for interviews to be held in June.
Letters of application are made public as
part of the appointment process. The names of
all applicants are published and available for
public review and interviews are conducted in
public. A resume of professional and civic
experience should be included with letters of
application. A financial statement of assets,
debts, income, and family property interests
will be required of all applicants; only the candidate appointed will be required to make the
financial statement available to the public.
BAMC EXECUTIVE
COMMITTEE MINUTES
Monday, February 12, 2007
The President called the meeting to order.
The President reported that the Public Justice
Council requested the BAMC sign on a brief to
get the Green Party on the ballot. The MSBA
declined to sign on. The President of the
Garrett County Bar Association agreed to sign
on. The President declined to sign on behalf of
the BAMC.
PRESIDENTS UPDATE:
• Funding for New District Court:
Governor O'Malley took out the funding for the
New District Court from this year's Budget. The
main funding was supposed to be in next year's
Budget. The President wrote a letter to Governor
O'Malley requesting that the funding for the construction of the Rockville District Court be
restored for this year. The funding was removed
because of concern over the location. The State
already owns the property where the Court was to
be built, and has already spent over 5 million on
site plans and other related costs. Funding exists
to demolish the library. Most of our delegates are
in favor of the funding, except for new delegate,
Jim Gilchrist, whose constituents are against the
location. The design will be similar to the new
Silver Spring District Court.
• Barrister's Bash: The current count is
379. We only needed 180 to break even on the

This
Committee is being reconstituted after many
years. Mark Emden and Mike Subin have volunteered to chair the Committee initially until
Mary Ellen assumes the role of President and
determines who to appoint. Past President Paul
Kemp will work with the Committee to review
the fee structure for government attorneys.
• Blast Fax Discussions: The Blast
Email is set up to reach every Member of
BAMC. The Upcoming Events distributed at
the Bar Luncheons will be sent to the
Members once a month. Other possible blast
emails may include death of members and
other significant events like the Barrister's
Bash.
TREASURER'S REPORT:
The Treasurer reported on the proposed
budget and brought the following items to the
Committee's attention:
• The Budget Committee recommended
a dues increase of $10 per year for the next
three years. This request is made to maintain
a proactive Bar Association to meet the ever
increasing cost of membership services, keeping up-to-date computer hardware, purchasing
upgraded software programs to include online balloting, surveys, on-line registration,
on-line programs and prepare for the transition of our Executive Director in 2008. The
increase will be voted on at the April luncheon.
• The cost of the Annual Meeting has
been increased to $28,000 due to the new
location.
• The amount for Judicial Selections
has been increased from $4,000 to $6,000 due
to the referendum on positions coming available. The fee for applicants for Judicial
Selections has been raised to $150.
• The Newsletter costs have increased
by $2,000.
• The Postage costs have increased
from $6,000 to $9,000 due to the increase of
postage and the rental of the postage machine.
• The Xerox lease decreased from
$4,900 to $4,500.
• The fee to obtain the available personnel list has been increased to $50.
• Lawyer Referral is being used less.
The hope is that once the program is online the
use will increase.
• A Motion to recommended the dues
increase was made with one abstention and the
remaining Members unanimously voted for
passage.
A discussion ensued regarding decreasing the amount of dues for government agency
attorneys to facilitate maintaining and increasing them as members. Paul Kemp recommended offering government agency attorneys the same rates as new practitioners
because their numbers are so low. Inclusion
of increased numbers of government agency
attorneys would increase collegiality in the
BAMC. The Executive Director suggested we
explore what benefits the BAMC can offer
government agency attorneys, e.g. the BAMC
obtaining certification to provide some of the
required Public Defender's CLEs. The
President requested Richard, Paul, Kathy and
Audrey to ask for additional suggestions from
their respective offices.

COMMITTEE/SECTION REPORTS:
Commercial Litigation Section–Jeff
Schwaber, Co-chair, reported the section is
very active. Breakfast meetings from 8:00
a.m.-9:00 a.m. are held every other month,
alternating between the offices of Lerch, Early
and Stein, Sperling as well as additional CLE
meetings. Programs included: E-Discovery
and Technology presented by an outside vendor, and a CLE on Virginia Practice presented
by 2 retired Maryland judges and a Virginia
attorney (this program was co-sponsored with
the Business Section). The typical attendance
is 20 people at breakfast and 30 people at the
CLEs.

Marilyn Pierre reported The Black History
Month celebration was cancelled due to
weather conditions and will be rescheduled.
Montgomery County Women's Bar
Association: Lindsay Parvis reported on the
upcoming Women's Bar Events which included the May 30th luncheon with Mary Ellen
Flynn to speak on leadership issues.
NEW BUSINESS:
• Wendy Karpel raised concern regarding the Executive Order from Governor
O'Malley changing the composition of the
Judicial Nominations Commission. Donna
Van Scoy provided her understanding that the
number of attorneys elected has been reduced
to 3 from 4 so that more lay people can participate. In addition, members will be considered by where they live rather than where they
work. The MSBA is writing a letter of protest
to the Governor regarding the changes.
• Information on the Fee Dispute
Resolution issues will be reported on at the
March meeting, including, Suzy Eckstein's
discussions with the Fee Dispute Committee
Chairs.
• The President will request the
Personal Injury Section to review and report
on the progress of efforts in Tort Reform to
institute comparative negligence in Maryland.
• The President-Elect reported on
upcoming events planned to assist in connecting with the Speciality Bars, including: March
1 from 6:00-8:00 p.m. at Expectations in
Silver Spring- Meeting of Speciality Bar
Leaders to discuss joint events, including, an
October 19 Multi Cultural Party. Those interested in helping with the Multi Cultural Party
should contact Audrey Creighton, who will be
chairing the event.

Jacob N. Perkins
August 4, 1969 - February 5, 2007

The news of the death of Jake
Perkins rippled through the community
like a shock wave.
Neighbors and friends watched in
recent years as Jake bravely struggled
with the personal challenge of kidney
failure and having to spend up to fifteen
hours every week on dialysis. He had a
highly unusual run-in with a bug or
insect while playing golf in West Virginia
in 2001, and thirty-six hours later he was
in an emergency room with a temperature of 106 degrees. The infection that
resulted in kidney failure put him on a
path in life that would have sunk most
people.
This young lawyer, so very active in
the community as a leader and volunteer,
had devoted most of his personal time,
and even a significant part of his professional time, to working on behalf of so
many community organizations.
If Jake Perkins had a slogan to live
by, it most assuredly was: making every
minute count. His sense of urgency
seemed to define his life and his leadership style. While the rest of us had the
luxury of leisure, he always seemed to
have his eye on the clock.
In high school (Class of 1987), he
was just about everywhere. He played
football, basketball, baseball, and ran
indoor track. He played French horn in
the band when he wasn't practicing on the
Academic Team and the Math Team. Just
so he didn't get too bored, he was also the
Student Government President.
After entering Virginia Tech, he didn't slow down. He was Speaker of the
Student House of Representatives, member of the SGA Executive Council, participated in the Council on Athletics, and
was a member of the Residents Hall
Federation.
He became an intern with Sen. John
Warner (R-VA) for a year and a half and
worked as a special education assistant at
MCPS before entering the University of
Maryland School of Law where he graduated in 1997. He is a member of the
Maryland and Virginia bars.
After graduation, he joined a law
firm specializing in insurance defense litigation and participated in a major and
successful case litigating against appraisal fraud in Baltimore. He ran two firms:
Jacob N. Perkins, P.A., and he had partnered with Frank Jamison in Perkins
Title, Inc. For him, choosing law was
easy. Jake always seemed driven by two
passions: the law and helping people.
His community service list is impressive. He had been Poolesville Day
Committee Co-Chairman with his fourth
year coming up. He was on the Board of
Directors of the PHS Booster Club,
President of the Poolesville Area
Chamber of Commerce, and on the Board
of Directors of the Monocacy Lions Club.
Over the years, we came to expect to hear
his raspy voice announcing the varsity
football games at the PHS athletic field.
Whether it involved school sports or the
Poolesville Athletic Association, Jake has
always been involved in youth sports in
one way or another.
In the last few weeks, while he continued to experience severe pain without
complaining, he helped out with the
Monocacy Lions Club auction, he
presided over the PACC annual banquet,
and continued in leading the Poolesville
Day Committee. On the last day of his
life, I called Jake because I needed information from him about the Chamber. I
heard his voice and remember thinking
just how terrible he sounded and that he
was not doing well at all. It was the worst
I had ever heard him. Without saying a
word and without complaining at all, he
responded to my request, and this last call
was ended as so many, many other calls
ended over the years by my simply saying, "Thanks, Jake."
There are so many ways to describe
Jake. These past years as we have gotten
to know him, watching him battle the
cards dealt him, witnessing his hope for a
renewal from a kidney transplant, and
being awestruck by his courage in facing
such personal tribulation, there is one
word that comes to mind: warrior. We
think Jake always knew time was running
out, but he battled on with determined
courage. He was a warrior-a brave heartin every sense of the word. In the end, the
health issues claimed his life, but he
claimed a piece of all our lives forever for
the warrior he became. He did so much,
and we could say so much more, but in
the end it comes down to three simple
words: "Thank you, Jake."
Jake was a member of the Bar
Association of Montgomery County. On
behalf of his many friends and colleagues, our deepest sympathy is sent to
the his family.

THE ETHICS OF VIEWING
AND PRODUCING
METADATA
Metadata creates ethical concerns for
attorneys who exchange information
electronically. Metadata is accessible
information embedded in electronic documents. It may include facts such as the
document's author, date of creation, dates
of printing, number of revisions, previous
versions, and editing time. Recent decisions by the American1 and Maryland2
Bar Association's Committees on Ethics
address (1) whether it is ethical for attorneys who receive electronic documents to
review and use metadata and (2) whether
attorneys have an ethical obligation to
remove privileged metadata before giving
electronic documents to others. The committees' opinions are summarized herein.
(1) Review and Use of Metadata by
Receiving Attorneys
(A) American Bar Association
Model Rules of Professional
Conduct
The ABA Committee found that no
Model Rule directly addresses the review
and use of metadata. Model Rule 4.4(b),
the most closely applicable Model Rule,
does not preclude a lawyer from reviewing and using metadata. The Rule does,
however, require a lawyer who receives a
document that he knows or should know
was inadvertently sent to "promptly notify the sender." Accordingly, the ABA
Committee determined that, although it
does not run afoul of the Model Rules for
a recipient to review and use metadata,
the recipient must notify the sender if he
knows or should know that the transmission of metadata was inadvertent.
(B) Maryland Rules of
Professional Conduct
The Maryland Committee found that,
like the ABA Model Rules, the Maryland
Rules do not bar a recipient from reviewing
and using metadata. Moreover, Maryland
has not adopted Model Rule 4.4(b). For this
reason, the Maryland Committee concluded
that, in addition to permitting a recipient to
review and use metadata, the Maryland
Rules do not require the recipient to notify
the producing attorney, even where disclosure of the metadata was inadvertent.
The Maryland Committee clarified that,
though there is no ethical prohibition
against viewing or using the data, counsel
may be subject to legal standards or
requirements arising from case law,
statute, or rules of procedure pertaining to
the production of electronic documents.
The Committees singled out for special
mention the amendments to the Federal
Rules of Civil Procedure which went into
effect December 1, 2006. Pursuant to
revised Federal Rule 16(b)(5) and (6),
parties are encouraged to agree on protocols for production of electronic information. A party would be obliged ethically
to comply with the terms of any such
agreement lest they violate MRPC 8.4(b)
by engaging in conduct prejudicial to the
administration of justice.
(2) Removal of Metadata by
Producing Attorneys
(A) American Bar Association
Model Rules of Professional
Conduct
The ABA Committee did not directly
address whether producing attorneys
have an ethical obligation to remove
metadata prior to sending documents
electronically, but did recommend that
lawyers avoid disclosing metadata. The
Committee offered a variety of ways to
do so. For example, computer users can
avoid creating metadata in the first place.
Attorneys can delete metadata before producing electronic documents or can send
documents in alternate forms. Attorneys
can also negotiate confidentiality agreements or protective orders prior to producing any documents electronically.
(B) Maryland Rules of
Professional Conduct
The Maryland Committee concluded
that the Maryland Rules obligate the producing attorney to "take reasonable measures" to prevent the disclosure of privileged metadata.
According to the
Committee, Rule 1.1's requirement that a
lawyer provide competent representation
and Rule 1.6's mandate that attorneys
keep certain client information confidential underlie the producing attorney's duty
to maintain the confidentiality of privileged metadata. The Committee did not
opine what measures might be warranted
or reasonable under particular circumstances.

track two and three cases (including domestic

On May 4, 2007, the Business Law
Section will be joining the Intellectual Property
& Technology Law Section and the Real Estate
Law Section at the Bar Association of
Montgomery County's 113th Annual Meeting to
present a Break-Out program on the legal and
ethical considerations of "Doing Business on
the Internet." The program will cover a variety
of issues that lawyers may encounter with
respect to their client's, and their own, use of the
Internet and other forms of high technology.
The program will include a discussion of the
legal issues involved in doing business over the
Internet, including considerations in setting up a
web site, copyright and trademark issues, security, e-commerce and rights of privacy. The program also will offer a discussion addressing
issues specific to lawyering over the Internet,
including the use of blogs and chat rooms, metadata, attorney/client privilege issues, and other
ethical pitfalls in an attorney's use of high technology. Please stay tuned to the Bar Newsletter

In my absence at the District Court Bench
Bar Meeting held on March 1, 2007, the following minutes of the meeting were provided to me
by Committee Member Jonathan Bloom.
With respect to Court Interpreters, it was
recommended that counsel bring either office
staff or an English-speaking friend or relative to
court for communications with clients and witnesses which take place outside the courtroom.
Judge Wolfe reminded the members that in
reference to all motions, criminal or civil, they
must be accompanied by a proposed order. The
order should designate where and to whom
copies of the order should be sent.
With respect to civil cases, again, as a
reminder, do not file the 10-304 bill/reports with
the court. However, remember to serve opposing counsel with those documents. When an
attachment to a non-personal injury case is filed,
an effort should be made to highlight (with a
colored highlighter) any provision in the attachment for attorneys' fees and remember to serve
the opposing side with a copy of all attachments. Finally, on the civil pleadings and proposed orders, counsel are encouraged to include
complete case numbers, location of the case, as
well as a reminder if the case is scheduled on the
morning or afternoon docket.
With respect to criminal cases, when juveniles are charged in the adult District Court,
counsel are encouraged to not file reverse
waivers unless counsel is sure the case will not
be indicted. When reverse waivers are filed in
the District Court, an investigation must be
ordered and on those occurrences, it has created
administrative problems. It was observed,
under normal circumstances, the only juveniles
who are prosecuted in adult court are those
charged with certain weapons offenses and
these represent an extremely small number of
the juveniles charged in adult court.
Once again, a reminder that all cell phones
must be turned to silent while court is in session.
Discussions are ongoing concerning an all-day
incarcerable traffic docket, an all day domestic
violence protective order docket, and a second
civil day. You are encouraged to stay tuned for
more information concerning these matters.

What is Economic Substance? According
to the IRS and the courts, it is a determination of
whether, from an objective standpoint, the transaction is likely to produce economic benefits
aside from a tax deduction.
While there is no Tax Code definition or
regulation of economic substance, proponents
of the doctrine argue that Congressional intent
requires that the overall transaction make economic sense over and above any tax benefits.
Although legislation has been introduced in
Congress to codify the economic substance doctrine, none has been enacted. The IRS and the
Treasury Department oppose codification as
unnecessary.
The IRS aggressively prosecutes cases of
sham transactions which lack either a business
purpose or economic substance. According to
the IRS Chief Counsel Donald Korb: "Basically,
in any particular case, we will make a technical
argument first, but there is a backstop in the form
of economic substance available and it should be
used by the government when necessary."

There is a line of cases supporting the economic substance doctrine, notwithstanding the
lack of a statutory provision. In the Fourth
Circuit, Rice's Toyota World, Inc., v.
Commissioner, 752 F.2d 89 (1985) created a
two prong test to determine whether a transaction was a sham and should be disregarded for
tax purposes. The first test was that the taxpayer must have been motivated by no business
purposes other than obtaining tax benefits when
he entered into the transaction; and second, that
the transaction must have no economic substance because no reasonable possibility of a
profit exists.
Other courts have expanded these tests.
For example, the Tax Court in Larsen, Vincent
v. Commissioner, 89 TC 1229 (1987), held that
the presence of business purpose does not entitle a transaction to be recognized where objective indications of a realistic potential for economic profits are not clearly apparent. The
Federal Circuit in Coltec Industries v.
Commissioner, 454 F.3d 1340 (2006) held that,
notwithstanding that the taxpayer followed the
law explicitly and met every legal and technical
requirement of the Tax Code, the transaction
would nevertheless be disregarded for tax purposes because it lacked economic substance.
The 6th Circuit in Dow Chemical Company v.
Commissioner, 435 F.3d 494 (2006) disallowed
tax deductions meeting all technical requirements of the Tax Code because the transaction
lacked economic substance.
Of course the taxpayers in Coltec and Dow
Chemical appealed to the U.S. Supreme Court,
arguing that because they met all technical
requirements of the Tax Code the transactions
should not be disregarded for tax purposes. On
February 20, 2007, the Supreme Court denied
cert in both cases and let the Appeals Courts
decisions stand. This advertent act by the
Supreme Court provides the IRS with the ultimate authority to aggressive pursue the eco-
nomic substance doctrine and disregard transactions that fail the IRS's subjective economic
substance or business purpose tests.
Tax practitioners raise concern that an
unbridled economic substance doctrine may be
extended by the IRS to cover a greater number
of tax strategies, putting not only transactions
that are clearly tax shelters at risk but also
endangering cutting-edge financial, partnership,
corporate, and estate planning even though the
technical requirements of the Tax Code may be
apparently satisfied. Ironically, the IRS and
Treasury Department opposed the Supreme
Court review of the Coltec and Dow Chemical
decisions.
The best advice to give our clients in tax
planning is to answer the question: "Would you
do this deal if it were not for the tax benefits?"
If the answer is negative or maybe, then caution
should be the word, as the transaction may be
disregarded by the IRS under the economic substance doctrine.

On March 7, 2007 the workers comp section hosted a session with two of the newly
appointed Commissioners: Patricia G. Adams
and Jeffrey T. Weinberg. Ms. Adams, a previous
member of the Commission who has practiced
workers compensation law for more than 25
years and Mr. Weinberg, who has spent his
entire legal career practicing in the area of
workers' compensation, were highly engaging.
They spoke of their philosophies and expectations for litigants appearing before them. In
addition, they asked for suggestions from the
group as to how the workers compensation
process and procedures could be enhanced. It
was expected that the new Commissioners,
appointed by Governor O'Malley, would shortly
be approved by the Md. Senate and be sworn in.
At the next meeting of the section, to be
held on April 12, 2007 at 4:30pm we have invited Kimberly Ward, the third newly appointed

PERSONAL INJURY APPELLATE DECISIONS
In Mundey v. Erie (Court of Appeals,
No. 28, September Term 2006, Filed
January 16, 2007), the Court affirmed the
decision of the Court of Special Appeals
reported in the April, 2006 issue of this
Newsletter and the September, 2006 Back
to Court Night booklet as Mundey v. Erie,
167 Md.App. 444, 893 A.2d 645 (2006).
Plaintiff, 24 years old, was seriously
injured as a passenger in a friend's car,
and sought to use the UIM (underinsured
motorist benefits) under his parents' automobile liability policy.
At the time of injury he was living at
his grandmother's home because of family
difficulties with his parents. Before his
parents would allow him to return home, he
would have to "get his act together". In the
meantime his bedroom had been converted
to other family uses. The trial court and
both appellate courts held that he no longer
qualified as a "resident" in his parents'
home and did not qualify for UIM benefits.
In Pope v. Barbre (Court of Special
Appeals, No. 2386, September Term 2005,
Filed January 25, 2007), the Court held
plaintiff failed to comply with the notice
provisions of the Maryland Tort Claims Act
(MTCA-Section 12-106 of the State
Government Article). The MTCA allows
suits against the state and precludes negligence claims against state officials, individually. Plaintiff was partially paralyzed as a
result of being shot by a Queen Anne
County deputy sheriff. Plaintiff's attorney,
believing the deputy to be a county employee, gave notice to the County Commissioner
pursuant to the Local Government Tort
Claims Act (LGTCA). As noted in the
March, 2007 issue of this Newsletter, that
Act requires that within 180 days of an incident, a claimant must submit notice of intention to pursue a claim for damages to an
appropriate official. Under the LGTCA, the
court may waive the requirements by finding substantial compliance.
Practice Pointer: By statute, sheriffs
and deputy sheriffs are classified as state
personnel. The notice provisions of the
MTCA are slightly different than the
LGTCA. A claimant has one year in which
to submit a claim to the State Treasurer or
his or her designee. By regulations promulgated by the Treasurer, his or her
designees are limited to the Chief Deputy
Treasurer and the Director of the Insurance
Division of the State Treasurer's office. By
the time plaintiff's counsel became aware
of the state status of the county sheriff,
fourteen months had elapsed from the time
of the incident. The trial court properly dismissed the claims against the county and
state. The appellate court reversed dismissal of the claim against the deputy as an
individual. State officials lose their immunity when their acts are committed with
malice or gross negligence or outside the
scope of employment. It was error for the
trial court to dismiss the deputy as an individual defendant.
Your attention is called to Lloyd v.
General Motors (Court of Appeals, No.
10, September Term 2002, Filed February
8, 2007), where the Court held "Even in the
absence of actual personal injury, economic loss, the cost to fix the defect alleged, is
recoverable where it is also alleged that
such defect has caused, in other cases, serious bodily injury and, thus, constitutes an
unreasonable risk of death or serious
injury". The opinion is 69 pages and the
decision had been pending for many years.
Defendants included General Motors,
Ford, Daimler Chrysler and Saturn.
The court allowed plaintiffs to proceed
with their class action on behalf of consumers to recoup the cost of fixing defective seatbacks in vehicles manufactured by
defendants. The allegation was that the
seats are unsafe because they collapse rearward in moderate and severe rear-impact
collisions. There have been a number of
claims involving serious injuries and death.
Claims of actual physical injury are excluded from the class. Only repair claims will
receive class status.

PRO BONO UPDATE
It is that time of year for grant applications and grant reports for the Pro Bono
Program. The program is woefully under
funded and to maintain a strong service
program, additional funds will be
requested from Maryland Legal Services
as well as the Montgomery County
Government. The Evening Legal Clinics
continue to be a great service for the
Montgomery County Government and
the immigrant population. We are instrumental in stabilizing families by assisting
them with their legal needs.
The number of attorneys volunteering their time and the reduced fee attorneys we have for critical areas of law are
doing a monumental job. In addition,
Mary Kay Canarte, our part-time
Managing Attorney, is doing an incredible job of managing the staff, the cases,
the statistics, the grant applications and
the grant reports. She is doing this on 20
hours a week and is to be applauded by
our members for her conscientious
efforts, dedication, speed and oversight.
The case management of the Child
Custody Grant is particularly important
because these cases many times run for
18 months to two years and must be
tracked back to the grant year in which
we received the money. Again, Mary Kay
and Bea Rice, our part-time contract
bookkeeper, are working together to
assure financial accountability.
If you are not volunteering for Pro
Bono, we would greatly appreciate a consistent financial contribution to the Pro
Bono Program. Yes, we more than anyone, know how much you contribute to
your community and to this Bar
Association and Bar Foundation. "You

we raised, our Chapter will make donations to
the County Bar's pro bono program, our
Chapter's Foundation (which allows us to
award at least three scholarships annually to
local students), Crossway Community (a shelter for abused women and their children in
Kensington), and Bates Vincent (an arm of the
State Bar's Lawyer's Assistance which provides
help to those attorneys seeking help with their
alcohol, substance abuse, or mental health
issues).

This month is our 11th annual Take
Your Child to Work luncheon which will be
held at the Golden Bull Restaurant, 7 Dalamar
Street, Gaithersburg, Maryland, on Thursday,
April 26, 2007, beginning at noon. As you
may already know, our Chapter sponsors high
school girls, many of whom are considered "at
risk," who otherwise might not have the
opportunity to participate in such an event.
This year's Program will focus on personal
and career development with an emphasis on
learning how to successfully apply and interview for a job. We are extremely excited this
year to announce our confirmed motivational
speakers - Cindy Pena, who is a reporter with
WUSA TV9 News, and Susan Cohen, who is
a forensic chemist with the Montgomery
County Police Department Crime Lab. The
event will be moderated by Krystal
McKinney, who is the Manager of Adolescent
Services for the National Center for Children
and Families.
In the past, the children have particu-
larly enjoyed interacting with members of
the Bench during the Luncheon so I hope
that you will consider attending this year's
event and/or sponsoring a child if you are

Our second leadership development seminar will be our May 30th luncheon at the
PGA Tour Grill featuring Mary Ellen Flynn,
the President-Elect of the Montgomery

annual Women's Law Day at the Women's

Enrollment at American Bar Associationapproved law schools edged up slightly in the
current academic year, with minorities gaining
some ground as a proportion of the total, and
the proportion of women dropping slightly.
None of the changes was substantial.
The ABA Section of Legal Education and
Admissions to the Bar today released statistics
on students enrolled in ABA-approved law
schools across the country, based on information compiled in a questionnaire distributed last
fall. Among the results:
• Total law school enrollment showed a net
gain of 0.3 percent, increasing from 148,273
students in fall of 2005 to 148,698 the current
year.
• Enrollment by students seeking a J.D, the
basic law degree, rose 0.5 percent, from
140,298 to 141,031.
• There was a larger increase in first year
enrollment, a rise of 1.7 percent, from 48,132 in
fall of 2005 to 48,937 in the current academic
year.
• Men represent a slightly larger portion of
the total J.D. enrollment and of the first year
class this year than they did last year. Out of
total J.D. enrollment, 53.1 percent are men,
compared with 52.5 percent last year. Out of
the first year class, 53.7 percent are men, compared with 53 percent last year.
• Minority students edged up just slightly,
representing 21.6 percent of all J.D. students
this year, compared to 21.2 percent last year.
Of students in their first year of enrollment,
minorities represent 22.3 percent this year,
compared with 21.6 percent last year.
The statistics on minorities do not include
students enrolled in law schools in Puerto Rico.

Assistant Attorney General with the Maryland
Department of the Environment. Patricia
