Summary

NEOCLASSICS FILMS LTD. was incorporated on November 2, 2007, under the
laws of the Province of British Columbia.

It maintains its main administrative offices in Vancouver and maintains its principal
North American business offices adjacent to Sony Pictures in Culver City through a
wholly-owned U.S. subsidiary incorporated in Nevada.

A wholly-owned U.K. subsidiary will later be incorporated and will maintain a
business office in London to oversee international activities.

Completed its third year of distribution operations in 2011, releasing 12 theatrical
films in the U.S. to date.
Growth of NeoClassics








Acquired and released twelve feature-length films theatrically in the United States, on
up to 100 screens in as many as 10 or more key markets.
Distributed films in English as well as foreign languages including French, Flemish
and Arabic, from a diverse group of international filmmakers from the France, the
U.K., Belgium, Canada, Jordan and Australia.
Developed relationships for theatrical exhibition of NeoClassics’ pictures with key
exhibitors of independent films such as Landmark Theatres.
Successfully branded NEOCLASSICS as a viable distributor of high-quality
independent specialty films with industry acceptance.
Continued to build our seasoned professional team of some 10 executives and staff
by creating new relationships with experienced bookers Emily Woodburne, MJ
Peckos, as well as Ron Rodgers & Randy Slaughter of Rocky Mountain Pictures.
Successfully transitioned from a development stage company to a revenue generating
company, recognizing $565,000 annually from distribution operations in 2011.
Reduced the net loss for 2011 to $89,000 from $773,000 in 2010.
Ended 2011 with its most successful theatrical release to date, THE HEDGEHOG, still

Licensed a package of nine NEOCLASSICS theatrical titles to NetFlix for internet
exhibition on NetFlix’ subscription VOD service.
Licensed two of its recent theatrical releases, THE HEDGEHOG and EMPIRE OF
SILVER, to Starz Entertainment, LLC, for exhibition on pay television in the U.S.
Ramped up our NEOCLASSICS Home Entertainment division engaging experienced
industry veteran Brian Brown to serve as its Head. Brown’s experience encompasses
over 25 years in the U.S. home video market, where he oversaw distribution of a wide
variety of U.S. and international titles in all facets of the market.
Signed an exclusive output deal with Lions Gate Films, Inc. covering U.S. VOD of
NEOCLASSICS’ theatrical and home video releases.
Continued growth in the stature and good will of the Company as a distributor of
high-quality independent films in the U.S.; strengthening our relationships with the top
producers of independent films throughout Europe as well as with leading theater
chains in the U.S.
Product and Marketing Strategy
 NeoClassics licenses for distribution independently produced feature-length motion
pictures intended for initial theatrical release as well as pictures intended for initial home
video release.
 Such pictures are produced by filmmakers from around the world, with a focus on English
language films from the United Kingdom, Australia, New Zealand, South Africa, India, the
United States and Canada. Foreign language pictures from France, Spain, Germany and
other countries are licensed and distributed with subtitles. NeoClassics presently has
films from Australia, France, Belgium, Jordan, Canada and The United Kingdom.
 NeoClassics is initially focusing its efforts on films having a budget of $5 million or less,
expanding this horizon over time as its distribution network is established and matures.
Exceptions are occasionally made, such as L’Affaire Farewell, with a production cost of
nearly 18 Million Euros, which was successfully released theatrically in 2010, in home
video in 2011.
 NeoClassics distributes directly to theatres in the United States and will add distribution in
the United Kingdom and Canada soon by joint ventures or direct distribution. In addition,
NeoClassics acts as a foreign sales agent selling rights to distributors overseas.
 NeoClassics has entered into an output agreement for the digital distribution of its slate
with mini-major Lionsgate Films.
Product and Marketing Strategy

 NeoClassics’ ability to identify and reach a targeted market for its films is fundamental to
its acquisition strategy. Each will have some key element or hook that will enable it to
reach a specific targeted audience group: a particular director or filmmaker, cast, script,
subject matter, or some other aspect. NeoClassics distributed 4 films theatrically in 2011,
and plans to distribute 6 - 12 films theatrically annually.
 NeoClassics is releasing its U.S. theatrical product through its NeoClassics label, initially
in 2 to 5 key urban markets, focusing on New York and Los Angeles. Broader releases
will follow where appropriate on a platform basis.
 The NeoClassics label is branded as quality independent fare appealing to an intelligent,
urban audience to build a long-term following, creating demand for future releases. It
also identifies NeoClassics as a viable player in film acquisitions, attracting quality
product for future releases.
 NeoClassics is developing a second label, Tigertail Flix, which will include youth-oriented
films, genre films, as well as horror and action adventure and a wide array of digital
product for internet distribution.
Management
 NeoClassics’ management team represents a diverse group of talents with decades of
combined experience with major companies in the entertainment industry. This
seasoned group of professionals has a range of experience encompassing film
production, acquisition, licensing and sales, distribution, legal, finance and accounting.
 Key members of our management team include:
Irwin Olian – Chief Executive Officer and Chairman
Irwin Olian is a highly successful entrepreneur with a strong legal background, who has a broad
range of experience in the entertainment industry and in finance. He has developed a business in
recent years as a private investment banker and business consultant to a wide range of emerging
companies, in fields ranging from biotechnology to high technology to mining. His activities have
included arranging public and private financings, initial public offerings, mergers and acquisitions
and other business consulting. His clients have included a number of successful NASDAQ
companies.
Mr. Olian served as a Senior Business Affairs executive with International Creative Management,
Inc. for two years. He also served as Senior Attorney for Warner Bros Inc. at Burbank Studios for
five years, where he negotiated and drafted a wide variety of agreements relating to production,
distribution and financing of Warner’s major theatrical motion pictures. Reporting to senior
management, he negotiated many multiple picture and production-distribution agreements, and
handled many acquisitions of independent films for domestic and foreign distribution.

Mr. Olian was founder and has served as CEO and Chairman of three successful junior mining exploration
companies:

Pan African Mining Corp.

African Queen Mines Ltd.

Sacre-Coeur Minerals, Ltd.
Pan African was acquired in 2008 for $157 million by a large Asian concern; African Queen and SacreCoeur are traded on the TSX Venture Exchange (Toronto).
Earlier he was co-founder and principal shareholder of NASDAQ listed North American Scientific, Inc. (a
NASDAQ company) , a Los Angeles based manufacturer of radioisotope products for the medical industry,
including seeds implanted for the treatment of prostrate cancer. Additionally he was instrumental in
structuring and financing California-based BioSource International, Inc, a successful NASDAQ biotech
company which was subsequently acquired.
Mr. Olian graduated with high honors from Princeton University with an A.B. in Economics and received
his law degree from Harvard Law School.
Management
Frédéric Demey – Senior Vice-President of Distribution
A French citizen now residing in Los Angeles, Frédéric Demey has 18 years’ experience in the film
industry, encompassing most aspects of filmmaking and film marketing. He has worked in finance,
development & production, international sales & distribution and theatrical exhibition, on a variety of
motion pictures with budgets ranging up to $60 million.
Prior to joining NeoCLassics, Mr. Demey was acting as international sales representative for a variety
of feature film projects and documentaries on behalf of producers in Europe, Asia, Latin America and
the U.S. He spearheaded the sales efforts of German public company Boll AG, whose films include In
The Name Of The King, a $ 60 million action-adventure film starring Jason Statham, LeeLee Sobieski
and Ray Liotta. He also organized film acquisitions and co-productions for Boll AG.
From 2002 to early 2005, Mr. Demey acted as consultant for Frankfurt-based media fund Boll Kino KG
through his company OZO.
Frédéric is a founding shareholder of NeoClassics and his experience across the film industry will be
invaluable to our distribution activities.
Michael Kananack – Consultant, Sales and Acquisitions - (U.S.)
With over 20 years experience, Michael Kananack has been in the film industry for most of his adult
life. After studying filmmaking at NYU Film School he went on to work in production on over 25
features including Scent of a Woman and Godfather III. In 1992, he joined the international film sales
company AKA Movies and began his career in selling films to the world marketplace at all the major
markets.

Phil Breen – Sr. Consultant
Phil Breen is a seasoned executive with extensive experience in both business affairs and production.
Mr. Breen’s most recent management position was Senior Vice-President of Business Affairs and
Acquisitions for Triumph Films, a unit of Sony Pictures making low budget movies, where he was
responsible for all business aspects of the company’s operations for two and a half years.
Mr. Breen has spent three decades working in the motion picture industry both as a business/legal
affairs executive and as a producer. Prior to joining Triumph Films, he developed and was executive
producer on:



He has served as a Vice-President of Legal Affairs at Columbia Pictures in Los Angeles, and he spent
seven years working for Carlo Ponti in London and Rome in various business capacities where he
gained international experience. With Carlo Ponti he also served as a producer, and his credits include:



Massacre In Rome (Warner Bros./ Carlo Ponti) starring Richard Burton and Marcello Mastroianni
Best House In London (MGM) starring David Hemmings and Joanna Pettet,
Gawain And The Green Knight (United Artists) starring Murray Head and Ciarren Madden.
Mr. Breen is a graduate of Harvard Law School and is a member of the Academy of Motion Picture Arts
and Sciences.
Management
Jennifer Todhunter – Chief Financial Officer
Jennifer has substantial audit, finance and accounting experience, encompassing financial and tax
planning, preparation of tax returns, supervising and coordinating audits, and analyzing and preparing
financial statements, reports and data. Her technology skills include proficiency with state of the art
accounting software and spreadsheets.
She is now serving as Vice President, Finance of African Queen Mines Ltd. and Sacre-Coeur Minerals Ltd.
as well as CFO of NeoClassics.
Jerry Pierce – Consultant
Jerry Pierce was previously Senior Vice President, Technology, Universal Pictures. He joined Universal in
1995 and established the New Technology Department for Universal Pictures in 2000. He was
responsible for the technical launch of DVD for Universal and was responsible for Digital Cinema activities
for Universal.
Peter Brooks – Consultant
Peter Brooks is Executive Deputy Chairman of Genting Stanley plc, the UK's premier casino group, and is
also non-executive Chairman of Enodis plc, a FTSE 250 company listed in London and one of the world's
leading suppliers of commercial food service equipment. He was previously a leading M&A lawyer in the
City of London, being formerly head of the corporate practice at one of the magic circle of London law
firms, Clifford Chance LLP. He left to become the General Counsel of Deutsche Bank's investment
banking business before moving on to pursue a corporate career.

Jeffrey Hardy – Director of Marketing
Jeffrey Hardy is a marketing and financial consultant who has provided consulting services to the
entertainment industry through his firm, Big Horse Incorporated and under the trademarked name
FilmProfit®. Mr. Hardy is the co-author of FilmProfit Software and author of FilmProfit Guide to Film
Distribution Deals, and has lectured extensively before industry groups, including the California Film
Commission.
He has acted as an expert witness for companies such as Walt Disney Co. and 20th Century Fox,
among others, and provided expert knowledge for Fortune Magazine, The Philadelphia Inquirer and
others.
NeoClassics Films Launches
NeoClassics Home Entertainment Division (NHE)
 NHE is engaging in the distribution of product in all facets of the US Home Entertainment Market.
 Supplier of a broad range of product mix, including independent and festival narrative and
documentary films, television on DVD, children’s programs, educational films, special interest
and others.
 Distribute product on a rental and sell-through basis through customary channels on traditional
DVD format as well as newer BLU-RAY DISC™ formats. NHE will also become the focal point for
NeoClassics’ digital distribution, VOD and non-theatrical distribution. It currently has an output
deal with mini-major Lionsgate Films to distribute its products on all of the major cable and
internet VOD platforms.
 NHE distributes mostl of NeoClassics’ theatrical product to the U.S. home video market, and
plans on partnering with other theatrical and television distributors, independent producers and
content owners.
 NHE is being managed for NeoClassics by experienced industry veteran Brian Brown, who
formerly successfully managed the Home Entertainment divisions of Music Box Films and New
Yorker Films.
 Manufacturing, marketing and sales for NHE are be based in Los Angeles and New York City.
 Commencing in 2012, NHE now anticipates acquiring direct-to-DVD titles from producers for US
distribution.

French thriller, L’AFFAIRE FAREWELL is a Cold War Era spy epic
with production cost of 18 Million Euros from Pathe International.
In 1981, Colonel Grigoriev of the KGB (real name - Vladimir Vetrov),
disenchanted with what the Communist ideal has become under
Brezhnev, decides he is going to change the world…
Discreetly, he makes contact with a French engineer working for
Thomson in Moscow and little by little passes on documents to him mainly concerning the United States - containing information which

 Theatrical exhibition is the traditional market most people think of in relation to
motion pictures.
 The distributor is remitted a percentage of the box office from the theatre owner.
The distributor then begins to deduct expenses such as distribution fees, cost of
ads, prints of the film, any cash advances made to the producer, overheads,
taxes, and association fees (spent to gain ratings, etc.) to arrive at the
producer’s take.
 NeoClassics receives 35% - 45% of gross box office receipts from theatrical
exhibitors.
 NeoClassics anticipates releasing most of its films on 10-50 screens initially,
expanding thereafter as warranted. Larger initial releases will be undertaken
