for the education committee which progressed into a board
positionandeventuallyledtoanofficers’position.Throughout
my time spent on the HBA committees and events, I’m
continuallyimpressedbythewaybuildersandassociatesare

a committee assignment or just exchanging ideas about the

(CGP) designation course in November. The two day course taught
energy efficient building technology, resource efficiency, indoor air

usedasaguideforgreenbuildingnationally,aswellasintheGreen

thestudentsanewskillwithhands-onopportunities.
A remodeling carpenter will be paired with one or two
students and they will be assigned to complete the interior trim in
oneoftheroomswithinthehome.“Thisistheperfectsituationfora
studenttolearnhandsonfromanexperiencedinteriortrimcarpenter”
saysJimStegmanwhoalongwithMarkHubbardisheadingupthe
project.

Implied Liabilities Of Owners in
Construction Projects
By Joseph A. Cleves, Jr.
As a construction owner, you can incur liability
if you fail to recognize and comply with certain implied
legal obligations. Many of these obligations are created
by an implied covenant of good faith. Simply put, this
covenant states that neither party will do anything
which injures the right of the other to obtain the benefits of the contract.
An owner can be found to violate this covenant when acting intentionally,
or in bad faith, to frustrate or delay a contractor.
One of the traps for the unwary arises even before the commencement
of the contract. The owner has a duty to furnish information that will not
mislead prospective bidders. In one common example, an owner could
provide a contractor with soil studies showing no significant rock in an area
to be excavated. In some instances, the owner may know based on earlier
projects that there is good probability that rock will be encountered. This
owner, by merely providing the clean soil study and not evidence of prior
experience could be found to have misled the contractor.
The additional soil information is best disclosed in bid documents
or at preconstruction meetings. Meeting minutes should be prepared and
distributed to all attending. Erring on the side of caution and documenting
disclosures best positions an owner to defeat a claim of failure to disclose
material facts.
A construction owner also has a duty to provide the contractor with
accurate plans and specifications. A contractor is not responsible
for the consequences of any defects in plans and specifications
which it follows during construction. A contractor is not liable
for completed work that is defective in this circumstance.
Furthermore, the contractor can recover for additional work,
extras or delays caused by inadequate documents.
Lastly, the owner has a duty to approve justified requests for extensions
of time. If an owner refuses to grant a legitimate request, the owner could
be liable for breach of contract damages under a theory of construction
acceleration. Construction acceleration occurs when a contractor incurs
additional expenses to finish by the project deadline and the owner
unjustifiably refuses a request for extension. To avoid such a claim, the
owner should always respond promptly to extension requests. Further, the
owner should avoid threatening language in discussions with the contractor,

should be reasonable in responding to the contractor’s requests. However,
a contractor does not have a claim simply because the owner is pressuring
for rapid completion of the work.
Owners must pay attention to implied obligations on construction
projects. Failure to address these considerations can result in claims and
unsatisfactory results. Careful planning in light of these significant issues
can contribute in a substantial way to the success of a project.

The NAHB has filed a formal appeal
to the International Code Council on a
recentdecisiontorequiresprinklersinall
newresidentialconstruction.Itcontends
that sprinkler manufacturers unfairly
influencedthevotingprocess.Amultimillion dollar effort was successfully
waged by the IRC Fire Sprinkler
CoalitioninSeptember.Effortsincluded
paying travel expenses for supportive
delegates to attend the meeting, lavish
receptionsanddirectcashcontributions.
The NAHB is requesting the ICC to
set aside the final action on RB64 and
RB66andcallingforreconsiderationin
the2009/1010ICCCodeDevelopment
Cycle. It is also calling for the ICC to
take immediate action to eliminate the
influence of third-party funding in the

Housing Recovery
The Fix Housing First Coalition,

to buy homes. The group is promoting

Board of Housing Defeats 2008 NEC
Adoption
At its November Board meeting, the
KentuckyBoardofHousing,Buildings
& Construction voted to retain the
2005 National Electric Code (NEC),
rather than adopting the 2008 version

interrupters.Aninitiativebyfireofficials
to require fire sprinklers in all new

Western Treatment Plant
Construction to Begin
SanitationDistrict#1hascompletedthe
bidprocessforconstructionofboththe
extensive tunnel andWestern Regional
Treatment Plant in Boone Co. It’s
anticipated that construction will begin
sometime in 2009, with completion in
2012.Originallytheplantwasprojected
to be operational by 2010, but court
challenges have significantly delayed
