7.Rescheduling
Any rescheduling must be requested 14 days before the
broadcasAngdate,atthelatest.
8.Paymentterms
Invoices will be generated including the respecAvely
applicable VAT rate. PublicaAons will be charged on a
monthlybasis.Allinvoicesarepayablewithin14daysofthe
invoice date and the broadcast/ placement. A 2% cash
discount is granted for all payments credited to the RTL
Radiovermarktung GmbH account within 10 days of the

9.Agencycommission
AdverAsing agencies or PR agents receive an agency
commissionamounAngto15%ofthenetinvoiceamount,i.e.

discounted amount excluding any cash discount, provided
they act as adverAsing consultants on behalf of a client and
can present evidence of having been commissioned to

the channel/s shown on the price list. Should this price list also include adverAsing opportuniAes on the
channel's/channels'onlinepresence,RTLRadiovermarktungGmbHalsoactsasanagentforadverAsement
orders for this online presence. AdverAsement orders may be placed for individual channels, or for a
combinaAonofchannels(mulA-orders).TheyaresubjecttothefollowinggeneraltermsandcondiAons.
1.Scopeofapplica0on
1.1AllordersandservicesarecarriedoutonlyonthebasisofthesetermsandcondiAons.Thisalsoapplies
tosubsequentorrepeatorders,irrespecAveofwhetherthesetermsandcondiAonsareexplicitlyreferredto
againinthecourseofthesubsequentorrepeattransacAon.1.2Anycontradictory
client terms and condiAons shall not be included in this contract unless RTL Radiovermarktung GmbH
explicitlyconfirmstheiracceptance.TheprovisionofservicesonthepartofRTLRadiovermarktungGmbH
doesnotequalacceptanceofanyoftheclient'stermsandcondiAons.
2.Offerandconclusionofcontract
2.1AllRTLRadiovermarktungGmbHoffersarealwaysnon-binding,i.e.theyaremerelyan
invitaAon to the client to place an order. The contract is subsequently concluded through RTL
Radiovermarktung GmbH's acceptance of the client's order in wriqen or electronic form (order
confirmaAon).ThecontractcontainsinformaAonabouttheclient,theadverAser,thebookingvolume,the
commerciallengthandusuallytheadverAsingAmes(radio)orplacementandplacementduraAon(online).
NoguaranteeofcompeAtorexclusioncanbegiventotheclient.Thecontractshallbeconcludedatthepoint
of order confirmaAon in wriqen or in electronic form to the extent specified in the order even if the
adverAsementplacementdetailshavenotbeenagreedyet.RTLRadiovermarktungGmbHwilldeterminethe
adverAsement placement in consultaAon with the client or otherwise at its discreAon under the greatest
possibleconsideraAonoftheclient'sinterests.
2.2 Co-branded/collecAve adverAsing must be agreed in wriAng and shall enAtle RTL Radiovermarktung
GmbH to charge an appropriate addiAonal fee for co-branded/collecAve adverAsing. 2.3 The "Order
ProcessingProvisions"arepartofthecontractforeveryorder.
3.Ordersplacedbyagencies
3.1 Agencies handling or ordering the placement on behalf of a client shall only be enAtled to deduct the
usual agency commission in the course of invoice seqlement a|er they have provided evidence of their
respecAvebrief(e.g.registerexcerpt,copyofbusinessregistraAonetc.).
3.2 Agency orders will only be accepted if they are placed on behalf of precisely named adverAsers. RTL
RadiovermarktungGmbHshallbeenAtledtodemandproofofmandatefromtheadverAsingagency.Upon
order placement, the adverAsing agency assigns all claims against the client arising from the adverAsing
contract to RTL Radiovermarktung GmbH in as far as they are the subject of the respecAve order. This
assignment shall apply up to the amount due from the client to RTL Radiovermarktung GmbH and arising
from the order. RTL Radiovermarktung GmbH accepts this assignment. In as far as the amounts assigned
exceedtheamountsduetoRTLRadiovermarktungGmbH,RTLRadiovermarktungGmbHshallreassignthese
amounts.RTLRadiovermarktungGmbHshallbeenAtledtoinformtheadverAsingagencyclientaboutthese
assignmentsiftheinvoiceremainsunpaidwithinonemonthoftheduedate.
4.Righttocancel
With the confirmaAon as described in no. 2, the adverAsing order is considered a confirmed order and
becomes binding for the client. Any cancellaAon or early terminaAon of the contract requires the explicit
agreement of RTL Radiovermarktung GmbH in wriAng. RTL Radiovermarktung GmbH shall be free to
withhold approval. In any case, a potenAal approval always requires the client's intenAon to cancel or
withdrawfromthecontracttobesubmiqedinwriAngatlatest4weeksbeforehand,or8weeksbeforehand
forspecialformsofadverAsing.Thisdeadlineshallapplyfromthedateofthecampaignstart.
5.Refusalofbroadcas0ngorders
RTL Radiovermarktung GmbH reserves the right to refuse to broadcast the adverAsement – including
individualcommercials–evensubsequenttotheconclusionofthecontractduetoitsorigin,content,form,
frequentrepeatsoritstechnicalqualityinaccordancewithstandardjusAfiedbasicprinciples;ifitscontent
does not comply with the law or if the broadcasAng of the adverAsement is inacceptable to RTL
Radiovermarktung GmbH due to immoral or other offensive content. In these cases, the client shall be
enAtledtoareturnofthefullpriceasdetailedinno.6.Theclient'srighttofurthercompensaAonishereby
explicitlyexcluded.TheclientshallbeenAtledtobeinformedaboutthereasonsfortherefusal.Inasfaras
individualadverAsementsarisingfromthecontractconAnuetobebroadcast,theclientmustpayforthese.

6.Basicprice
6.1ThebasicpriceistheremuneraAonforbroadcasAngthecommercial,orfortheplacementoftheother
forms of adverAsing as per the currently applicable price list. Any producAon costs and other expenses
resultantfromanaddiAonallyorderedcommercialproducedbyRTLRadiovermarktungGmbHarecharged
separately and the client is always liable for these. 6.2 The calculaAon of the respecAve radio broadcast's
second price is based on the Ame determined by RTL Radiovermarktung GmbH during the broadcast. The
minimumcommerciallengthis15seconds.
7.Orderprocessing0meframe
Ordersareprocessedwithinoneyear.Thecontractualyearequalsthecalendaryear.
8.Pressregula0ons,an0-trustandcopyrightresponsibili0es
8.1IntherelaAonshipwithRTLRadiovermarktungGmbHanditspartners,theclientbearssoleresponsibility
for the broadcast adverAsement, parAcularly in terms of compliance with German press regulaAons, anAtrustandcopyrightlaw.Theclientshallconfirminthecourseoftheiracceptanceofthegeneraltermsand
condiAonsonorderplacementwhethertheyhavepurchasedallrightstouserequiredforbroadcasAngor
online publicaAon or for the use in any other media from the owners of the copyright, any ancillary
intellectualpropertyrightsoranyotherrightspertainingtotheaudiotapes,adverAsingmaterialsorother
documentsanddatatobebroadcast.
8.2 The client indemnifies RTL Radiovermarktung GmbH from all third party claims resultant from any
infringement of the rights detailed in number 8.1, parAcularly non-compliance with German press
regulaAonsandinfringementofanA-trustandcopyrightlaw.
9.Documents,dataandothermaterialsubmidedforbroadcas0ng
9.1TheclientagreestosubmitproperbroadcasAngoradverAsementdocuments,dataandothermaterials
fortherespecAvebroadcastsingoodAme.ThesemustbesubmiqedtoRTLRadiovermarktungGmbHatthe
latest 3 days before broadcast or publicaAon. Please refer to the order processing provisions for more
detailedinformaAon.
9.2 If adverAsing placements are not broadcast or broadcast incorrectly due to the late, incomplete or
wronglymarkedsubmissionofdocuments,texts,broadcasAngcopiesorready-to-placecopies,theclientwill
sAll be charged the agreed broadcasAng or placement Ame. In individual cases, the onus shall be on the
clienttoprovethatthedamagessustainedareinfactlowerornon-existent.RTLRadiovermarktungGmbH
herebyguaranteesthattheclientshallbeinformedimmediatelyifanybroadcasAngdataordocumentsor
adverAsing material submiqed is unserviceable or does not comply with the provisions made in this
contract,includinganexplanaAonofthereason.
10.Reten0onobliga0on
RTL Radiovermarktung GmbH's obligaAon to retain documents, audio tapes and any other storage media
ends as soon as these have been transferred/copied. The client is obliged to collect the aforemenAoned
documents,dataandmediaifaskedtodosobyRTLRadiovermarktungGmbH.Theclientmayaskforthe
aforemenAoneddocuments,dataandmediatobereturnedbypostattheclient'sriskandcost.Shouldthe
clientfailtocollecttheaforemenAoneddocuments,dataandmediawithinaperiodof2weeks,orfailto
state their intent regarding these, RTL Radiovermarktung GmbH shall have the right to destroy these
documents,dataandmedia.TheaboveprovisionsalsoapplytobroadcasAngoradverAsingdocuments,data
andmedia.
11.Broadcas0ng0mes
Ifatallpossible,theagreedbroadcasAngAmesshallbeadhereto,althoughaguaranteethatthebroadcast
will take place on certain days, at certain Ames and in a certain sequence cannot be given. RTL
Radiovermarktung GmbH reserves the right to make changes within the same broadcasAng Ame/price
segment.
12.Schedulechanges
12.1ShouldanadverAsementfailtobebroadcastdueforschedule,contentortechnicalreasonsorforce
majeure,industrialacAonorlegislaAon,itwillbebroadcastearlierorlater,ifatallpossible.Theclientshall
beinformedofthisunlessthechangeisamajorone(sameAme/pricesegment).
12.2IftheadverAsementcannotbebroadcasterearlierorlater,theclientshallbeenAtledtoareturnofthe
basic price as detailed in no. 6. Any further claims for compensaAon on the part of the client shall be
excepted, provided RTL Radiovermarktung GmbH is not responsible for the cancellaAon of the broadcast/
placement.
13.Billing/payments
13.1AllinvoiceswillbebasedontherespecAvelyapplicablepricelist.Thepricesstatedthereinarenetof
VAT.ClientsregisteredforVATmustpayVATattherateapplicableonthedateoftheinvoice.
13.2 All client payments must be credited to the account stated on the invoice only. 13.3 Accounts
receivable may only be offset against accounts payable by RTL Radiovermarktung GmbH if RTL
RadiovermarktungGmbHhasagreedtothisoriftherighttodosohasbeenestablishedbylaw.Corporate
clientsshallhavenorightoflien.
13.4AdverAsementplacementsarechargedonamonthlybasisforthebroadcasAngmonth.Allinvoicesare
payable in full within 14 days of the invoice date and the broadcast/ placement. A 2% cash discount is
grantedforallpaymentscreditedtotheRTLRadiovermarktungGmbHaccountswithin10daysoftheinvoice
date. A 3% discount is granted to clients for cash in advance payments or clients paying by direct debit
mandate.Thecashdiscountwillgenerallyonlybegrantedifaclienthasfirstseqledallinvoicesoutstanding
forpreviousadverAsementordersandduetoRTLRadiovermarktungGmbHaspernumber2.Creditnotes
must be taken into account and offset when calculaAng the cash discount applicable to the respecAve
paymentforinvoices.
13.5 RTL Radiovermarktung GmbH reserves the right to ask for an appropriate deposit on a case by case
basis, especially from new clients. Within the term of the order for adverAsement placement, RTL
Radiovermarktung GmbH shall be enAtled to make the broadcasAng of addiAonal commercials, the
publicaAon of online adverAsements or any others services dependent on appropriate advance payments
irrespecAve of any originally agreed due date in the event of serious indicaAons jusAfying the assumpAon
thattheclient'sabilitytopayisnotornotfullyguaranteed.
13.6LatepaymentshallenAtleRTLRadiovermarktungGmbHtodelayorcancelorderfulfilment;thisshall
notenAtletheclienttoanyformofcompensaAon.Theclientshallbeliableforanydamagessustainedby
RTLRadiovermarktungGmbHfromlatepaymentasperthelegalregulaAons.RTLRadiovermarktungGmbH
reservestherighttochargetheclientforanydamagessustainedduetobroadcastcancellaAon.
13.7ChecksandpromissorynotesaregenerallyonlyacceptedcondiAonally.Theclientshallbeliableforall
bankchargesorothertransfercostsresultantfromthedebtseqlement.
14.Pricechanges
14.1ThepricelistsaresubjecttochangeatanyAme,parAcularlyduetoaudiencereachvariaAons.
14.2 For agreed and confirmed adverAsing orders, any price changes shall only be effecAve for corporate
clients if RTL Radiovermarktung GmbH has informed said client of this price change at least one month
beforetheadverAsementplacementandtheclientdoesnotobjectwithin2weeks.Intheeventofaprice
increase,theclientshallhavetherighttowithdrawfromthecontract;RTLRadiovermarktungGmbHmust
beinformedofthisintenAoninwriAngwithintheperiodstatedabove.Forcontractsinvolvingaconsumer,a
price increase becomes effecAve if the consumer does not withdraw from the contract within 2 weeks of
beinginformedofthispriceincreasebyRTLRadiovermarktungGmbH,andfulfilmentisscheduledforatthe
earliestfourmonthssubsequenttocontractconclusion.
15.Latefulfilment,guarantee,liability
RTL Radiovermarktung GmbH guarantees that the audio adverAsement will be broadcast as agreed. Any
complaintsmustbemadewithin4weeksofthedateofbroadcast.Intheeventofafailuretobroadcastor
tobroadcastasagreed,RTLRadiovermarktungGmbHshalliniAallyhavetherighttofacilitateareplacement
broadcasttotheextenttheadverAsingpurposehasbeenimpairedatitsdiscreAon.Intheeventofanonacceptablereplacementbroadcastoranequallyimpropersecondbroadcastora|erareasonabletermset

damagesirrespecAveoftheunlimitedliabilityforintentandgrossnegligence.Intheeventoflatefulfilment
by RTL Radiovermarktung GmbH or an impossibility of fulfilment caused by RTL Radiovermarktung GmbH,
the client shall be enAtled to revoke the order in accordance with the law. The aforemenAoned liability
regulaAons respecAvely apply to compensaAon claims due to late fulfilment or the impossibility of
fulfilment.
16.Miscellaneous
Any amendments or addiAons to this contract, including other agreements and amendments to this
provisionshallbeeffectedinwriAngforreasonsofevidence.Therearenoverbalagreements.
16.2 German law shall apply. 16.3 Berlin shall be the agreed place of jurisdicAon for contracts concluded
with registered businesses, legal enAAes under public law or public sector funds. In addiAon, RTL
RadiovermarktungGmbHmaylodgeaclaimorseekjudicialremediesatthealternaAveplacesofjurisdicAon
establishedinaccordancewith§§12ff.oftheGermancivilprocedurerules.
