Annual Report 2013 - Make-A
Wishes change lives. Then Now Annual Report 2013 D uring the last 30 years, Make-A-Wish® Greater Pennsylvania and West Virginia has given more than 15,000 kids living with life-threatening medical conditions a reason to hope. For most of these kids, their wish wasn’t just a nice experience for a day or a week -- it marked a turning point in their battle against their medical condition. Just ask Zack, Cherie, Michael, Brittany and Andrew. For these wish kids, as well as 97% of adult former wish kids surveyed by Make-A-Wish® America, the wish experience improved their mental and emotional health. Furthermore, an amazing 83% said their wishes improved their physical health and strength. When you contribute to Make-A-Wish, you’re not just helping to give kids a great trip or a nice gift. You’re helping to change their lives. Thank you for sharing the power of a wish. Looking back years after their wish experiences, 71% of adult former wish kids said their wishes contributed to saving their lives. Michael (a.k.a. Beetle Boy) Wish Age: 6, Age Now: 20 cystic fibrosis I wish to be a superhero! 1999 “It made me optimistic, very optimistic and showed me that I can do anything and be anyone if I believe that I can.” F Now ourteen years ago, Michael spent the day as ‘Beetle Boy,’ Pittsburgh’s very own villain-fighting superhero, saving the Steel City from the Green Goblin. Now, at age 20, Michael no longer has to worry about the awful antics of the Green Goblin, as he shares his life with his fiancée, Rachel, and works a part-time job. When looking back upon his day spent as a superhero, it still makes Michael feel amazing. Cherie 2001 Wish Age: 12, Age Now: 25 sickle cell anemia I wish to go to Walt Disney World®! F or Cherie, Make-A-Wish “completely went over and above” for her trip to the Disney theme parks. It was her first plane ride, and she says cannot even begin to explain the magic she felt while staying at Give Kids the World. Although she is still battling sickle cell anemia and recently had a bone marrow transplant, remembering her wish helps her keep a positive attitude. She said the “rest of my NOW story is to be continued.” “I can hold on to these old memories and remain a wish kid. Not just to stay in that Dreamland, but to know there are kind, loving people out there willing to volunteer their time for the families who are hurt or broken, and that one wish can change someone’s attitude from negative to a positive.” Now Zack Wish Age: 6, Age Now: 14 rhabdomyosarcoma I wish to have a T-rex dinosaur! 2005 “Make-A-Wish made a big difference in my recovery because it gave me a day of hope. It was a day I didn’t have to think about hospitals and being sick.” Z ack will never forget the day his wish came true. After spending the day as a paleontologist with visits to the local zoo and museum, the dinosaur connoisseur followed “dinosaur tracks” back to his home. And there he saw Meaty, a seven-foot T-rex of his very own. Zack’s wish marked a turning point in his battle against cancer. Zack, now 14-years-old and cancer free, is helping other kids experience the same magic that he did through speaking, volunteering and even fundraising. Now Andrew 2004 Wish Age: 16, Age Now: 26 Refractory/Intractable Epilpesy I wish to go to the NBA All-Star Game! W “To know that there are people like Make-A-Wish® in this world is what makes it a better place and one that I am proud to be a part of.” Now hen Andrew’s wish was granted to see the NBA AllStar Game, his perspective on his disease completely changed. Instead of thinking about quitting, he strived to keep going. In the last 10 years, Andrew has accomplished everything he wanted and more. After playing basketball all four years of high school, he moved on to continue playing at junior college, where he met his future wife. He later graduated from the University of Pittsburgh with a Degree in Communications, got married, and bought a house and a puppy. Now, on the10year anniversary of his wish, Andrew still has symptoms of epilepsy, but is overcoming them. He looks back on the last 10 years that have been a rollercoaster of ups and downs and believes that his wish helped him to get through the tough times. Andrew visits the Make-A-Wish office and finds his name on the Wall of Wishes. 2006 Brittany Wish Age: 15, Age Now: 23 neurofibromatosis I wish to go to Walt Disney World®! W hen Brittany was diagnosed with neurofibromatosis., it was a frightening and uncertain time for her as she was experiencing seizures, diagnosed with multiple brain tumors and spending countless days in the hospital. When granted a wish, Brittany was excited because it would be the first family outing in months that wasn’t to the doctor’s office. Brittany’s wish to go camping at the Walt Disney World® Resort was a magical wish that combined her love of camping, a typical family vacation for her, and her love of all things Disney. Then, at age 20, Brittany knew she wanted to somehow go back to the place that brought her so much happiness. She moved to Orlando to begin working at Disney World through their college program. She continued working with Disney and is now a fulltime Host Lead and Trainer at the Rainforest Café in Downtown Disney. Brittany (right) and her sister, Kasey, who is also a wish kid Now Brittany and her sister and now Make-A-Wish Regional Manager Leandra in Walt Disney World® “I had never been to Disney and, honestly, didn’t know if I would ever go. It was an unattainable dream place in my mind. When I got there, I was blown away by the magic. Being sick isn’t a part of those memories. I wasn’t scared at that point. I felt like I could do anything and that everything would be okay.” Donors T he following is a list of cash and in-kind donations from January through December 2013. We extend our deepest appreciation to all donors who helped fulfill wishes, underwrote our operational expenses or donated to our endowment through the year. Every effort has been made to acknowledge the generosity of our benefactors correctly and completely. Wilson Wand Worrell Richard Zendarski Ann Zwickl Financials Independent Auditors’ Report The Board of Directors Make-A-Wish Foundation® of Greater Pennsylvania and Southern West Virginia: We have audited the accompanying financial statements of the Make-A-Wish Foundation of Greater Pennsylvania and Southern West Virginia (the Foundation), which comprise the statements of financial position as of August 31, 2013, and 2012, and the related statements of activities, functional expenses, and cash flows for the years then ended and the related notes to the financial statements. Management’s Responsibility for the Financial Statements Management is responsible for the preparation and fair presentation of these financial statements in accordance with U.S. generally accepted accounting principles; this includes the design, implementation, and maintenance of internal control relevant to the preparation and fair presentation of financial statements that are free from material misstatement, whether due to fraud or error. Auditors’ Responsibility Our responsibility is to express an opinion on these financial statements based on our audits. We conducted our audits in accordance with auditing standards generally accepted in the United States of America. Those standards require that we plan and perform the audit to obtain reasonable assurance about whether the financial statements are free from material misstatement. An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the financial statements. The procedures selected depend on the auditors’ judgment, including the assessment of the risks of material misstatement of the financial statements, whether due to fraud or error. In making those risk assessments, the auditor considers internal control relevant to the entity’s preparation and fair presentation of the financial statements in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the entity’s internal control. Accordingly, we express no such opinion. An audit also includes evaluating the appropriateness of accounting policies used and the reasonableness of significant accounting estimates made by management, as well as evaluating the overall presentation of the financial statements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our audit opinion. Opinion In our opinion, the financial statements referred to above present fairly, in all material respects, the financial position of Make-A-Wish Foundation of Greater Pennsylvania and Southern West Virginia as of August 31, 2013, and 2012, and the changes in its net assets and its cash flows for the years then ended in accordance with U.S. generally accepted accounting principles. Other Matter As discussed in note 1 to the financial statements, effective September 1, 2013, the Make-A-Wish Foundation® of America reassigned responsibility of fulfilling the Make-A-Wish® mission within the counties currently assigned to Make-A-Wish Foundation® of Northern West Virginia to Make-A-Wish Foundation of Greater Pennsylvania and Southern West Virginia. In connection with the reassignment, the Make-A-Wish Foundation of Greater Pennsylvania and Southern West Virginia changed its name to the Make-A-Wish Foundation® of Greater Pennsylvania and West Virginia. The Foundation is an independently operating chapter of the Make-A-Wish Foundation® of America (National Organization), which operates to develop and implement national programs in public relations and fund raising for the benefit of all local chapters. In addition, the local chapter is obligated to comply with a chapter agreement with the National Organization and such guidelines, resolutions, and policies as may be adopted by the National Organization’s board of directors. The Make-A-Wish Foundation of Greater Pennsylvania and Southern West Virginia entered into an agreement with the Make-A-Wish Foundation of America, effective September 1, 2010, to assume responsibility for the Make-AWish Foundation’s mission in the Montana territory on a temporary basis. The agreement runs through August 31, 2015. Effective September 1, 2013, the respective boards of directors of both the Make-A-Wish Foundation of Greater Pennsylvania and Southern West Virginia (Greater Pennsylvania and Southern West Virginia) and the Make-A-Wish Foundation® of Northern West Virginia (Northern West Virginia) adopted resolutions requesting that Make-A-Wish Foundation of America reassign responsibility for the Make-A-Wish mission within the 32 counties currently assigned to Northern West Virginia to Greater Pennsylvania and Southern West Virginia as of September 1, 2013. In accordance with those requests, Make-A-Wish Foundation of America’s Chapter Performance Committee approved the territory reassignment and Greater Pennsylvania and Southern West Virginia’s request to change its name from the “Make-A-Wish Foundation of Greater Pennsylvania and Southern West Virginia” to “Make-A-Wish Foundation® of Greater Pennsylvania and West Virginia.” Notes to Financial Statements August 31, 2013 and 2012 Along with the transfer of territory, Greater Pennsylvania and Southern West Virginia will assume responsibility for the related accrued pending wish costs as of September 1, 2013. Additionally, Greater Pennsylvania and Southern West Virginia will become the owner of all the rights and property of Northern West Virginia after all other debts and liabilities of Northern West Virginia are settled. No consideration was transferred in the acquisition and there were no contingencies assumed by Greater Pennsylvania and Southern West Virginia in the acquisition. The following is a summary of the associated assets and liabilities of Northern West Virginia as of August 31, 2013, that were transferred to Greater Pennsylvania and Southern West Virginia effective September 1, 2013: Assets: Cash and cash equivalents Investments Due from related entities Prepaid expenses Contributions receivable, net Other assets Total assets $ 247,699 170,000 20,762 2,127 16,563 773 457,924 Liabilities: Accounts payable and accrued expenses Accrued pending wish costs Due to related entities 16,757 116,256 3,979 Total liabilities 136,992 Excess of assets over liabilities assumed $ 320,932 Notes to Financial Statements August 31, 2013 and 2012 (2) Summary of Significant Accounting Policies (a) Basis of Presentation The financial statements of the Foundation are prepared on the accrual basis of accounting in accordance with U.S. generally accepted accounting principles. (b) Cash and Cash Equivalents The Foundation considers all highly liquid investments with an original maturity of three months or less when purchased to be cash equivalents. Included in cash and cash equivalents at August 31, 2013, and 2012 are $74,840 and $43,503, respectively, of money market mutual funds. (c)Investments Investments are recorded at fair value. Investment income, including gains and losses on investments, is recorded as increases or decreases in unrestricted net assets unless its use is limited by donor imposed restrictions or law. (d) Contributions Receivable Contributions receivable are unconditional promises to give and are recognized initially at fair value as contributions revenue in the period such promises are made by donors. Fair value is estimated giving consideration to anticipated future cash receipts (after allowance is made for uncollectible contributions) and discounting such amounts at a risk adjusted rate commensurate with the duration of the donor’s payment plan. These inputs to the fair value estimate are considered Level 3 in the fair value hierarchy. In subsequent periods, the discount rate is unchanged and the allowance for uncollectible contributions is reassessed and adjusted if necessary. Amortization of the discounts is recorded as additional contribution revenue. (e) Property and Equipment, Net Property and equipment having a useful life of more than one year are capitalized at cost when purchased. Donated assets are capitalized at the estimated fair value at the date of receipt and restrictions are released once the asset has been placed into service. Depreciation on property and equipment is provided on a straight line basis over the estimated useful lives of the assets, generally 3 to 7 years. Leasehold improvements are amortized over the shorter of the estimated useful life of the asset or the remaining terms of the leases. The costs of normal maintenance and repairs that do not add to the value of the asset or materially extend its life are expensed as incurred. Long lived assets, such as property and equipment, are reviewed for impairment whenever events or changes in circumstances indicate that the carrying amount of an asset may not be recoverable. If circumstances indicate a long lived asset may be impaired, the asset value will be reduced to fair value. Fair value is determined through various valuation techniques including quoted market values and third party independent appraisals, as considered necessary. (f) Fair Value Measurements The Foundation follows the provisions of Accounting Standards Codification (ASC) Topic 820, Fair Value Measurements and Disclosures, for fair value measurements of financial assets and financial liabilities and for fair value measurements of nonfinancial items that are recognized or disclosed at fair value in the financial statements on a recurring basis. ASC Topic 820 defines fair value as the price that would be received to sell an asset or paid to transfer a liability in an orderly transaction between market participants at the measurement date. ASC Topic 820 also establishes a framework for measuring fair value and expands disclosures about fair value measurements. Notes to Financial Statements August 31, 2013 and 2012 The Foundation utilizes valuation techniques that maximize the use of observable inputs and minimize the use of unobservable inputs to the extent possible. The Foundation determines fair value based on assumptions that market participants would use in pricing an asset or liability in the principal or most advantageous market. When considering market participant assumptions in fair value measurements, the following fair value hierarchy distinguishes between observable and unobservable inputs, which are categorized in one of the following levels: • • • Level 1 Inputs: Unadjusted quoted prices in active markets for identical assets (or liabilities) that the reporting entity has the ability to access at the measurement date. Level 2 Inputs: Prices for a similar asset (or liability), other than quoted prices included in Level 1 inputs, that are observable for the asset (or liability), either directly or indirectly. If the asset (or liability) has a specified term, a Level 2 input must be observable for substantially the full term of the asset (or liability). Level 3 Inputs: Unobservable inputs for the asset (or liability) used to measure fair value to the extent that observable inputs are not available, thereby allowing for situations in which there is little, if any, market activity for the asset (or liability) at measurement date. See additional information in note 3. (g) Net Assets The Foundation’s net assets and changes therein are classified and reported as follows: • Permanently restricted net assets – Net assets subject to donor imposed restrictions that the principal be maintained in perpetuity. Generally, the donors of these assets permit the Foundation to use all or part of the income earned on related investments for unrestricted purposes. • Temporarily restricted net assets – Net assets subject to restrictions imposed by donor or law that may be met either by actions of the Foundation or the passage of time. • Unrestricted net assets – Net assets that are not subject to donor imposed restrictions or law. (h) Revenue Recognition Unconditional promises to give are recorded as contributions revenue when the promise is received. Conditional promises are recorded as revenue once the conditions are substantially met. Contributions, grants, and bequests are recognized as either temporarily or permanently restricted if they are received with donor stipulations that limit the use of the donated assets. When a donor restriction expires, temporarily restricted net assets are reclassified to unrestricted net assets and reported in the statements of activities as net assets released from restrictions. When restrictions are met in the same period as the contribution is received, the Foundation records the contribution and the expense as unrestricted. Contributions of assets other than cash are recorded at their estimated fair value. Contributions of services are recognized if the services received (a) create or enhance nonfinancial assets or (b) require specialized skills, are provided by individuals possessing those skills, and would typically need to be purchased if not provided by donation. Notes to Financial Statements August 31, 2013 and 2012 The Foundation received in kind contributions of assets and services that are included in the accompanying statements of activities as follows: 2013 Contributions: Wish related Professional services Other Total Special event revenue: Internal special events: 2012 $ 2,177,183 2,022 71,024 $ 1,882,595 7,696 72,982 $ 2,250,229 1,964,273 $ 21,996 43,037 An internal special event is a fund raising event coordinated and staffed by Foundation personnel rather than a third party support group or organization. It is designed to attract people for the purpose of raising mission awareness, for increasing funding from existing donors, and the cultivation of future donors. Internal special event in-kind amounts are donated items recorded at fair market value that are used in facilitating the event. Examples of such donated items are generally food, beverage, facility costs, and auction items. Program or supporting services expenses were recorded at fair value totaling $2,250,229 and $1,964,273 in 2013, and 2012, respectively. (i) Income Taxes The Foundation is a not for profit organization exempt from federal income and Commonwealth of Pennsylvania and the State of West Virginia income taxes under the provisions of Internal Revenue Code Section 501(c) (3) and Section 509(a)(1), Pennsylvania Department of Revenue regulations and West Virginia Department of Revenue Taxation Code §11-24-5. However, the Foundation remains subject to income taxes on any net income that is derived from a trade or business, regularly carried on and not in furtherance of the purpose for which it was granted exemption. No income tax provision has been recorded as the net income, if any, from any unrelated trade or business, in the opinion of management, is not material to the financial statements taken as a whole. The Foundation has adopted ASC Topic 740, (Income Taxes), which prescribes a recognition threshold and measurement attribute for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return, and provides guidance on de-recognition, classification, interest and penalties, disclosure, and transition. Management believes that no such uncertain tax positions exist for the Foundation at August 31, 2013, or 2012. Notes to Financial Statements August 31, 2013 and 2012 (j) Functional Expenses The Foundation performs three functions: wish granting, fundraising, and management and general. Definitions of these functions are as follows: Wish Granting Activities performed by the Foundation that grant wishes to children with life-threatening medical conditions. Fundraising Activities performed by the Foundation to generate funds and/or resources to support its programs and operations. During the fiscal years ended August 31, 2013, and 2012, the Foundation incurred no significant joint costs for activities that included fund raising appeals. Management and General All costs not identifiable with a single program or fund raising activity, but indispensable to the conduct of such programs and activities and to the Foundation’s existence, are included as management and general expenses. This includes expenses for the overall direction of the Foundation, business management, general recordkeeping, budgeting, financial reporting, and activities relating to these functions such as salaries, rent, supplies, equipment, and other expenses. Expenses that benefit more than one function of the Foundation are allocated among the functions based generally on the amount of time spent by employees on each function. (k) Management Estimates The preparation of financial statements in conformity with U.S. generally accepted accounting principles requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities and disclosure of contingent assets and liabilities at the date of the financial statements and the reported amounts of revenues and expenses during the reporting period. Actual results could differ from those estimates. Significant items subject to such estimates and assumptions include the useful lives of property and equipment, valuation of investments and contributions receivable, accrued pending wish costs, net of attrition on pending wish costs and whether an allowance for uncollectible contributions receivable is required. The current economic environment has increased the degree of uncertainty inherent in those estimates and assumptions. (3) Fair Value Measurements (a) Fair Value of Financial Instruments Fair value is defined as the amount that would be received to sell an asset or paid to transfer a liability in an orderly transaction between market participants at the measurement date. The fair values of the financial instruments shown in the following tables as of August 31, 2013, and 2012 represent the amounts that would be received to sell those assets or that would be paid to transfer those liabilities in an orderly transaction between market participants at that date. Those fair value measurements maximize the use of observable inputs. However, in situations where there is little, if any, market activity for the asset or liability at the measurement date, the fair value measurement reflects the Foundation’s own Notes to Financial Statements August 31, 2013 and 2012 judgments about the assumptions that market participants would use in pricing the asset or liability. Those judgments are developed by the Foundation based on the best information available in the circumstances, including expected cash flows and appropriately risk adjusted discount rates, and available observable and unobservable inputs. The Foundation has adopted ASC Topic 820 for fair value measurements of financial assets and financial liabilities and for fair value measurements of nonfinancial items that are recognized or disclosed at fair value in the financial statements on a recurring basis (note 2). (b) Fair Value Hierarchy The following table presents the placement in the fair value hierarchy of assets and liabilities that are measured at fair value on a recurring basis at August 31, 2013, and 2012: Description Cash and cash equivalents August 31, 2013 $ Investments: Mutual funds: Domestic equity International equity Bonds Real estate Money market funds Total investments $ Description Cash and cash equivalents Investments: Mutual funds: Domestic equity International equity Bonds Real estate Money market funds Total investments 74,840 74,840 974,019 242,696 1,995,944 31,373 103,259 974,019 242,696 1,995,944 31,373 103,259 3,347,291 3,347,291 August 31, 2012 $ $ Fair market measurments at August 31, 2013, using Level 1 Fair market measurments at August 31, 2012, using Level 1 43,503 43,503 871,008 226,053 1,937,334 63,502 116,043 871,008 226,053 1,937,334 63,502 116,043 3,213,940 3,213,940 Notes to Financial Statements August 31, 2013 and 2012 The Foundation had no assets and liabilities valued using significant unobservable inputs (Level 2 or Level 3) at August 31, 2013, and 2012. The Foundation’s accounting policy is to recognize transfers between levels of the fair value hierarchy on the date of the event or the change in circumstances that caused the transfer. There were no transfers among levels 1, 2, or 3 for the years ended August 31, 2013, and 2012. Total investment income, gains, and losses for the years ended August 31, 2013, and 2012 consist of the following: 2013 (4) 2012 Interest and dividend income $ Realized and unrealized gains, net Less investment expenses 62,065 115,213 (41,503) 85,831 137,604 (38,399) 135,775 185,036 Investment income, net $ Contributions Receivable All contributions receivable are due within one year and are considered to be fully collectible. Therefore, the Foundation has not recorded an allowance for doubtful accounts or a discount to present value for these contributions. (5) Transactions with Related Entities The National Organization conducts national fundraising efforts for which cash and in kind donations are received and shared with the Foundation. These funds represent revenues associated with: distributions from national partners, individual donation amounts collected via online and white mail donations, amounts for internal grants, travel and training scholarships, amounts to fund the Adopt-A-Wish® program, and other miscellaneous revenues. During the years ended August 31, 2013, and 2012, the Foundation received $1,542,145 from these national revenue streams. Conversely, the chapter pays amounts to the National Organization for annual dues, insurance, and other miscellaneous ancillary expenses that Make-A-Wish Foundation of America pays on behalf of the Foundation. Amounts totaling $305,906 and $269,897 were paid from the Foundation to Make-A-Wish Foundation of America at August 31, 2013, and 2012, respectively. Amounts due from other chapters represent amounts paid in assisting other chapters with their wish granting. Amounts due to other chapters represent amounts owed to other chapters who have assisted in the granting of wishes for the Foundation. During 2013 and 2012, the Foundation received contributions, both cash and in kind, from board members totaling $43,271 and $55,363, respectively. Amounts paid to related parties for goods and services used in the Foundation’s operations totaled $388,209 and $366,981 in 2013 and 2012, respectively. Amounts due to related parties as of August 31, 2013, and 2012, totaled $41,252 and $23,411, respectively, and are included in accounts payable in the accompanying statements of financial position. Notes to Financial Statements August 31, 2013 and 2012 (7) Accrued Pending Wish Costs The Foundation accrues for estimated costs of reportable pending wishes as unconditional promises to give when five certain, measurable wish criteria are met. Prior to meeting these five criteria, the wish is considered a conditional promise to give due to the inherent uncertainties surrounding these criteria and is therefore not accrued as a pending wish liability. Reportable pending wish criteria include: 1. Receiving a referral, 2. Obtaining the required medical eligibility form, 3. Contact with the wish family has occurred to determine the prospective wish, 4. Determination that the wish falls within the National Organization’s wish granting policy, and 5. The wish is expected to be granted within the next 12 months. The Foundation, as part of its estimate of accrued pending wish costs, also considers attrition on pending wish costs. An attrition rate is calculated by the Foundation by analyzing the trend of wishes that have been accrued for using the five criteria discussed above that have not been able to be completed within the past twelve months due to factors outside of the control of the chapter, such as the death of a child, the move of the family out of the chapter’s territory, or loss of contact with the family. As of August 31, 2013, and 2012, the Foundation had approximately 327 and 243 reportable pending wishes, respectively. (8)Leases The Foundation is obligated under various operating leases for offices and equipment, which expire at various dates through July 31, 2021. Total rent expense for all operating leases for the years ended August 31, 2013, and 2012 totaled $202,617 and $184,725, respectively. Future minimum lease payments under operating leases having remaining terms in excess of one year are as follows: Operating leases Year ending August 31: 2014 2015 2016 2017 2018 2019-2021 Total minimum lease payments $ 161,318 144,737 151,672 151,672 152,303 464,445 $ 1,226,147 Notes to Financial Statements August 31, 2013 and 2012 (9)Endowments The Foundation follows the provisions of ASC 958, Section 205-50 Reporting Endowment Funds. These provisions provide guidance on the net asset classification of donor-restricted endowment funds for a not-for-profit organization that is subject to an enacted version of the Uniform Prudent Management of Institutional Funds Act of 2006 (UPMIFA) and also require disclosures about endowment funds, both donor restricted endowment funds and board designated endowment funds. The Foundation’s endowment consists of 12 individual funds established for a variety of purposes including both donor-restricted endowment funds and funds designated by the board of directors to function as endowments. Net assets associated with endowment funds, including funds designated by the board of directors to function as endowments, are classified and reported based on the existence or absence of donor imposed restrictions. Endowment assets, both donor-restricted and board-designated, are reflected as investments held for long-term (a) Interpretation of Relevant Law The Commonwealth of Pennsylvania has not enacted a version of UPMIFA or a version of the predecessor Uniform Management of Institutional Funds Act (UMIFA). Governing law resides in 15 Pa. C.S. §5548, Investment of Trust Funds. The Foundation has interpreted relevant law as requiring the preservation of the fair value of the original gift as of the gift date of the donor-restricted endowment fund absent explicit donor stipulations to the contrary. Pennsylvania law permits, but does not require, the board of directors to make an election to annually appropriate for expenditure a selected percentage between 2% and 7% of the fair value of the assets related to donor-restricted endowment funds averaged over a period of three or more preceding years, provided the board of directors has determined that such percentage is consistent with the long term preservation of the real value of such assets. The Foundation has not made this election; therefore under Pennsylvania law, it may only spend true interest and dividend income related to permanent endowments. The Foundation therefore classifies as permanently restricted net assets (a) the original value of gifts donated to the permanent endowment; (b) the original value of subsequent gifts to the permanent endowment; and (c) returns on permanent endowment other than interest and dividend income. Interest and dividend income on permanent endowments are generally recorded as unrestricted revenue unless there is a purpose restriction on the use of the income that is not satisfied in the year the income is earned. Endowment net asset composition by type of fund as of August 31, 2013, and 2012 is as follows: Notes to Financial Statements August 31, 2013 and 2012 Endowment net assets composition by type of fund as of August 31, 2013, and 2012 is as follows: 2013 Donor-restricted endowment funds Unrestricted Temporarily restricted Permanently restricted — 27,647 1,094,361 1,122,008 1,038,565 — — 1,038,565 1,038,565 27,647 1,094,361 2,160,573 $ Board-designated endowment funds Total funds $ Total 2012 Donor-restricted endowment funds Unrestricted Temporarily restricted Permanently restricted — 61,533 1,051,347 1,112,880 985,197 — — 985,197 985,197 61,533 1,051,347 2,098,077 $ Board-designated endowment funds Total funds $ Total Notes to Financial Statements August 31, 2013 and 2012 Changes in endowment net assets for the years ended August 31, 2013 ,and 2012 are as follows: 2013 Temporarily restricted Permanently restricted 985,197 61,533 1,051,347 2,098,077 Unrestricted Endowment net assets, beginning of year $ Total Investment return: Investment income Net appreciation (realized and unrealized) 6,701 8,327 — 15,028 36,667 687 38,539 75,943 Total investment return 43,368 9,014 38,589 90,971 10,000 — 4,425 14,425 — (42,900) — (42,900) 1,038,565 27,647 1,094,361 2,160,573 Contributions Appropriation of endowment assets for expenditure Endowment net assets, end of year $ 2012 Temporarily restricted Permanently restricted 928,923 58,996 1,004,529 1,992,448 10,492 15,967 — 36,459 46,274 1,178 45,918 93,370 66,766 17,145 45,918 129,829 10,000 — 900 10,900 (20,492) (14,608) — (35,100) 985,197 61,533 1,051,347 2,098,077 Unrestricted Endowment net assets, beginning of year $ Investment return: Investment income Net appreciation (realized and unrealized) Total investment return Contributions Appropriation of endowment assets for expenditure Endowment net assets, end of year $ Total Notes to Financial Statements August 31, 2013 and 2012 Description of amounts classified as permanently restricted net assets and temporarily restricted net assets (endowment only): 2013 2012 Permanently restricted net assets: The portion of perpetual endowment funds that is required to be retained permanently either by explicit donor stipulation or by Pennsylvania law Temporarily restricted net assets: Interest and dividend income earned on perpetual endowments subject to purpose restrictions (to be used for wishes) (b) $ 1,094,361 1,051,347 27,647 61,533 Fund Deficiencies From time to time, the fair value of assets associated with individual donor-restricted endowment funds may fall below the level that the donor or Commonwealth law requires the Foundation to retain as a fund of perpetual duration. There were no such deficiencies as of August 31, 2013, and 2012. (c) Return Objectives and Risk Parameters The Foundation has adopted investment policies for endowment assets that attempt to maximize interest and dividend income. Endowment assets include those assets of donor-restricted funds that the Foundation must hold in perpetuity or for a donor-specified period(s), as well as board-designated funds. Under this policy, as approved by the board of directors, endowment assets are invested in a manner that is intended to produce results that exceed performance for a low-equity balanced portfolio measured by a benchmark using a blend of the S&P 500 Index (35% weighting), a Government/Corporate Bond Intermediate Index (55% weighting), and T-bill performance (10% weighting). (d) Strategies Employed for Achieving Objectives To satisfy its long term interest and dividend maximization objectives, the Foundation relies on a strategy in which investment returns are achieved primarily through current yield (interest and dividends). The Foundation targets an asset allocation that places a greater emphasis on fixed income investments to achieve its current yield objectives within prudent constraints. (e) Spending Policy and How the Investment Objectives Relate to Spending Policy Under Commonwealth of Pennsylvania law, the Foundation has not elected a spending policy and instead expends interest and dividend income earned on a current year basis for donor-restricted endowment funds. The Foundation’s policy regarding board-designated endowment is that it is permitted, but not required, to spend up to 4% of board designated endowment balances each year. Notes to Financial Statements August 31, 2013 and 2012 The Foundation appropriated $0 and $20,492 of board-designated amounts for expenditure in 2013 and 2012, respectively. In establishing these policies, the Foundation considered their impact on both the real growth of the endowment through new gifts and investment return and annual expendable endowment income. (10) Temporarily and Permanently Restricted Net Assets Temporarily restricted net assets are available for the following purposes for the years ended August 31, 2013 and 2012: 2013 2012 Wish granting Time restrictions $ 57,241 462,354 63,799 311,805 $ 519,595 375,604 Total temporarily restricted net assets For the years ended August 31, 2013. and 2012, permanently restricted net assets are restricted to: Investments in perpetuity, the income from which is expendable to support wishes Investments in perpetuity, the income from which is expendable to support any activities of the Foundation 2013 2012 832,347 798,594 262,014 252,753 $ 1,094,361 1,051,347 $ (11) Retirement Plan The Foundation has a defined contribution retirement plan (the Plan). Employees are eligible for participation in the Plan after reaching 21 years of age and upon completion of one year of service. Under the provisions of the Plan, eligible employees may elect to defer a percentage of their salary subject to certain IRC limitations. The Foundation contributes up to 5% of each participant’s gross wages as determined by years of service. Foundation contributions to the Plan for the years ended August 31, 2013, and 2012 were $84,001 and $78,205, respectively. (12) Concentrations of Credit Risk Financial instruments that potentially subject the Foundation to concentration of credit risk consist principally of cash, cash equivalents, and investments. The Foundation places its cash and investments with high credit quality financial institutions and generally limits the amount of credit exposure not to exceed the FDIC insurance coverage limit of $250,000. From time to time throughout the year, the Foundation’s cash balances may exceed the amount of the FDIC insurance coverage. Notes to Financial Statements August 31, 2013 and 2012 In-kind contributions totaling $1,563,370 and $1,535,648 were received from a single donor for the years ended August 31, 2013, and 2012, respectively, which represents 18.2% and 19.3%, respectively, of total public support. Should these contribution levels decrease, the Foundation may be adversely affected. (13) Litigation and Claims The Foundation is involved in litigation and claims arising in the ordinary course of business. In the opinion of management, the ultimate disposition of these matters will not have a material adverse effect on the Foundation’s financial position, change in net assets, or liquidity. (14) Subsequent Events The Foundation has evaluated events from the statement of financial position date through January 28, 2014, the date at which the financial statements were available to be issued, and identified no matters for disclosure other than the assumption of responsibility for Northern West Virginia as described in note 1.
