With revenues falling, there’s increasing pressure on public companies to cut expenses — particularly staffing. Some analysts complain radio’s personnel costs may not have been as flexible as they thought. When asked at yesterday’s Deutsche Bank Media Conference if they could go deeper, CBS CEO Les Moonves told investors, “There comes a point where you’re cutting into the bone.” He says cost adjustments began a year ago after seeing clues of a coming slowdown in advertising. “It’s a fairly efficient operation,” says Moonves, who notes CBS Radio has already made staff cuts, reorganized sales teams and station management, and has taken steps such as reducing fees paid for play-by-play rights. “If you look at the contracts with just about every one of our major talents they have been reduced greatly,” he adds. More from Moonves on Page 2. Westwood One gets a new owner and a cash infusion to help pay for its restructuring. Just 12 months after stepping away from CBS Radio and becoming a free-standing company, Westwood One has essentially been sold — a victim of declining revenues and a debt market that offered management few options. Writing has been on the wall for months. Westwood One’s cash flow had slowed so significantly that in November, the company not only was on course to break its covenant agreement with its lenders, but it didn’t have the cash to repay millions of debt coming due this year. The first payment was scheduled for last week. Private equity firm The Gores Group had already traded $100 million for a 15% stake, and its just-announced rescue plan will give it a controlling 73% stake. Gores reached a deal with Westwood One’s existing lenders to refinance its $241 million of debt, giving it until July 2012 to repay the notes. Gores will also pump up to $35 million in additional working capital to help the network operate while it finds its footing. Westwood One president/CFO Rod Sherwood — a former Gores Group CFO — says debt restructuring is an “essential part” of the turnaround plan. “A successful completion of the refinancing will allow us to continue to focus on delivering superior content and service, cost effectively, to Westwood One customers,” he says. Inside Radio has learned Gores has been searching for a new chief executive to lead the company over the past several months, enlisting a headhunter to approach several radio veterans. It has not been announced what role, if any, Westwood One founder and chairman Norm Pattiz will have under the new structure. Also unclear is whether Gores will keep the company publicly-traded. Current shareholders aren’t happy with a deal that dilutes their holdings to less than 3% of the company, yet with its stock trading at under ten cents since last Thanksgiving, the shares had already lost nearly all their value. Had the company sought bankruptcy protection, shares would have been worth even less. Westwood One’s stock was cut in half yesterday — to three cents. What recession? Katz Media says its online selling division continues to gain traction. Online advertising isn’t recession-proof, but sure looks like a safe bet for growing radio revenues again this year. The proof is in the pacing. Katz Online Network booked as much advertising the first 45 days of this year as it did all of last year. Companies such as insurance, technology and even beleaguered retailers are exploring radio’s digital frontiers. “They’re looking for a new way to interact with their customers,” says Katz 360 president Brian Benedik. National advertisers have been cutting on-air budgets, but that’s where Benedik’s team has been focusing. He tells Inside Radio, “We are preying on those savings and looking to recapture it for radio.” This week Ando Media announced Katz Online Network’s November cume was four million, a number gaining attention at ad agencies. Benedik says more national advertisers are submitting more requests to Katz seeking not only an over-the-air campaign, but online components including pre-roll video and in-stream www.InsideRadio.com NEWS Wednesday, March 4, 2009 Page 2 of 6 ads. “They’re getting more comfortable with it,” he says. Since creating the Katz Online Network last May, the group has grown to include a dedicated staff of Katz 360 Digital salespeople, as well as over 200 Katz Media account executives. Benedik says, “The more demand we put on the inventory, the CPMs will respond accordingly and we’ll see this grow exponentially.” Internet growth comes as on-air revenue is falling, and many believe it’s a dangerous shifting of dollars since radio sells online ads for a fraction of the price. Benedik concedes that does happen, but notes CPMs and rates for online media are holding despite the economy. “They’re growing because there’s more demand,” he says, crediting local sales teams for also doing a better job of selling in-stream avails. Even so, Benedik believes radio still needs to determine its best business model for traditional and digital advertisers where both can grow side-by-side. Peter Smyth: Radio should join CPM movement. For the past year, The American Association of Advertising Agencies (4As) has been working on its “Reinvention Project,” taking input of executives from media outlets and ad agencies. Later this month they’ll recommend to the 4As Media Conference that all media be sold on a single metric — cost per thousand (CPM). “It is time for radio to change the way it is sold,” says Greater Media CEO Peter Smyth. Radio AEs have spent time and energy reworking packages to meet agencies’ cost per point demands. Smyth says, “As we find the transactional radio business contracting, [this] is an opportune time for our industry to reexamine the way we do business and adjust it for the 21st century.” CPM is how national television is sold, but the 4As committee thinks the apples-to-apples standard can work for all media, including the internet. In his monthly blog post, Smyth says radio should throw its support behind the project. “As we have added new interactive capabilities to our portfolio and are aggressively selling integrated marketing solutions to our customers, we cannot continue to speak cost per point language,” he writes. Smyth says as advertisers convert to PPM data, it’s a good time to make the switch. It would also streamline the backroom process with electronic data exchange and invoicing. “We would be a far more efficient link in the marketing chain,” notes Smyth. Up for grabs are 122 FM signals, many of which are new allocations that have been created by moves of existing stations. “There could not be a worse time for an FM auction,” says communications attorney John Garziglia. In the past, some FMs sat dormant for years. But Garziglia doesn’t think that will be the case this year, explaining, “I suspect there will be at least one bidder for most of the facilities. The allure of owning a radio station is powerful to non-broadcasters.” The issue is at what price the spectrum will sell for. This is also the first radio auction since values hit the skids last year. Garziglia says, “For broadcasters who see one of the auction FMs as a complement to their group, or see an opportunity in one or more that those unfamiliar with the area may miss, there may be some bargains.” Texas, Oklahoma and California have the most available Auction 79 FMs. Garziglia tells Inside Radio some were dropped-in under “questionable” circumstances and may be near-impossible to build. The FCC is taking comments on how it should conduct Auction 79, although it’s unlikely to deviate much from its established procedure due to the recession. Garziglia advises broadcasters to file Form 175 expressing interest in any signal they may see potential in. The FCC doesn’t require follow-up with an actual bid. Garziglia adds, “As with any auction, there will be some smart people who scarf up great opportunities.” CBS is in no rush to sell. Deals have essentially frozen as potential buyers haven’t been able to secure financing, helping to drive down prices. CBS CEO Les Moonves signals he’s reluctant at the moment to strike any additional deals. He told yesterday’s Deutsche Bank Media Conference, “When the marketplace is a bit better, we wouldn’t mind trimming down the number of radio stations we have in smaller markets.” He says the size of its local television station group may also be reduced. CBS last week announced it would stop paying a dividend to stockholders, a move Moonves has been pushing for behind the scenes. He believes it will give him some “breathing room” in a year where advertising revenues are down, explaining, “We need the cash, and frankly, and in this day and age it’s more important to protect our business.” www.InsideRadio.com NEWS Wednesday, March 4, 2009 Page 3 of 6 Performance royalty supporters see “movement” on Capitol Hill. Sugar Hill Studios owner Dan Workman is no stranger to lobbying. The independent record producer met with several House and Senate members last June. “It was a pretty tough sell,” he recalls about his meeting with Rep. Charles Gonzalez (D-TX), whose district includes Clear Channel’s San Antonio headquarters. A similar lobbying effort yesterday found a marked change. “He was a totally different guy and was very interested in the situation,” says Workman. Several artists even jammed to a large crowd in Gonzalez’s office. The Music First Coalition organized yesterday’s day-long Capitol Hill visit, taking artists like Suzanne Vega and Gary “U.S.” Bonds to the halls of Congress to make the case for a radio performance fee. They walked away with growing confidence it’s only a matter of time before a royalty is approved. Workman tells Inside Radio, “There’s not a small shift, but a tidal shift.” He concedes broadcasters’ best ammunition in the current economy may be the financial impact, but it might be the “best time” to strike a low-rate royalty deal, adding, “We’re not out to beat anybody up.” The record industry’s proposal would cap 70% of a station’s royalty fee to a maximum of $5,000 a year. Record labels are hoping big broadcasting groups come to the table and hammer out a deal. Workman says, “Everything is negotiable and they can be part of that, but we want the mechanism in place.” The NAB has refused to even consider negotiating. It worries today’s small fee will grow to something much bigger later. Today’s scheduled hearing on the issue in the House Judiciary Committee has been cancelled because of British Prime Minister Gordon Brown’s scheduled joint session of Congress. But it’s a mere formality. The proposed “Performance Rights Act” (HR 848) is expected to easily pass the committee, with the real battle shaping up on the House floor. Reps. Gene Green (D-TX) and Mike Conaway (R-TX) have added another six Democrats and three Republicans to their list supporting a resolution opposing a royalty. That brings the number to 135. Julius Genachowski picked to head FCC, Obama still has a Republican seat to fill. Weeks after alerting senators of it, President Obama confirms his choice of former Harvard Law classmate Genachowski to lead the FCC. “He will bring to the job diverse and unparalleled experience in communications and technology, with two decades of accomplishment in the private sector and public service,” says Obama. In recent years Genachowski has worked with a venture capital fund, but his background includes Barry Diller’s IAC/InterActiveCorp and as a top legal advisor to former FCC head Reed Hundt. The nomination needs Senate confirmation. Acting chair Michael Copps says, “Julius has the knowledge, experience and dedication to lead this agency forward as we tackle the many challenges confronting the country — and the Commission.” Activist groups also like the nomination. Free Press director Josh Silver describes Genachowski as an “excellent choice” while Media Access Project CEO Andrew Schwartzman calls him “one of the best-qualified appointees ever named to head the FCC.” The White House still must fill the Republican vacancy created by Deborah Taylor Tate’s departure. CBS Radio remains top webcaster. Ando Media reports CBS Radio stations’ monthly cume topped 4.5 million (MondaySunday, 6am-Midnight), more than twice Clear Channel’s 2.1 million. CBS Radio has seen a big boost in its numbers since its stations became featured on AOL Radio’s platform. Among terrestrial broadcasters, Citadel is next with 701,000, followed by ESPN Radio (333,000), Cox Radio (267,000), Bonneville (160,000), EMF (213,000), Radio One (130,000), Greater Media (137,000), Salem (126,000), Beasley (97,000), Emmis (77,000), Lincoln Financial Media (60,000) and Journal Broadcast Group (58,000). Ando Media notes listening under five minutes isn’t included in the data. Another pioneer of HD Radio — how about a translator? Several stations have been experimenting with putting FM HD signals through a translator, but WEOS, Geneva, NY (89.7) at Hobart and William Smith Colleges says it’s the first to do so officially. W212BA, Geneva (90.3), the 88-watt translator WEOS uses to fill in signal gaps over its campus, recently flipped the switch on Larcan’s new “Encore” translator, which shifts incoming signals to a new frequency and amplifies them without ever decoding the incoming HD signal to baseband, thus avoiding a second set of Ibiquity licensing fees. The translator is running with reduced power (48 watts) under special FCC authority while it awaits delivery of a higherpowered unit from Larcan that can make the full licensed power. www.InsideRadio.com NEWS Wednesday, March 4, 2009 Page 4 of 6 The Weather Channel sticks with Dial Global. The sun will keep shining on an agreement under which Dial Global sells national advertising for The Weather Channel Radio Network. NBC-owned TWCRN also enlists Dial Global to handle affiliate sales. Dial Global President Ken Williams says the Weather Channel Radio Network has “consistently delivered increasing audience levels within our top RADAR rankings and continues to offer advertisers unparalleled reach, impact and value nationally.” More than 700 stations are Weather Channel Radio Network affiliates; it has an estimated weekly reach of two million listeners.
