June 2009 Satilla REMC Newsletter Local Students Selected for Prestigious Washington Youth Tour Alli Gainer, Erin Gillis, Hope Patton and Karen Roberts to enjoy trip of a lifetime Alli Gainer A Erin Gillis rea high-school students Alli Gainer, Erin Gillis, Hope Patton and Karen Roberts have been selected to participate in the 2009 Washington Youth Tour sponsored by Satilla REMC and the National Rural Electric Cooperative Association (NRECA). The teen-delegates will explore government on a local and national level, gathering in Atlanta before departing for Washington, D.C. Gainer, Gillis, Patton and Roberts will join more than 100 other students from Satilla’s sister electric co-ops across Georgia for this once-in-a-lifetime trip, set for June 11-18. After their arrival in Washington, D.C., Georgia’s delegation will convene with more than 1,500 youth representing cooperatives across the nation. The delegates will have the opportunity to mingle with peers from other states and exchange views concerning local and national issues. The Washington Youth Tour challenges teens to consider the part they play in history and government. The cooperative movement encourages them to become involved citizens and prompts them to consider careers in public service. They will see firsthand the sacrifices that have been made by influential individuals throughout the country. Satilla’s representatives already understand sacrifice to some extent, as all are leaders in their respective schools and communities. Alli is the daughter of Dana Worth and Georgia Gainer. She is a senior at Jeff Davis High School in Hazlehurst. Alli is very involved in her school’s Future Farmers of America (FFA) chapter serving as its current president and the Area VI president as well. Alli gives of her time participating in community development events such as Toys for Tots, M-Fuge, and Farm City Day. After graduation, she plans to major in pre-medicine and hopes to become an optometrist. Erin is a senior and attends Coffee County High School in Douglas. Her parents are Andy and Elisa Gillis. She is active in KEY Club, Student Council, and cheers for her favorite team, the Coffee County Trojans. She spends time reading to Pre-K and Head Start students. Erin also volunteers in her local church and school, and feels that doing service of all kinds is very rewarding. Erin is very enthusiastic about the Washington Youth Tour and feels that she will become a more productive citizen by seeing places of historical significance and meeting the representa- Hope Patton Karen Roberts tives that shape Georgia and the nation’s capital. Hope is a senior at Appling County High School in Baxley. She is the daughter of Jack and Janet Patton. She assists in the obstetrics department at the Appling HealthCare System and volunteers for an outreach program for the handicapped. Hope believes that community involvement is the key to bettering a community as a whole. After graduation, she plans to attend the University of Georgia and pursue a degree in the medical field. Karen is the daughter of Randy and Charlene Roberts. She is also a senior and attends Coffee County High School in Douglas. Karen’s involvement in Coffee County’s Agriculture Awareness Day, Facing Autism Together Everyday (FATE), and the Kiwanis Club’s Santa Stroll has provided her with sympathy and awareness for people in need. After graduation, Karen plans to earn a degree in animal science and hopes to have a large animal veterinary practice. She looks forward to growing as a person as a result of meeting leaders of both Georgia and the United States and feels this experience will positively impact her future. Of the 19 candidates interviewed, the decision to pick four was challenging. All of the candidates would have represented Satilla well, and they are to be congratulated for being nominated by their school counselors for outstanding leadership qualities and abilities. Emily Smoak, of Appling County High School in Baxley, and Parker Ogden, of Wayne County High School in Jesup, were chosen as alternates. If the first-place winner is unable to attend, an alternate will be chosen. Sen. Lyndon Baines Johnson inspired the Youth Tour when he addressed the National Rural Electric Cooperative Association (NRECA) Annual Meeting in Chicago in 1957. The senator and future president declared, “If one thing goes out of this meeting, it will be sending youngsters to the national capital where they can actually see what the flag stands for and represents.” Since 1965, the Washington Youth Tour has given more than 2,000 students in Georgia and more than 50,000 students nationwide the opportunity to take part in this once-in-a-lifetime experience. Satilla REMC and other cooperatives continue to realize Johnson’s dream by providing a means for young leaders to witness firsthand the sacrifices and efforts expended on their behalf. GA00670G Directors Carver, Mosley and Sellers Earn National Rural Electric Cooperative’s Credential Certification M embers from the Satilla REMC Board of Directors Brenda Carver, Atkinson County; Hinson Mosley, Wayne County; and Herman Sellers, Jeff Davis County, recently received Credentialed Cooperative Director Certificates (CCD) from the National Rural Electric Cooperative Association (NRECA). NRECA’s Credentialed Director Program requires attendance in five courses and basic competencies related to Director’s duties, liabilities, Board roles and relationships, strategic planning and financial decision Brenda Carver making. During the sessions, Directors learned the latest in strategic planning, financial oversight, new and emerging technologies, emergency response planning and the complex issues associated with rate decisions, among other topics. “These men and women already have a solid understanding of their responsibilities as Directors,” said Paul Wood, President/CEO of Georgia EMC. “This training allowed them to expand their body of knowledge.” Directors at Satilla REMC are elected by Members to Hinson Mosley provide oversight and guidance to senior management at the REMC who are responsible for the day-to-day operations of the company. Herman Sellers ‘The core responsibility of the Board of Directors is to exercise their fiduciary duty to act in the best interests of the EMC and its Members.’ —Bobby Darwin, President/CEO of Satilla REMC Summary of Bylaws Relating to the Committee on Nominations for the Election of Directors at the 2009 Annual Meeting: Nominations. It shall be the duty of the Board of Directors to appoint prior to the next Annual Meeting a committee on nominations consisting of three (3) Members from each District in which a Director is to be elected. The Members on any nominations committee must not be candidates for Director, incumbent Directors, or close relatives (third cousin or closer) of known candidates for Directors or incumbent Directors, and such Members of the Nominating Committee must not be Cooperative officers, employees or agents. The committee shall prepare and post at the principal office of the Cooperative at least seventy-five (75) days prior to the Annual Meeting its nomination(s) for the office of Director for the Districts represented by the Nominating Committee. Any one hundred fifty (150) or more Members from any District from which a Director is to be elected, acting together over their signatures, and not less than sixty (60) days prior to the meeting, may make an additional nomination; provided that the signatures on all such nominations will be subject to verification. Should the sixtieth (60th) day fall upon a weekend or holiday, then said petition shall be due by 4:00 p.m. on the last working day prior to the weekend or holiday on which the sixtieth (60th) day actually occurs. The President/Chief Executive Officer, upon being personally presented with any such additional nomination(s) shall, immediately following verification of the validity of the petition, post such nomination(s) at the same place where the committee nominations are posted. The Secretary shall mail to the Members, with the notice of the meeting, or separately, but in any event at least five (5) days prior to the meeting, a statement of the names and addresses of each nominee and opposing nominee(s), if any, showing nominee(s) nominated by the committee separately from the nominee(s) nominated by petition, if any. After all nominations by committee and nomination(s) by petition, if any, have been verified and duly posted within the time limits prescribed above, the nominations will be closed, and there will be no nominations made from the floor, and there will be no write-in candidates. Provided, however, that one or more nominations may be made from the floor under the provisions set forth in Article IV, Section 9 – Special Nominations and Elections. No Member of one District shall have any right to vote for the Director of another District, except (a) Brantley District Members who will vote with Pierce District Members for a Pierce District Director, and (b) Irwin and Ben Hill District Members who will vote with Coffee District Members for a Coffee District Director. Districts up for election in 2009 are Bacon, Pierce and Ware. Appointed to the 2009 Nominations Committee for the Bacon District are Mr. Dan Boatright, Mr. David H. Lee, and Mr. Danny Stanaland. For the Pierce District, Mr. Joe Boyett, Mr. Paul Ferre’ and Mr. Herman Moore have been appointed. Mr. Bradley Jordan, Mr. Ronnie McQuaig, and Mr. Donald Tuten have been appointed to serve on the Nominating Committee representing the Ware District. The Annual Meeting will be held on Tuesday, October 6, 2009, at Waycross Memorial Stadium.
