General terms and conditions concerning business, payment and installation requirements of the GP
infinitas GmbH
1. Geltung
Die GP infinitas GmbH („INFINITAS“) ist Inhaberin der alleinigen Nutzungs- und Verwertungs-rechte der
weltweit geschützten Marke „G-Power“. Diese Allgemeinen Bedingungen (im Internet unter
„http://www.g-power.com“ im Bereich Impressum ständig abrufbar) gelten für alle Geschäfts-beziehungen
zwischen Auftraggeber bzw. Besteller („Vertragspartner“ oder „VP“) und INFINITAS, soweit nicht die
besonderen Bedingungen von INFINITAS über Gewährleistung und Eintrittspflich-ten bei Einbau einer
Leistungssteigerung gelten oder Anderes ausdrücklich schriftlich vereinbart oder gesetzlich zwingend
vorgeschrieben ist. Entgegenstehende Bedingungen des VP sind, soweit sie nicht ausdrücklich schriftlich
anerkannt werden, für INFINITAS nicht bindend, auch wenn ihnen nicht ausdrücklich widersprochen wird.
Telefonische Auskünfte und Erklärungen von INFINITAS sind nur bei schriftlicher Bestätigung verbindlich.
2. Vertragsabschluss
Alle Angebote von INFINITAS sind freibleibend und unverbindlich, sofern nicht Verbindlichkeit schriftlich
zugesagt ist. Die in Katalogen, Anzeigen und Preislisten enthaltenen Preise und techni-schen Daten können
sich ändern, Irrtümer sind vorbehalten. Ein Vertrag kommt zustande, wenn INFINITAS einen vom VP – grds.
auf ein diesem zuvor zugesandtes freibleibendes Angebot – erhaltenen schriftlichen Auftrag ohne Änderungen
schriftlich (eMail, Telefax, Brief) gegenüber dem VP bestätigt. Ein Vertrag kommt auch zustande, wenn
INFINITAS den nach Angebot erhaltenen Auftrag des VP ohne gesonderte Bestätigung ausführt.
3. Lieferung und Lieferverzug
Von INFINITAS genannte Liefertermine oder Lieferfristen sind unverbindlich, sofern nicht ausdrücklich eine
schriftliche Zusage erfolgt. Höhere Gewalt, Streiks, technische Änderungen oder unverschuldetes
Unvermögen bei INFINITAS oder ihren Lieferanten verlängern die Lieferzeit je-weils um die Dauer einer
Behinderung. Der VP kann INFINITAS erstmals nach Ablauf von sechs Wochen nach einem benannten
Liefertermin schriftlich mit Zugangsnachweis auffordern, in ange-messener Zeit zu liefern. Mit Zugang einer
solchen Aufforderung gerät INFINITAS in Verzug. Der VP ist verpflichtet, einen bei ihm dadurch entstehenden
Schaden so gering wie möglich zu halten.
4. Zahlungsbedingungen
Die mit Auftragsbestätigung vereinbarten Netto-Preise gelten vier Monate ab Datum der letzten INFINITAS
-Auftragsbestätigung. Sind längere Lieferfristen benannt oder vereinbart, so werden die am Liefertag gültigen
Preise von INFINITAS berechnet. Die Abrechnung erfolgt in Euro zuzüglich Umsatzsteuer in Höhe des jeweils
am Tag der Rechnungsstellung gültigen Umsatzsteu-ersatzes, sofern nicht Umsatzsteuerfreiheit gegeben ist.
Warenlieferungen durch INFINITAS erfol-gen per Nachnahme, auf Lastschriftverfahren oder gegen Vorkasse,
soweit nicht anderes verein-bart wird. Verpackungs- und Frachtkosten werden stets zusätzlich ab Autenzell
berechnet. Bei Langzeitumbauten (Umbaudauer drei Tage und mehr) hat der VP bei Fahrzeuganlieferung eine
Anzahlung in Höhe von 70 % des Auftragswerts an INFINITAS zu leisten. Der Restbetrag ist bei Fertigstellung
des Umbaus fällig und spätestens bei Fahrzeugabholung zu bezahlen. Ein Zurück-behaltungs- oder
Aufrechnungsrecht mit eventuellen Gegenforderungen steht einem VP nur zu, wenn solche Gegenansprüche
rechtskräftig festgestellt oder von INFINITAS schriftlich anerkannt sind oder wenn es sich um bereits geltend
gemachte Gewährleistungsansprüche aus dem jeweili-gen Vertrag handelt.
5. Gefahrübergang und Abnahme
Bei Versendung von Ware an den VP geht die Gefahr gem. § 447 Abs. 1 BGB auf den VP über, sobald
INFINITAS die Ware dem Spediteur oder Frachtführer o.ä. zwecks Transport ausge-händigt hat. Wenn
INFINITAS die Ware mit eigenen Fahrzeugen versendet, geht die Gefahr ab Verladung auf den VP über.
Verweigert der VP die Annahme einer ihm ordnungsgemäß zugesand-ten Ware, so ist INFINITAS zur
nochmaligen Versendung nicht verpflichtet. Vielmehr kann dem VP eine angemessene Frist zur Abholung der
Ware in Autenzell gesetzt werden. Holt der VP die Ware bis zu deren Ablauf nicht ab, ist INFINITAS
berechtigt, vom Vertrag zurückzutreten und Schadens-ersatz wegen Nichterfüllung zu verlangen. Dieser
beträgt bei Arbeiten an Fahrzeugen 15 % und bei Warenlieferungen und sonstigen Leistungen 30 % vom
Bruttorechnungsbetrag. Dem VP bleibt es unbenommen, die Entstehung eines geringeren Schadens
nachzuweisen. INFINITAS kann darüber hinausgehenden tatsächlichen Schaden nachweisen und geltend
machen. Die vorstehende Scha-densersatzregelung gilt auch, wenn von vorneherein eine Abholung bei
INFINITAS vereinbart ist (z.B. bei Fahrzeugumbauten) und der VP den Abholtermin und eine dann gesetzte
angemessene Nachfrist mit Ablehnungsandrohung nicht einhält.
6. Eigentumsvorbehalt
Die von INFINITAS an den VP gelieferten Waren oder die an seinem Fahrzeug montierten Teile bleiben bis
zur vollständigen Bezahlung aller Rechnungsbeträge Eigentum von INFINITAS. Der VP ist vorbehaltlich evtl.
entgegenstehender nachfolgender Regelungen berechtigt, die Vorbe-haltsware bestimmungsgemäß zu
verwenden, ggf. zu verarbeiten oder in ordnungsgemäßem Ge-schäftsverkehr zu veräußern. Verpfändungen
oder Sicherungsübereignungen sind unzulässig. Die aus dem Weiterverkauf oder einem sonstigen
Rechtsgrund bezüglich der Vorbehaltsware entste-henden Forderungen tritt der VP bereits jetzt
sicherungshalber in vollem Umfang an INFINITAS ab, die diese Abtretung schon hier annimmt. INFINITAS
ermächtigt den VP widerruflich, abgetretene Forderungen in eigenem Namen einzuziehen. Auf Wunsch von
INFINITAS wird der VP die Abtre-tung offen legen und INFINITAS alle zur Weiterverfolgung eines Anspruchs
erforderlichen Auskünf-te erteilen und alle notwendigen Unterlagen herausgeben. Verarbeitung oder
Umbildung von Vor-behaltsware erfolgen stets für INFINITAS, jedoch ohne Verpflichtung für diese.
Erlischt das Eigentum von INFINITAS durch Verbindung, so wird bereits jetzt vereinbart, dass das Eigentum
des VP an der einheitlichen Sache wertanteilig auch INFINITAS zusteht. Bei Zugrif-fen Dritter auf die
Vorbehaltsware wird der VP auf das Eigentum von INFINITAS hinweisen und diese unverzüglich unter
Übergabe der für den Widerspruch notwendigen Unterlagen benachrichti-gen. Durch einen Zugriff und den
Widerspruch bei INFINITAS entstehende Kosten und Schäden sind vom VP zu ersetzen. Bei vertragswidrigem
Verhalten des VP, insbesondere Zahlungsverzug, erlöschen die Rechte zu Verwendung, Verarbeitung und
Veräußerung der Vorbehaltsware und die Ermächtigung zum Einzug der abgetretenen Forderungen.
Außerdem ist INFINITAS berechtigt, die Vorbehaltsware auf Kosten des VP zurückzunehmen oder,
gegebenenfalls nach Abtretung der Herausgabeansprüche, von Dritten zu verlangen. In der Zurücknahme
sowie in der Pfändung der Vorbehaltsware durch INFINITAS liegt grundsätzlich kein Rücktritt vom Vertrag.
Übersteigt der Wert der vom VP eingeräumten Sicherheiten die Forderungen von INFINITAS aus der
Geschäftsverbin-dung um mehr als 20 %, ist INFINITAS auf Wunsch des VP insoweit zur Rückübertragung
oder Freigabe nach ihrer Wahl verpflichtet. Mit Tilgung aller Forderungen des VP aus der
Geschäftsver-bindung gehen das Eigentum an der Vorbehaltsware und die abgetretenen Forderungen auf den
VP über.
7. Werkunternehmerpfandrecht
INFINITAS steht wegen ihrer Forderungen aus einem Auftrag ein vertragliches Pfandrecht an den aufgrund
dieses Auftrages in ihren Besitz gelangten Gegenständen des VP zu. Ein solches Pfandrecht kann auch
wegen Forderungen aus früher durchgeführten Arbeiten, Ersatzlieferungen und sonstigen Lieferungen geltend
gemacht werden, soweit diese mit dem Auftragsgegenstand im Zusammenhang stehen. Das Pfandrecht von
INFINITAS erlischt nicht, wenn INFINITAS den unmit-telbaren Besitz an Gegenständen des VP im Rahmen
der Auftragsbearbeitung an einen Subunter-nehmer weitergibt. Der Subunternehmer hält diesenfalls den
Besitz für INFINITAS. Für sonstige Ansprüche aus der Geschäftsverbindung gilt das vertragliche Pfandrecht
nur, soweit diese unbe-stritten sind oder ein rechtskräftiger Titel vorliegt und der Auftragsgegenstand im
Eigentum des VP steht.
9. Allgemeines zur Gewährleistung
Gewährleistungsansprüche wegen offensichtlicher Mängel müssen binnen vierzehn Tagen nach ihrer
Feststellung schriftlich bei INFINITAS angezeigt werden. Nacherfüllungsarbeiten im Rahmen der
Gewährleistung (Gewährleistungsarbeiten) werden nur bei INFINITAS in Autenzell oder bei autorisierten
INFINITAS -Partnern durchgeführt. Ggf. Ausgetauschte Teile werden Eigen-tum von INFINITAS und sind an
sie herauszugeben. Gewährleistungsarbeiten kleineren Umfangs können nach Erteilung des schriftlichen
Einverständnisses seitens INFINITAS auch in einer Fach-/ Vertragswerkstatt des jeweiligen
Fahrzeugsherstellers ausgeführt werden. Ein Anspruch auf Minde-rung oder Rücktritt vom Vertrag steht dem
VP erst zu, wenn zwei Versuche zur Beseitigung des Mangels seitens INFINITAS fehlgeschlagen sind.
Gewährleistung ist ausgeschlossen, wenn von INFINITAS gelieferte Teile nicht in der Fach-werkstatt eines
autorisierten INFINITAS -Partners oder des jeweiligen Fahrzeugsherstellers mon-tiert worden sind. Dies ist
INFINITAS auf Verlangen nachzuweisen. Ein Gewährleistungsanspruch besteht ebenfalls nicht, wenn der VP
eigenmächtige Reparaturversuche unternommen hat oder die gelieferten Teile an Fahrzeugen in
Motorsportwettbewerben eingesetzt worden sind. Für Rennteile, die kurzlebige Hochleistungsprodukte sind,
beschränkt sich die Gewährleistungspflicht von INFI-NITAS auf eine dem jeweiligen Stand der Technik
entsprechende Fehlerfreiheit im Werkstoff des fabrikneuen Teiles zum Zeitpunkt der Übergabe. Rennsportteile
sind ohne TÜV-Zulassung und werden wegen ihrer Kurzlebigkeit ohne Gewährleistung und Garantie geliefert.
Natürlicher Verschleiß oder Beschädigungen an einem Motor, die auf unsachgemäße Be-handlung
zurückzuführen sind, z.B. Fahren ohne Kühlmittel oder Motoröl oder übermäßige Bean-spruchung, fallen nicht
unter die Gewährleistung. Die Gewährleistung erlischt zudem, wenn die im jeweiligen Kundendienstheft des
Fahrzeugs vorgesehenen Wartungsarbeiten nicht ordnungsgemäß durchgeführt werden, die Vorschriften der
Betriebsanleitung missachtet werden, bei leistungsge-steigerten Fahrzeugen das INFINITAS-Serviceheft nicht
geführt und vorgelegt wird, das Fahrzeug bei Wettbewerbsfahrten eingesetzt wird oder wenn das Fahrzeug in
von INFINITAS nicht geneh-migter Weise technisch verändert wird.
Angaben von INFINITAS zu Leistungsdaten basieren stets auf den Angaben des Herstellers des jeweiligen
Serienfahrzeugs. Geschwindigkeits- und Beschleunigungsdaten sind u.a. abhängig von Motorleistung,
Räderformaten, Fahrzeuggewicht, Aerodynamik, Lufttemperatur und Luftfeuch-tigkeit. Alle angegebenen
Daten wie Beschleunigung und Geschwindigkeit beziehen sich grund-sätzlich auf die leichteste Variante eines
Fahrzeugs mit bestmöglicher Übersetzung bei idealen Wetterbedingungen. Leistungsstreuungen von bis zu 5
% gegenüber den Angaben von INFINITAS sind zu möglich und kein Mangel.
10. Gewährleistung für Teile und Zubehör
Für neue Teile und Zubehör ist die Gewährleistung auf zwei Jahre ab dem Tag der Ausliefe-rung an den
Erst-VP befristet. Für gebrauchte Teile und Zubehör ist jegliche Gewährleistung aus-geschlossen, es sei denn,
der VP ist Verbraucher; diesenfalls ist die Gewährleistung für gebrauchte Teile und Zubehör auf ein Jahr ab
Auslieferung befristet. Unabhängig davon werden für INFINITAS-Edelstahlschalldämpfer 36 Monate Garantie
gegen Durchrostung ab Herstellungsdatum gewährt.
Sind von INFINITAS gelieferte Teile mangelhaft, hat INFINITAS die Wahl, diese durch neue bzw. gleichwertige
mangelfreie Teile zu ersetzen oder unentgeltlich auszubessern. Voraussetzung für jede
Gewährleistungsverpflichtung seitens INFINITAS sind fehlerhafte Bauart oder mangelhafte Ausführung. Für
Materialfehler kann nur insoweit gehaftet werden, als dass INFINITAS bei Anwen-dung fachmännischer
Sorgfalt die Mängel hätte erkennen müssen.
11. Gewährleistung für Leistungssteigerungen
Die Gewährleistung von INFINITAS für Leistungssteigerungen richtet sich nach den hierfür bestehenden
besonderen Geschäftsbedingungen (G-POWER PERFORMANCE GARANTIE) in ihrer jeweils aktuellen
Fassung, welche bei allen Verträgen über Leistungssteigerungen stets zu-sätzlich zu diesen Allgemeinen
Bedingungen Vertragsgegenstand sind. Sie werden auf Wunsch jedem VP ausgehändigt, können aber auch
ständig im Internet unter http://www.g-power.de im Bereich Kontakt/Impressum abgerufen werden.
12. Eintragung in Fahrzeugpapieren / Straßenverkehrszulassung in Deutschland
Ein Anspruch des VP auf Eintragung in die Fahrzeugpapiere besteht grundsätzlich nur bei dem TÜV, der den
Musterbericht für das verbaute Teil erstellt hat und ausschließlich für Teile, die ausdrücklich „mit TÜV“
ausgewiesen sind. Für von INFINITAS ausdrücklich für den Export oder „ohne TÜV“ deklarierte Teile und
Rennsportteile kann eine Eintragung in den Fahrzeugpapieren in Deutschland nicht erfolgen; ein Anspruch des
VP auf verkehrsrechtliche Eintragung in den Fahr-zeugpapieren besteht nicht. Bei Montage von Teilen ohne
ausdrückliche „TÜV-Zulassung“ erlischt die Allgemeine Betriebserlaubnis (ABE) des Fahrzeugs. Für das
Ausland besteht kein Anspruch auf Zulassung für den dortigen Straßenverkehr, wenn solches nicht
ausdrücklich vereinbart wird. Bei technischen Veränderungen am Fahrzeug ohne ABE, bzw. den notwendigen
Eintrag in die Fahr-zeugpapiere mittels Teilegutachten oder Einzelbegutachtung durch Prüfbericht, erlischt die
Be-triebserlaubnis des Fahrzeugs.
13. Altteile
Aus Fahrzeugen ausgebaute Teile (Original- oder Altteile) sind vom VP nach Fertigstellung des Auftrags, in
der Regel bei Abholung des Fahrzeugs, abzunehmen. Zu einer über diesen Zeit-punkt hinausgehenden
Lagerung ist INFINITAS nicht verpflichtet. Nimmt der VP die Teile nicht ab, ist INFINITAS berechtigt, sie ggf.
auf Kosten des VP zu entsorgen. Eine Wiederbeschaffung ist ausgeschlossen. Diese Regelung gilt nicht bei
Teilen, die vertragsgemäß verrechnet werden oder in sonstiger Weise in das Eigentum von INFINITAS
übergehen.
14. Schlussbestimmungen
Für alle die Grenzen der Bundesrepublik Deutschland überschreitenden reinen Kaufverträge zwischen
INFINITAS und ihren Vertragspartnern gilt das UN-Kaufrecht (Wiener Übereinkommen der Vereinten Nationen
über den internationalen Warenkauf vom 11.04.1980) in seiner jeweils zum Vertragsschluss aktuellen
Fassung, gleich, ob der VP in einem Staat ansässig ist, in dem das UN-Kaufrecht bereits gilt oder nicht.
Im Übrigen gilt ausschließlich das Recht der Bundesrepublik Deutschland. Erfüllungsort für alle sich aus einem
Vertragsverhältnis zwischen INFINITAS und einem VP ergebenden Ansprüche und Verpflichtungen ist der
Geschäftssitz von INFINITAS in Autenzell. Erteilt der VP einen Auftrag oder eine Bestellung an INFINITAS für
sein Unternehmen, als juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen,
so wird bei Klagen gegen INFINITAS deren Geschäftssitz, ansonsten, nach Wahl von INFINITAS,
Schrobenhausen, Augsburg, Ingolstadt oder München als Gerichtsstand für alle sich aus der
Geschäftsverbindung ergebenden gegenseitigen Ansprüche vereinbart. Der gleiche Gerichtsstand gilt als
vereinbart, wenn der VP keinen allgemei-nen Gerichtstand im Inland hat oder nach Vertragsabschluss seinen
Wohn- oder Geschäftssitz oder gewöhnlichen Aufenthaltsort ins Ausland verlegt oder wenn dieser bei
Klageerhebung nicht bekannt ist.
Ist oder wird eine Bestimmung in diesen Bedingungen oder eine Bestimmung im Rahmen sonstiger
Vereinbarungen unwirksam, so wird hiervon die Wirksamkeit aller sonstigen Bestimmun-gen oder
Vereinbarungen nicht berührt. § 139 BGB findet keine Anwendung. Eine durch Wegfall einer unwirksamen
Bestimmung entstandene Regelungslücke ist durch ergänzende Vertragsausle-gung zu schließen.
8. Haftung
Ansprüche des VP auf Schadensersatz gegen INFINITAS, insbesondere wegen Verletzung von Pflichten aus
dem Schuldverhältnis, Verzug oder unerlaubter Handlung, sind vorbehaltlich anderer Regelungen in diesen
Allgemeinen Bedingungen ausgeschlossen. Dies gilt nicht, soweit ein Schaden auf Vorsatz oder grobe
Fahrlässigkeit von INFINITAS oder ihrer Erfüllungsgehilfen zurückzuführen ist oder in mindestens fahrlässig
von INFINITAS oder ihren Erfüllungsgehilfen verursachter Verletzung von Leben, Körper oder Gesundheit
besteht.
Ist INFINITAS zu Schadensersatz verpflichtet, kann grundsätzlich nur Geldersatz bis zur Höhe des Zeitwertes
verlangt werden, höchstens aber bis zur für den jeweiligen Auftrag vereinbar-ten Gesamtvergütung (ohne
Umsatzsteuer, soweit INFINITAS der Umsatzsteuerpflicht unterliegt). Soweit INFINITAS fahrlässig eine
vertragswesentliche Pflicht verletzt, ist ihre Ersatzpflicht auf solche typischen Schäden begrenzt, die zum
Zeitpunkt des Vertragsschlusses vernünftigerweise voraussehbar waren.
Soweit Haftungsansprüche gegen INFINITAS aus einem Vertrag nicht auf vorsätzliches Han-deln
zurückzuführen sind, verjähren sie in einem Jahr ab dem Schluss des Jahres, in dem der Anspruch
entstanden ist und in dem der VP von den den Anspruch begründenden Umständen Kenntnis erlangt hat oder
ohne grobe Fahrlässigkeit hätte Kenntnis erlangen müssen; unabhängig von ihrem Entstehen und ihrer
Kenntnis verjähren solche Haftungsansprüche spätestens zwei Jahre nach Beendigung des Vertrags.
