Water and Energy Saving with NEOPERL® Products
NEOPERL water savers limit the flow of water in dishwashers,
faucets, showers. The right amount of water is delivered, neither
too little nor too much. A large portion of this saving is hot water.
By using less hot water, energy is saved and CO2 emissions are

The most common option is a fixed orifice designed to allow a

restricted devices provide insufficient flow at low pressure and
excess flow at high pressure.

Dynamic conditions (flow)
The elastomer subjected to the line pressure is compressed into the
seating area which reduces the water passage (position 2). As the
pressure increases the elastomer is compressed further into the
seating area and reduces the water passage further (position 3). As
the pressure decreases the elastomer relaxes and reopens the
water passage (return to position 2 and 1).

Durchfluss
Strahlregler mit Durchflussbegrenzern
Die einfache Variante besteht darin, durch die Größe der DurchflussUmweltschutz
bohrung den Durchfluss so zu begrenzen, dass er bei einem
bestimmten
Druckbereich (z.B. 3 bar) einem festgelegten Wert genau entspricht.
Diese Produkte werden bei NEOPERL als «Durchflussbegrenzer» bezeichnet. Durchflussbegrenzer haben bei niedrigem Druck einen geringen Durchfluss, bei hohem Druck hingegen ist der Durchfluss oft höher als notwendig.

Sobald Wasser durch den Mengenregler fliesst, verformt sich der
Präzisions-O-Ring und wird zwischen die Zacken des Regelsterns
gedrückt. Dadurch verkleinern sich die Durchtrittsöffnungen für das
Wasser (Position 2). Je höher der Fliessdruck, desto stärker verformt
sich der O-Ring (Position 3). Bei sinkendem Druck nimmt der Präzisions-O-Ring allmählich wieder seine ursprüngliche Form an, wodurch
die Wasserdurchtrittsöffnungen wieder größer werden (zurück zu
Position 2 und 1).

General Terms and Conditions NEOPERL AG
§ 1 – Scope
1. These General Terms and Conditions (GTC) govern the relationships between NEOPERL
AG and its customers (buyer). They form an integrated component of all present and future offers given by NEOPERL AG and agreements concluded with NEOPERL AG. The
present GTC are valid as accepted, when the buyer places an order, namely also when the
GTC are not enclosed in individual cases, yet are brought to the buyer`s attention in another manner.
2. All agreements and legally relevant statements of the contracting parties modifying or
canceling this GTC, must be in writing to be valid.
3. Terms and Conditions of buyers that either disagree with or deviate from the present
GTC are only binding or applicable, when expressly accepted by NEOPERL AG in writing.
§ 2 – Conclusion of Contract
1. A contract is concluded with written order confirmation by NEOPERL AG or through
delivery only.
2. Modifications and additions to the contract must be confirmed in writing by NEOPERL AG.
3. Deviations from the order contained in the order confirmation or invoice become part of
the contract, provided that the buyer does not object to these in writing within three work
days after receipt of the order confirmation or the invoice.
4. Statements in catalogues like illustrations, drawings, weight and size specifications are
non-binding. NEPOERL AG explicitly retains the right to carry out modifications due to
technical or production considerations, provided that the delivery item is not materially
changed and the modification is reasonable for the buyer.
§ 3 – Price and Payment Conditions
1. The relevant prices derive from the price list being valid at time of the conclusion of the
contract.
2. All prices are valid ex work. They are expressed in Swiss Francs (CHF) or in Euros
(EUR), including packaging costs, yet plus shipping or transport and insurance costs.
3. Depending on the value of the order, NEOPERL AG may bear transport costs via post,
truck or courier. NEOPERL AG may invoice a surcharge against the buyer for additional
costs or a minimum order.
Small orders and the corresponding surcharges for additional costs or minimum order
thereto are defined in each specific country.
4. All prices are based on the value added tax being presently valid. The buyer will carry
costs for all types of taxes (in particular, value added tax), fees, customs, charges and the
similar, which are levied in connection with this contact, or will reimburse these after
corresponding proof by NEOPERL AG, should that party be obliged to pay in this regard.
5. NEOPERL AG retains the right to change prices.
6. The invoices of NEOPERL AG are due and payable without deduction within 30 days after
the invoice date. If payment is made within 10 days of the invoice date, a discount of 2%
will be granted, should all earlier invoices due have been remitted at the time of the payment.
7. Should the buyer not comply with the payment conditions or should NEOPERL AG’s
claims be jeopardized due to financial circumstances of the buyer, NEOPERL AG may rescind the contract. Moreover, NEOPERL AG is authorized to make its processing of all
orders of the buyer dependent on an advance payment or provision of a guarantee.
8. The buyer may offset claims against NEOPERL AG only with undisputed or legally effective counter claims.
9. Conditions and other rebates granted by NEOPERL AG on prices valid pursuant to these
paragraphs as well del credere conditions will only be granted and paid, if all of the buyers
due payment obligations with respect to NEOPERL AG are fulfilled at the point in time the
rebate or condition is granted. Otherwise, any claim for such is not applicable.
§ 4 – Delivery Times, Shipping and Transport
1. Delivery times are based on agreements reached in the individual case. If changes or
supplements to the scope of performance occur after the conclusion of the contract, the
indicated delivery dates or deadlines lapse; they will extend as appropriate, insofar as no
specific agreement is reached.
2. Possible indicated delivery deadlines are not binding. They will be met insofar as possible; NEOPERL AG is however not liable for compensatory damages, if a deadline is exceeded.
3. Upon agreement, fixed deliveries can be agreed upon by way of exception for a period
of time determined in advance, which may be recalled by the buyer within a particular
deadline. If this recall period is not observed, NEOPERL AG may deliver the goods against
payment or cancel the fixed delivery.
4. If NEOPERL AG cannot observe delivery times agreed upon for reasons of force majeure or unforeseeable, unusual events, it will inform the buyer of such promptly. The delivery times will extend correspondingly.
5. Complaints in connection with shipping and transport must be directed by the buyer to
the delivery agent (post, rail, courier) promptly upon receipt of the delivery or the freight
documents.
6. Partial deliveries are permissible and release NEOPERL AG from its duty of performance to a corresponding extent.
§ 5 – Inspection and Acceptance
1. The call quantity with respect to on-call orders for fixed deliveries (§ 4 section 3) must
be apportioned at the time the order is made in an amount for each opt-out date. The
buyer is obliged to accept the goods within an appropriate deadline, at least, however,
nine months after the conclusion of the contract.
2. The buyer must inspect the deliveries within three work days after receipt and inform
NEOPERL AG in writing of any eventual defects within the same deadline. The goods are
considered accepted after expiry of this deadline.
§ 6 – Transfer of Risk
1. The risk of accidental loss or accidental deterioration of the delivery item transfers to
the buyer, as soon as the goods are relinquished to freight.
2. If the buyer finds itself in default of acceptance, risk transfers at the point in time a
readiness for dispatch is expressed. This is valid irrespective of whether the shipping occurs from the place of performance or who bears the transport costs.
3. As a rule, deliveries travel at the risk of the buyer. Upon wish of the buyers, NEOPERL
AG will insure the delivery against theft, breakage, as well as damages due to transport,
fire and water as well as other insurable risks at the buyer`s cost.
§ 7 – Retention of Title
1. Until performance of all claims from the entire business relationship with the buyer is
complete, title to the goods delivered by NEOPERL AG remains with NEOPERL AG.
2. NEOPERL AG is empowered to occasion the entry of the retention of title in the Swiss
Title Retention Registry (“schweizerisches Eigentumsvorbehaltsregister”) or in corres60
ponding registries of other countries and the buyer is obliged to cooperate with the steps
required for said registration. Moreover, the buyer is obliged to perform any action necessary to protect the property of NEOPERL AG.
3. If the realizable value of the guarantees entitled to NEOPERL AG pursuant to the above
provisions exceeds its claims by more than 10%, it is obliged to return the excess value.
§ 8 – Property rights and Copyrights
1. Ownership to the drawings, samples, offers, etc., provided by NEOPERL AG remains
with NEOPERL AG. The buyer may not forward documents of this type as originals or copies to third parties. If drawing, samples, offers etc. are protectable under copyright,
NEOPERL AG expressly reserves all rights thereto.
2. Ownership to products made available to the buyer for view/selection remains with
NEOPERL AG and may not be disposed of without the approval of NEOPERL AG. If the
goods are lost, the buyer is liable.
3. With respect to manufacture pursuant to buyer specifications, the buyer must make
certain that no industrial property rights or other rights of third parties are being infringed
upon.
§ 9 – Warranty
1. If performance of NEOPERL AG turns out to be defective, NEOPERL AG grants a guarantee of 24 months on material after the transfer of risk pursuant to § 6. NEOPERL AG may
exercise its own discretion as to whether the defect is removed through improvement or
replacement delivery. Moreover, any warranty, insofar as legally permissible, is disclaimed.
2. In order to assert claims for defects, the buyer must promptly - at latest within three
work days - inspect pursuant to § 5, Item 2 and immediately inform NEOPERL AG in writing of any eventual defects. The products objected to must be sent to NEOPERL AG for
inspection. If any supplementary performance is due, only the costs of the goods and
transport will be assumed; any eventual consequential costs will not be reimbursed.
3. If materials supplied are exchanged in the course of supplementary performance by the
NEOPERL AG, the NEOPERL AG acquires the ownership to the exchanged components.
The deadline warranty period for replaced or repaired goods begins anew and likewise
lasts for 24 months after shipment of the replacement goods by NEOPERL AG.
4. If the supplementary performance is not successful, the buyer may reduce payment,
rescind the contract or demand compensatory damages. If a claim for compensatory damages is made, the buyer must first turn to its insurer, that is, all damages must be reported to the insurer and paid by the latter
§ 10 – Returns
1. In principle NEOPERL AG does not accept the return of any goods. A return after prior
agreement is however possible. In this case, a credit to the benefit of the buyer will be issued with the deduction of a processing fee of at least 15 % of the net worth of the goods.
2. Without exception, NEOPERL AG will not accept the return of packaging materials.
3. Returns will first be processed after a return number is given. If the customer plans to
return goods, a return must be stated in a writing sent to NEOPERL AG containing a listing
of the articles, quantity and reason for the return. Thereafter a return slip will be prepared
for redemption and sent to the corresponding buyer per fax or email. The return slip must
be included in the return of goods. The return cannot be processed without a return number and a return slip, nor can the returned goods be accepted.

§ 11 – Liability
1. NEOPERL AG is liable only for damages caused through gross negligence or intentional
behavior. NEOPERL AG is not liable for non-culpable delay, breach of a duty to cooperate
by the customer or other impossibility of performance of its contractual duties at no fault
of its own.
2. Liability of auxiliary personnel for normal and slight negligence, for indirect damages or
consequential damages, as well as liability for third parties and, insofar as legally permissible, is excluded.
3. NEOPERL AG moreover is not liable for damages caused by natural wear-and-tear,
unsuitable or improper use, faulty assembly or setting into use by the buyer or third parties, faulty or negligent handling and excessive use or other reasons, which the NEOPERL
AG did not cause. The same is valid, if at the appearance of a defect the buyer or third
parties does not promptly give NEOPERL AG the opportunity to cure the defect.
§ 12 Right of Recission
Changes in the circumstances of the buyers like default in payment, payment difficulties,
suspension of payment as well as the initiation of lawsuits or proceedings authorize
NEOPERL AG to immediately rescind all eventual delivery obligations.
§ 13 – Final Provisions
1. Exclusive court venue for all eventual disputes is CH-4153 Reinach.
2. All contractual relationships are governed by Swiss law, excluding the UN Convention
on Contracts for the International Sale of Goods.
3. The invalidity of individual provisions of this GTC does not affect the validity of the remaining provisions or the existence of the GTC. A provision, which best approximates the economic content of the invalid provision is valid in place of the invalid provision. The same is
valid in case of a contractual ommission.
Allgemeine Geschäftsbedingungen NEOPERL AG
§ 1 – Geltungsbereich
1. Diese Allgemeinen Geschäftsbedingungen (AGB) regeln die Beziehungen zwischen
NEOPERL AG und ihren Kunden (Besteller). Sie bilden integrierenden Bestandteil aller
gegenwärtig und zukünftig von NEOPERL AG abgegebenen Angebote und mit NEOPERL
AG abgeschlossenen Verträge. Die vorliegenden AGB gelten mit Auftragserteilung des
Kunden als anerkannt, namentlich auch dann, wenn sie im Einzelfall nicht beigelegt sein
sollten, dem Besteller aber in anderer Weise zur Kenntnis gebracht worden sind.
2. Alle Vereinbarungen und rechtserheblichen Erklärungen der Vertragsparteien, welche
diese AGB abändern oder aufheben, bedürfen zu ihrer Gültigkeit der Schriftform.
3. Entgegenstehende oder von den vorliegenden AGB abweichende allgemeine
Geschäftsbedingungen des Bestellers sind nur verbindlich bzw. anwendbar, wenn

NEOPERL AG diese ausdrücklich und schriftlich anerkannt hat.
§ 2 – Vertragsabschluss
1. Ein Vertrag kommt erst mit schriftlicher Auftragsbestätigung durch NEOPERL AG oder
durch Lieferung zustande.
2. Vertragsänderungen und -ergänzungen bedürfen der schriftlichen Bestätigung durch
NEOPERL AG.
3. Abweichungen von der Bestellung in der Auftragsbestätigung bzw. Rechnung werden
Vertragsinhalt, sofern ihnen der Besteller nicht innerhalb von drei Arbeitstagen ab Erhalt
der Auftragsbestätigung bzw. Rechnung schriftlich widerspricht. Vorbehalten bleibt die
Berichtigung blosser Rechnungsfehler.
4. Katalogangaben sowie Abbildungen, Zeichnungen, Gewichts- und Massangaben sind
unverbindlich. NEPOERL AG behält sich technische oder produktionsbedingte Änderungen ausdrücklich vor, soweit der Liefergegenstand dadurch nicht wesentlich geändert
wird und die Änderung für den Besteller zumutbar ist.
§ 3 – Preise und Zahlungsbedingungen
1. Die Preise ergeben sich aus den bei Vertragsschluss geltenden Preislisten.
2. Alle Preise gelten ab Werk. Sie verstehen sich in Schweizer Franken (CHF) oder in Euro
(EUR), einschliesslich Verpackung, zuzüglich Versand- bzw. Transport- und Versicherungskosten.
3. Je nach Auftragswert kann die NEOPERL AG die Kosten für Transport via Post, via Last
wagen oder Kurierdienst übernehmen. Bei Kleinaufträgen kann die NEOPERL AG dem
Besteller einen Mehrkosten- bzw. Mindermengenzuschlag in Rechnung stellen.
Kleinaufträge und die entsprechenden Mehrkosten- bzw. Mindermengenzuschläge sind
jeweils länderspezifisch definiert.
4. Alle Preise basieren auf dem aktuell gültigen Mehrwertsteuersatz. Der Besteller trägt
alle Arten von Steuern (insbesondere Mehrwertsteuer), Abgaben, Gebühren, Zöllen und
dergleichen, die im Zusammenhang mit dem Vertrag erhoben werden, oder erstattet sie
gegen entsprechenden Nachweis der NEOPERL AG zurück, falls diese hierfür leistungspflichtig ist.
5. NEOPERL AG behält sich Preisänderungen vor.
6. Die Rechnungen von NEOPERL AG sind ohne Abzug innerhalb von 30 Tagen ab Rechnungsdatum zahlbar und fällig. Bei Zahlung innerhalb von 10 Tagen ab Rechnungsdatum
wird ein Skonto von 2% gewährt, wenn im Zeitpunkt der Zahlung alle früher fälligen
Rechnungen beglichen sind.
7. Hält der Besteller die Zahlungsbedingungen nicht ein oder sind aufgrund der wirtschaftlichen Verhältnisse des Bestellers die Ansprüche von NEOPERL AG gefährdet, kann
NEOPERL AG vom Vertrag zurücktreten. Weiter ist NEOPERL AG berechtigt, die Bearbeitung aller Aufträge des Bestellers von einer Vorauszahlung oder einer Sicherheitsleistung abhängig zu machen. Gerät der Besteller in Zahlungsverzug, löst dies die Fälligkeit
der Gesamtforderung aus.
8. Der Besteller darf Forderungen gegen NEOPERL AG ausschliesslich mit unbestrittenen oder rechtskräftig festgestellten Gegenansprüchen verrechnen.
9. Von NEOPERL AG gewährte Konditionen und sonstige Rabatte auf den gemäss diesem
Paragraphen geltenden Preisen sowie Delkrederekonditionen werden nur gewährt und
ausgezahlt, wenn alle fälligen Zahlungsverpflichtungen des Bestellers gegenüber
NEOPERL AG zum Zeitpunkt der Gewährung erfüllt sind. Andernfalls entfällt jeglicher
Anspruch hierauf.
§ 4 – Liefertermine, Versand und Transport
1. Liefertermine richten sich nach den im Einzelfall getroffenen Absprachen. Bei Änderungen oder Ergänzungen des Leistungsumfangs nach Vertragsschluss werden angegebene Liefertermine und -fristen hinfällig; sie verlängern sich angemessen, sofern keine
besondere Vereinbarung getroffen wird.
2. Allenfalls angegebene Liefertermine sind nicht verbindlich. Sie werden so gut als möglich eingehalten, NEOPERL AG schuldet jedoch keinen Schadenersatz bei Überschreitung.
3. Nach Abrede können ausnahmsweise feste Lieferungen für eine im Voraus bestimmte
Zeitdauer vereinbart werden, die innerhalb einer bestimmten Frist durch den Besteller
abgerufen werden. Wird diese Abruffrist nicht eingehalten, steht es NEOPERL AG frei, die
Ware gegen Bezahlung abzuliefern oder die feste Lieferung zu annullieren.
4. Kann NEOPERL AG vereinbarte Liefertermine aus Gründen höherer Gewalt oder unvorhersehbarer ungewöhnlicher Ereignisse nicht einhalten, so wird sie den Besteller unverzüglich darüber informieren. Die Lieferfristen verlängern sich entsprechend.
5. Beanstandungen im Zusammenhang mit dem Versand oder Transport sind vom Besteller bei Erhalt der Lieferung oder der Frachtdokumente unverzüglich an den Zusteller
(Post, Bahn, Spediteur) zu richten.
6. Teillieferungen sind zulässig und befreien NEOPERL AG im entsprechenden Umfang
von ihrer Leistungspflicht.
§ 5 – Prüfung und Abnahme
1. Bei Bestellungen auf Abruf von festen Leistungen (§ 4 Ziff. 3) muss die Abrufmenge
bereits bei Bestellung in Abnahmegrössen mit festen Abrufterminen eingeteilt werden.
Der Besteller ist verpflichtet, die Ware innerhalb angemessener Frist, spätestens jedoch
neun Monate nach Vertragsschluss, abzunehmen.
2. Der Besteller hat die Lieferungen innert drei Arbeitstagen seit Erhalt zu prüfen und
NEOPERL AG allfällige Mängel innerhalb derselben Frist schriftlich mitzuteilen. Nach
Ablauf dieser Frist gilt die Ware als angenommen.
§ 6 – Gefahrübergang
1. Die Gefahr des zufälligen Untergangs und der zufälligen Verschlechterung des Leistungsgegenstandes geht auf den Besteller über, sobald die Ware zum Transport aufgegeben ist.
2. Befindet sich der Besteller im Annahmeverzug, geht die Gefahr bereits bei Mitteilung
der Versandbereitschaft über. Dies gilt unabhängig davon, ob die Versendung vom Erfüllungsort aus erfolgt und wer die Transportkosten trägt.
3. Grundsätzlich reisen die Sendungen auf Gefahr des Käufers. Auf Wunsch des Bestellers und auf seine Kosten versichert NEOPERL AG die Sendung gegen Diebstahl, Bruch-,
Transport-, Feuer- und Wasserschäden sowie sonstige versicherbare Risiken.
§ 7 – Eigentumsvorbehalt
1. Von NEOPERL AG gelieferte Waren bleiben bis zur vollständigen Erfüllung sämtlicher
Ansprüche aus der gesamten Geschäftsverbindung mit dem Besteller im Eigentum der
NEOPERL AG.
2. NEOPERL AG ist ermächtigt, den Eigentumsvorbehalt im schweizerischen Eigentumsvorbehaltsregister oder in entsprechenden Registern anderer Länder eintragen zu lassen
und der Besteller ist verpflichtet, bei den erforderlichen Schritten zur Eintragung mitzuwirken. Weiter ist der Besteller zu jeder Handlung verpflichtet, welche zum Schutz des
Eigentums der NEOPERL AG erforderlich ist.
3. Übersteigt der realisierbare Wert der gemäss den vorstehenden Bestimmungen der
NEOPERL AG zustehenden Sicherheiten ihre Ansprüche um mehr als 10%, ist sie hinsichtlich des übersteigenden Wertes zur Rückgabe der Sicherheit verpflichtet.
§ 8 – Eigentums- und Urheberrechte
1. Die durch NEOPERL AG vorgelegten Zeichnungen, Muster, Angebote etc. bleiben in ihrem Eigentum. Es ist dem Besteller untersagt, derartige Unterlagen im Original oder in
Kopie an Dritte weiterzugeben. Sofern Zeichnungen, Muster, Angebote etc. urheberrechtsfähig sind, behält sich NEOPERL AG die Urheberrechte daran ausdrücklich vor.
2. Dem Besteller zur Auswahl/Ansicht zur Verfügung gestellte Produkte bleiben Eigentum
von NEOPERL AG und dürfen ohne Erlaubnis von NEOPERL AG nicht veräussert werden.
Bei Verlust der Ware haftet der Besteller.
3. Bei Herstellung nach Bestellerangaben hat der Besteller sich zu vergewissern, dass
keine Schutzrechte oder andere Rechte Dritter verletzt werden.
§ 9 – Gewährleistung
1. Erweisen sich die von NEOPERL AG erbrachten Leistungen als mangelhaft, übernimmt
NEOPERL AG eine Garantie von 24 Monaten auf Material ab dem Gefahrübergang gemäss
§ 6. NEOPERL AG entscheidet nach eigenem Ermessen, ob der Mangel mittels Nachbesserung oder Ersatzlieferung behoben wird. Darüber hinausgehend wird jegliche Gewährleistung, sofern gesetzlich zulässig, wegbedungen.
2. Um Mängelansprüche geltend machen zu können, hat der Besteller die Ware unverzüglich, spätestens innert drei Arbeitstagen gemäss § 5 Ziffer 2 zu prüfen und NEOPERL AG
allfällige Mängel sofort schriftlich mitzuteilen. Das beanstandete Produkt ist zur Prüfung
an die NEOPERL AG zu senden. Bei einer allfälligen Nacherfüllung werden nur der
Warenwert und allfällige Transportkosten übernommen, allfällige Folgekosten werden
nicht entschädigt.
3. Werden im Zug von Nachbesserungsarbeiten von NEOPERL AG gelieferte Materialien
ausgewechselt, erwirbt NEOPERL AG an den ausgewechselten Teilen das Eigentum. Für
ersetzte oder reparierte Ware beginnt die Gewährleistungsfrist neu zu laufen und dauert
wiederum 24 Monate ab Versand der Ersatzware durch NEOPERL AG.
4. Sollte die Nacherfüllung fehlschlagen, kann der Besteller die Vergütung herabsetzen, vom
Vertrage zurücktreten oder Schadenersatz verlangen. Im Falle einer Schadenersatzforderung hat sich der Besteller zunächst an seine Versicherung zu halten, d.h. der komplette
Schaden ist bei der Versicherung des Bestellers anzumelden und von dieser zu vergüten.
§ 10 – Rücksendungen
1. Grundsätzlich nimmt NEOPERL AG Waren nicht zurück. Ausnahmsweise ist eine Rücksendung nach vorheriger Vereinbarung möglich. Diesfalls erfolgt eine Gutschrift zugunsten des Käufers unter Abzug einer Bearbeitungsgebühr von mindestens 15 % des Nettowarenwertes.
2. Verpackungsmaterial nimmt NEOPERL AG in keinem Fall zurück.
3. Rücksendungen werden erst nach Vergabe einer Retournummer abgewickelt. Geplante
Rücksendungen sind daher ausschliesslich schriftlich mit einer Auflistung der Artikel,
Stückzahl und Retourgrund an die NEOPERL AG anzumelden. Hiernach wird ein Retourschein für die Rücknahme erstellt und dem entsprechenden Käufer per Fax oder E-Mail
zugestellt. Der Retourschein ist unbedingt der Rücksendung beizulegen. Ohne Retournummer und Retourschein ist keine Bearbeitung möglich und die Rücksendungsware
kann nicht angenommen werden.

§ 11– Haftung
1. NEOPERL AG haftet nur für Schäden, die sie durch grob fahrlässiges oder vorsätzliches
Verhalten verursacht hat. NEOPERL AG haftet nicht im Fall unverschuldeter Verzögerung,
bei Verletzung der Mitwirkungspflicht durch den Besteller oder sonstiger unverschuldeter Unmöglichkeit der Erfüllung ihrer Vertragspflichten.
2. Die Haftung für leichte und mittlere Fahrlässigkeit, für indirekte Schäden und Folgeschäden sowie die Haftung für Drittpersonen und, soweit gesetzlich zulässig, für Hilfspersonen wird ausgeschlossen.
3. NEOPERL AG haftet darüber hinaus nicht für Schäden infolge natürlicher Abnutzung,
ungeeigneter oder unsachgemässer Verwendung, fehlerhafter Montage oder Inbetriebsetzung durch den Besteller oder Dritte, fehlerhafte oder nachlässige Behandlung und
übermässiger Beanspruchung oder anderer Gründe, die NEOPERL AG nicht zu vertreten
hat. Gleiches gilt, falls der Besteller oder der Dritte bei Auftreten eines Mangels NEOPERL
AG nicht umgehend Gelegenheit gibt, diesen zu beheben.
§ 12 Rücktrittsrecht
Veränderungen in den Verhältnissen des Bestellers wie Zahlungsverzug, Zahlungsschwierigkeiten, Zahlungseinstellung sowie die Einleitung von Betreibungen oder Prozessen
berechtigen NEOPERL AG zum sofortigen Rücktritt von allfälligen Lieferverpflichtungen.
§ 13 – Schlussbestimmungen
1. Ausschliesslicher Gerichtsstand für allfällige Streitigkeiten ist CH-4153 Reinach.
2. Das Vertragsverhältnis unterliegt schweizerischem Recht, unter Ausschluss des
Wiener Kaufrechts.
3. Die Unwirksamkeit einzelner Bestimmungen des Vertrages lässt die Wirksamkeit der
übrigen Bestimmungen und den Bestand des Vertrages unberührt. An die Stelle der
unwirksamen Bestimmung tritt eine Regelung, die in ihrem wirtschaftlichen Gehalt der
unwirksamen am nächsten kommt. Entsprechendes gilt im Falle einer Lücke.
