Styreleiar orienterte om arbeidet med oppfølging av krav om reforhandling av samarbeidsavtale.
Styret i Setesdal regionråd gjorde 19.03.2014 fylgjande vedtak:
«Ein set ned ei gruppe med dei 4 ordførarane i Setesdalskommunane og
rådgjevingshjelp frå fylkeskommunen. Målet er å kome fram til eit omforeint framlegg
til samarbeidsavtale.»
Ein fylgde opp saka med forhandlingsmøte 28.04.2014 på fylkesordføraren sitt kontor i Arendal.
Bjørgulv Sv. Lund, Arild Eielsen, Jon Rolf Næss, Leiv Rygg, Bjørn Ropstad, Tarald Myrum og Signe
Sollien Haugå deltok i møtet. Møtet konkluderte 3 aktuelle oppfølgingspunkt
1.
Det var semje om at det tykkjest vere organisering og innretting av næringsarbeidet i
Regionrådet som er det sentrale i saka, ikkje nivået på innskotet frå kommunane. Dette gjeld og Evje
og Hornnes kommune.
2.
Ein er i gang med utarbeiding av strategisk næringsplan for Setesdal regionråd. For å
imøtekome pkt. 1 kan ein utvide dette arbeidet gjennom:
a.
Meir omfattande prosess med sterkare involvering av kommunestyra og næringslivet.
Supplere arbeidet med spisskompetanse på interkommunalt samarbeid. Tidsfrist 1/10
b.
Brei evaluering av Setesdal regionråd jfr. Møreforskning si evaluering på slutten av 1990talet. Tidsfrist t.d. 01.07.2015.
3.
Ein vurderer det vidare slik at det er ynskjeleg med meir informasjon/drøfting av
problemstillingane i Evje og Hornnes kommunestyre. Fylkesordførar og fylkesrådmann stiller seg til
disposisjon i det høve.
Ein bad Evje og Hornnes formannskap gi tilbakemelding på dette.
Formannskapet i Evje og Hornnes kommune drøfta saka i møte 29.04.14 , kom med følgende
tilbakemelding:
«Formannskapet ønsker at man i denne saken primært har fokus på næringsarbeidet i regionrådet ,
da med tanke på at man skiller dette ut som egen virksomhet.
På den måten får man et næringsselskap som profesjonaliseres, og med et styre hvor faglighet står
sentralt. Dette medfører igjen til at regionrådet rendyrkes som et politisk verksted - i tråd med andre
regionråd i landet. Arbeidet framover må rettes mot etableringen av et nytt næringsselskap, og hvor
porteføljen må nøye avgrenses.

Formannskapet stiller seg positiv til at selskapet kan lokaliseres sentralt i dalen.
Kontingenten på kr 1,3 mill pr år videreføres, men det forutsettes at det enes om et skille på hva som
skal tilføres henholdsvis næringsselskap og regionråd.»
Myrum presenterte på bakgrunn av drøfting med nestleiar og dagleg leiar forslag til vidare
oppfølging:
1.
Ein lar strategisk næringsplanarbeidet gå sin gang
2.
Ein utgreier ulike modellar for næringsselskap på fylgjande måte:
a.
Gruppa som møttest i Arendal sist er styringsgruppe .
b.
Ein etablerer ei administrativ gruppe som skal vurdere og kome med forslag til aktuelle
modellar som skal leggjast fram for styringsgruppa.
i.
Forslag til samansetnad av arbeidsgruppe: Signe Sollien Haugå, Wenche Fresvik, Erling
Hellum, Eivind Berg og Jens Arild Johannessen.
Styringsgruppa kjem med innstilling til styret i Regionrådet på bakgrunn av tilråding frå
arbeidsgruppa.
Ein har som siktemål å legge dette fram for styret i september/oktober 2014.
Vedtak:Styret sluttar seg til skisse til vidare prosess for utgreiing av alternativ organisering av
næringsarbeidet. Samrøystes.

PS 67/14 Leiar rådmannsutvalet orienterar
RM vil be helsenettverket ta ei «eigenevaluering» av røynslene med LMT per dato, jf.
samarbeidsavtalen. Leiar av helsenettverket blir invitert til RM
DAB-framtida: Radio.no står for utbygginga. Setesdal får NRK –pakka – men ikkje den kommersielle
pakka. Internett-radio vil dekke dei fleste sitt behov over tid.
Privat bruk av jobb-e-post:
Det blir utarbeidd ein felles informasjon / revidert policy om dette og anna som vedkjem IKT utstyr.
Skjenke kontroll og salsløyve: Felles ordning med lokalt vaktselskap kan vere av interesse for fleire.
Bykle kjem tilbake til saka dersom ordninga dei etablerer kan omfatte fleire.
PS 68/14 Fylkeskommunen orienterar
Fylkesordførar etterspurte synspunkt i høve samarbeid i ymse regionale planarbeid – og ev
kapasitetsutfordringar – måtar å arbeide på framover.

Lærlingsituasjonen i offentleg og privat sektor: BSL utfordra kommunane til å ta ein gjennomgang i
høve tal lærlingar, rekrutteringsstrategiar/ målsettingar og budsjettarbeid med siktemål lærlingløft i
både offentleg og privat sektor i Setesdal.
Vannregionplan som snart skal på høyring: Oter i Otra - førespurnad om det er av interessse å
medverke til reetablering av dyrearten i vassdraget ?
Likestilling og folkevald: BSL tok opp utfordringa ein ser i landsdelen kring likestilling - og trongen for
å mobilisere og arbeide tverrpolitisk framover. Det er trong for å auke medvit blant veljarane
(veljarmakt i kummuleringane) og vere tidleg ute i høve nominasjonslister før valet 2015. Det er
aktuelt å løfte tema som felles sak frå Setesdal våren 2015.

2013
Tilråding:
Rekneskapen for 2013 er lagt fram med eit ordinært resultat på kr 3.125.777 medan budsjettet var
på kr. 0. Rekneskapsmessig resultat er kr. 375.551. Dette vert vedteke som selskapet sitt rekneskap
for 2013.
Investeringsrekneskapen (tidl. Kapitalrekneskapen) er gjort opp med eit overskot på kr 34.705.
Dette vert vedteke avsett til ubunde kapitalfond.
Hovudtala og ymse noter blir innarbeidd i årsmeldinga for Regionrådet.
Styret rår Representantskapet til å godkjenne årsrekneskapen for 2013 som framlagt.

Tilråding:
Styret er i prinsippet positive til planane for vidareutvikling av verksemda, og å bidra til dette
gjennom emisjon. Styret føreset at det må ligge føre eit avklåra og omforeina opplegg for
overtaking eigedomselskapet mellom dei lokale aktørane/ selskapa. Styret vil realitetshandsame
førespurnaden så snart dette ligg føre.

Høyringsuttale - Transnova sitt forslag til nasjonal strategi og
finansieringsplan for infrastruktur for elbiler - Setesdal regionråd
Setesdal regionråd har med stor interesse følgd arbeidet med ei nasjonal satsing på
infrastrukturutbygging for el-bilar.
Regionrådet i Setesdal la fram eit heilskapleg korridorprosjekt for Rv 9 alt i 2013.
Prosjektet er revidert i 2014 og tek utgangspunkt i moglegheitane vi ser i den nye
nasjonale strategien.
Setesdal regionråd stør grepet med korridorsatsing. Ein ber samstundes utvalet ha særleg
merksemd på tilknytingskorridorar i høve hovudkorridorane mellom landsdelane.
Riksveg 9 er stamveg og vil vere ein viktig korridor for el-bil-trafikk mellom kontinentet og
Vestlandet (nord-sør aksa) og kopling mot aust-vest sambandet i Telemark..
I høve satsinga på nasjonale transportkorridorar, pkt 6.2, tabell 9 ser vi det som særs viktig
at Rv 9 vert med som kopling med E 134 (Oslo-Bergen) og med E 18 (Oslo-Stavanger) –
då den både vil ha stor nytte som tverrsamband mellom desse.
Rv 9 vil vidare utløyse høve til rundreiseturisme i Sør-Noreg og vere viktig for helgeutfart,
ferie- og fritidstrafikk mellom hyttebyane i Setesdal og på Hovden - og kystbebuarane på
Sørlandet.

Tilråding:
Styret omgjer lånet på kr. 105.000,- til Flexicat AS til tilskott.
Panteheftinga på kr. 103.000 blir oppretthalden.
Saksutgreiing:
1. Bakgrunn for saka
Flexicat er eit båtprosjekt med høg risiko og stort potensial. Styret i Regionrådet har ved fleire høve
ytt støtte til forprosjekt og etableringshjelp. I styresak 7/11 gav styret dagleg leiar fullmakt til å utforme
lånesak. Verksemda fekk utsett innbetalingsfrist i 2012 og i 2013.
2. Saksopplysningar
I styresak 23.oktober 2013 gjorde styret slikt vedtak:
«Styret godkjenner fristutsetting inntil 1 år frå forfallsdato, dvs ny dato for forfall blir 1. juli
2014. Vilkåra i tilsegnsbrevet elles og panthefting står ved lag utan endringar. Samrøystes.»
Lånesaka vart oppretta med pant i varelager i 2011. Lånet hadde forfall 1.juli 2012. Lånetakar søkte
om fristutsetting og fekk ny frist 1. juli 2013, jf tidlegare styresak.
Det er pt ikkje motteke innbetaling.
Dagleg leiar er fortløpande halden orientert om status og utvikling i høve etableringa – jf og vedlagte
dokument. Verksemda spør om mogleg hjelp i høve lånesak og verksemda sin situasjon generelt.
3. Vurdering
Dagleg leiar syner til at lånesaka vart oppretta med høgt medvit om så vel risiko- og potensial
dersom verksemda lykkast med å bli leverandør i høve bistandsarbeid i veglause område m.a.
Løyvinga var og i ljos av trongen for oppdrag og pårekneleg produksjonssamarbeid med lokale
plastbåtprodusentar på Evje.
Verksemda driv med negativt driftsresultat og er truga.
Oppstarten har vore både meir langdryg enn venta og det er pt. ikkje realiserbare ordre sjølv om
signert kontrakt med Kongo ligg føre. Ein er orientert om at det framleis er høgt aktivitetsnivå i
høve akkvisisjon og tilrettelegging for innsal og etablering av nye hjelpefond som kan utløyse
produksjonsoppstart.
I høve etableringa er det framleis håp om å lukkast med innsalet av båtar. Som i 2013 tilrår
fristforlenging ut i frå ei samla vurdering av situasjonen – den gong med vekt på at det framleis kan
utløyse ny lokal produksjon på Evje og at dei andre involverte finansiørane – m.a. PWC framleis

var tungt inne m.a. i oppbygginga av fonds for å realisere kontraktsoppdraget med Kongo – i
samarbeid med Flexicat og bistandsapparatet.
Dagleg leiar har ikkje grunnlag for å vurdere om ein vil auke sjansen for å lukkast ved ei ev.
fristutsetting. Samstundes vurderer ein at det er pårekneleg at eit ev avslag om fristutsetting i
realiteten vil stoppe prosjektet om ein er innstilt på å drive inn lån / pant no. Verksemda er truga –
og ei inndriving av fordringa vil venteleg utløyse opphøyr.
Verksemda har trong for likviditet til å oppretthalde drifta og salsarbeidet, men ein ser det som lite
aktuelt å gå inn på støtte til nye marknadstiltak i noverande situasjon.
Ut frå ei samla vurdering – og at det framleis er mogleg at verksemda kjem i gong – og kan bli i
stand til å innfri kravet tilrår dagleg leiar at det bli gitt fristutsetting eitt år til. Ev at ein ettergir lånet –
gjennom å gjere det om til tilskott og lettar forpliktingane til selskapet. – Ein kan samstundes ev
vurdere å oppretthalde pantheftinga.

Styret i Setesdal regionråd vart orientert om status i møte 19. mai , DR 7/11 og fatta slikt vedtak:
”Styret gjer dagleg leiar fullmakt til å gi Felxicat eit kortsiktig lån.”
Administrativt vedtak:
I medhald av vedtak styresak DR 7/11 blir det gitt tilsagn om løyving av lån på kr. 105.000,- til Flexicat
AS.
Lånet blir ytt til finansiering av utvikling av former, styrkerekningar og oppstartskostnader til Flexicat
AS.
Utbetalt vil skje med pantehefting i varelageret til verksemda dykkar med organisasjonsnummer:
996809579
Utbetalinga går til dykkar konto nr 2901.21.70996.
Vilkår for utbetaling:
Lånet på kr. 105.000,- er eit rentefritt pantelån med nedbetalingstid på 1 år. Lånet er avdragsfritt fram
til 1.forfall. Lånesummen vil bli kravd inn samla med forfall 1. juli 2012.
Regionrådet, eller den rådet gjev fullmakt til, har høve til å setje i verk kontroll med at lånet vert nytta
etter føresetnadane. Dersom lånet ikkje vert nytta etter føresetnadane, kan ein krevje heile eller delar
av lånet tilbakebetalt.
Kostnadar med tinglysing av pant er inkludert i beløpet.
Lånet er klart for utbetaling så snart lånedokument er motteke med underskifter – og der pant er
etablert som føresett – gjennom tinglysing.
Som sikkerheit blir stilt til rådvelde: varelager i driftsselskapet med 1.prioritet. Panten er avgrensa
opp til lånebeløpet kr. 105.000,- eller den til ei kvar tid uteståande rest av lånet.
Ein gjer og merksam på at regionrådet kan krevje tilgodehavande inndrege i medhald av
Inkassoføresegna dersom lånet blir misleghalde.

Ved dette håper vi nå å kunne bevise vår rett, og at våre tanker og konsept har funnet sin
anærkjennelse i det markedet vi henvender oss til – tross vanskelighetsgraden.
Selskapets økonomi er fortsatt ekstremt vanskelig og utfordrende. Det er derfor med en viss
grad av stolthet at jeg på vegne av FlexiCat-teamet kan presentere dette, siden vi etter hardt
arbeid drevet av utrettelig tro og pågangsvilje i teamet – kan si at vi har nådd en milepæl, og
er i ferd med å nå flere.
Den økonomiske situasjonen er en bekymring, siden vi nå ser ut til å være en sommer unna
ordreinngang. Vi har vært i kontakt med Evje og Hornes Sparebank. De er villige til å gi oss
en kassakreditt som mellomfinansiering på 150 KNOK. Problemet vi sliter med er at alle
aksjeeiere har bidratt økonomisk etter evne opp i gjennom, og er dermed i en begrenset
situasjon til å stille de garantier banken selvfølgelig krever.
Vi har allerede et lån på 100 KNOK som Regionsrådet har gitt oss – og vært vennelige å
utsette. Jeg lurer likevell på om det finnes virkemidler i systemet som kan avhjelpe oss i
denne situasjonen.
Uansett – God lesning! Det tror jeg nemlig at det er.

Proposal regarding DR Congo
Sir,
We had the pleasure of visiting your country in 2011, we are pleased to
share our ideas and thoughts about how we might be of help in developing a
sound and sustainable fisheries sector in and for DRC.
Introduction
Let’s start with our core competences and products, namely, the modular
FlexiCat (FC) River Runner Vessel
The FlexiCat is a modular catamaran/trimaran with minimal draft, great
flexibility and low operational, service & maintenance needs. It may be
utilized for everything from regular transport of people and goods to disaster
relief, development aid (clean water, medical assistance {doctors, dentists,
pharmacists, vaccination units, veterinarians}, scientific research and
fisheries, floating restaurants or a combination of two or several of the above.
FlexiCat has a vision which goes beyond just being a mere vendor of modular
catamarans. Our vision is to be a tool for “Profitable Empowerment”,
meaning that we believe more in a business approach to development than
the UN/NGO approach. To achieve this we have created the concept of FC
River Runners. This concept gives the customer the ability to also sign up
for a Management program, to be further described below.
The vessel in itself is constructed from modules moulded in glass fibre – at
present in Norway, but in principle it could be moulded and assembled
anywhere – with focus on easy transportation and deployment into service.
As we believe in simplicity and the wisdom of proverbs like “The one who has
the shoe on, knows better where it hurts”, our humble aim is to find suitable,
committed local partners with whom we may work with to establish a local
FC River Runner Centre. This would then serve as a workshop/dock for
Service & Maintenance and possibly a local assembly line, in addition to
everything else related to the FC River Runner's activities - vessels, fishinggear, management etc.
In the DRC we have an ongoing process with the AG La Borne Church. This
project is part healthcare and part fishing. The healthcare vessel is a

standard transport vessel (catamaran) delivered by us with a "plain deck",
onto which AG is to build and equip a clinic themselves. Through our Danish
Partner, PureH2O, we will also furnish the catamaran with a Solar
powered water purifying system
The fishing vessel will be delivered with a package of fishing-gear (seine, net,
trunks etc.). We collaborate with expertise on inland fishing gear here in
Norway and find it important to develop packages that are sustainable and in
line with international standards and regulations.
Please see Attachment A for further details on the AG package.
The Norwegian Management Model RRA
Based on years of experience with Project Management and work in many
fields and countries, we have established a concept we’ve chosen to call the
“FC River Runner Management and Academy”. This is first and foremost a
set of tools aimed at providing an easy and effective Management Model for
the Owner(s) and Management. The important factor here is that these tools
– Process Control, Planning and Monitoring to name the most central ones –
are implemented at all levels within the company.
«Norwegian» refers to what we believe is a valuable Norwegian trait – also in
Management – namely our basic respect for the need to involve «all hands on
deck», literally speaking, in order to maximize the overall performance of a
company or an organization.
«Academy» refers to our plan of establishing an Academy at our HQ in
Bygland, Norway for selected guests from all our foreign
partners/customers. Through a minimum of two to three weeks stay, we aim

at giving our «students» a more thorough insight into our management
philosophy and our Norwegian values. By the Grace of God we would like to
develop this project even further to encompass longer vocational training
with relevant Norwegian companies, and for a select few we may even be able
to assist in securing grants for academic studies in Norway.
Funding
Based on input from our Agent and Partner in the DRC, Dr. Serge Bigawa,
we understand that You are looking for more than a mere purchase of
vessels. Investment and development are key words in this regard.
We would then suggest to utilize the Norwegian branch of the
internationally renowned Consultancy and Audit company, Price
Waterhouse Cooper)( PwC).
In 2011, FlexiCat planted a seed in DRC when we are asked to assist in
creating a National Investment Fund, involving the DRC government and
Eglise du Christ au Congo (ECC). The fishing sector was then picked as a
spear point for kicking off the project. We believe PwC's own
Memorandum may give You an insight into the fundamentals of the
Proposal. Please find attachments B and C.
If we may elaborate on this for a moment, we believe it is paramount to have
what many would call a holistic approach, whenever one aims at
development. Fishing may be one very important sector to develop, but it is
our belief that one ought to take well into consideration how the development
of this particular sector will or may involve other sectors like transport,
healthcare, education, energy, agriculture and the service sector. In regard
to inland waterways, we in FlexiCat have developed the concept "FlexiCat
River Runners", which actually touches upon all these sectors. In that sense
we are far more than just a vendor of vessels.
Though the PwC Memorandum is attached, we will share some essentials. It
has to be emphasized that PwC need to be officially contacted in order to give
You or Your Government an official proposal. FlexiCat will be please to
assist in this regard.
What PwC can do
Assist in creating the fundamentals for establishing legal entities with the
objective of serving as vehicles to carry out international transactions
including purchase and payments. In addition the assignment cover

providing basis for considerations, research, advice and documents, to form
a basis for decisions and support the implementation with the objective of
attracting domestic and international investors to co-operate with
governmental capital by establishing jointly corporate structures (National
Investment Fund).
The above figure was based on the dialogue between PwC representatives
and the DRC in 2011. The figure below shows an example of what the
structure may look like. The block "ECC" is no longer present.
The Fund as such is a passive base of capital. The activities such as placing
investments etc. must be carried out by a management body, usually a
management company.

As the attached documents describe, PwC recommends that the Fund
should be located in Norway or in another European country Please see
attached documents.
What PwC do not do
PwC is not an investor, but can act as a go-between and facilitator for
contacts and meetings with key players - potential investors and others.
Because of license regulations and integrity issues, PwC cannot legally raise
capital and be responsible for the juridical framework and advising at the
same time.
The Fund management has to take charge in raising capital to the Fund.
However, PwC has a broad network, in Norway and within the international
community, both in the public and private sectors.. Hence they may be a
valuable partner in finding the right partners and investors.
Project group
An undertaking like this one might need a project group that act in parallel
with PwC's work in creating the Fund. FlexiCat would be honoured to
contribute with recourses for such a group, and to assist in advocating the
project in Norway, Scandinavia and amongst our vast international
network.

FC har knyttet til seg egen agent via MOU i Kinshasa, GTS SPRL som for tiden jobber mot AG Church
La Borne (AG) og DRCs Landbruk og Fiskeri departement. I tillegg mot et s.k K-Team som i realiteten
er President Joseph Kabila.
GTS har også etablert kontakt med myndighetene i Burundi.
Vi har også knyttet til oss Geir Furuseth som har et stort nettverk i Afrika og internasjonalt etter mange
år i felt for NORMECA, UN o.a. De siste årene har han jobbet i Libya og Nigeria. Spesielt Nigeria er
interessant for oss siden det er et land med store innenlands vannveier, men også et land der Geir har
gode kontakter.
Det foregår litt annet også men det vi anser som viktigst er beskrevet her.
1 DR Congo
Her har vi tre leads. Disse er også beskrevet i vedlagt sit-rep fra Dr Serge BIGABWA i GTS SPRL.
1.1 AG Church La Borne
De har i realiteten bestemt seg for å kjøpe to fartøyer fra oss. Forslag til kontrakt ligger vedlagt. De
holder på med å finansiere prosjektet og har i øyeblikket reist 1 MUSD av totalen på ca 1,7 MUSD. Ut i
fra progresjon i mars anslo han på det tidspunktet at de ville komme til å bruke omtrent seks måneder
på finansiere opp hele prosjektet. Det må bemerkes at vår levering er en del av flere.
For å komme i gang har vi foreslått for GTS å legge frem en løsning der vi setter i gang med første
bygg og tar neste under samme kontrakt som PO, når denne er finansiert.
Forslaget ble lagt fram for GTS for noen få dager siden, så han har enda ikke hatt mulighet til å legge
det fram for AG's ledelse for evt godkjenning.
Sentrale i denne leveransen er Jon Løyland med InnFisk og Nor-Dan.
Våre foreløpige kalkyler ligger vedlagt.
1.2 Dept. of Agriculture and Rural developmen
Vi har presentert et for-prosjekt med mål om initiere virksomhet innenfor fiskerisektoren i Kongo ved
hjelp av opprettelse av et Nasjonalt investeringsfond. Sentralt i prosjektet er PwC, Bergen (fond),
Oslofjord Ressurspark AS (knyttet til Universitetet og Høgskolen i Buskerud og Vestfold), Universitetet
i Kinshasa - samt egne ressurser, Kvendi Consulting, InnFisk og Nor-Dan.
Prosjektet har en ramme på ca 670 KUSD. For FC har dette betydning vesentlig fordi det på sikt kan
løse ut rene FC-prosjekt.
Vi har bedt om - og er lovet en offisiell henvendelse til PwC og FC på grunnlag av framlagt proposal.
Via GTS og AG har vi direkte kontakt med DRCs Statsminister Mr Matata Ponyo Mapont. GTS har
god dialog med ham. Siden det er en kopling mellom Statsministeren (medlem i AG) og det offentlige
er planen å legge frem vår proposal for ham.

1.3 K-Team
Som følge av arbeidet med departementet har det dukket opp en lead vi kaller K (derav navnet). Dette
er i realiteten Kabila som ønsker å komme i kontakt med norske interesser for om mulig å kunne inngå
et joint venture med investering i bl.a fiskeri og transport når hans periode utløper.
Vi har vært i direkte kontakt med Kabila selv (telefon, mail) og diskutert frem og tilbake, samt sagt oss
villige til å møte hans representant her i Norge (Bygland).
Siden FC er noe små så ligger dette på bordet i påvente av neste trekk.
2 Burundi
Via parlamentsmedlem Mr Claver Ngendakuyiro er samme proposal til et for-prosjekt lagt fram for
administrasjonen.
Det kan nevnes at det den 28. og 29. april var en kongress i Burundi arrangert av Lake Tanganyika
Authority.
Vi ble invitert til å reise ned og presentere oss siden nøkkelpersoner fra DRC og Burundi ville være til
stede, samt også fra de andre deltakerlandene Tanzania og Zambia.
Dessverre kom invitten noe brått på tidsmessig (også økonomisk) slik at vi måtte la den muligheten gå
fra oss.
3 Nigeria
FlexiCat har etter hvert beveget seg over til å bli et konsept vi kaller FlexiCat River Runner. Mye av
utviklingen har kommet etter som tiden har gått, og fått farge av Geir sine erfaringer fra nettopp
Nigeria - Behov for transport, helse, skole, energi (sol), fiskeri - med god grobunn for sunt
management.
Pga FC's begrensede økonomi har vi ikke kunnet satse fult i Nigeria, men vært nødt til å ta ting noe
som de kommer. Vi er pga kontaktnett og tilbakemeldinger ganske positive på at det er verdt et forsøk
å få noe i gang i Nigeria.
Vi jobber for tiden med å få satt opp et møte mellom Geir Furuseth og Dangote Groups norske COO
Knut Ulvmoem for å presentere vårt konsept. Dangote Group satset via sitt CSR foundation 100
MUSD på utviklingsprosjekt i Nigeria og andre land. Håpet med møtet er to-delt - det ene er at vi
ønsker en finansiell partner inn i konseptet vårt - det andre er at vi ønsker oss en finansielt sterk
(Afrikansk) kunde.
Geir Furuseth er for tiden i Qatar på oppdrag for NORMECA og holder på med Visum-søknad til
Nigeria.

DRC myndigheter: Intensjonsbrev fra DRCs Dept of Agriculture and Rural Development er
mottatt. De neste skritt samkjøres med Torben og Dag i PwC på grunnlag av dette brevet og
tillegsopplysninger fra Serge etter hans møter med Alphonse NYANYA ALO i departementet.
DRC ellers: Serge har vært i møte med en forretningskontakt som ønsker å reise sammen
med Serge til Bygland for å møte FC og diskutere muligheter. Invitasjonsbrev er sendt og
prosess med visum er satt i gang
Nigeria: Geir er i prosess med visum til Nigeria. Så fort dette er invilget reiser han til Lagos
for sammen med Björn Lindholm (lokal kontakt) å sette opp et møte med Dangote Group – i
første omgang med COO Knut Ulvmoen. Mål: Presentere FC River Runner konsept for 1) få
på plass en kapitalsterk partner og mulig investor 2) og/eller kunde.
Kurdistan: Hemen (HeNo Business Consulting AS - Oslo) rapporterte sist mandag Det er
interesse for FC. Han tror vi kan få omsatt de mindre båtene før lekteren (som det også var
interesse for). Det meste av investeringer der nede går via/sammen med staten. Det står litt
stille der nede for øyeblikket pga valg (Kurdistan og Irak) …det har vi jo vært borte i før : )
Hemen er uansett veldig optimist ift en prognose på 2-3 mindre FC’er i første omgang, men
pga dette valget tror han ikke det løsner før ut på sommeren (juli – august). Han reiser
tilbake til Kurdistan i juni pga egen virksomhet men vil følge opp.
Siden Geir må til Norge for å søke visum, blei vi enige om å møtes da og summere opp,
pluss legge strategi for hans tur tilbake til Kurdistan.
Burundi myndigheter: Serge følger løpende opp. Mr Claver har rapportert til Serge at samme
brev som mottat av myndighetene i DRC vil komme fra Burundi.
Juni 2014
AG Church La Borne: Serge jobber for å ha gjennomført nødvendige møter i løpet av mai slik
at 1) kontrakt kan signeres eller 2) en intensjons avtale vdr prosjektet foreligger. Siden vi har
indikasjoner på at AG har greid å reise 1 MUSD så har vi bedt Serge om å legge fram forslag
om at vi kan bygge kontrakten slik at vi setter i gang med bygg 1 og videre bestillinger kan
gjøres i form av PO’s ettersom de greier å reise kapital til prosjektet.
Besøk 1: Serge søker visum sammen med sin forretningskontakt med mål om å være i
Bygland fra 1. til 7. juni. Med seg på veien ønsker han å ha med seg skriftelige avklaringer
på alle leads han jobber med – DRC myndigheter (er allerede avklart), Burundi og AG
Potensielt Besøk 2: Som konsekvens av prosessen mot Kongolesiske myndigheter er det
antydet via Serge etter møte med Alphonse at det er ønske (vilje) fra deres side å sende en
delegasjon til Norge (Bygland) for å møte PwC og FC – med det fremlagte proposal som

Short status of ongoing Business related to GTS/FC collaboration in DRCongo.
1. AG Hospital boat for Evangelization:
AG church team is at the final stage of putting in place the business plan of
exploitation of the two boats in the Congo River. The team is waiting to meet
again Pastor Bondo before pursuing its task.
AG is still willing to buy 2 vessels (1 fishing plus 1 hospital) from FC at
1.720.460 USD ;
Key people : Pastor Bondo Joseph ( pastor of church, came after pastor
Vernaud death), Mme Joana and Liliane Vernaud (holds the vision of Pastor
vernaud), Mr Mbiola Alfonse (General Manager of AG), Mr Jean Katshuva

Estimated time of purchase: 6 months (??); I was told that is the matter of AG
board only.
Note: I have to meet Liliane Vernaud and pastor Bondo to fix financing
solutions. Both of them are abroad at the present time. The new leader of AG
wanted to have more information before engaging the church.

2. Pre-project with Congolese government:
The minister in charge of department of Agriculture and rural development
has approved the pre-project and willing to pay for the 670 M USD ;
internally we estimate that it should be better to modify the pre-project
according to practical details proposed by FC.
We are waiting the two letters of confirmation from the department both for
FC and PWC; it seems that the pre-project will be finance by the investment
fund to be created.
News: The government in place received recently the authorization to pursue
its task regardless to the new coming one.

News: -Pastor Bondo is back, I plan to meet him by next week for the LOI to
address to FC related to the purchase of the two vessels.

2. Pre-project and FC proposal to Congolese government:
The spirit of letter from His Excellency Minister of Agriculture (ref Talk with
people at Department): -The government of DRC, in general, encourages
strongly all kind of partnerships between private sector and public sector in
order to help him achieve its goals; this is the case of FC/GTS and department
of Agriculture in its fishing sector where we are going to meet the National
Plan of Investment in Agriculture.
-As public companies fails to demonstrate a good leadership and
management, the government is not willing to create a fishing company but
FC/GTS is invited to think deeply the way to create a fishing company which
will have all support of the government via the Congo Investment Fund that is
going to be created. In others words, the best ways to install the Flexicat
River Runner Center in DR Congo. This particular point should be on the table
of talk while in Norway both in private I and FC team and with Cadet as
businessman. Important note, This letter is big doors opened for Flexicat to
come in RD Congo.
-The Minister is waiting to know officially more about terms and conditions to
create such fund, mainly the financial cost. Discussions about details of such
fund maybe conducted in Norway first of all. To do so, it is important to ask in
your response letter that one expert from agriculture, one expert from
department of finance and one from the office of PM may be invited to meet
FC network plus PWC and inspect the company at the same time.

News: Mr Claver wrote me a letter to inform me that The law in Burundi
allows private companies to discuss things like creating an Investment Funds
or attracting investors. Shortly FC should receive an official letter from his
Excellency Minister of Fishing of Burundi. Such letter will act as a mandate to
Florent and Claver’s company to negotiate on behalf of Burundi’s government
with FC and PWC.

Christmas time is upon us and a new year is soon to begin, and the year 2013 will soon pass
into history.
We would like to congratulate Your Excellency on the remarkable strides you and your
country has taken in the past year! The initiative for creating a new cross-platform
government is very exciting, and in its positive core fully in the spirit of the now late Mr.
Nelson Mandela.
The downfall and surrender of M23 is truly page turning events. We know that this process is
far from finished, but the positive news are corroborated by our dear friend in Kinshasa, Dr
Serge Bigabwa, and thus fills us with great joy and hope for the future of the DRC, the
African Giant on its rise.
Allow me also to extend to Your Excellency our gratitude for showing an interest in our
product and for having a dialogue with our local contact in Kinshasa, Dr Serge Bigabwa.
Finally I would like to chare some thoughts about a concept we have called FlexiCat River
Runner.
We believe three factors can help to reinvigorate the ancient artery of the African continent,
the River Congo with all its tributaries:
1. Our modular FC River Runner catamarans, locally built – equipped with powerful
Iveco engines and solar energy powered Pure H₂0 water purifiers
2. A balanced partnership between a strong, local Business figure and relevant National
Authorities, like for instance the DRC Authority in charge of handling national
disasters
3. Norwegian Management – introducing modern management techniques
incorporating local traditions
We have a vision of the FC Rivers Runners actively and literally breathing new life into the
riverine communities of Africa by:
 Transporting passengers and goods
 Fishing
 Providing medical services
 Serving as Relief vessels in times of flooding
Actually just one River Runner vessel may serve all these purposes, simultaneously, and thus
help in achieving «Profitable empowerment». It is our belief that the UN Milennium Goals
only can be achieved by local actors joining hands in Private Public Partnerships like the one
we described above. The UN agencies may act as supplementing actors, but alas, its

bureaucracy and failure to coordinate with private actors have proven their shortcomings, as
mentioned in this report1.
Under Your leadership, the Democratic Republic of Congo may look at the coming of 2014

This agreement (the”Agreement”) is entered into on 28 September 2011 by and among:
(1)
FlexiCat AS, a Norwegian limited company, registered in the Norwegian Register of
Business Enterprises under registration no. 996 809 579, with business address
Einerholte 1, 4745 Bygland, Norway (hereinafter the ”Seller”), and
(2)
AG Church La Borne, a company incorporated under the laws of the
Democratic Republic Congo, with business address 277, Marine, Binza/UPN
B.P.4642 KINSHASA 2, 2818 KINSHASA 1, KINSHASA, DR CONGO (hereinafter the
”Purchaser”).
The Seller and the Purchaser are collectively referred to as the “Parties” or a “Party” when
referring to one of them.
WHEREAS
(a) The Seller is the inventor, manufacturer and supplier of FlexiCat module vessels
to be used for transport and fishing;
(b) The Purchaser seeks to purchase vessels for use within its business related to
transport services and fishing;

dd Mmm 2014 regarding the purchase of 2 vessels;
1 FlexiCat Basic for Fishing and 1 FlexiCat Basic for Transport from the Seller
according to attached Proposal

DEFINITIONS

NOW THEREFORE, the Parties agree as follows:
”Vessels” shall mean the vessels as described in Clause 2.1.
1.2
”Commissioning services” shall mean assembly and installation services provided by
the Seller to the Purchaser according to the terms and conditions as described in Clause
7.
1.3
“Support services” shall mean any additional services to be provided by the Seller to the
Purchaser after the delivery and Commissioning of the Vessels, on the terms and
conditions as described in Clause 9.
1.4
“Proposal” means the offer from the Seller to the Purchaser dated 1 October 2013
regarding the sale of Vessels and Commissioning, enclosed as Annex 1 to this
Agreement.

SALE OF VESSELS
The Seller shall sell to the Purchaser the following Vessels:

3.1
The Vessels are to be produced by the Seller in Evje, Norway, subject to detailed
technical specifications as set forth in Proposal.
PURCHASE PRICE
The Purchaser shall pay to the Seller a purchase price for the Vessels and
Commissioning at a total of

4.1
The purchase price does not include VAT and/or other sales taxes and/or customs
duties in Norway or DR Congo. The Purchaser shall bear the cost of any VAT and/or
other sales taxes and/or customs duties to be paid in DR Congo, cf. Clause 5.3.
TERMS OF PAYMENT
The purchase price shall be settled as follows:
4.1.1 Initial payment
50 % of the purchase price, NOK 4 903 313,50 (USD 860 230), shall be paid in cash
by the Purchaser to the Seller before the start-up of production of the vessels.
4.1.2 Payments according to progress

The remaining 50 % of the purchase price shall be paid via escrow account, sat up in
Purchasers name in a Norwegian international bank, according to monthly invoicing in
NOK based on the progress of the completion of the work on the vessels, as follows:

a) The cut-off date for data collection and invoicing for the work is the last day in
each calendar month.

b) Within three -3- days after the cut-off date, the Seller shall submit a work
progress status report and an invoice electronically to the Purchaser.
c) The Purchaser shall within ten -10- days after receipt of the status report and
invoice, pay the amount due to the Seller according to the invoice.
Appendix 2 to this Agreement provides a Flow Chart that describes the invoice
process and responsibilities.
Note on escrow account: If all the remaining 50% is transferred in one go and
converted to Norwegian NOK at the beginning of the project one does not run the
risk of devaluation of assets because of fluctuations in currency rates during the
project.
Any earned interest and rest amount belongs to account owner i.e the Purchaser.
The need of bank guaranty and expenses connected to such guaranty is bypassed.
The Norwegian bank DNB or a international European bank can be used.

5.1
TERMS OF DELIVERY
The production of the Vessels shall be completed in Evje, Norway, and the Vessels shall
be delivered and shipped to DR Congo according to the following plan:

5.2
The delivery dates in Clause 5.1 are set according to the agreed start-up of production of
the Vessels and received Initial payment, cf. Clause 4.1.1. If the production start is
delayed, the delivery dates will be postponed accordingly. Delayed delivery due to
delayed start-up of production shall not trigger any claims from the Purchaser.
5.3
The following transport conditions shall apply:

The Seller shall administer and bear all transport costs and risks related to the
shipping of the Vessels on land from Evje and to the first sea port of departure
from the EU/EEA-area (Kristiansand, Arendal or other EU/EEA port).
2)
The passing of risk of the Vessels shall be the time of off-loading of the Vessels
for sea transport from the last EU/EEA port to the port of Matadi in DR Congo,
see Clause 6.2 below.
3)
The Purchaser shall administer and bear all transport costs and shall bear all
risks and insurance costs related to the shipping of the Vessels by sea from
EU/EEA to the port of Matabi in DR Congo (FAS, Incoterms 2010).
4)
The Seller will forward costs and administer fee for transport related to point 1 to
Purchaser in invoice with documented costs and fee.
5)
The Purchaser shall cover any local taxes and/or duties to be paid in DR Congo.
6)
The Purchaser shall administer and bear all transport costs and risks related to
the shipping of the Vessels from Matadi to the final point of destination in DR
Congo.

1)
TRANSFER OF OWNERSHIP AND RISKS
The ownership to the Vessels under production will be transferred from the Seller to
the Purchaser progressively as the work on the Vessels is completed, provided that the
Purchaser has fulfilled the Terms of payment in Clause 4.
6.2
Upon delivery, all risks and liabilities regarding the Vessels shall be transferred from
the Seller to the Purchaser when the Vessels have been placed at the Purchaser’s
disposal off-loaded at the port terminal of EU/EEA (FAS, Incoterms 2010).
6.3
The Seller shall at all times retain full ownership and exclusive utilization privileges to
all intellectual property rights regarding the Vessels.
7
7.1
COMMISSIONING SERVICES
The Seller can provide the following Commissioning services to the Purchaser in
conjunction with the sale of the Vessels:
7.1.1 First assembly and sea trial of one of each type of Vessel with relevant equipment.

7.2
The Commissioning services are to be performed by skilled personnel provided by the
Seller as follows:
7.2.2
Upon delivery of vessels; one technical vessel specialist and one fishing/other
equipment specialist.
7.3
The Purchaser will bear the following costs related to the personnel during the
performance of the Commissioning services:
7.3.1
Travel costs from Norway to DR Congo.
7.3.2
Living expenses in DR Congo per person.
7.3.3
Fee, insurances etc. per person.
7.5

This and any additional Support services can be provided by the Seller according to
terms regulated in separate purchase order/service contract.
WARRANTY AND LIABILITY FOR DEFECTS
8.1
Warranty period
The Seller’s warranty applies for 12 months after the time of first assembly of the Vessels
in DR Congo, but not in any case more than 18 months after the time of delivery of the
Vessels to the Purchaser according to Clause 5.1.
Specific warranties described in this Clause will be found in the Final
Documentation provided by Seller for each Vessel.
8.2
Liability for defects
If a Vessel has a fabrication defect when delivered to the Purchaser or if a fabrication
defect arises in the Warranty period, the Seller shall bear the responsibility and costs
related to necessary guarantee work, i.e. repair or replacement of the defect part as
decided by agreement with the Seller, with the exclusions as described in Clause 8.3.
8.2.2
The Seller is however liable only if the Purchaser has given notice to the Seller with a
specific description of the defect within 30 days after discovering the defect, or after
the defect ought to have been discovered by the Purchaser. Such notice must in any
case have been given at the latest before the expiration of the Warranty period.
8.3

8.2.1
Exclusions of the Seller’s liability for defects
8.3.1
The Seller bears no liability for defects in any parts of the Vessels that have not been
fabricated by the Seller. Such equipment is engines, water jets and electronic
devices which has their own sets of warranties issued by fabricator.
8.3.2
Travelling costs from Norway and living expenses for the Seller’s personnel
performing guarantee work in the Warranty period shall be paid by the Purchaser.
8.3.3
The Seller bears no liability for defects resulting from the Purchaser’s normal wear or
improper maintenance of the Vessels, failure to observe the Seller’s operating
instructions, excessive loading on the Vessels, use of any unsuitable material, and/or
any other reasons beyond the Seller’s control.
8.3.4
The Seller’s liability for defects etc. in the Warranty period does not in any case apply
if the Purchaser is in breach of Clauses 4, 5.3 and 6.3.
8.4
Limitation of the Seller’s liability
8.4.1
The Seller is not liable to the Purchaser or any third party for any neither direct nor
indirect losses that may be inflicted due to the Vessels, regardless of reason,
including but not limited to loss of earnings, loss of profit, loss due to pollution and
loss of production.
8.4.2
The Seller’s total liability shall in any case be limited to 5 % of the Purchase price.

9
ADDITIONAL SUPPORT SERVICES
9.1
Any additional Support services requested by Purchaser will be placed and governed in
separate purchase order / service contract.
10 BREACH OF AGREEMENT
10.1
If any Part delivery is delayed according to Clause 5, the following shall apply:
10.1.1
The Seller shall notify the Purchaser immediately of any delays of delivery and
indicate the expected new delivery date.
10.1.2 The Purchaser shall in writing grant the Seller a reasonable extension to the delivery
date. If the Seller fails to deliver within the extension period for reasons within the
Seller’s control, the Purchaser shall have the right to cancel the delayed Part delivery
of Vessels and claim a refund of payments made to the Seller for the cancelled Part
delivery.
10.1.3 Any remaining Part deliveries of Vessels shall not be influenced by the cancellation of
one Part delivery as described in Clause 10.1.4.
10.2
If the Initial payment or any monthly payments are delayed according to Clause 4, the
following shall apply:
10.2.1 The Purchaser shall notify the Seller immediately of any delays of payment and
indicate the expected new payment date.

10.2.2 The production and delivery of the Vessels could be delayed until the agreed payment
is received by the Seller. No liquidated damages can be claimed by the Purchaser due
to any delay in delivery caused by delayed payment.

10.2.3 The Purchaser shall pay interest according to the Norwegian Interest on Overdue
Payment Act of 17 December 1976 no. 100, unless the delay is caused by lack of
invoice documentation from the Seller and the Purchaser has notified the Seller of this
without undue delay.
10.3
If the Agreement is cancelled by the Purchaser after the Initial payment in Clause 4.1.1
has been received by the Seller, but before any part delivery of the Vessels takes place,
the following shall apply:
10.3.1
The Seller is entitled to full compensation for any and all production costs incurred.
10.3.2 In addition to compensation according to Clause 10.3.1, the Seller shall be entitled to
retain 15 % of the Initial payment as indemnification for breach of contract.
10.4

If the agreement is terminated by Purchaser after signature and before fulfilled of the
Terms of payment in Clause 4 the Seller is entitled to a fee of 5% of Purchase price
FORCE MAJEURE
11.1 A party is not liable for failure to perform the party's obligations if such failure is as a
result of Acts of God (including fire, flood, earthquake, storm, hurricane or other natural
disaster), war, invasion, act of foreign enemies, hostilities (regardless of whether war is
declared), civil war, rebellion, revolution, insurrection, military or usurped power or
confiscation, terrorist activities, nationalization, government sanction, blockage,
embargo, labor dispute, strike, lockout or interruption or failure of electricity or
telephone service. No party is entitled to terminate this Agreement under Clause 10 in
such circumstances.
11.2 If a party asserts Force Majeure as an excuse for failure to perform the party's obligation,
then the nonperforming party must prove that the party took reasonable steps to
minimize delay or damages caused by foreseeable events, that the party substantially
fulfilled all non-excused obligations, and that the other party was timely notified of the

likelihood or actual occurrence of an event described in Clause 11.1.
11.3 Each Party shall bear its own costs resulting from the Force Majeure situation.
12
GOVERNING LAW AND DISPUTES
12.1
This Agreement shall be governed by and interpreted in accordance with Norwegian
law.
12.2
Any disputes arising regarding the Agreement shall be sought resolved amicably
between the Parties. Any disputes that cannot be amicably solved shall be settled
exclusively and finally in accordance with the Rules of Arbitration of the International
Chamber of Commerce by a board of 3 (three) arbitrators appointed in accordance with
said rules. The arbitration proceedings shall be held in Kristiansand, Norway (“third
party”) and shall be conducted in the English language.
12.3
This Agreement is executed in English. In the case that a French version is made, if any
language inconsistencies should occur the English version of the Agreement shall
prevail.
13
SIGNATURES AND ENTRY INTO FORCE
The Agreement enters into force at contract signature.

• Navigation is upgraded to a Lowrance HDS10 Gen2 with Structurescan(TM)
fish search technology
• The start-kit of fishing gear and deck equipment needs to be adjusted
according to local conditions – thus the price is a indication. Sizes of net,
traps and such will depend on local conditions such as type of fishing, size
wanted or legal (mesh size of net), riverbed conditions etc - and will be
priced accordingly. The budgeted price is based on gears (e.g river seine)
with weight up to 500kg for inland active and passive fishing and with
hydraulic pulling and lifting equipment. Final adjustments and
specifications is done together with InnFisk AS who is specialized on inland
fishing and knowledge. Some of the gear will require training before use (if
chosen) and this will be priced separately together with other consultant
activities.

• A inland seine can capture about 1.000 fishes in one throw at a fish
school. If average weight of each fish is 0,250kg that gives 250kg in a
catch. Normally one will do 4-5 throws in a day. If directly applicable to
DRC conditions (size of school etc) this is 1.000-1.250kg with a value of
about 3.000-3.750 USD on the fish consumer market after one day
• A Giant trap net (Storruse) of 5m can catch optimally in a Norwegian 6
month season 500kg of stationary fish (e.g trout) and 3ton schooling fish
(e.g common whitefish).
• A Fish pot (small trap also used to crab fish) with dimensions of
0,5x0,5x1,0m can catch 1-5 kg/day in Norwegian waters
Good fishing results is not only depended on good equipment, but also
experience and good local knowledge.

• Assembly needs no high-tech infrastructure such as ship-yards or other
mechanical industry

a combination of different FlexiCat vessels (small 8m up to bigger
solutions)
• Need of certificated maritime skills (Captain, El. and Mech. Engineers etc)
is not needed when operating FlexiCat below 15m (Ref. Norwegian Std.
and Regulations).

General sales conditions
Prices:
Our prices are calculated in Norwegian NOK exclusive of VAT and
taxes. Any prices given in foreign currency is calculated with today's
exchange rate and will be adjusted accordingly when signing of
contract.
Warranty:
12 months after the delivery date at Evje, Norway.
The warranty covers repairs or replacement (our choice).
The warranty only covers damage to the components included in
our delivery. Engines and other technical equipment is covered by
own warranties.
The warranty does not cover consequential damages.
Travel and shipping expenses associated with warranty repairs are
not covered.
Travel expenses will be billed for accrued costs (government
regulation).

Delivery time (single):
Vessel designed to be powered with outboard engine is 2-3 months
from order confirmation.
Vessel with water jet installation is 3-4 months from order
confirmation.
Delivery:
Ex works Evje, Norway.
In the case orders placed by FlexiCat AS to sub vendors is not
available from vendors stock as agreed and thus causes delays in
production and deliverance, FlexiCat AS is liable to notify the client
immediately and indicate expected delivery date.

60 days

Ownership:
Seller retains ownership of the vessel until the entire purchase sum
including expenses incurred has been paid in full.
Payment:
50 % payment when ordering(*) then 30% at 50% completion of
production. Remaining payment including incurred expenses and
interest rates is to be paid before delivery at Evje, Norway. FlexiCat
AS will halt any activities and deliverances until any of above
payments is paid.
Note: 5% of contract sum is retained by FlexiCat AS if the order is
canceled by client before starting of production.
(*)Remaining 50% of contract sum is to be paid trough a escrow
account in an Norwegian bank.
