2 Introduction
The description presented in this Annex is intended to give instructions and guidance to
candidates about the nature of the services required.
The service requirements:

Describe the required services;

Describe the ESP-EISD 5 procedures;

Give a description of the ESP-EISD 5 lots;

Give a description of the staff profiles that are required in the different lots; and

Describe the service reports.
These service requirements are applicable in all ESP-EISD 5 contracts.

3 Current situation of ERA Information System
The Agency is currently located on 2 different sites in France:

Valenciennes Headquarters: 120, rue Marc Lefrancq, 59300 Valenciennes

Lille Conference Center: Espace International, 299, Boulevard de Leeds, Lille
The Information System is hosted in the Headquarters, in Valenciennes.
It consists of


workspace
The different IT systems are described hereafter.
3.1 European Railway Agency Database of Interoperability and Safety
(ERADIS)
From the 1st of May 2007, the European Railway Agency Database of Interoperability and Safety
(ERADIS) is publicly available. ERADIS is an enterprise, web-enabled system (in VB.NET) that
provides the ERA, the Member States, the European Commission and stakeholders in the
railway industry with technical assistance in the fields of railway interoperability and safety.
ERADIS has the following functionalities:

Document Storage;

Online questionnaires – Interactive forms;

Data collection and link to the electronic version of the documents.
Data is stored at the Agency and is accessible by means of a web-based application (VB.NET).
3.2 European Centralised Virtual Vehicle Register (ECVVR)
This system includes the following subsystems:

VVR (Virtual Vehicle Register): it allows its users to access to the information relating to
the registrations of railway vehicles in the EU;

sNVR (standard National Vehicle Register): it is a standard implementation of a
registration system that EU Member States can use to manage their data;

NVR-TE (National Vehicle Register Translation Engine): it is a component that allows the
integration of existing IT System for the registration of railway vehicles with the VVR.
The ECVVR system can be considered as a search engine on distributed data, using a common
software application, which allows users to retrieve data from all the logical registers in the
Member States.

NVRs (sNVR or NVR-TE) data is stored at national level; VVR is hosted at the Agency and is
integrated with the NVRs through web services (WCF); the different constituents are ASP.NET
C# Web Applications distributed in Europe.
3.3 European Register for Authorised Types of Vehicles (ERATV)
This system allows:

informing the Agency about the authorised types of vehicles

attaching file supporting the authorisation of the types of vehicles

exchanging clarification requests and answers

notifying stakeholders about the authorised types

searching for authorised types of vehicles
The system is a ASP.NET C# Web Application with a central database hosted at the Agency.
3.4 Reference Document Database (RDD)
This system allows:

managing the national technical rules for authorising the placing in service of vehicles,
their cross-referencing and their classification

managing the legal frameworks of the authorisation processes (flowchart web editor)

producing various reports
The system is a ASP.NET C# Web Application (using also Silverlight) with a central database
hosted at the Agency.
3.5 NSA Cross-Audit (NSA XA)
NSA XA is a system supporting the audits NSAs perform on their pair in the Member States.
It is based on Sharepoint customization (only “out of the box” features of Sharepoint; no .Net
development).
3.6 Web Safety Management System (Web-SMS)
Web-SMS consists of a series of web pages centred around a “wheel” and describing a safety
management system for Railway integrated in the Agency’s website.
3.7 Register of Infrastructure (RINF)
The register of Infrastructure is a register under construction envisaged to collect information
about the railway infrastructure and connected to a geographical information system.
3.8 ERTMS Change Request Handling Tool
The ERA ERTMS Unit is responsible for the organisation and the process of the Change Control
Management for the reference specifications and documents listed in the Annex A of the
officially published TSI CCS.
For this aim, the ERA ERTMS unit has established the procedure which describes the whole
process for the Change Control. A specific tool has been customised and implemented on the
basis of the IBM Rational Team Unifying Platform, especially IBM Rational ClearQuest.
The tool can be accessed remotely via internet by the members of the working group

3.9 Content Management System
The Agency’s intranet, extranet and internet are built around Microsoft Sharepoint 2010
technology.

4 Service Description
“External Service Provision for ERA Information System Development” (“ESP-EISD 5”) is
intended to satisfy the Agency’s needs for information systems development, maintenance,
studies and support.
Services are organized into 3 lots:



Lot 1: On-site development, maintenance and support.
Lot 2: Off-site development, maintenance and support.
Lot 3: On-site and off-site studies.
This document applies to the lots 1, 2 and 3.
5 Ordering Processes
Services shall be provided on the basis of three different kinds of orders:

Time and Means orders, which correspond to the order of a number of days for defined
profiles. Those days can be consumed at the premises of the Contractor or of the
Agency.

Fixed-price orders, which correspond to the order of a defined work.

Quoted Time and Means which correspond to the order of a number of days for defined
sub-tasks.
The ordering process is initiated by the Agency via a “Request Form” sent to the Contractor
describing the required service. On receipt, the Contractor must, within a given time period,
either decline the request or make a proposal to the Agency for the execution of the request.
The process culminates in the signature of a Specific Contract (i.e. an order), or in the
withdrawal of the request form. The Request Forms as well 3 different templates for Specific
Contracts can be found as Annexes to this document.
The chosen Contractor must have the capacity to carry out in parallel several individual orders.
The Contractor must be capable of providing the services ordered rapidly and with a high
degree of quality.
5.1 Time and Means Orders (TM) (Lot 1 and Lot 3)
Time and Means orders are executed at Agency’s premises.
In a Time and Means order the Agency specifies the workload (e.g. person-days) and its specific
needs for requested profiles.
Time and Means orders can only be executed under the Lot 1 and Lot 3.
The following conditions relating to Time and Means (TM) orders apply:

The Contractor must present proposals meeting the requirements as specified in the
Request Forms and associated documents. Contractor’s proposed staff must match the
requested profile description and the specific needs indicated in the request form.
Failure of a Contractor to persistently comply with these requirements may trigger the
application of corrective measures as per the Service Level Agreement;

The Contractor must be able to propose per requested profile at least two qualified
persons to choose from (and maximum 4) to choose from;

Pre-defined CV forms must be used. All information indicated in the CV has to be
correct and validated by the Contractor. Each proposed service provider must have
signed his/her CV prior to its being proposed to the Agency in reply to a specific
request;

Persons proposed must be available for interviews;

Proof documents concerning the education and/or professional experience mentioned
in any CV (e.g. copy of diplomas, employment contracts, employer's reference, etc.)
may be requested by the requesting entity under any and all specific requests, if
deemed necessary;

Persons proposed must be available at the start of the project;

Proof documents concerning the education and/or professional experience mentioned
in any CV (e.g. copy of diplomas, employment contracts, employer's reference, etc.)
may be requested by the Agency under any and all specific requests, if deemed
necessary;

In some cases, on Agency’s request travels outside the Agency location can be required;

On the Agency’s demand, the Contractor must replace personnel who prove incapable
of carrying out the specified tasks to the required standards. The replacement
candidate must be given sufficient training by the Contractor during an adequate
handover period, so that he/she may be immediately operational when the original
candidate is withdrawn. Any such replacement and training, if required, will be carried
out at no additional cost to the Agency;

The Contractor shall give a month’s notice to the Agency of any personnel changes in
the team. The prior agreement of the Agency must be obtained;

If the original person is no longer able to carry out the work, the Contractor is obliged to
immediately inform the Agency, propose a competent replacement person and arrange
sufficient training (during a handover period where possible) to guarantee continuity of
the service provided to the Agency. Any such replacement will be effected at no
additional cost to the Agency. Alternatively, the Agency may decide to terminate the
respective specific contract immediately without asking for a replacement person and
without compensating the Contractor for any damage or loss of profit which the
Contractor might incur as a result of such termination.

In case of replacement, the Contractor should propose a minimum of two replacement
persons with the required qualifications and experience for the profile. If the Contractor
does not propose suitable replacement staff, the requesting Agency may immediately
terminate the contract with a penalty of 10 days free of charge.

In case of replacement, the handover period must normally be at least 10 working days,
free of charge for the Agency. If no handover is possible and additional training is
needed for the replacement person, at least 15 working days (free of charge for the
Agency) must be performed by the replacement person. The days free of charge will be
the first working days of the replacement person.

When a person is no more available before the start of a new contract, the Contractor is
obliged to inform the Agency immediately. If the specific contract is not yet signed by
both parties, the Contractor is not authorized to propose new candidates (however, if
the Contractor has proposed initially more than one service provider who complies with
the requirements in the original Request, then the specific contract could be signed with
one of those service providers who is available at the envisaged start of the
assignment). If the specific contract is signed, the Agency can either cancel the contract

or ask for a replacement with the performance of the 10 first working days free of
charge.

Only in case of "force majeure" (like an accident or a serious illness) or if the Contractor
or his staff has no responsibility in the replacement, the penalty may not apply.
However the necessary training and information to guarantee the continuity of service
have to be carried out at the Contractor's expense.

On the Agency’s demand, during holidays or other periods of absence by the person
employed, the Contractor may be required to provide an adequate replacement. The
replacement person will be given sufficient training and provided with all information
necessary to guarantee continuity of the service provided to the Agency. All such
training and handover work will be carried out at the Contractor's expense.

The invoicing is based on the number of days performed. Where services are provided
Outside Normal Working hours, then each hour of work started shall be paid pro rata to
the daily rate offered for the respective profile for work Outside Normal Working Days.

When a replacement procedure is on-going the Contractor cannot invoice 10 days on
the specific contract for the replacement person until the replacement is effectively
done.
Remarks:

One full year corresponds normally to an effective workload of 220 days;

The request form can combine different profiles, with the requested quantity for each
profile and the individual workload. In that case, the Contractor has to submit between
2 and 4 CVs for each profile.
5.2 Fixed Price Orders (FP) (Lot 2 and Lot 3)
Fixed Price orders are normally executed outside the Agency’s premises (i.e. off-site or extramuros), but they could be executed on-site in order to facilitate communication between the
Agency and the Contractor.
In a Fixed Price order the Agency specifies the deliverables corresponding to the work to be
delivered with expected delays. This description is considered non-binding for the Agency.
Based on the winning offer, a specific contract is signed which may include one, several or all of
the deliverables originally described with their respective implementation deadlines and prices.
Fixed Price orders are normally executed under the Lot 2 and Lot 3.
The following conditions relating to Fixed Price orders apply:

The Contractor should present proposals meeting the requirements as specified in the
Request Forms and associated annexes (specifications, work packages, deliverables,
activities, deadlines, etc.).

The offer must include a technical analysis based on the requirements.

The offer must include a project plan. It has to indicate the proposed activities, the
team structure, profiles (including CVs of the proposed team members, signed by
themselves and - if deemed necessary by the requesting entity – accompanied by Code
of Conduct Declaration and/or Letter of intent), roles, responsibilities and individual
workloads. Proof documents concerning the education and/or professional experience
mentioned in any CV (e.g. copy of diplomas, employment contracts, employer's
reference, etc.) may be requested by the Agency under any and all specific requests, if
deemed necessary.

A methodology agreed by the Agency has to be used for the implementation of the
different tasks. Based on this, the financial offer must be based on the estimation of the
number of days for each profile, on the basis of the different activities.

Work is normally performed off-site, typically on the Contractor’s premises. The
Contractor shall provide all necessary infrastructure on his premises for the successful
execution of the work (except for material, licences or products not available on the
market but that can be provided by the Agency during the time of the execution).

The deliverables must be on time, and conform to the specifications as described in the
Specific Contract and as complemented, where relevant, by the contractor's respective
offer.

The invoicing is based on the acceptance of the deliverables by the Agency (and not on
the effective workload).

Technical interventions can be foreseen on Agency's premises for specific tasks like
installations, configurations, acceptance tests, technical analysis or maintenance tasks.

Meetings at the location of delivery with members of the team can be required without
any additional cost by the Agency.

A guarantee (corresponding to a free of charge repair on client's premises) of 2 years
apply to the deliverables accepted by the Agency.
5.3 Quoted Time and Means Orders (QTM) (Lot 2 and Lot 3)
Quoted Time and Means Orders are generally executed outside the Agency’s premises (i.e. offsite or extra-muros), but they could be executed on-site in order to facilitate communication
between the Agency and the Contractor.
In a quoted Time and Means order the Agency specifies in an initial Request all the different
tasks and subtasks to be executed. This description is considered non-binding for the Agency.
Based on the offer, a specific contract is signed which may include one, several or all of the tasks
and subtasks originally described, taking into account their respective implementation deadlines
and prices.
Quoted Time and Means orders are normally executed under the Lot 2 and Lot 3.
The following conditions relating to Quoted Time and Means (QTM) orders apply:

The Agency specifies the different tasks and sub-tasks to be executed. For each task the
Agency indicates the required activities with the maximum duration of each activity in
working-days. For each activity, the Agency can specify (or not) the required profiles.

Each Contractor should present proposals meeting the requirements as specified in the
Request Forms and associated documents (e.g. technical annex with description of
tasks, sub-tasks, etc…).

The offer must include a technical proposal based on the requirements, considering the
profiles and their workload (person-days).

The offer should detail, among others, the proposed teams structure, profiles (including
CVs of the proposed team members signed by themselves and - if deemed necessary by
the requesting entity – accompanied by Code of Conduct Declaration and/or Letter of
intent), roles, responsibilities and individual workloads. Proof documents concerning
the education and/or professional experience mentioned in any CV (e.g. copy of
diplomas, employment contracts, employer's reference, etc.) may be requested by the
requesting entity under any and all specific requests, if deemed necessary.

The financial proposal has to be based on the number of days for each profile, on the
basis of the different tasks and activities.

The work is normally performed off-site, typically on Contractor’s premises. The
Contractor shall provide all necessary infrastructure on his premises for the successful
execution of the work (except for material, licences or products non available on the
market, but that can be provided by the Agency during the time of the execution).

The work is divided into various sub-tasks performed during the execution of the
specific contract. The Agency will provide the Contractor with a detailed description of
each sub-task. The contractor will send the Agency a proposal for the execution of each
sub-task (including the workload and time schedule) on the basis of a number of
activity-days or person-days for the corresponding activities or profiles. When
agreement with the Agency has been reached on the acceptability of the separate
deliverables or performance of separate tasks or subtasks, a form is signed by both
parties. Only agreed costs for the specified tasks are chargeable, after acceptance by
the Agency.

Technical interventions can be foreseen on Agency's premises for specific tasks like
installations, configurations, acceptance tests, technical analysis or maintenance tasks.


any additional cost by the Agency.


A warranty (corresponding to a free of charge repair on client's premises) of 2 years
applies to the sub-tasks accepted by the Agency.
5.4 Extensions
An extension is a prolongation based on the initial request and the initial offer when all the
requested tasks have not been achieved by the previous specific contracts.
The extension results in a new specific contract.
5.4.1
Time and Means
For a “Time and Means” request, the Request Form covers the whole of the project and a
Specific Contract might be for the same number of days or for only a part of the project.
If the amount of days foreseen in the Request Form hasn’t been covered completely by Specific
Contracts made, the Agency can conclude another Specific Contract without having to send
again a Request Form and follow the complete order cycle. In this case an extension is done.
To make an extension for a Time and Means Specific Contract:

The Agency checks if the number of days on the corresponding initial Request Form has

exceeded, it is not possible to request an extension and the normal procedure applies;

The Agency asks an offer from the Contractor for the period for the required extension,
making a reference to the original Request Form sent. The offer delivered by the
supplier should contain the name of the person(s) executing the service and price. An
extension form template is provided;

The Agency prepares the new Specific Contract.
Remarks

In case of unavailability of the person for a future extension, the contractor has to
inform the Agency as soon as possible. In this case the Agency should normally not ask
for an extension. However, if the Agency and the contractor agree on a suitable
replacement, the replacement conditions are applicable (including 10 days free of
charge at the beginning of the new specific contract).

If a person is no more available after the launch of an extension request, the Agency can
withdraw the extension or accept a replacement proposed by the contractor (including
10 days free of charge at the beginning of the new specific contract). If the specific
contract related to the extension is already signed, the Agency can either cancel the
contract without any compensation for the contractor, or ask for a replacement with
the performance of the 10 first working days free of charge.

In case that a person is working on the request for a minimum of 1 year (or 220 days)
and his experience complies with the minimum requirements for a higher level, the
Agency can, after the end of the respective specific contract and prior to its extension, if
any) ask to extend him/her with one additional level on the same profile. In this case
the contractor must include an up-to-date CV in its offer.
5.4.2
Fixed Price
The initial request form contains a description of a project and a non-binding list of tasks
(modules, work packages) corresponding to deliverables, along with a globally forecasted, nonbinding implementation period. The winning contractor has given a proposal according to this
global request. The first specific contract may cover only a part of the project corresponding to
some deliverables. In this case, the Agency can conclude one or more new specific contracts for
the remaining work with the same contractor without having to send again a Request Form and
follow the complete order cycle.
The specific contract(s) by way of which the initial specific contract is extended have to cover
tasks included in the initial request under the conditions of the original offer. The technical
annex could be updated if necessary, but the global conditions (including defined deliverables
and price) cannot be modified.
The total price of the project may not exceed the price quotation given in the initial offer
(except for indexation).
5.4.3
Quoted Time and Means
For a “Quoted Time & Means” request, the initial Request covers the whole of the project and a
Specific Contract might be for the same number of days or for only a part of the project.
If not all resources foreseen in the proposal that was accepted in conformity with the initial
request have been covered by specific contract(s) made, the Agency can extend the existing
specific contract by concluding another Specific Contract with the Contractor having signed the
existing specific contract, without having to follow the complete order cycle. In this case an
extension is done.
To make an extension for a Quoted Time & Means Specific Contract:

The Agency checks if the resources corresponding to the initial request haven’t been
used yet. If they are not, a new specific contract can be concluded on the basis of the
initial Request. If all the resources have been used, it is not possible to request an
extension on this basis and the normal procedure should apply.

6 Delivery for all Types of Orders
6.1 Languages
The required services must be at least provided in English.
When necessary, additional language requirements may be made in the request forms.
6.2 Place of work
Depending on the framework contract and the request, work can be executed on the Agency’s
premises (so-called on-site or intra-muros work) or can be executed on the Contractor’s
premises (so-called off-site or extra-muros work). The Agency indicates on the Request Form
where the work has to be delivered.
In the case of intra-muros work, the execution of the contract must normally be performed at
Agency premises as required in Valenciennes (France) or Lille (France). The infrastructure will be
provided by the Agency.
The personnel providing the service will use only the standard software packages in use at the
Agency, and no other software may be installed or used without the written authorisation of
the Agency.
The personnel providing the service is bound to the Agency Rules on the Use of ERA ICT owned
resources.
In the case of extra-muros work, the execution of the contract will be performed primarily at
the Contractor's usual workplace. Project meetings are typically held in the Agency’s premises.
Deliverables have to be formally remitted at Agency’s premises. Travel costs to the place of
delivery are not reimbursed.
The Contractor shall provide all deliverables in the form and format specified in the order and
shall guarantee their integration into the target informatics environment.
6.3 Travels outside normal locations of deliveries
As an exception, the Agency may request delivery of services outside of the normal locations of
delivery, e.g. in the Agency stakeholders locations.
In case travel will be necessary for service delivery abroad, travel costs and subsistence
expenses will be reimbursed following the application by analogy of the rules, regulations
and rates of the Guide to Missions, following ERA-ED-DEC-279-2010.
Outside the travel expenses, only the days during which some work is performed for the
Agency can be invoiced by the Contractor. Travelling days may not be reported as working
days and included in timesheets unless approval for this is given by the recipient Agency
staff member at the place of destination. In case work has been performed abroad, this
should be clearly mentioned in the timesheet.
In general, Valenciennes and Lille are considered as the same location and no travel
expenses are reimbursed between the 2 cities.
6.4 Normal working hours
For on-site contracts, a normal working day corresponds to 8 hours (40 hours per week).
The daily working time frame is between 08:00 AM and 08: PM and the presence is
normally required between 09:30 AM and 12:00 AM and between 03:00 PM and 04:30 PM
(04:00 PM on Friday).

The periods of service providers’ on-site presence have to be agreed by the services of the
Agency. No recuperation is possible.
In exceptional cases of extended services (e.g. continuous support service between 08:00
AM and 08:00 PM), specific time frames can be requested by the Agency (e.g. from 08:00
AM to 16:00 PM or from 12:00 AM to 20:00 PM). Those time frames are to be considered
normal working hours.
6.5 Work outside of Normal Working Hours
As an exception, the Agency may request delivery of services outside of the normal working
hours, as defined above. For these situations, the following surcharges will be added to the
applicable day rates:
For normal working days before 08:00 AM and after 08:00 PM: 50 %;
For weekends and holidays: 100 %.
Both during Normal Working Days, and during weekends and holidays the respective surcharge
(50% or 100%) will apply on a pro pro-rata basis to the respective fee rate for work during
Normal Working Days, duly surcharged. The maximum working-time per consultant per day
shall be compliant with the national labour legislation (in France the maximum working time per
consultant may not exceed 10 hours/day and 60 hours/week1). Work performed outside Normal
Working Hours will only be paid if it has been requested explicitly in writing by the Agency and
provided that work outside Normal Working Hours has already been envisaged in a specific
contract.
6.6 Acceptance of work
For orders, official acceptance of the work carried out will take place at milestones during and
at the end of each order execution using a procedure agreed to at the beginning of the order.
Invoices may be issued only for executed orders and tasks that have been completed and duly
accepted.
6.7 Training
As a rule, the Agency will not take charge of the training of the Contractor’s staff.
When needed, general informatics’ training courses must be followed outside the Agency
premises.
In exceptional cases (e.g. if the training course is not provided externally) and on special request
of the Agency, staff working for a Time and Means contract may follow an informatics training
course organised by the Agency. However, these training days will not be paid by the Agency
and cannot be invoiced by the contractor.
In principle, the Contractor is asked to plan at least 5 days training course per year for its staff
working in the Agency’s premises.
If the Agency asks the contractor’s staff to follow a non-informatics training necessary for the
work (e.g. Business procedures or application functionalities), it is considered as a normal
working day paid by the Agency.

6.8 Declaration of confidentiality
A declaration of confidentiality signed by the service provider will be asked before starting a
new assignment at the Agency. (A template is in ANNEX II of the General Terms and Conditions
for IT contracts).
6.9 Security clearance
In exceptional cases, when required for security reasons, the Agency may ask from the
Contractor in a specific request that they agree to a security clearance of the staff involved for
the provision of certain services.
This will be considered as a specific requirement for a specific project, and not influence the
other conditions.
Apart from this, all external consultants must, at the start of their assignments, familiarize
themselves, and later comply strictly, with all the Agency Rules on the Use of ERA ICT owned
resources. The document containing the rules in application will be provided once the
Framework Contract is signed.

The Cascading Mechanism

7 The Cascading Mechanism
ESP-EISD 5 uses multiple contracts with a cascading mechanism for Lot 1 and Lot 2. The
cascading mechanism is the mechanism applied for using multiple framework contracts. In
general where more than one Contractor is nominated, the following rules shall apply to
requests for supply of Services.
1. For each case, the Agency shall determine the specifications of the Services required,
hereinafter referred as project, and the relevant response time. The Contractor shall make
its offer in response to the Agency's specifications within this time limit.
2. When requesting an offer to supply Services, the Agency shall initially address its request to
the Contractor who has been nominated in first place on the basis of the results of the
evaluation of the call for tenders cited in the Contract. If this first Contractor is in a position
to meet the criteria for response time and specifications, then it shall be awarded the
project in question.
3. If the first Contractor is unable to meet either of these criteria, then it shall be regarded as
being unable to supply the Services requested. In this case, the Agency shall then address
the same request to the Contractor who has been nominated in the second place on the
basis of the results of the evaluation of the call for tenders cited in the Contract. If this
second Contractor is in a position to meet the criteria for response time and specifications,
then it shall be awarded the project in question.
4. If this second Contractor is unable to meet either of these criteria, then it shall be
considered unable to supply the Services requested. In that event, the Agency shall then
repeat this process with the Contractor who has been nominated in third place.
5. This process will terminate either with the award of the project in question to one of the
Contractors who has been nominated, or with the failure to award the project to any
Contractor. In the event of failure the Agency may redefine the project or start the
procedure again on the same project at a later time.
6. The inability of the Contractor to supply the Services for a project, requested under the
previous conditions, shall not be considered to afford grounds for terminating the Contract,
but could affect the order in which the Contractor is to be addressed for subsequent
projects.
As described in the roadmaps, in all cases the first Contractor must be consulted first. The first
Contractor has won the market described in the call for tenders and the other Contractors only
serve to compensate the lack in the first Contractor’s service offering. If it arises that the main
Contractor is unable to service all requests, the cascade mechanism may apply. In this case
careful documentation of all communication between the Contractors and the Agency is
imperative in order to ensure a decision transparent to all parties.
During the cascade mechanism the Request Form specifications may not change (e.g. profiles
and/or technical annexes must remain the same).

The Re-Opening To Competition Mechanism
8 The Re-Opening To Competition Mechanism
ESP-EISD 5 Lot 3 uses multiple contracts (signed with up to 3 framework contractors) based on a
"re-opening to competition" mechanism.
The re-opening to competition mechanism is a mechanism applied for using multiple framework
contracts. In general, all contractors on the lot for which this mechanism applies shall be invited
simultaneously to submit offers under each initial request. When replying to those requests, it
will be up to the contractors to define the appropriate team structure (profiles, levels, individual
workloads) and each team member's fee rate. The fee rates included in the framework
contracts are considered to be maximum rates and they can only be increased on the basis of
indexations. However, in reply to initial requests those can be reduced at the discretion of
contractors. Where more than one contractor is awarded a framework contract for Lot 3, the
following rules shall apply to requests for the supply of Services:
(1) For each case, the Agency shall determine the specifications of the Services required,
hereinafter referred as project, and the relevant response time. The Contractor(s) shall
make their offer(s) in response to the Agency's specifications within this time limit.
(2) When requesting an offer to supply Services, the Agency shall initially address its
request to all the contractors on Lot 3. The Agency shall evaluate and rank all offers
based on the award criteria and quality/price formula mentioned in the Tendering
specifications. The Agency may specify in the respective requests one or more projectrelated award sub-criteria but in this case the weights of those sub-criteria will have to
be notified to all contractors at the time of sending the Request. For further details, see
the Roadmap for Fixed price and Quoted Time and Means projects.
(3) The contractor whose offer has been evaluated to represent best value for money shall
be offered the specific contract. In case this contractor refuses to sign the specific
contract, it shall be offered to the contractor who has submitted the second best offer
in reply of the respective request, subject to its compliance with the minimum
thresholds as specified in the Tendering specifications. If this second-best contractor is
in a position to sign the specific contract, then it shall be awarded the project in
question.
(4) If this second –best contractor is NOT in a position to sign the specific contract, then it
shall be awarded to the contractor who has been nominated in third place. In any case,
specific contracts shall be signed only on the basis of offers which have passed the
minimum award thresholds specified in the Tendering specifications for Lot 3 specific
contracts.
(5) This process will terminate either with the award of the project in question to one of
the contractors who has been nominated, or with the failure to award the project to
any contractor. In the event of failure the Agency may redefine the project or start the
procedure again on the same project at a later time.
(6) The inability of the Contractor to offer, or supply, the Services for a project, requested
under the conditions (1) – (5), shall not be considered as such to afford grounds for
terminating the Framework Contract but it may give rise to application of measures as
per the Service Level Agreement.
As described in the roadmaps, and except in the case of a conflict of interests (see paragraph
10), each request must be sent to all contractors on Lot 3 simultaneously.
During the re-opening to competition mechanism the Request Form specifications may not
change (e.g. type of services or deliverables must remain the same).

The subcontractors proposed in the offers in response to the Call for Tenders in
question;
One-person companies (or freelancers) proposed by the contractor in his response to
requests for offer during the implementation of the contracts (with a letter of intent
signed by the person);
In case of second round of a cascade (when the first round has not yield any result);
Non-profit organisations such as public research centres or universities proposed during
the implementation of the contracts;
For very specialised technical expertise required for the provision of the services (only in
case that no contractor or declared subcontractor would be able to provide this
expertise).
Multiple-level subcontracting (e.g. subcontracting of subcontracting) is not authorized.

In the event that a Contractor is awarded a contract for a development activity and a contract
for a studies or support activity, the Agency can estimate that a specific project in the first area
and a specific project in the second cannot be carried out by the same Contractor (or group
member or sub-Contractor). In this case, this Contractor will not be asked to provide the
services related to the studies or support project and will not be part of the Cascade or the ReOpening to Competition for this specific request.

11.1.1 Step 1: Need arises
What
The need for some Time and Means ESP-EISD 5 service arises in the Agency.
The Agency prepares the requirements/specifications.
The Agency decides how much time it wants to allow the Contractor to decide if he
can make an offer (“Y/N deadline period”). The time allowed to the Contractor must
be at least 3 working days. This date counted from the request dispatch date (Step
2), by which the Contractor must make known his willingness to make an offer, is
referred to as the “Y/N Date”.
The Agency also decides how much time it wants to allow the Contractor to prepare
his offer with a list of the qualified persons he proposes (“Offer deadline period”).
The time allowed to the Contractor must be at least 3 working days as from the “Y/N
Date”. This date counted from the “Y/N Date” (Step 4), by which the Contractor
must present his list of proposed qualified persons, is referred to as the “Offer
Date”.
At this Step only the periods are decided. No dates are identified. “Y/N Date” and
“Offer Date” can only be determined after Step 2.

11.1.2 Step 2: Send request form
What
The Agency checks which company the Request Form should be sent to: if it is a
new request, this is the first company in the cascade of companies that have been
awarded a contract. Otherwise it is the company in the cascade following the
company that the Request Form was previously sent to. If no companies are left in
the cascade, no company could deliver the service based on the constraints set
originally in Step 1. In this case, the Agency can decide to redefine the project or
start the procedure again on the same project at a later time.
The Agency fills out a Request Form for Time and Means projects (see 14.1). If the
Request Form is sent to a company other than the first in the cascade list, the
Agency makes sure that the “requirements” and the deadline periods specifying the
“Y/N date” and “Offer Date” decided upon in step 1, remain unchanged.
The Agency sends the Request Form to the Contractor. The date on which the
Agency sends the Request Form is referred to as the “Request Date”.

interviews in the 2 weeks following the sending of the candidate list.
If the Contractor does not send the candidate list to the Agency by the “Offer Date”,

11.2.1 Step 1: Need arises
What
The need for some Fixed Price (or Quoted Time and Means) ESP-EISD 5 service arises
in the Agency.
The Agency prepares the requirements/specifications, including technical and
financial evaluation criteria.
The Agency decides how much time it wants to allow the Contractor to decide if he
can make an offer (“Y/N deadline period”). The time allowed to the Contractor must
be at least 3 working days. This date counted from the request dispatch date (Step
2), by which the Contractor must make known his willingness to make an offer, is
referred to as the “Y/N Date”.
The Agency also decides how much time it wants to allow the Contractor to prepare
his offer with a list of the qualified persons he proposes (“Offer deadline period”).
The time allowed to the Contractor must be at least 9 working days as from the “Y/N
Date”. This date counted from the “Y/N Date” (Step 4), by which the Contractor
must present his list of proposed qualified persons, is referred to as the “Offer
Date”.
At this Step only the periods are decided. No dates are identified. “Y/N Date” and
“Offer Date” can only be determined after Step 2.

11.2.2 Step 2: Send request form
What
The Agency checks to which company the Request Form should be sent: if it is a
new request, this is the first company in the cascade of companies that have been
awarded a contract. Otherwise it is the company in the cascade following the
company that the Request Form was previously sent to. If no companies are left in
the cascade, no company could deliver the service based on the constraints set
originally in Step 1. In this case, the Agency can decide to redefine the project or
start the procedure again on the same project at a later time.
The Agency fills out a Request Form for Fixed Price or Quoted Time and Means
projects (see 14.2 and 14.3). If the Request Form is sent to a company other than
the first in the cascade list, the Agency makes sure that the “requirements” and the
interval specifying the “Y/N date” decided upon in step 1, remain unchanged.
The Agency sends the Request Form to the Contractor. The date on which the
Agency sends the Request Form is referred to as the “Request Date”. If the volume
of the requirements is too large to send by e-mail, the Agency will send them on the
“Request Date” by express delivery or similar service that guarantees delivery within
2 working days.
“Y/N Date” is calculated by adding the “Y/N deadline period” (Step 1) to the
“Request Date”.
“Offer Date” is calculated by adding the “Offer deadline period” (Step 1) to the “Y/N
Date”.

11.2.4 Step 4: Willingness to make an offer
What
The period between the “Request Date” and the “Y/N date” can be used to clarify
the requirements, in order to allow the Contractor to decide whether he will be able
to make an offer, as well as to decide upon the “Offer Date” by which he will make
an offer.
If the Contractor does not send a response by e-mail by the “Y/N date” to the
Agency, stating whether he will or will not be making an offer, the Agency goes back
to Step 2.
If the Contractor has stated NO, i.e. he declines to make an offer, the Agency goes
back to Step 2.
If the Contractor has stated YES in his e-mail, he is then obliged to also indicate in
that e-mail the date by which he will submit his offer. This date is referred to as the
“offer date”.
If the Contractor has stated YES, but the Agency does not find the “offer date”
acceptable, the Agency sends an e-mail to the Contractor stating that the offer
cannot be accepted and goes back to Step 2.

11.2.8 Step 8: Offer Acceptance
What
Based on the evaluation report, if it concludes that the offer represents good value
for money, the Agency informs the Contractor that the offer is accepted (indicating
the exact coverage of the first specific contract, in line with the specifications) and
the Agency sends him the Specific contract for signature.
The Specific Contract will include details of the work to be carried out with the
requested deliverables, the start date, the duration and any other relevant
information.
That Contractor shall have 10 calendar days from the date of receipt to sign the

Specific contract. (In exceptional cases this delay could be extended)
If the evaluation report concludes that the offer does not represent good value for
money, the Agency informs the Contractor on the basis of their quality/price
evaluation. On the request of the non-awarded tender, the Agency sends them
information with justification why his offer cannot be accepted (with description
merits and drawbacks found in the non-awarded offer).
No standstill period shall apply.
Where possible and relevant, in case the first contractor to whom a Specific contract
is proposed for signature does not meet the signature deadline or explicitly refuses
to sign it, then the Agency can extend the deadline for signature or propose the
Specific contract to the second-best contractor on the basis of the latter's offer. The
deadline for signature of the Specific contract by the second best contractor shall be
10 calendar days. (In exceptional cases, this deadline could be extended).
When the offer is not accepted, the Agency shall go to Step 2 and activate the
cascade mechanism.

11.3.4 Step 4: Presentation of proposal
What
The Contractors send their proposals containing a list of candidates having the
required profiles by e-mail by the “Offer Date” to the Agency. The candidate list will
include for each candidate the name of the candidate, the date that the candidate is
available, the candidate’s profile, whether the candidate is offered via
subcontracting, whether the candidate is permanent or non-permanently employed
and any other relevant information. The CVs of all candidates must be attached to
the list sent by e-mail to the Agency. Template for the CVs is the one annexed to the
Questionnaire for each Lot. All candidates on the list must be available for
interviews during the 2 weeks following the “Offer Date”.
The 2 weeks period after the “Offer Date” can be used by the Contractors and the
Agency to organise meetings to present and interview the persons proposed.
There is no obligation to submit an offer. However a contractor that has not
delivered an offer by the “Offer date” is excluded from this specific competition.
If no offer is delivered by any contractor by the “Offer date” the Agency can end the
procedure (without contract) or go back to step 1 to revise the request
requirements.

The methodology used by the Agency for project management is PM², based on PMI and
Prince2.
The methodology used for development of information systems is called RUP@EC. It is a
customization of IBM's Rational Unified Process methodology.
Agile RUP@EC based on Agile Unified Process was introduced in 2012 to complete the RUP@EC
offer.
The use of a project management methodology based on PMI/Prince2 and a software
development methodology based on RUP or Agile methodology will be needed for all
developments.
The Agency is standardising its IT Service Management processes on methodology compliant
with the Information Technology Infrastructure Library V3 best practices (ITIL®).

Examples
A Project Manager needs at least 12 years after the secondary school during which the time of
relevant studies and professional experience are taken into account. Within this period, the
duration of professional experience must be at least 6 years
A Senior Analyst/ Developer needs at least 12 years after the secondary school during which the
time of relevant studies and professional experience are taken into account. Within this period,
the duration of professional experience must be at least 6 years.
Remarks:





The normal duration of successful studies is taken into account in the years of studies (for
example 5 years for a master, 3 years for a graduate).
The calculation of the time of studies and professional experience starts from the month of
beginning of higher studies or first relevant professional experience after the completion of
secondary school.
Training during the studies cannot be taken into account in the professional experience.
One given period counts only once as studies or professional experience (even for a person

13 Reporting
The Contractor offering services must provide monthly reports to the responsible service
manager at the Agency, in the layout as given below.
The report, with complete and accurate information at the end of the previous month, must be
delivered at least on the 16th of the ongoing month.
The monthly report will include:




A summary of the activities;
Data on the request processing and specific contracts from the start of the framework
contract;
The values of the SLA Quality Indicators;
The risks identified and the problems encountered.
The data on the request processing and specific contracts will have the following content and
will be provided in a format indicated by the Agency.2
The content and layout requirements of the report may evolve to better suit Agency needs. This
evolution, if necessary, will be handled in collaboration with the Contractor.
The reporting templates are in the following pages.
