Dado Banatao is the managing partner of Tallwood Venture Capital. With his past experiences as an entrepreneur, Dado provides Tallwood with a unique perspective in technology investments. Tallwood invests in unique and hard-to-do semiconductor technology solutions for computing, communication, and consumer platforms. Prior to forming Tallwood, Dado was a venture partner at the Mayfield Fund. He cofounded three technology startups: S3 (SBLU), Chips & Technologies (INTC) and Mostron. He also held positions in engineering and general management at National Semiconductor, Seeq Technologies, Intersil and Commodore International. Dado pioneered the PC chip set and graphics acceleration architecture that continue to be two of the foundation technologies in every PC today. As an engineer, he is credited with developing several key semiconductor technologies and is regarded as a Silicon Valley visionary. Dado serves as Chairman of Inphi Corporation (IPHI) and is on the board of directors of Wave Semiconductor. He also served as Chairman and led investments in SiRF Technology, acquired by CSR; (CSR); Marvell Technology Group (MRVL); Acclaim Communications, acquired by Level One (INTC); Newport Communications, acquired by Broadcom (BRCM); Cyras Systems, acquired by Ciena (CIEN); Stream Machine, acquired by Cirrus Logic (CRUS); and Wilocity, acquired by Qualcomm (QCOM). Dado holds a B.S.E.E., cum laude, from the Mapua Institute of Technology in the Philippines and an M.S. in Electrical Engineering from Stanford University. His rise to fame and fortune is the stuff out of which legends are made, and is made even more inspiring because it is borne out of hard work and perseverance. He refuses to accept the status quo when it leads to mediocrity and firmly believes that the Filipino is at par with the best in the world. As a BAIPHIL member quipped during the open forum, Mr. Banatao’s message is not only inspirational but also aspirational, as he points to a better place where we all can be, if only resources are properly spent where they should be – the development of science and technology and entrepreneurship in the Philippines. Mr. Banatao made an even greater impression on the young, who have a high stake in the future of the country. Fajatin The BAIPHIL Christmas season would be incomplete without the much awaited Festival of Bank Chorale, which is now on its 4th year. Four institutional members – Union Bank, UCPB, PDIC and Card SME Bank, heeded the challenge to showcase their talents and share goodwill and cheers by rendering heart-warming Christmas carols. Anticipation was high as new joiners (PDIC and Card SME Bank) were mixed with veteran participants (Union Bank and UCPB). Everyone was excited to find out - will there be a new winner this year or will people witness history in the making with a three-peat winner? Director Bles Andres formally started the program with an invocation, which was followed by the singing of the National Anthem and BAIPHIL hymn led by past president Francis Puzon. Immediate past president and chief adviser to the board, Tess Galvadores, who also oversees the Special Projects Committee, warmly welcomed the participants, guests and audience to the event. President Atty. Rhoneil Fajardo thereafter gave a short and meaningful message, highlighting that proceeds from the night’s activity shall be used in BAIPHIL and BSP’s Financial Education Program (FEP), which aims to promote financial literacy to the marginalized sectors of the society, such as the “Nanays of Payatas”, teachers and students, and spouses of OFWs. The evening’s masters of ceremonies, Noel Barcena (BAIPHIL past president and PCHC President) and Raqs Mañago (BAIPHIL Co/Chairperson for Risk Management, Operations and Business & Products Course Committees) announced the contest mechanics to the excited audience. Each chorale is to sing 3 songs, inclusive of the standard piece, “Joy to the World”, which is also the theme for the year. Songs can be rendered a cappella or with live music, with the scoring criteria for the performances as follows: Harmony and blending………………….. 40% Creativity of presentation……………… 30% Audience impact……………………………. 10% Choreography……………………………….. 10% Costume………………………………………… 10% First group to perform was Unionbank Chorale, the reigning champion and first back to back grand winner. The group’s mother and son skit with Filipinos in New York as backdrop made a notable connection to the ears, hearts and souls of the viewers, with some even admitting to shedding a tear or two. The group incorporated in their performance prevailing worldwide concerns on climate change, South China Sea conflict, refugee crisis, and religious intolerance. The group sang (1) Christmas shines; (2) Have yourself a merry little Christmas; and (3) Joy to the World. Up next was the PDIC Chorale. While it was a newbie to the competition, there’s not a single hint of it as their presentation was all smooth and wonderful. The mother and son confrontation and reconciliation scenes tugged an emotional chord with the audience. The group’s repertoire of (1) Hesus, Diwa ng Pasko; (2) Kumukutikutitap; and (3) Joy to the World was complimented by beautiful costumes and was well applauded, with PDIC President Cristy Orbeta in the audience. To break the building tension in the auditorium, the group “3 Styles” was called in to provide intermission numbers. The trio brought on stage their talents with Paul Sugano playing “Have Yourself a Merry Little Christmas” on violin, while his sister, Chloe Sugano, sang the Broadway classic “I Enjoy Being a Girl”. Meanwhile, Brendan Barcena, a member of De la Salle’s Kundirana and the son of our very own Noel Barcena, serenaded the audience with the standard “The Way You Look Tonight”. The crowd wanted more but it was time for the 3rd performer. The competition then continued with first-timer CARD SME Bank Chorale. The group was only recently organized and had come all the way from San Pablo City, Laguna. The chorale’s performance was emotionally authentic and incorporated messages on Philippine social realities, particularly for the marginalized. Lanterns were cleverly used as props and to symbolize the spirit of Christmas. Ms. Mary Jane A. Perreras, President and CEO of CARD SME showed all out support for the team as they sang (1 ) Angels we Have Heard on High; (2) Joy to the World; and(3) Kumukutikutitap. Continued on page 6 The final contender was the UCPB Chorale, a regular participant to the annual competition. The wonderful costume and lively performance of the group clearly evidenced the strong bond among the members, as well as their love for music. The chorale performed with much passion as they dished out the Christmas classics (1) Joy to the World; (2) Pinoy Karoling; and (3) Karoling Medley. While the scores were being tabulated, 3 Styles was again called onstage to the delight of the crowd as the young performers brought the house down with a duet and a series of upbeat songs. The audience, even those on the balcony, sang and danced to the groove of the foot stomping music of the trio. As the crowd settled, Pres. Rhoneil, Tess Galvadores and past president and SPC member Belitte Papa awarded certificates of appreciation to BDO, for the very nice venue, and to 3 Styles. The judges were then called on stage, also to be given certificates of appreciation, and were asked to provide feedback on the performances. Mr. Christopher Ong Arceo (Baritone and Choral director), who was also a judge last year, observed that the performances have clearly levelled up this year, while Ms. Jocelyn Timbol-Guadalupe (Asst. Professor and UP College of Music’s Music Education Department Chair) cited what went well with each performance and gave constructive criticisms on areas for improvement. Ms. Marie Glor Angelie Lansing (Choir Master), who had extensive experience handling choirs, complimented each team for coming up with strong numbers. Finally, the time came to announce the winners, and from the feedback and scores of the judges it was clear that the competition was very tight. Still, history cannot be denied that evening as the following results were announced: Grand winner - Union Bank (Three peat!) 1st runner up – UCPB 2nd runner up – PDIC 3rd runner up – CARD SME There were jubilant screams all around when the grand winner was announced, and everyone took turns documenting the event with photos and selfies. Belitte Papa, a music enthusiast and passionate supporter of the annual chorale, capped the evening with a message of thanks to all who made the affair a success. For sure, there was only one grand champion proclaimed that night, but with the wonderful vibes and smiles all over the auditorium, it was clearly a victory for everyone, and the members of the Special Projects Committee have all right to stand proud. From the festive decorations set up by the Secretariat and SPC, wonderful performances of the participants, witty emcees who delighted the crowd with their spiels, entertaining numbers by 3 Styles, and the new friends and learnings gained, it was truly a night to remember for all! Continued on page 7 A meeting of the Voting Representatives (VRs) of the institutional members of BAIPHIL was held on 01 December 2015 (Tuesday) at The Brasserie, 21st floor, Security Bank Head office, Ayala Avenue, Makati City. Pres. Rhoneil Fajardo called the meeting to order and asked BAIPHIL Secretary Ms. Aileen Guce to be the Secretary of the meeting. Aileen confirmed that notices of the meeting were sent to the VRs and that a quorum was present as 48 out of 63 members were present in person or by proxy, more than the minimum two-thirds required for the transaction of the businesses in the agenda. Pres. Rhoneil said that the special meeting of VRs is called for two purposes: To approve amendments to BAIPHIL’s Articles of Incorporation and By Laws; and To vote on the proposed Institutional Membership Dues structure effective FY2015-2016 For the 1st item, Pres. Rhoneil asked BAIPHIL’s Chief Legal Adviser, Atty. Tony Viray, to present the proposed amendments to BAIPHIL’s Articles of Incorporation and By-Laws. Atty. Viray explained that the amendment is pursuant to SEC Memorandum Circular No. 16-2014 which requires corporations that move to a new location in another city or municipality to file amended articles of incorporation to indicate its new location. As BAIPHIL will be moving to its new office in Makati by early next year, we need to amend our constitutive documents accordingly by reflecting the address of BAIPHIL’s new office at Unit 2103, The Peak Tower, 107 L.P. Leviste Street, Salcedo Village, Makati City. As there were no objections, questions or request for clarifications, a motion was raised for the approval and adoption of the following proposed amendments, and was seconded. a. Article THIRD of BAIPHIL’s Articles of Incorporation: “THIRD: That the domicile and principal office of the corporation shall be at Unit 66 Kanlaon Tower, Roxas Boulevard, Pasay City Unit 2103, The Peak Tower, 107 L.P. Leviste Street, Salcedo Village, Makati City. b. Section 2, Article 1 of BAIPHIL’s By-Laws : “Section2. The domicile and principal office of BAIPHIL, shall be within Metro Manila, Philippines as provided in the THIRD Article of its Articles of Incorporation. However, provincial committees, or chartered city committees, or regional committees of BAIPHIL, may be established in any province, chartered city, or region within the Philippines if conditions so warrant as determined by the Board of Directors.” For the 2nd item for vote, Pres. Rhoneil turned over the floor to BAIPHIL Treasurer, Mr. Dom Gavino, who, together with Pres. Rhoneil, explained the rationale for the following proposed Institutional Membership Dues structure effective FY2015-2016. While the current structure breaks Total Resources into twenty-six (26) brackets, it is proposed to have only five (5) brackets for simplicity and better transparency. The increase in dues was proposed in view of the higher administrative costs in maintaining BAIPHIL’s office and Secretariat, the backbone of the Institute, which has more than doubled over the past ten years (from P2M to P4mio+). Currently, total institutional membership dues amount to around P1.5M, and the proposed structure will increase it to around P2.3M. While still not enough to cover all administrative expenses, the new structure provides adequate buffer for now to cover the fluctuations in training net receipts, which is realized primarily through the volunteering efforts of individual members. More importantly, the proposal will allow the organization to dedicate investment in its training and course certification programs. Upon motion which was duly seconded, the proposed Institutional Membership Dues and Structure were approved by the body. To soften the transition to the revised fees, Pres. Rhoneil suggested, and the body approved, that for existing institutional members as of date, the implementation of the new dues shall be on a staggered basis over this fiscal year and the next, with payment for FY2015-2016 computed based on the old institutional dues plus half of the increase in fees, while payment for FY 2016-2017 will be based on the new dues, e.g. : Total Assets/ Resources <Php100M Current Fees Php5,070 Revised Fees Php15,000 FY 2015-2016 5,070 + (15,000-5070)/2)) = Php 10,035 FY 2016-2017 Php 15,000 We will reach the mid-point of our Diamond Jubilee year by the end of 2015, and I am happy to provide a recap and update on the plans that we set for this term which we captured under the B.E.S.T. (Build, Engage, Strengthen, and Transform) strategy: BUILD: • • • Office space – We’ve finalized the layout of our new office space at Unit 2103, The Peak Tower, and are preparing to bid out the contractual works this December. We hope for the unit to be ready for occupancy before the BAIPHIL week on March 2016. We deeply appreciate the support of Bonnie Santos who led the search for the new office space under Project NOBA, Rene Natividad who agreed to oversee the renovation works under Project Reno, and Baby Banares who offered the services of Engr. Mike Adan of the Bank of Makati to serve as our project consultant. VR approval has also been secured with the assistance of our legal adviser and past president, Tony Viray, to amend our Articles of Incorporation and By-Laws to indicate the new office address of BAIPHIL. Training Needs Analysis (TNA) – Work is underway on the formulation of the questionnaire to identify development gaps in the banking industry. We are fortunate to have the active involvement of Joy Lorico, BSP Managing Director for the Human Resources Sub-sector, who has been very helpful in suggesting the approach to this project. Training modules & certification courses – We continue to innovate on our seminar offerings. Among the courses we introduced for the first time this term include topics on Basic Understanding of Tax Treaties, CFO Forum on Tax Issues and PFRS Updates, Managing Regulatory Dimensions on Trust Activities, Supervisory Expectations on Compliance System, Business Continuity Management, Credit Risk Modeling, Credit Information System, and Enterprise Risk Management. Further, discussions are ongoing with colleagues in the region on potential partnerships for the offering of certification courses that will provide holistic development programs to further elevate the professional standards of the industry. ENGAGE: • Members – Our membership base continues to be stable and we’re happy to include in our roster new associate members. Special thanks to the Membership Committee under Aileen Guce and Kit Estrada not only for their persistence in recruitment, but also for their innovations in engaging our members through the orientation programs and personalized birthday cards. Improved engagement is evidenced by, among others, the increase in GMM attendance which is up 15% on average. We are honored to have distinguished guests like BSP Governor Amado M. Tetangco, Jr., Sen. Chiz Escudero, IT Law Expert Atty. JJ Disini and Silicon Valley pioneer Engr. Dado Banatao, grace our GMMs to speak on topics relevant to our members and advocacies. The impressive lineup continues in 2016 with Cong. Leni Robredo and BSP Deputy Governor Diwa Guinigundo, among those who have accepted our invite to be guest speaker. Kudos to the PACOM led by Liza Ortiz and Mhenn Matute for organizing these events. With our emphasis to have more involvement of the associate members, the Sports and Fellowship Committee under Baby Banares and Eric Sandoval initiated the first ever BAIPHIL Bowling Fun Games, in lieu of the Badminton Tournament. This proved to be a hit and truly lived up to its billing as a fun avenue for camaraderie among members across generations. The fun continued with the Christmas Party where members grooved to a retro 80s theme. BAIPHIL also continues to be diligent with its update to members on legal, regulatory and market developments with the improved BAIPHIL Market Watch, BAIPHIL Soft Empowerment Series and LegReg Updates courtesy of the ever reliable Research and LegReg Committees. The hardworking teams led by Tess Dean, Sche San Jose and Marissa Espino kept us in the loop on the ever changing financial and regulatory landscape. For members who missed our events or wished to recall them, the BAIPHIL on the Go courtesy of our PR & Publications Committee led by Vangie Nevado and Dette Ratcliffe faithfully document the activities of BAIPHIL. The same team handled the impressive newspaper supplement during the induction as well as the new BAIPHIL Directory. • Partners - BSP has been a very generous partner to BAIPHIL, particularly in providing SME support for our seminar offerings as well as advice to our projects, such as FEP, TNA and certification courses. We can’t thank enough BSP Managing Director Resty Cruz, for his untiring guidance. - SMEs – We are pleased to tap new speakers, both local and foreign, to share their knowledge and expertise to the banking community. Our SMEs are critical partners without whom BAIPHIL will not be able to fulfil its advocacy to uplift professional standards in the Philippine banking industry. In recognition of our SMEs’ contributions, we intend to have a special program for them during the BAIPHIL Week in March 2016. - Banking Associations – We participated in the ASEAN Banking Council Meeting in Singapore last June as a member of the BAP contingent. We also took part in the Asia Pacific Association of Banking Institutes Conference held in Delhi, India in September, where we were able to establish important networks with colleagues across the region for potential partnerships. • Public – Promoting financial education and literacy is a major theme this year. We are overjoyed with the participation and support of our institutional members to the 4th Festival of Banking Chorale, spearheaded by Marilen Ruiz and the Special Projects Committee, with the guidance of the Chief Adviser to the BOD and immediate past president Tess Galvadores. The event was our fundraiser for the financial education program (FEP) under past president Francis Puzon. After the August run in San Ildefonso, Bulacan, the FEP held in October the first ever seminar in the Visayas for teachers of Passi City in Iloilo. This financial management seminar was conducted by past president Susan R. Alcala-Uranza and Tess Andres in collaboration with our BSP partners, and was sponsored by Programa Genio of the ABS-CBN Lingkod Kapamilya Foundation, Inc. STRENGTHEN: • • • We continue to do housekeeping initiatives to improve BAIPHIL’s procedures and infrastructure under the leadership of Dom Gavino and Mharivic Abanto. As there have been some delays in collection, billing and reconciliation, a temporary staff was hired to assist our Secretariat pending the onboarding of an accounting staff. The Internal Audit of BAIPHIL is scheduled to commence on January 2016 and will be conducted by Mye Amahan and her team, in close coordination with Irene Arroyo. We’ve increased BAIPHIL’s visibility & accessibility with the launch of electronic and web versions of BAIPHIL on the Go and BMW. This resulted to an increase in the users and visits to our website by 38%. Special thanks to our TMC led by Balot Prudente and Rene Natividad for facilitating this change. TRANSFORM: • • • Secretariat - The reorganization of the Secretariat - from a logistics-oriented support to a professional training partner - is well underway. Bernie Cual, whom we hired in August as Training Head, conceptualized the revamp to involve not only the organizational structure but also perspective and skill sets, as we aim to upscale the competencies of staff to provide the best value to the organization as a training institute. Course Committees - The transition of our education platform from the BETI (Baiphil Education and Training Institute) to Course Committees has proceeded well. The objective of the shift was to reduce key person risk and have more of our members involved in training, by organizing committees based on their professional expertise. Once the directors and course committee chairs and members got used to the new set up, they quickly gained momentum and offered seminars one after another. Notwithstanding that November was unusually lean this year because of the APEC holidays, to date, we had 34 seminars with a total of 1,767 participants. Special mention to Racqs Manago and Bles Andres for their inspiring dedication as well as mentoring of the course committee chairpersons Dennis Matutina, Malou Bartolome, Romel Meniado, Lota Bacani and Dez Que. Financial Stability - Critical to the continuing evolution of BAIPHIL as the premier training institute for bankers is the financial stability of the organization. Cognizant that we are a non-profit organization which provides training to our member banks primarily as an advocacy and not a revenue generating activity, we agreed to increase training charges to members only minimally by P500, enough to cover the increase in costs in providing the seminars. We also sought to increase the membership fees given the rising administrative costs to maintain the Institute and the required investment to bring it to even higher standards. And on this we are truly grateful for the continuing support of our institutional members and their voting representatives with their overwhelming approval of our proposals. The new institutional membership dues will be rolled out to existing members on a phased approach during this and the next fiscal years. Indeed, there are a lot of things to be thankful for. And not the least is having a dedicated team in our Secretariat – Bernie Cual, Tess Limqueco, Girlie Alcid, Joy Poblete, Jeff Tuazon, Benok Motio, and Mel Martin - the wind beneath the wings of BAIPHIL.
