NUANS Name Searches are required by various governments in order to incorporate a named company. NUANS is an acronym for "Newly Upgraded Automated Name Search". It was developed in order for Industry Canada to search and maintain its ever‐increasing corporate name file. Since its inception, the system has been licensed to a private company by the Canadian Government. The following jurisdictions have adopted the NUANS: • Alberta • Federal • Ontario • Prince Edward Island • New Brunswick • Nova Scotia The following jurisdictions use a different form of a name reservation: • British Columbia • Saskatchewan • Newfoundland • Manitoba • Northwest Territory • Yukon • Nunavut • Quebec A NUANS report is a five or six page document that includes a list of corporations, business names and trademarks that appear and sound similar to the name being proposed for a new corporation. This report must be ordered and submitted to the pertinent jurisdiction, along with the Articles of Incorporation, in almost all cases. When a NUANS search is ordered on the proposed corporate name, that report has a life of 90 days from the date the report was issued. This date appears in the left‐hand column below the proposed name. If the articles are not filed and approved in the relevant jurisdiction within this 90‐day period, another search must be requested. The jurisdictions not using NUANS provide similar documentation that must be included with the Incorporation documents. Please note if you wish to reserve a name in Quebec, the name must be in French. 1 Accessing Cyberbahn Services
To access the Corporate Cyberbahn Services, follow these steps: 1. Open your browser and enter: www.cyberbahn.com into the address line. 2. Select Cyberbahn from the Sign in drop‐down list. 3. Enter your username and password into the fields provided and click Sign In. Enter your sign in information here Figure 1 Tip: Select Remember my Login Information to save your username and password on your computer. However, doing so allows anyone using your pc to easily access your account. 2 Ordering Preliminary Searches
1. Click NUANS Search located in the left column of the Cyberbahn Services (Main Menu) page. NUANS Searc h Figure 2 2. Click Preliminary Search on the Toolbar at the top of the screen. Preliminary Search Figure 3 3 3. Enter a reference ID into the field provided along with your contact information. Ensure that the email address is correct as this is where your report will be sent. Click Search Form on the left side or Next. Note: You may save your contact information on your computer to avoid re‐keying of data. Figure 4 4. Enter your proposed corporate name into the fields provided. You can enter up to five names for consideration or four additional variations of the name being searched, if you are looking for specific similar names. Select the jurisdiction. You may also enter the names of any related corporate or business names. Click Next or Summary on the left side. Figure 5 4 5. A summary of your search request is displayed. Click Submit Name to continue. Figure 6 Tip: You may click Validation on the left side to validate your search in terms of format only – ensuring all mandatory fields are completed. Validation of all data is performed automatically prior to submission. Errors will be indicated in red and need to be corrected. Warnings will be in blue and do not need to be addressed. They are merely suggestive. In either case, a link is provided to the relevant section containing the error or warning. 6. Confirm the details of your request and then click Submit. Figure 7 5 7. A confirmation screen appears indicating that your request has been submitted. The Preliminary report will be sent to the email address indicated on the Office Use page. 8. Note: An Inquiry Report is a search report for inquiry and research purposes only and does not include a Name Reservation. 8 6. Select the service level and whether you want to receive an opinion letter. (An Opinion Letter is comments provided by Cyberbahn to assist clients in reaching a decision on the availability of the proposed name.) 7. Select the purpose of your NUANS search and specify the significance or derivation of name by using the drop‐down list. See page 10‐11 for more information. 8. Enter the proposed nature of the business, if known, and names of related businesses/corporations if applicable. Click Next or Summary on the left side. Figure 15 9 Purpose of Search Corporation with Share Capital Choose this option if you require a name search to incorporate any for‐profit corporations (articles of incorporation). Corporation without Share Capital Choose this option if you require a name search to incorporate any for not‐for‐profit corporations (application of incorporation for a corporation without share capital). Amalgamation Choose this option if you require a name search in order to bring one or more corporations under a new corporate name. Change of name from Choose this option if you require a name search to amend a corporate name (articles of amendment, supplementary letters patent). Extra Provincial Licence coming from Choose this option if you require a name search to register an extra‐provincial license where the corporation is incorporated outside of Canada and wants to apply extra‐provincially in Ontario (Application for Extra‐Provincial License). Continuance from Choose this option if you require a name search to continue a corporation into another jurisdiction (Articles of Continuance). Business Name Registration Choose this option if you require a name search to register a business name (sole proprietorship, general partnerships, trade names, limited liability partnerships, limited partnership). Please Specify Use this option for any other reasons as to why you need a name search. Significance Dictionary Word Choose this option if the keyword in your corporate name is a word that is found in the English Dictionary. Coined Word Choose this option if the keyword in your corporate name is a word that is made up (i.e. initials, 2 words coming together, variations of dictionary words). Name/Surname Choose this option if the keyword in your corporate name is a person’s name. 10 Initial/Letters Choose this option if the keyword in your corporate name is made up of initials and/or letters only. Geographical Location Choose this option if the keyword in your corporate name is a geographic name (i.e. Alberta, Ontario Place). Address Choose this option if the keyword in your corporate name is a physical address (i.e. 2525 Wellington Inc.). Tip: You may click Validation on the left side to validate your search in terms of format only – ensuring all mandatory fields are completed. 11. A confirmation screen appears indicating that your request has been submitted. The NUANS report will be sent within the hour to the email address indicated on the Office Use page. Figure 18 12. Click on Transactions List for Today or Record of Transactions to verify the status of your report. 13. To print a summary of the order, select the Transaction and click on Order Summary. Create templates to store information you use repeatedly in order to save you time from having to re‐enter them for each NUANS search. 1. Click Template located on the Toolbar at the top of the screen. Template
