•The secret of good cutlery care is for everyone who
handles and cleans stainless steel cutlery to follow a few
simple guidelines to help eliminate potential problems.

•Store stainless steel and silver cutlery separately.
•Mineral salts from tap water can cause staining if cutlery
is not wiped effectively after hand washing.
•Detergents can also stain and to avoid this problem do
not use too strong a solution. Care should be taken to
ensure effective rinsing and drying.

•In hard water areas chalky deposits can be a problem
and a water-softening device is recommended. Some
water softeners are regenerated with salt and as a
precaution a rinse programme, as suggested by the
dishwasher manufacturer, is recommended before
washing the knives.
•Other causes of staining to be avoided are direct heat,
such as a hot plate or gas burner, or immersion in a
synthetic vinegar. Most stains can be polished off by
using a proprietary polishing preparation.
•Knives should be given extra care. To maintain a
maximum cutting edge they should not be left in
water overnight. Knives that are left in water overnight
actually receive as much exposure to corrosion as they
do during 3 to 4 months of ordinary use.

The Tognana Brand is known for the diversity of its product range. The success of the Graffiti and
Nero designs proves their worth to the most demanding catering professional. The 2011 Tognana
introductions continue the development of new product using the most advanced ceramics
technologies available in the 21st century and includes expansion of 'New Bone' ranges.
'New Bone' scores over traditional Bone china in that it has heat retention properties close to that
of traditional properties close to that of traditional porcelain, (important for the restaurateur in
providing hot food service). So confident are Tognana in the strength of 'New Bone' that they
provide the reinforced rim plates in the range with a 2 year no rim chip guarantee. 'New bone'
contains no lead or cadmium traces and is in keeping with the strictest of quality.

technology. This gives it a high level of
transparency and brilliance.
Mechanical Properties
Glassware made with SON.hyx crystal
has improved resistance to mechanical
shocks. Laboratory tests have given the
following results:

If you are looking for a virtually unbreakable product and a glass-like crystal clear
appearance then you should choose polycarbonate. Unlike glass, polycarbonate
does not chip. The ranges below are designed to replicate the stylish appearance
and clean lines of glass and offer excellent durability. Polycarbonate is dishwasher
safe, microwaveable and will withstand extremes of temperature from +120°C
to -100°C. As an excellent insulator it keeps warm drinks warm and cold drinks
cold longer than glass. It is more environmentally friendly than disposable plastic
products and may be recycled at the end of its useful life. All our polycarbonate
stemware is made in 1 piece for extra strength.

General terms and conditions of sale
1
1.1 Definitions and Interpretation:
In these Conditions (unless the context otherwise requires)
the following terms shall have the following meanings:
Buyer: the person detailed in the applicable Order or
Quotation;
Conditions: the terms and conditions of sale set out in
this document and any special conditions agreed and
signed in writing by the parties;
Contract: the agreement between the Seller and the
Buyer for the sale and purchase of Goods detailed in the
applicable Order or Quotation;
Delivery: delivery of the Goods by the Seller in
accordance with clause 4.1;
“Delivery Address” the address for delivery of the Goods
(if any) set out in the applicable Order or Quotation. In
the absence of a specified address or where the Buyer is
to collect the Goods the Delivery Address shall be the
Seller’s address or the agreed place of collection;
Estimated Delivery Date: the date on which the Seller
estimates that the Goods will be delivered which may be
set out in the applicable Order or Quotation;
Goods: the Goods which the Seller is to supply to the
Buyer under the applicable Order or Quotation;
Order: an order placed with the Seller by the Buyer and
accepted by the Seller either in writing or by Delivery of
the Goods ordered;
Quotation: a quotation given by the Seller to the Buyer
and accepted by the Buyer;

responsible for the accuracy of any order placed by it or
its acceptance of any quotation.

3.1 Sale and purchase:
The Buyer agrees to purchase the Goods from the Seller
and the Seller agrees to sell the Goods to the Buyer
upon the terms of the relevant Order or Quotation and
subject to these Conditions.
3.2 The Buyer shall not be entitled to cancel (in whole or in
part) any Order or Quotation except with the prior written
permission of the Seller. As a condition of its permission
the Seller may require that the Buyer indemnify the Seller
in full against all loss (including loss of profit), costs
(including materials and labour), damages, and expenses
incurred by the Seller in relation to the cancelled Order
or Quotation.
3.3 If the Goods are to be manufactured or any process is to
be applied to them by the Seller in accordance with the
specifications submitted by the Buyer or, if the Goods are
to be marked with any trade mark at the request of the
Buyer, the Buyer shall indemnify the Seller against all
loss, damages, costs and expenses awarded against or
incurred by the Seller in connection with or paid or
agreed to be paid by the Seller in settlement of any claim
for infringement of any patent, copyright, design, trade
mark or other industrial or intellectual property rights or
misuse of any confidential information of any other
person or any other liability whatsoever which results
from the Seller’s use of the Buyer’s specifications or the
marking of the Goods or from the sale or supply of such
Goods by the Seller.
1.2 Words incorporating the masculine gender include the
feminine and neuter genders and words incorporating
the singular include the plural and vice versa. Reference
to persons include, individuals, bodies corporate,
unincorporated associations and partnerships.
3.4 The Seller reserves the right to make any changes in the
specifications of the Goods which are required to conform
with any applicable safety or other requirements or which
do not materially affect their quality or performance.
1.3 Headings are for the purpose of identification only and
do not form part of the Conditions. Reference to clauses
are to clauses of the Conditions.
1.4 References to any statute or statutory provisions will,
unless the context otherwise requires, be construed as
including references to any amendment of subsequent
statute and will include any orders, regulations, instruments
or other subordinate legislation made under the relevant
statute or statutory provision which are in force prior to the
date of these Conditions or subsequently.

2.1 Basis of sale:
These Conditions apply to all Contracts entered into by
the Seller. By placing an order with the Seller or accepting the Seller’s quotation, the Buyer agrees to
deal with the Seller on these Conditions to the exclusion
of all other terms, conditions, warranties or representations.
2.2 The Seller may vary these Conditions at any time but such
variations shall only be binding in respect of Contracts
already in existence at the time of variation if the variation is in writing and is signed by each of the Buyer and Seller.
2.3 The Seller’s employees and/or agents are not authorised
to make any representations concerning the Goods
without the written confirmation of the Seller. The Buyer
acknowledges that it does not rely on any such
unconfirmed representations.
2.4 Any typographical, clerical or other error or omission in
any sales literature, quotation, price list, acceptance of
offer, invoice or other document or information issued by
the Seller shall be subject to correction without any
liability on the part of the Seller. The Buyer shall be

Delivery:
4.1 Unless otherwise expressly agreed in writing “Delivery”
shall be deemed to have been duly effected by the Seller:4.1.1 in the case of Goods to be collected by the Buyer when
the Seller has notified the Buyer that the Goods are ready
for collection at the Delivery Address; or
4.1.2 in all other cases by delivery of the Goods to the
Delivery Address.
4.2 The Seller shall use its reasonable efforts to effect
Delivery on or around the Estimated Delivery Date, but
time of Delivery shall not be of the essence. The Seller
may upon giving reasonable notice to the Buyer, effect
Delivery before the estimated delivery date.
4.3 Where the Goods are to be collected by the Buyer the
Buyer must remove the Goods from the Delivery Address
not later than the fifth working day after the Seller notifies
the Buyer in writing that the Goods are ready for
collection. If the Buyer fails to remove the Goods in
accordance with this clause 4.3 the Seller shall be
entitled to put the Goods in such place as it shall in its
discretion think fit (such Goods remaining there at the
sole risk and expense of the Buyer) and to charge the
Buyer for the storage of the same. Seller may at the
expiration of a further ten working days dispose of the
Goods in such manner as it thinks fit. The Seller’s
disposal of the Goods in accordance with this clause 4.3
shall not detract from the Buyer’s obligation to pay for the
Goods in accordance with these Conditions.
4.4 Where the Seller is to deliver the Goods in installments
each installment shall be treated as an entirely separate
contract and any default or breach by the Seller in
respect of any such installment shall not entitle the Buyer
to cancel any other installment or treat the Contract as a
whole as repudiated.
4.5 The Buyer shall be obliged to accept and pay for up to 5%
more or less than the quantity of Goods detailed in the
applicable Order or Quotation. Delivery by the Seller
(whether by installments or otherwise) within those limits
shall be deemed to be a complete fulfilment of the Seller’s
obligation under the Contract. In any event and
notwithstanding the foregoing, certain Goods may only be
offered for sale by the Seller in full boxes, cartons or
pallets. The Buyer shall be obliged to accept Delivery of
and pay for such additional quantity of such Goods as is
required to take the number detailed in the applicable
Order up to a number of full boxes, cartons or pallets
as applicable.
4.6 If the Goods are damaged on Delivery or (save as
permitted under clause 4.3) less than the correct amount
of the Goods is Delivered then, unless the Buyer notifies
the Seller and (where applicable) the carrier (otherwise
than by a note on the Delivery note) within three days of
Delivery, no claim against the Seller may be made in
respect of damage to or short delivery of such Goods.
4.7 If the Goods have not been delivered despite receipt by
the Buyer of the invoice from the Seller relating to them
then, unless the Buyer notifies the Seller within seven days
after the date of such invoice, no claim against the Seller
may be made in respect of non-delivery of those Goods. In
the event that the Buyer notifies the Seller of non-delivery in
accordance with this clause 4.7 or the Seller fails to deliver
the Goods in accordance with these Conditions (other than
for reasons beyond the Seller’s control or as a result of the
Buyer’s default) and the Seller is liable to the Buyer for
such non-delivery the Seller’s liability shall be limited to the
excess in cost (if any) to the Buyer (in the cheapest
reasonably available market) of similar goods to replace
those not delivered by the Seller.
4.8 The Buyer shall be deemed to accept the Goods on
Delivery notwithstanding any late delivery by the Seller.
4.9 If the Buyer fails to take Delivery of the Goods or fails to
give the Seller adequate delivery instructions before the
Estimated Delivery Date, then, without prejudice to any
other right or remedy available to the Seller, the Seller may:-
4.9.1 until actual Delivery is made and charge the Buyer for the
costs (including insurance) of storage; and/or
4.9.2 sell or supply the Goods (whether or not such Goods were
manufactured or marked by the Seller pursuant to the
provisions of clause 3.3 above) in or to a third party in any
country at the best price readily obtainable and (after
deducting all storage and selling expenses) charge the
Buyer for any shortfall below the price under the Contract.

5.1 Prices and payment:
The price of the Goods shall, subject to the provisions of
clause 5.2, be the price set out in the relevant Order or
Quotation or, if not specified, the price listed in the Seller’s
published price list current at the date of the Contract (the
“Price”). All Price quotes are save as provided in clause
5.2, valid for 30 days only or until earlier acceptance by the
Buyer, after which time they may be altered by the Seller
without giving notice to the Buyer.
5.2 The Seller reserves the right, on 1 January of each
calendar year or on such other date as the Seller may
choose from time to time, to increase the Price and the
Seller’s quoted prices and list prices (an “Increase”). Such
Increase shall have immediate effect in relation to all
quoted prices, list prices and Prices in respect of Goods
that have not, on the date of the Increase, been Delivered.
5.3 In addition to the Increase, the Seller reserves the right at
any time before Delivery, by giving notice to the Buyer to
increase the Price to reflect any increase in the cost to the
Seller which is due to any factor beyond its control (which
shall include but, not be limited to, any increase in the cost
of materials, goods or labour, transport charges, currency
fluctuation, taxes and/or duties), any change in Estimated
Delivery Date, Delivery Address, quantities or
specifications for the Goods which is requested by the
Buyer or any delay caused by any instructions of the Buyer
or failure of the Buyer to give the Seller adequate
information or instructions.
5.4 Unless otherwise stated all Prices are given by the Seller
on an ex-works basis, and the Buyer shall be liable to pay
the Seller’s charges for transport, packaging and insurance
together with any additional expenses, licence fees or
duties paid or incurred by the Seller as a result of the
Delivery Address not being in the UK.
5.5 The Price is exclusive of any applicable value added tax,
which the Buyer shall be additionally liable to pay to
the Seller.
5.6 In the absence of agreement to the contrary the Seller
shall be entitled to invoice the Buyer for all amounts due
under the Contract on or at any time after Delivery.
5.7 The Buyer shall make payment to the Seller in respect of
all invoices in full and without any deduction or set off
(whether in relation to such invoice or otherwise) at the
end of the calendar month following the invoice date.
Time of payment shall be of the essence.
5.8 If full payment is not received by the Seller by the due
date then without prejudice to its rights the Seller shall
be entitled:5.8.1 to cancel the Contract or suspend any further deliveries
under that or any other Contract;
5.8.2 to appropriate any payments made by the Buyer to such
of the Goods (or the goods supplied under any Contract)
as the Seller thinks fit;
5.8.3 to sue for the entire Price; and/or
5.8.4 to charge interest (both before and after any judgment)
at the rate of 4% over the base rate from time to time of
Barclays Bank PLC on the outstanding balance; and/or
5.8.5 to require the immediate return to the Seller of all Goods
in which the property has not passed to the Buyer in
accordance with the provisions of clause 8 below and
the Buyer hereby agrees to reimburse to the Seller upon
demand the Seller’s costs and expenses in recovering
such Goods.

6.1 Warranty and liability:
The Seller warrants that the Goods will, at the time of
Delivery, correspond with any specifications set out in the
relevant Quotation or Order and will be free from defects
in material and workmanship for a period of 60 days from
the date of Delivery
PROVIDED THAT:-
6.1.1 the Seller shall be under no liability in respect of any
defects in the Goods arising from any drawing, design or
specification supplied by the Buyer;
6.1.2 the Seller shall be under no liability in respect of any
defect, damage or breakage arising from fair wear and

tear, wilful damage or negligence by the Buyer or persons
using or handling theGoods, improper storage, failure to
follow the Seller’s instructions (whether oral or in writing) or
misuse, alteration or repair of the Goods without the
Seller’s approval;
6.1.3 the Seller shall be under no liability if the total Price has
not been paid by the due date for payment;
6.1.4 any defect in or failure by the Goods to meet any such
specification shall be notified to the Seller in writing as
soon as reasonably possible after the Buyer discovers
such defect or non-conformity; and
6.1.5 the above warranty does not extend to parts, materials
or equipment not manufactured by Seller, in respect of
which the Buyer shall only be entitled to the benefit of
any such warranty or guarantee as is given by the
manufacturer to the Seller hereby assigns to the Buyer
so far as it is able.
6.2 In the event of any valid claim under clause (6.1) above
being made by the Buyer, the Seller shall be entitled to
replace or repair the Goods (or the part in question) free
of charge or, at the Seller’s sole discretion, refund to the
Buyer the Price (or a proportionate part as appropriate)
but the Seller shall have no further liability to the Buyer.
6.3 There are no warranties, conditions, guarantees or
representations as to quality or fitness for a particular
purpose of the Goods or other warranties, conditions,
guarantees or representations whether express or
implied, oral or in writing, except as expressly stated in
the Contract and all warranties, conditions or other terms
implied by statute or common law and excluded to the
fullest extent permitted by law.
6.4 The Seller does not seek to exclude or limit its liability
for;6.4.1 fraud or fraudulent misrepresentation; or
6.4.2 death or personal injury resulting from negligence of the
Seller or its employees;
6.4.3 liability under the Consumer Protection Act 1987.
6.5 The Seller shall be liable to the Buyer for any direct
physical damage other than death or personal injury to
the extent that it results from the negligence of the Seller
or its employees up to a maximum, in respect of any
Order or Quotation, of the monies received by the Seller
under that Order or Quotation.
6.6 Except pursuant to clause 6.4 above, the Seller shall
not in any event be liable for any indirect, special or
consequential loss or damage, howsoever arising or in
respect of any loss of anticipated profits or wasted
overheads or similar costs in connection with or rising
out of the furnishing, functioning or use of the Goods,
or any item or service provided, and shall not be liable
for any other damages except as provided in the
relevant Contract.
6.7 Except pursuant to clauses 6.4 and 6.5 above in no
event shall the Seller’s liability in respect of any Goods
exceed the Price for those Goods.
6.8 Except pursuant to clause 6.4 above, no action,
regardless of form, arising out of the transactions under
the Contract may be brought by the Buyer more than two
years after the cause of action has accrued.
7
Risk and title
7.1 Risk of loss of or damage to the Goods shall pass to the
Buyer on Delivery and the Buyer shall insure the Goods
from that time until ownership of and title to them passes
to the Buyer:
7.2 Notwithstanding Delivery and the passing of risk in the
Goods to the Buyer, or any other provisions of these
Conditions, ownership of and title to the Goods shall be
retained by the Seller until the Seller has received in cash
or cleared funds payment in full of the price (and of the
price of any other Goods supplied to the Buyer by the
Seller at any time whether or not such price has
become due).
7.3 If any of the Goods owned by the Seller is incorporated
into other goods and is not identifiable in and separable
from the resulting composite or mixed goods, title to the
resulting composite or mixed goods shall vest in the
Seller and shall be retained by the Seller for so long as
and on the same terms as those on which it would have
retained title to the Goods in question.
7.4 Until ownership of and title to all goods owned by the
Seller passes to the Buyer, the Buyer shall hold the
goods in the Buyer’s possession or control as the Seller’s
fiduciary agent and bailee and shall keep them separate
from those of the Buyer and third parties and properly
stored, protected and insured and identified as the
Seller’s property. The Buyer shall be entitled to resell or
use such goods in the ordinary course of its business but
shall account to the Seller for the entire proceeds of sale
or otherwise of such goods whether tangible or
intangible, including insurance proceeds, and shall keep
all such amounts separate from any monies or property
of the Buyer and third parties and, in the case of tangible
proceeds properly stored, protected and insured. The
Buyer shall maintain records of the persons to whom it
sells or disposes of such goods and of the payments
made by such goods and will allow the Seller to inspect
those records and the goods themselves on request.
The Seller shall be entitled to trace the proceeds of sale
or otherwise of such goods.
7.5 For the avoidance of doubt, the Goods, all other goods
supplied to the Buyer by the seller and all goods into
which the Goods or such other goods have been
incorporated which are in the Buyer’s possession shall
be presumed to belong to the Seller unless the Buyer
can prove otherwise.
7.6 Until ownership of and title to any goods owned by the
Seller passes to the Buyer (and providing the goods are
still in existence and have not been resold), the Seller
shall be entitled at any time to require the Buyer to
deliver up such goods to the Seller and, if the Buyer fails
to do so forthwith, to enter upon any premises of the
Buyer or any third party where such goods are stored
and repossess them. The Buyer shall procure that any
third party which holds such goods shall permit the Seller
to take possession of them and shall indemnify the Seller
against any liability which it may incur to such third party in
connection with taking or attempting to take possession of
them. The Seller shall be entitled to use or dispose of such
goods as it wishes. Unless the Seller expressly elects
otherwise any Contract between it and the Buyer shall
remain in existence notwithstanding any exercise by the
Seller of any of its rights under this clause.
7.7 The Buyer shall not be entitled to pledge or in any way
charge by way of security for any indebtedness any
goods which remain the property of the Seller, but if the
Buyer does so, all monies owing by the Buyer to the
Seller shall (without prejudice to any other right or remedy
of the Seller) forthwith become due and payable.
8
8.1 Laws and regulations:
The Buyer shall comply with all laws and regulations
relating to the ownership and use of the Goods including
health and safety requirements, export control legislation
and US re-export control legislation.
9
Termination:
9.1 The Seller shall be entitled to terminate the Contract
forthwith by notice in writing to the Buyer if:9.1.1 the Buyer commits an irremediable breach of the Contract,
persistently repeats a remediable breach or commits any
remediable breach and fails to remedy it within 30 days of
receipt of notice of the breach requiring remedy of the
same; or
9.1.2 the Buyer makes any voluntary arrangement with its
creditors or (being an individual or firm) becomes
bankrupt or (being a company) becomes subject to an
administration order or goes into liquidation (otherwise
than for the purposes of solvent amalgamation or
reconstruction); or
9.1.3 the Buyer ceases or threatens to cease to carry on
business; or
9.1.4 there is at any time a material change in the management,
ownership or control of the Buyer;
or
9.1.5 the Buyer is resident in a jurisdiction other than England
and Wales, if an event similar to any of those specified in
clause 9.1.2 occurs to or in relation to the Buyer; or
9.1.6 if the Seller reasonably apprehends that any of the events
specified in clause 9.1.2 is about to occur in relation to the
Buyer and notifies the Buyer accordingly.
9.2 In the event of termination by the Seller pursuant to clause
9.1 above then, without prejudice to any other right or
remedy available to the Seller, the Seller shall be entitled to
cancel the Contract or suspend any further deliveries
under it without any liability to the Buyer and, if the Goods
have already been Delivered but not paid the Price shall
become immediately due and payable notwithstanding
any previous agreement or arrangement to the contrary
and the Seller shall be entitled to charge interest (both
before and after any judgment) at the rate of 4% over the
base rate from time to time of Barclays Bank PLC from
the time of such.
10 10.1 Export Terms:
The provisions of this clause 10 shall apply, notwithstanding any other provision of these Conditions,
to the supply of Goods to be exported from the UK and,
for the purposes of this clause 10, the International
Chamber of Commence Rules for the Interpretation of
Trade Terms (“Incoterms”) in force at the date of the
Contract shall apply save that in the event of conflict
between these Conditions and the Incoterms the terms
of these Conditions shall prevail.
10.2 Unless otherwise agreed in writing between the Buyer
and the Seller the Goods shall be delivered ex-works in
accordance with clause 4 and the Seller shall be under
no obligation to give notice under section 32(3) of the
Sale of Goods Act 1979 (as amended from time to time).
10.3 Unless otherwise agreed between the parties in writing
payment of all amounts due to the Seller shall be made
in accordance with the Conditions by an irrevocable letter
of credit opened by the Buyer in favour of the Seller and
confirmed by a bank in the United Kingdom acceptable
to the Seller.
10.4 The export of certain products from the United Kingdom
and their re-export from the country to which they were
originally exported is subject to control and prohibitions
by virtue of the legislation of the United Kingdom, United
States and European Economic Community. The Buyer
agrees not to export or re-export in breach of any such
control or prohibition and agrees generally to comply with
legislation or regulation governing the import of the Goods
into their country of destination. The Buyer undertakes to
fully indemnify and keep indemnified the Seller.
10.5 The Buyer is responsible for arranging inspection of the
Goods prior to shipment and the Seller has no liability in
respect of defects discovered after shipment that would
have been apparent upon such inspection or, in respect
of damage suffered during transit.
11 11.1 General:
The remedies available to the Seller under the Contract
shall be without prejudice to any other rights, either at
common law or under statute, which it may have against
the Buyer.
11.2 The failure or delay of the Seller to enforce or to exercise,
at any time or for any period of time, any term of or any
right, power or privilege arising pursuant to the Contract
does not constitute and shall not be construed as a waiver
of such term or right and shall in no way affect either
party’s right later to enforce or exercise it nor shall any
single or partial exercise of any remedy, right, power or
privilege preclude any further exercise of the same or the
exercise of any other remedy, right, power or privilege.
11.3 The invalidity or unenforceability of any term of, or any
right arising pursuant to the Contract shall not in any
way affect the remaining terms or rights which shall be
construed as if such invalid or unenforceable term or
right did not exist.
11.4 Any notice or written communication required or permitted
to be served on or given to either party under the Contract
shall be delivered by hand or sent by recorded delivery
mail to the other party at its address set out in the
applicable Order or Quotation or to such other address
which it has previously notified to the sending party and
shall be deemed to have been given when actually
received or, if sent by recorded delivery mail and returned
marked “gone away” or to the like effect, on return of such
recorded delivery mail.
11.5 The Contract is personal to the Buyer and the Buyer may
not assign, transfer, sub-contract or otherwise part with
the Contract or any right or obligation under it without the
prior written consent of the Seller.
11.6 Neither party shall be liable to the other if its performance
of its obligations under the Contract (other than an
obligation to pay money) is prevented or hindered due
to any circumstances outside its control.
11.7 No variation or amendment to the Contract shall be
effective unless in writing signed by authorised
representatives of the parties.
11.8 Nothing in this Contract shall be construed so as to confer
any rights upon any party who is not a party to it whether
under the Contracts (Rights of Third Parties) Act 1999
or otherwise.
11.9 The construction, validity and performance of the Contract
is governed by the law of England and the parties accept
the exclusive jurisdiction of the English Courts.
