ungewöhnlicher Vielfalt. Unter den Marken AmperLite®, Amperlite 2000®, Amperlux® und Amperled®
bietet Ampercell® mobile Leuchten in allen gängigen Technologien, für praktisch jeden Einsatzzweck.
Von preiswerten Kunststofflampen bis zur hochwertigen Serie Amperlite 2000® aus Luftfahrtaluminium
sind alle Modelle vom zentralen Lager im Rhein-Main-Gebiet oder regionalen Lagern aus jederzeit sofort
lieferbar. Enge Kontakte zu maßgeblichen Lieferanten im Weltmarkt sichern die Aktualität des Angebots
sowie das Abdecken auch ausgefallener Kundenwünsche. So werden Ampercell-Produkte auch als
Werbemittel mit individueller Bedruckung oder Gravur an Kunden unterschiedlichster Branchen geliefert.
Wie die Leuchten und sonstigen batteriebetriebenen Geräte zeichnen sich auch die Primärbatterien
(Marke Ampercell®) und wiederaufladbaren Batterien (Marke AccuCharge®) sowie die Ampercell Ultimate
Lithium Batterien durch ein hervorragendes Preis-Leistungsverhältnis aus. Die Nickel-Metallhydrid
(NiMH)-Akkus gehören hinsichtlich Leistung und Betriebssicherheit zu den Spitzenreitern im Markt.
Außer den eigenen Markenprodukten bietet Ampercell auch Erzeugnisse anderer führender Hersteller
sowie Batterien für Spezialanwendungen an.
Die Ampercell GmbH wurde – damals noch in Kronberg im Taunus – am 1. Januar 1985, also vor fast
30 Jahren, von Dieter W. Hahner gegründet. Grundstock des neuen Unternehmens waren die umfangreichen Erfahrungen, die er aus seiner langjährigen Tätigkeit bei internationalen Firmen der
elektrotechnischen Industrie mitbrachte. Das schnelle Wachstum des Einmannbetriebes zu einem
gesunden mittelständischen Unternehmen ging mit einer kontinuierlichen Ausweitung des Sortiments
einher: Heute umfasst es mehr als 1000 Artikel. Mit dem Umzug an den heutigen Firmensitz in
Oberursel/Ts. wurden auch die räumlichen Voraussetzungen für die weitere erfolgreiche Entwicklung
geschaffen. Der steigende Exportanteil spiegelt die Anerkennung wider, die unsere Produkte im Ausland
finden.

Having specialised in batteries, battery-operated flashlights and other battery-operated lighting
products, AMPERCELL has gained a sound knowledge in the electrical engineering field, especially of
portable light independent of a stationary power source. Owing to its experience of many years and
its ambition to offer exclusively products of state-of-the-art lighting technologies to its customers, the
company located in Oberursel, Germany, has become an esteemed partner for specialists in trade and
industry and for public authorities within Germany and beyond its borders.
The wide range of products includes primary batteries, rechargeable batteries, battery chargers,
adaptors and measuring devices as well as small flashlights, torched and powerful hand lanterns for
professional applications in an extraordinary variety. With brand names like Amperlite®, A

AmperLUX and AmperLed , Ampercell GmbH offers portable flashlights of all common technologies
for about every application. From the low priced plastic flashlight to the premium quality AMPERLITE
2000® flashlight made of aircraft aluminium, all items are immediately available from our warehouse in
the Rhine-Main area or from other regional warehouses. Close contact with the leading manufacturers
around the world ensures that Ampercell’s offer is up to date and at the same time allows to promptly
react to customers’ special demands. Thus, Ampercell products are also sold as advertising materials,
customized with imprint or engraving, to customers in a wide variety of industries.
Just like the flashlights and other battery-operated items, the primary batteries (brand Ampercell®),
rechargeable batteries (brand AccuCharge®) and Ampercell Ultimate Lithium batteries offer an
outstanding price-performance ratio. As far as performance and operational reliability are concerned,
nickel metal hydride (NiMH) cells are among the very best rechargeables in the market. What is more,
Ampercell GmbH can offer brands from other leading manufacturers and special batteries.
Ampercell GmbH was established by Dieter W. Hahner on January 1, 1985, in the town of Kronberg in
Taunus Mountains which is nearly 30 years ago. The new company was founded on the basis of his long
time experience by working for international companies in the electrical industry. The speedy growth
from a one-man enterprise into a healthy medium-sized company is owed to the steady increase of
items; as of today, there are more than 1,000 items in stock. The company’s move to the town of
Oberursel/Taunus ensures that there is plenty of room for a continual successful development. The
rising export figures reflect the wide acceptance of our products with clients abroad.

Allgemeine Geschäftsbedingungen
der Firma Ampercell Vertriebsgesellschaft für elektronische Erzeugnisse mbH, Oberursel/Ts.
1.Alle Lieferungen und Leistungen an unsere Vertragspartner (nachfolgend „Abnehmer” genannt) erfolgen ausschließlich auf der Grundlage der vorliegenden, allgemeinen Geschäfts
bedingungen. Von diesen Bedingungen abweichende Bestimmungen, insbesondere Geschäftsbedingungen des Abnehmers, finden keine Anwendung, auch wenn wir ihrer Geltung
im Einzelfall nicht gesondert widersprechen. Auch wenn von uns auf ein Schreiben Bezug genommen wird, das Geschäftsbedingungen der Abnehmer oder eines Dritten enthält
oder auf solche verweist, liegt hierin kein Einverständnis mit der Geltung jener Geschäftsbedingungen.
2.Unsere Angebote sind nur solange bindend, bis wir sie widerrufen. Sie können nur binnen dreißig Tagen angenommen werden. Bestellungen unserer Vertragspartner können
wir ebenfalls innerhalb von 30 Tagen annehmen.
3.Alle Verträge über Lieferungen und Leistungen, die nicht der Schriftform genügen, bedürfen zu ihrer Rechtswirksamkeit unserer schriftlichen oder per Telefax erfolgenden
Bestätigung. Einseitige rechtsgeschäftliche Erklärungen betreffend das Vertragsverhältnis, insbesondere Kündigungen, Rücktritte und Mängelanzeigen, bedürfen zu ihrer
Wirksamkeit der Schriftform; die Schriftform wird durch die Übermittlung per Telefax gewahrt.
4.Angaben zum Gegenstand der Lieferung oder Leistung (z. B. Maße, Ge-/Verbrauchswerte, Belastbarkeit, Toleranzen und t echnische Daten) in Schrift oder Bild sind Beschreibungen
der Waren oder Kennzeichnungen. Aus ihnen kann eine strengere Haftung nur abgeleitet werden, wenn wir deren Verbindlichkeit ausdrücklich garantiert haben. Handelsübliche
und solche Abweichungen von der Sollbeschaffenheit, welche auf Grund rechtlicher Vorschriften erfolgen oder technische Verbesserungen darstellen, sind zulässig, soweit sie
die Verwendbarkeit und den vertraglichen Zweck nicht beeinträchtigen.
5.An von uns abgegebenen Angeboten, Kostenvoranschlägen, von uns oder Dritten stammenden und dem Abnehmer zur Verfügung gestellten Werkzeugen, Hilfsmitteln, Mustern,
Proben, Abbildungen, Beschreibungen, Modellen, Berechnungen, Datensätzen und anderen Unterlagen behalten wir uns alle Rechte vor. Der Abnehmer darf diese Gegenstände
ohne unsere Zustimmung Dritten weder als solche noch inhaltlich zugänglich machen, noch sie bekannt geben oder selbst oder durch Dritte nutzen, noch sie vervielfältigten.
Insbesondere sind sie auf unser Verlangen unverzüglich zurückzugeben.
6.Bei Geschäftsabschlüssen im Rahmen des elektronischen Geschäftsverkehrs sind wir nicht verpflichtet, die in § 312e Absatz 1 Nr. 1 bis 3 BGB vorgesehenen Maßnahmen und
Erklärungen zu verschaffen, es sei denn, dass unser Vertragspartner Verbraucher i. S. des BGB ist.
7.Unsere Preise gelten nur für den vereinbarten Leistungs- und Lieferumfang. Mehr- und Sonderleistungen werden gesondert berechnet. Ab einem Auftragswert von Euro 1500,–
gelten unsere Preise einschließlich der Kosten für die günstigste Versendungsart zum Bestimmungsort im Inland und Verpackung.
8. Unsere Rechnungen verstehen sich netto und sind sofort zahlbar netto Kasse, sofern nichts anderes vereinbart ist.
9.Soweit eine Lieferung oder Leistung vereinbarungsgemäß später als vier Monate nach Vertragsschluss erfolgt und sich zwischenzeitlich die Preise unserer Vorlieferanten,
die uns entstandenen Kosten (z. B. Frachten und Löhne) oder von uns zu zahlende Abgaben erhöhen oder Abgaben neu eingeführt werden, so sind wir berechtigt, den Preis
entsprechend anzugleichen, es sei denn, er ist ausdrücklich als Festpreis vereinbart worden.
10.Gegenüber unseren Forderungen kann der Abnehmer nur aufrechnen oder ein Zurückbehaltungsrecht geltend machen, wenn die Gegenforderung unbestritten oder rechtskräftig
festgestellt ist.
11.Bei Zahlungsverzug sowie begründeten Zweifeln an der Zahlungsfähigkeit oder Kreditwürdigkeit des Abnehmers sind wir – unbeschadet unserer sonstigen Rechte – befugt, für
noch nicht durchgeführte Lieferungen Vorauszahlung zu verlangen und sämtliche Ansprüche aus der Geschäftsverbindung sofort fällig zu stellen. Unsere Lieferpflichten ruhen,
solange der Abnehmer mit einer fälligen Zahlung in Verzug ist.
12.Die Gefahren des Transports gehen zu Lasten des Abnehmers. Das gilt auch dann, wenn wir den Versand der Waren auf Wunsch des Abnehmers oder nach unseren
Bedingungen übernommen haben, ohne dass eine Bringschuld vereinbart ist. Die Sendung wird von uns nur auf ausdrücklichen Wunsch des Abnehmers und auf seine Kosten
gegen Transport- oder sonstige Schäden versichert.
13.Wir haben eine nicht fristgerechte Leistung nicht zu vertreten, die auf der nicht rechtzeitigen Leistungserbringung unseres Vorlieferanten beruht, wenn wir nachweisen, dass
wir über die Lieferung rechtzeitig ein kongruentes Deckungsgeschäft mit dem Lieferanten geschlossen haben oder wenn die Verzögerung auf Streik oder Aussperrung beruht.
14.Soweit der Abnehmer selbst Unternehmer ist, haften wir für Schäden, die nicht auf der Verletzung von Leben, Körper oder Gesundheit beruhen, nur in Fällen vorsätzlicher oder
grobfahrlässiger Pflichtverletzung durch unsere gesetzlichen Vertreter oder Erfüllungsgehilfen, bei Letzteren nur, soweit der Schaden nicht durch die Verletzung wesentlicher
Vertragspflichten verursacht wurde. Darüber hinaus haften wir nach Maßgabe von Gefährdungshaftungstatbeständen (insbesondere des Produkthaftungsgesetzes).
15.Ansprüche gegen uns aus vertraglichen Pflichtverletzungen wegen Sach- und Rechtsmängeln, die wir zu vertreten haben, verjähren ein Jahr nach Ablieferung der Sache. Hiervon
ausgenommen sind Waren, die entsprechend ihrer üblichen Verwendungsweise für ein Bauwerk verwendet werden und dessen Mangelhaftigkeit verursacht haben.
16.Wir behalten uns das Eigentum an allen von uns gelieferten Gegenständen vor, bis der Abnehmer alle Ansprüche aus der Geschäftsverbindung mit uns getilgt hat. Unser
erarbeitung,
Vorbehalt erstreckt sich auf die durch Verarbeitung der Vorbehaltsware entstehenden neuen Erzeugnisse. Die Verarbeitung erfolgt für uns als Hersteller. Bei einer V
Verbindung oder Vermischung mit uns nicht gehörenden Sachen erwerben wir Miteigentum im Verhältnis des Rechnungswerts unserer Vorbehaltsware zu den Rechnungswerten
der anderen Materialien. Solange der Abnehmer bereit und in der Lage ist, seinen Verpflichtungen uns gegenüber ordnungsgemäß nachzukommen, darf er über die in unserem
Eigentum bzw. Miteigentum stehende Ware im ordentlichen Geschäftsgang verfügen. Im Einzelnen gilt folgendes:
a)Stundet der Abnehmer den Kaufpreis gegenüber seinen Kunden, so hat er sich gegenüber diesen das Eigentum an der veränderten Ware vorzubehalten. Unter diesem
Vorbehalt ist der Abnehmer zur Verfügung über die Vorbehaltsware ermächtigt.
b) Alle Forderungen aus der Veräußerung von Vorbehaltsware tritt der Abnehmer einschließlich Wechsel und Schecks zur Sicherung unserer Ansprüche aus der Geschäfts
verbindung schon jetzt an uns ab. Bei Veräußerung von Waren, an denen wir Miteigentum haben, beschränkt sich die Abtretung auf den Forderungsanteil, der unserem
Miteigentumsanteil entspricht. Bei Verarbeitung im Rahmen eines Werkvertrags wird die Werklohnforderung in Höhe des anteiligen Betrags seiner Rechnung für die
mitverarbeitete Vorbehaltsware schon jetzt an uns abgetreten. Der Abnehmer ist zu einer Weiterveräußerung oder sonstigen Verwendung der Vorbehaltsware nur dann
ermächtigt, wenn sichergestellt ist, dass die Forderungen daraus entsprechend den vorstehenden Vereinbarungen auf uns übergehen.
c)Zugriffe Dritter auf die Vorbehaltsware, etwa im Wege der Pfändung oder Beschlagnahme, sowie Beschädigungen oder die Vernichtung sind uns unverzüglich schriftlich oder
per Telefax anzuzeigen. Der Abnehmer hat alle Kosten zu tragen, die zur Aufhebung des Zugriffs unter Wiederbeschaffung der Vorbehaltsware erforderlich sind, soweit sie
nicht von Dritten eingezogen werden können.
d) Übersteigt der realisierbare Wert der Sicherheiten die zu sichernden Forderungen um mehr als zehn Prozent, so werden wir auf Verlangen des Abnehmers insoweit Sicherheiten
nach seiner Wahl freigegeben.
e) Auf unser Verlangen hat uns der Abnehmer die zur Einziehung von Forderungen erforderlichen Angaben über die Abtretung mitzuteilen und alle hierfür notwendigen U
nterlagen
auszuhändigen.
f) Soweit der Eigentumsvorbehalt nach den im Land des Abnehmers geltenden gesetzlichen Bestimmungen nicht oder nur begrenzt zulässig ist, beschränken sich unserer
vorbezeichneten Rechte auf den gesetzlich zulässigen Umfang.
17.Für die gesamten Rechtsbeziehungen zwischen uns und dem Abnehmer gilt ausschließlich deutsches Recht. Die Anwendung des UN-Kaufrechtübereinkommens vom 11.4.1980
wird ausgeschlossen.
18.Gerichtsstand für alle etwaigen Streitigkeiten aus der Geschäftsbeziehung zwischen uns und dem Abnehmer ist ausschließlich Frankfurt am Main, falls der Abnehmer
Vollkaufmann ist. Die gesetzlichen Bestimmungen über ausschließliche Gerichtsständen bleiben von dieser Regelung unberührt.
19.Sollte eine Bestimmung in diesen Geschäftsbedingungen oder eine Bestimmung in ergänzenden Vereinbarungen ganz oder teilweise unwirksam sein oder werden, so wird
hiervon die Wirksamkeit im Übrigen nicht berührt. Anstelle der unwirksamen Bestimmung oder des unwirksamen Teils der Bestimmung gilt diejenige rechtlich wirksame
Regelung, die dem mit der unwirksamen Bestimmung verfolgten Zweck am nächsten kommt.

1. All deliveries and services to our contracting partners („Purchaser“ in the following) are made only on the basis of the present general terms and conditions. Provisions that
differ from these terms and conditions, especially Purchaser´s terms and conditions, shall not apply, even if we do not separately object to their validity in a particular case.
Also, if we make reference to a letter that contains Purchasers´ terms and conditions or those of a third party or makes reference to such terms and conditions, this shall not
be effective as an agreement to the validity of such terms and conditions.
2. Our offers are binding only until revoked by us. They can only be accepted within 30 days. Orders by our contracting partners can also be accepted by us within 30 days.
3.All contracts of deliveries and services that have not been made in writing and signed by both partie, require our written confirmation, also by fax, in order to be legally
effective. Unilateral legal declarations concerning the contractual relationship, especially terminations, cancellations and notices of defect, must be made in written form;
the requirements of written form are fulfilled by fax transmission.
4.Information as to the object of delivery or service (e.g. measures, values of use and consumption, capacity, tolerances and technical data) in writing or as a graphical representation
are descriptions of the products or identifiers. A stricter liability may be derived from them only if we have explicitly guaranteed their binding character. Deviations from the
desired quality according to normal trade practice or such deviations that result from legal provisions or that are technical improvements are permissible as far as they do not
impair the usability and the contractual purpose.
5.We reserve all rights of offers made by us, cost estimates, tools provided by us or by third parties that were made available to Purchaser, auxiliaries, samples, specimens,
illustrations, descriptions, models, calculations, data sets and other documents. Without our consent, Purchaser must not make these objects accessible to third parties,
neither as such nor as regards content, nor make them known or make use of them himself or through third parties, nor reproduce them. In particular, they must be returned
to us immediately on request.
6.In case of conclusions of transactions in the scope of electronic business operations, we shall not be obliged to procure the measures and declarations as provided in § 312 e
Section 1 No. 1 to 3 BGB (German Civil Code) unless our contractual partner is a consumer in the sense of BGB.
7.Our prices are valid only for the agreed volume of service and delivery. Additional and special services are charged extra. From an order value of Euro 1,500.00, our prices are
valid inclusive of costs of the most cost-saving dispatch to a destination at home and packing.
8. Our invoices are net and payable immediately net cash unless otherwise agreed.
9.As far as, per agreement, a delivery or service is effected later than four months after conclusion of a contract, and ad interim the prices of our upstream suppliers, the costs
arisen for us (e.g. freights and wages) or duties to be paid by us have risen or duties have been newly introduced, we shall be entitled to adapt the price accordingly unless a
fixed price was explicitly agreed.
10.Purchaser can only counterbalance against our receivables or claim a right of detention if the counterdemand has not been contested or has been recognized by declaratory
judgement.
11.In case of default in payment or of reasonable doubt of Pur-chaser´s solvency or creditworthyness, we shall, without preju-dice to our other rights, be entitled to demand an
advance payment for deliveries not yet effected and to immediately mature all claims from the relationship. Our obligation to deliver is sus-pended as long as Purchaser is in
default of any payment due.
12.Purchaser shall bear the risks of transport. This also applies if we have assumed dispatch of the goods at Purchaser´s request or according to our conditions without any
stipulation of an obligation to be performed at the creditor´s place of business having been made. The consignment shall be insured by us only at Purchaser´s explicit request
and at his cost against any damage in transit or any other damages.
13.We shall not be responsible for any untimely delivery that is caused by a delayed performance of our upstream supplier if we prove that we have concluded a congruent covering
operation of the delivery with the supplier in time or if the delay is caused by a strike or a lock-out.
14.To the extent that Purchaser is an entrepreneur himself, we shall be liable for damages that are not caused by the violation of life, body or health only in cases of wilful or
grossly negligent breach of duty by our legal representatives or persons employed by us in the performance of our obligations; concerning the latter, only as far as the damage
was not caused by the violation of essential contractual obligations. Beyond that, we are liable under the proviso of facts of absolute liability (in particular under the [German]
law of product liability).
15.Claims against us from the violation of contractual obligations because of defects as to quality and defects of title for which we are responsible become statute-barred after
one year after delivery of the matter. This shall apply with the exception of goods that are used for a building according to their usual application and that have caused the
building´s defectiveness.
16.We remain title of all objects delivered by us until Purchaser has settled all claims from his relationship with us. Our reservation extends to the new products that were
produced by the processing of the reserved goods. The processing is carried out for us as producers. In case of processing, combination or mixing with matters not owned by
us, we acquire co-ownership in proportion of the invoice value of our reserved goods to the invoice values of the other materials. As long as Purchaser is willing and able to duly
meet his obligations to us, he may dispose of the goods in our ownership, or co-ownership, in the ordinary course of business. In detail, the following shall apply:
a)If Purchaser allows his customers deferment of the purchase price, he must remain title of the modified goods against them. With this reservation, Purchaser shall be authorized
to dispose of the reserved goods.
b) Purchaser assigns all claims from the disposal of reserved goods inclusive of bills and cheques to us even now in order to provide security for our claims from the relationship.
In case of the disposal of goods of which we are co-owners, the assignment is limited to the proportion of the claim that is equivalent to our proportion of co-ownership. In case
of processing within the scope of a contract for work and labour, the work wage claim at an amount of the proportional amount of his invoice for the reserved goods processed
with other goods is assigned to us even now. Purchaser is only authorized for a resale or other use of the reserved goods if it is guaranteed that the claims arising from this
pass into our ownership according to the above stipulations.
c) We must immediately be notified in writing or by fax transmission of any seizures of third parties of the reserved goods, for example by way of garnishment or attachment,
as well as of damages or destruction. Purchaser must bear all costs that arise from the lifting of the seizure under recovery of the reserved goods as far as they cannot be
collected by third parties.
d) If the realizable value of the securities surmounts the claims that must be covered by over ten per cent, we shall correspondingly release securities at Purchaser´s choice on
his demand.
e) On our request, Purchaser must inform us of the data required for the collection of claims and he must hand over all required documents to us.
f) As far as the reservation of title is not permissible, or within limits only, according to the legal provisions effective in Purchaser´s country, our rights as specified above shall
be limited to the legally permissible extent.
17.The law of the Federal Republic of Germany shall exclusively apply to all legal relationships between us and Purchaser. Application of the UN-Convention on Contracts for the
International Sale of Goods of April 11, 1980, shall be excluded.
18.The place of jurisdiction for all possible disputes from the rela-tionship between us and Purchaser shall exclusively be Frankfurt am Main if Purchaser is a full merchant. The
legal provisions of exclusive places of jurisdiction shall remain unaffected by this regulation.
19.Should any of the provisions of these terms and conditions or a provision in amending agreements be, or become, wholly or partially invalid, the rest of the agreement shall
remain unaffected. Instead of the invalid provision or the invalid part of a provision, a legally effective regulation shall apply that produces the same commercial effect as the
invalid one as best as possible.
