Extraordinary General Meeting of the Shareholders of Alpha Bank
on March 28, 2014
T
he Extraordinary General Meeting of the Shareholders of Alpha Bank, which was held on 28.3.2014, approved: the raising of capital
by the Bank up to the amount of Euro 1.2 billion (including the amount corresponding to contributions above par value), by the
increase of its share capital, through payment in cash; the cancellation of the pre-emption rights of the existing (common and preferred)
shares; the issuance and distribution by the Bank of 1,846,153,846 new common, nominal, paperless shares with voting rights of a
nominal value of Euro 0.30 each and an offer price of Euro 0.65 per new share and the offer of the total number of the new shares by
private placement to special investors in the sense of article 2 para. 1 section (f) of law 3401/2005; and the amendment of article 5 of
the Articles of Incorporation. In addition, it granted the Board of Directors of the Bank the power to attend to the total share capital
increase and to provide for similar issues related to the capital increase.
The General Meeting was informed that the Board of Directors, at its meeting on 30.1.2014, elected Mrs. Panagiota S. Iplixian,
in accordance with law 3864/2010, upon instruction of the Hellenic Financial Stability Fund, as a Non-Executive Member of the Board
of Directors. The General Meeting appointed Mrs. Iplixian as a Member of the Board of Directors Audit Committee, in accordance with
article 37 of law 3693/2008.

The Bank’s Restructuring Plan
T
he Integration and Restructuring Programme is progressing according to plan.
During 2013, in the Non-personnel G&A area, significant cost synergies have been materialised, driven by contracts revision,
more than 100 Branch leases renegotiations and overall expense rationalisation, such as in Marketing Division, where 25% cost
reduction has been achieved.
A significant cost reduction of 20% was reached in cleaning services, maintenance, cash in transit (CIT) and insurance coverage.
This result is due to the reorganisation, following the merger with former Emporiki Bank, price negotiations and the review of
contracts with suppliers.
Synergies realisation momentum is being maintained with Euro 54 million cost synergies, exceeding the initial target.
Furthermore, the following developments have recently taken place:
As of 25.3.14, the centralisation of the SBL Back Office processes within the scope of the “Retail Back-Office Consolidation” KSI
has started. Since 26.3.14, back-office operations for Small Businesses and Professionals (SBLs) for the entire Bank’s Branch
network have been centrally executed by the Retail Banking Products Back-Office Division.
In particular, the aforementioned operations involve: the creation of loan accounts, entries and corrections of collaterals, the
creation of proposals for collateral security and registration of insurance contracts, the creation of contractual documents and
supplementary Acts, coordination of external legal offices for the execution of control and prenotations, cooperation with Alpha
Astika Akinita for the execution of technical control and re-evaluations, as well as coordination of bailiffs for legitimate contract
assignment.
The development of the new operating model was based on the following principles:
Simplification and standardisation of Bank’s processes
Release of time spent by Branch Officers on back-office operations, to allow focus on front - office activities (development
and improvement of customer relationship)

Timely execution of processes and provision of services to Customers and Branches
Standardisation of contractual documents and supplementary agreements
Prompt and effective monitoring of pending issues of Branches and Central Units through detailed reports
Swift and efficient execution of processes in the context of SLA agreements.
Furthermore, the process consolidation of the Letters of Guarantee and Trade Finance and the current state mapping in the
areas of Collateral Management and the activities of internal call centres and infrastructure of Branch Help Desk Unit were
completed, while the implementation of the respective end state operating models is in progress.
The KSI “Real Estate machine” continues the relocation of Central Units. More specifically, the Divisions that have been
relocated, on a permanent basis, are the Legal Services, Training and Development, International Retail Banking, Secretariat
of the Board of Directors, while various re-arrangements in the Main Building of the Bank are taking place. In the meantime,
the initial plan for the release of rented buildings accommodating Central Units is been realised.
In the context of “NPL Retail Management” project, a series of actions have been undertaken. Indicatively, a team has been
constituted for the support of Branch network in the management of non-performing portfolio, in coordination of all parties
involved (Product, Credit and Back-office Units). In parallel, restructuring campaigns for non-legal and legal portfolio are in
process, aiming at achieving the targets set. Finally, continuous empowerment of Retail Collections Division’s Call Centre
capacity is undertaken, in order to continuously increase the portfolio which is handled internally by the Bank.

Training and Development Division
The most important training programmes of February 2014
Business Loans Migration
During February, the training of the Personnel of the Branches and the competent Central Units continued normally, focusing on the
migration of the Business Loans to Siglo platform. In particular, the following holders of job positions were trained (see table
below):

In March, the preparation was completed, with the additional training of the Assistant Managers / Executives with authorised signature – type A and the majority of the Business Customers Relationship Officers.
Specialised Training Programmes for the Personnel of the Central Units
Further to requests submitted by several Divisions of the Bank, a series of specialised Training Programmes were planned and
realised for the induction of the former Emporiki Bank colleagues on the supportive systems and applications, such as CDI,
Counselor and Finesse. In total, 45 persons from the Retail Banking Division, the Retail Banking Credit Workout Division and the
Collections Division were trained.
Training for ISO 22301 Certification (BCCLA)
Following a request from the Business Continuity Office of the Organisation Division, a training session for the certification of the
Bank’s Executives took place, by Business Continuity Management (BCM) Institute. The certification referred to ISO 22301 Business
Continuity Management Systems Lead Auditor (BCCLA) certificate.

The training was conducted by the President of BCM Institute Mr. Goh Moh Heng and was held in the context of the Bank’s
relevant ISO 22301 certificate, which imposes continuous education and training of the Executives who work in sectors certified
by ISO 22301 or control Business Continuity issues in the Bank (e.g. Audit, IT, Operations and Organisation Divisions).
The Programme’s duration was three days, while on the fourth day the five participants took part in the exams for the relevant
Certification. All of them were successful!
Training of Kassos and Tilos Branch Personnel
Following the training organised at Lipsi Branch, the first training needs of Kassos and Tilos Branch Personnel were covered as
well. This initial training focused on CDI, Finesse, Cards Workflow and Consumer Loans and was conducted by the Trainer of the
Training and Development Division Konstantinos Karogiannis, from 5 to 8.2.2014 and from 25 to 28.2.2014, respectively.
Similarly, a relevant training will take place at Nisyros Branch.

Asset Gathering Products Division
The new “Alpha Prime Personal Banking” e-learning seminar
I
n the wider context of the development of homogenous and constant
training, the Asset Gathering Products Division introduced the “Alpha Prime
Personal Banking” e-learning seminar as part of the basic training programme
of Alpha Prime Executives.
The seminar, which was launched at the beginning of March, is the result of
co-operation between Asset Gathering Products Division, Training and
Development Division and Back Offices Division – Investments. It is addressed
to Alpha Prime Executives and the competent Branch Managers,
whose Branches offer
the service.
The seminar is created for the first time and consists of sections that fully cover
the philosophy, operation and methodology of Alpha Prime service, through a recently updated training material, which is present in a modern
and user-friendly way, facilitating the training process.
More specifically, the sections included in the seminar are the following:
Introduction to the philosophy of the service (Benefits for the Bank and the Customer)
Analysis of the service (Alpha Prime Platform, CRM Affluent)
Investment Products Sales Techniques (Basic principles for sales and Customer relationship management)
Investment Portfolios Allocation and Management (Fundamentals for investments and investment strategies).
Sales Division
A
iming at promoting the Bank’s services, the Sales Division organised for fifth year, special meetings addressed to executives, business
customers of the Wholesale Banking Unit and more specifically of the Corporate Banking, Commercial Centres and Shipping Divisions.
The meetings took place from February 17 to 21, 2014, at Athens Hilton hotel. The agenda was based on the latest events of the international
markets, such as international economy, emerging markets, interest rates and exchange rates. The relevant presentations were made by the
Executives of the International Markets Analysis, Panagiotis Remoundos, Maria Koutouzi, Ioannis Kouravelos and Konstantinos Anathreptakis.
The Customers’ response to the meetings was once again important, contributing to the strengthening of the relations with the Bank as well as
to the increase of the Division’s turnover.

The Bank’s gym at Aghios Stefanos Building
T
he Bank’s gym began its operation in 2008 at Aghios Stefanos premises with advanced fitness equipment and services
of high level.
The gym is open every day from Monday to Friday, 15:00 – 19:00, under the supervision of the instructor Mr. Thanasis Touros.
All Employees of the Bank can become members of the gym, even if they do not work at Aghios Stefanos Building.
Mr. Touros is responsible for the gym’s smooth operation and may offers personal advice on proper diet and effective exercise.
The members’ registration procedure is simple and apart from the application, participation is confirmed after the required
medical tests.
On a daily basis, many colleagues who enjoy the above services, comment that “proper exercise and diet have helped them in
balancing bodyweight and stress, offering them a lasting sense of wellbeing”.

“The Greek Kingdoms of Bactria and India”
he periodic exhibition entitled “The Greek Kingdoms of Bactria and India”, jointly organised by the Numismatic Museum and the
Alpha Bank Numismatic Collection, was inaugurated at the former’s premises, on Tuesday March 11, 2014.
The Exhibition presents the most significant coins issued by the rulers of the kingdoms of Bactria and India, during the Hellenistic Period,
about one century following the death of Alexander the Great. The Greek inscriptions, symbols and representations that adorn the sides of
the coins constitute a real testament of a Hellenic culture which had been developed in the depths of Asia, far away from the
Mediterranean region, having incorporated elements from the local communities.
In the context of the Exhibition, a lecture entitled “Unique Coins Issued by the Greeks in Bactria and India” was given by
Dr Osmund Bopearachchi, Professor at the Paris-Sorbonne University and the University of California, Berkeley, and Director of the
Archaeology Department “Hellenism and Eastern Cultures” at the French National Center for Scientific Research (CNRS-ENS).
The Exhibition will be showcased from March 11 until June 16, 2014.

Guided tour of the periodic exhibition
“Wall Calendars 1925-1992”
O
n Wednesday, March 12, 2014, the Curator of the Art Collection Section, Irene Orati, offered the members of the Association of
Friends of the Museum of the City of Athens - Vouros-Eutaxias Foundation a guided tour of the periodic exhibition “Wall Calendars
1925-1992”, which is hosted at the Exhibition Area of the Main Building of the Bank.
The guided tour was addressed to a specialised audience, since most of the members of the Association are archaeologists,
Byzantinologists, former museum curators, artists and collectors as well as professionals of the book publishing industry.
The visitors were actively involved in the tour through questions and comments. A lively discussion was held on specific thematic
sections of the Exhibition, mainly those presenting works by European travellers and works of archaeological interest. The section
presenting calendars dedicated to Modern Greek Art also attracted the keen interest of the visitors who expressed their gratitude
for the tour, as well as the wish to be updated on all the exhibitions organised at the exhibition areas of the Bank.

A
lpha Bank and Vodafone, in partnership with Visa and First Data, introduced Tap ΄n Pay, the first mobile phone
application for contactless payments in the Greek market. Tap ´n Pay is an innovative transactions tool introduced in
Greece as a pilot programme, ensuring easy-to-use, fast and secure everyday purchases, through contactless technology.
This ground-breaking application requires the use of a special Vodafone mobile SIM card, on which the Alpha Bank Enter
Visa debit card, is stored. The Tap 'n Pay application enables contactless transactions in shops where contactless card
acceptance terminals are in use, by debiting the bank account that is linked to the debit card.
On the occasion of the presentation of the new service, a Press Conference was held on Wednesday, February 19, 2014, at
the Vodafone store in The Mall Athens. In addition, an advertising insertion was realised, with key message: “Your mobile
wallet is coming soon, ensuring fast, easy-to-use and secure everyday purchases!”. The market welcomed Tap 'n
Pay with great interest, as confirmed by the extensive reports in the Press and the internet.

A
Cultural Centre has been operating, since 2006, in Nafplio, at the building of the Bank’s Coletti Branch. The Centre presents
thematic and educational exhibitions, based on the two significant Collections of Alpha Bank, i.e. the Art Collection and the
Numismatic Collection. The first and second floors of the neo-classical building of a former hotel located at the centre of the Old
Town in Nafplio were restored in 2005 to become a modern Cultural Centre.
At the Cultural Centre, the Art Collection Section and the Numismatic Collection Section of the Bank curate, schedule and organise
one exhibition annually, in the interval from June to October. The themes of the exhibitions are inspired by works of art and coins
which are mainly part of the said Collections. Thus, two parallel exhibitions are presented with a common theme, based on works
from antiquity and modern times.

New corporate identity for Corporate Social Responsibility
T
he Bank has established a new corporate identity of Corporate Social Responsibility,
focusing on the main message that governs the operation of the Alpha Bank Group.
The new logo, which will be used from now on, draws the attention to the meaning of the
word “mazi” (together) that embraces the Bank’s principles and values and denotes the
unity and the strength needed for sustainable development.
This unity, in combination with the strength stemming from the multiplication of isolated
actions, is highlighted by the new logo, with simplicity, clean lines, harmony in colours

“Corporate Responsibility in practice”
O
n Tuesday, February 25, 2014, a conference entitled “Corporate Responsibility in practice”
was held, aiming at clustering valuable knowledge, through real examples of the most active
companies in Corporate Responsibility sector.
Alpha Bank participated in the Conference, presenting its programmes of social contribution
(collection of food, clothes, school or other items), mainly those that were organised throughout
2013 for the support of families in need. The Head of the Bank’s Corporate Social Responsibility,
Eleftheria Patakaki, at her speech, stressed that social sensitivity and contribution are part of the
Bank’s corporate culture, since its establishment.
Representatives from a significant number of businesses had the opportunity
to participate in the Conference and present, one or more Corporate
Responsibility practices under the categories “People”, “Society”,
“Environment”, “Strategy”, “Social Reports”.

Together… for a new environmental action!
A
lpha Bank, in the context of its Corporate Social Responsibility activities for the protection of the environment, organised a new
environmental event in the area of the Aesthetic Forest of Kessariani, on Sunday, March 16, 2014, in association with
“Philodassiki Enossi Athinon”.
The Bank’s Volunteers planted various kinds of trees along the sides of the path that leads to the Botanical Garden and they also
installed tags with the name of each tree in Greek and Latin. In parallel, olive trees were planted in order to replace those
destroyed by the frost of previous years.
In addition, the kids, who participated in the event, had the opportunity to enjoy an experiential educational game entitled “What is
hidden inside the Botanical Garden?”. During this game, the kids were guided to the Botanical Garden, while playing, exploring and
discovering hidden elements. Then, they were gathered at the training centre of Philodassiki Enossi Athinon, where, following a
brief narration of a story about the creation of the Aesthetic Forest of Ymittos, each child planted its own aromatic plant.
The successful event took place with the voluntary participation of 130 Employees of the Bank, members of their families and
business associates.

New transparency regulations for Social Responsibility
U
pon the decisive contribution of the Greek Presidency, the
Committee of Permanent Representatives I (Coreper Ι) in Brussels,
adopted new transparency regulations for social responsibility that oblige
large businesses of the European Union with more than 500 Employees,
to draw up an annual report, regarding environmental, social, and
working issues as well as issues of human rights respect,
corruption and bribery. When businesses do not follow the relevant
policies, they should explain why.
The new measures aim at enhancing corporate transparency and
accountability, while in parallel, set limitations to unnecessary
bureaucratic obstacles and ensure equal opportunities across the
European Union. In addition, they are going to be incorporated in the
Directive 2013/34/ΕU, adopted on June 26, 2013, about annual
financial reports of some kinds of companies.
It is noted that the Bank has been publishing Social Reports since 2007,
while as of 2008 the Report has been drafted according to the
corresponding Guidelines of the Global Reporting Initiative (GRI).
“The defacements that hurt”
I
n 2013, the Bank, in co-operation with the Municipality of Athens,
organised a restoration programme for nine sculptures located at the
centre of Athens – on Syntagma Square and at the precincts of the
National Historical Museum – which had undergone significant damages.
The Programme named “The defacements that hurt” continues in 2014,
initially with the maintenance and protection of Jean Moreas’ bust
sculpture, which is located at the National Garden.
the weather conditions and the time, which is evident in the whole surface
of the figure. Our programme aims, on one hand, at protecting the
sculpture from theft and weather conditions and on the other hand, at its
proper maintenance and aesthetic restoration with modern methods. The
maintenance works have been assigned to the sculpture preserver
Athanassios Tzamalis, who was in charge of the preservation and
restoration works of the Programme’s sculptures, in 2013.
This sculpture was created by the French sculptor Antoine Bourdelle
(1861-1929) and was donated by the artist’s family to Greece.
The bust sculpture, in order to be preserved, will be removed from its
base, where a bronze copy will be placed. Then, it will be transferred to
a suitable exhibition area of the Municipality of Athens, possibly at the
Municipality’s Art Gallery. The works are expected to be completed by
the end of April 2014.
Jean Moreas (pseudonym of the poet Ioannis Papadiamantopoulos) and
Antoine Bourdelle were representatives of the same artistic and spiritual
cycle of symbolists in Paris, at the beginning of the 20th century.
Bourdelle was student and assistant of the great sculptor Auguste Rodin
and teacher of the sculptor Thanasis Apartis. He was inspired by the
classical idealism of the Greek ancient sculpture combining it with a
realistic approach. At the sculptures he created, he insisted on emerging
the “hidden face”, i.e. the figures’ personality traits and facial
expressions, devaluating the details of their physical appearance.
Moreas’ bust sculpture is highly important and one of the sculptor’s rare
works that are found in Greece. It has undergone severe damage due to

n Thursday, February 6, 2014, a special ceremony took
place at the University of Cyprus, during which, a
financial award was offered to a team of students from the
University of Cyprus MBA Programme for the completion of
their thesis entitled “The Cyprus Tax System: Function and
Effectiveness”. The spark for this initiative was given by the
Greek Embassy in Cyprus which outlined the study’s subject
and contributed to the selection of the students’ team.

"Young Bankers Olympics 2014"

he National Bank of Romania in cooperation with the Ministry of Education implemented in the school year 2013 - 2014, the new optional
discipline "Financial Education” created for primary school level. This new discipline was chosen by over 13,000 primary school students
across the country. In this context, the first financial education competition, "Young Bankers Olympics", was launched, as a useful tool
in evaluating this new discipline.
The competition is organised with the support of Alpha Bank Romania. The project aims at the cultivation of children's interest on issues
related to knowledge and proper usage of payment instruments and the development of financial literacy.

Alpha Bank Romania supports a concert for the
Greek Presidency of the Council of the European Union
T
o mark the taking over of the Presidency of the Council of the EU by Greece, the
Greek Embassy in Romania organised a concert that took place on February 26,
2014, in Bucharest. The event was supported by Alpha Bank Romania and other Greek
companies.
On this occasion, the Greek soprano Anastasia Zannis performed for the first time in
Romania, accompanied by the pianist George Papachristoudis.
This concert marked the beginning of a series of cultural events that shall be held in
Bucharest during the period Greece holds the Presidency of the European Union.

s a part of the MasterCard Hvala programme, Alpha Bank Srbija a.d. realised a
promotional activity with the message “Thank you for your support”, on
February 22 and 23, in Belgrade.
The idea behind this event was to thank all the Bank’s Customers and to attract others
to join the cause, also showing the results achieved so far, namely the raising of a
donated amount of more than Euro 230,000 offered by the Bank as support to the
national programme “Serbia against cancer” in co-operation with the Ministry of Health.

Corporate Social Responsibility Donation
A
lpha Bank Srbija a.d., in the context of its Corporate Social Responsibilty, made a donation to the Association of Blind in Serbia to
support its daily operation.
The Association of Blind in Serbia has been active for the last 67 years with the purpose of dealing with the problems faced by visually
impaired and blind people, taking care of their education and the enhancement of their creative output. With the Bank’s contirbution,
the Association of Blind will be able to realise a project of creating an IT Centre for education of blind people, as well as to further support
activities of their own publishing house and library.

Alpha Bank Albania SHA stands by the side of children with genetic and neurological disorders

lpha Bank Albania SHA was one of the main sponsors of the conference entitled “Health and Wellbeing - Access and Equality
for all” which was organised by the non-profit organisation Jonathan Center, on March 21, 2014, in the context of the World Down
Syndrome Day. The conference aimed at increasing awareness about the Down syndrome and raising funds for the support of the
individuals with Down syndrome in Albania. The Chief Executive Officer of Alpha Bank Albania SHA Periklis Drougkas stated: “We all
need to contribute not only by supporting these activities financially, but with our actions in our everyday life by providing to the
individuals with Down syndrome a fair environment where they can feel welcomed in a position to achieve their maximum potential.”
In addition, Alpha Bank Albania SHA supported the initiative of the Albanian Children Foundation which supports children with autism
and their families by providing them with screening and diagnosis. Alpha Bank Albania SHA welcomed the invitation of

Sunday walk in the Aesthetic Forest of Kaisariani
On Sunday, March 30, 2014, from 10:00 to 12:00, a walk in the Botanical Path of the Aesthetic Forest of Kaisariani took place, in the
context of the Bank’s Corporate Social Responsibility environmental activities in association with “Philodassiki Enossi Athinon”. Alpha Bank
Employees and members of their families participated in the walk. It is reminded that the Botanical Path is a protected site of particular natural
beauty with rare species of the Mediterranean flora as well as a wide variety of herbs and pharmaceutical plants. The Programme included
a visit to Kaisariani Monastery, while the people of “Philodassiki Enossi Athinon” made an educational presentation to the children regarding
the planting process.
